All Board meetings are recorded on audio tapes which are preserved perpetually and made available for listening to any interested party upon their request President Maass called the regular meeting of the Board of Directors of the Truckee Donner Public Utility District to order at 7:08 PM in the TDPUD Board Room. ROLL CALL: Directors Ron Hemig, Bob Jones, Patricia Sutton and James Maass were present. Director Joe Aguera was absent but expected. EMPLOYEES PRESENT: Susan Craig, Steve Hollabaugh, Peter Holzmeister, Kathy Neus, Bob Quinn and Ed Taylor. CONSULTANTS PRESENT: Attorney Steve Gross and Consulting Engineer Keith Sauers. OTHERS PRESENT: There were no others present in the audience. PUBLIC INPUT -There was no public input. CONSIDERATION OF CONTINUING THE EMERGENCY ACTION RELATING TO REPAIR OF THE TAHOE DONNER SUBSTATION TRANSFORMER#2 Motion was made by Director Jones and seconded by Director Hemig that the Board continue the emergency action relating to repair of the Tahoe Donner substation transformer#2. All Directors, aye, by voice vote. SO MOVED, Director Aguera arrived at this point in the meeting. DISCUSSION OF INITIATING A STRATEGIC PLANNING PROCESS FOR THE DISTRICT Manager Holzmeister reviewed with the Board the importance of strategic planning. He explained that "strategic" is defined as being of great importance within an integrated whole. "Tactical" means done with a limited or immediate end in view. Key staff participants are the General Manager, Planning Director and Power Supply Engineer. Since the environment is changing rapidly, financial resources are limited and continued success depends on satisfying customers' needs, the District needs to make judgments about the future in order to commit resources properly. Making judgments requires a disciplined process including gathering information on trends, careful thought, having a vision of the future, establishing plans, implementing plans and periodic review. Strategic planning is part of the management of the District and includes master plans, the capital improvement program, the annual budget, departmental work plans, individual goals and performance reviews of financial reports, monthly operations reports, staff performance reviews and customer surveys. In the long run, a strategic plan is like a road map. It was the Board's opinion that preparation of a complete strategic plan for the District would be very beneficial. i 211"8 Pagel REVIEW OF MONTHLY STAFF REPORTS The staff reports were reviewed. The District's sphere of influence and Department of Health Services bulletin linking trihalomethanes (THMs) to miscarriages were briefly discussed. It was noted that Manager Hoizmeister and Director Maass are two of the ten people involved on a committee to select a new manager for the Northern California Power Agency. CLOSED SESSION Public employee performance evaluation for General Manager in accordance with Government Code Section 64967 The Board adjourned to closed session at 8:38 PM to conduct a performance evaluation of the General Manager, RETURN TO PUBLIC SESSION The Board returned to public session at approximately 9:12 PM. There was no action taken as a result of closed session. ADJOURNMENT There being no further business before the Board, the meeting was adjourned at 9:13 PM.
