All Board meetings are recorded on audio tapes which are preserved perpetually and made available for listening to any interested party upon their request. The special meeting of the Board of Directors of the Truckee Donner Public Utility District was called to order at 7:04 PM in the TDPUD Board room by President Taylor. ROLL CALL: Directors Joe Aguera, Ron Hemig, Patricia Sutton, Tim Taylor and Bill Thomason were present. EMPLOYEES PRESENT: Nancy Waters, Alan Harry, Sanna Schlosser, Peter Holzmeister, Steve Hollabaugh and Barbara Cahill CONSULTANTS PRESENT: Randy Harris, Doug Hunter and Steve Gross OTHERS PRESENT: Frank & Juanita Schneider, Howard Wright, Ronnie Colby, Chris Wooster, Neal Mock, Ellie Hyatt, Bob Johnston, Christine Stanley, Beth Ingalls and one other member of the public. PUBLIC INPUT There was no public input. M . WORKSHOP DISCUSSION OF ELECTRIC SYSTEM TRANSMISSION CONSTRAINTS a.) This matter involves a discussion of Sierra Pacific's transmission capabilities and how they affect the District. And a discussion of possible renewable opportunities in Northern Nevada Randy Harris of Energy Source gave an overview of the TDPUD transmission system: • There has been little transmission construction from west to east across the Sierra mountains in the last 60 years • TDPUD is in the Sierra Pacific control area and has access to power from the east. • TDPUD's transmission contract with Sierra Pacific is in effect until 2027 (began in 1997) with the right to bring power in from Gonder Substation • Sierra Pacific must ensure the system is secure, safe, has no loss of life or no loss of equipment. They are required to build transmission to meet our requirements, and give TDPUD equal and open access • Interconnections are built to benefit each other/neighbors. • PG&E's limits from Sacramento prevent movement of power from west to east. • Line between Sierra Pacific and Pacific Gas & Electric (Loyalton and Portola, Plumas Sierra) could benefit Truckee • Sierra Pacific's control area dictates Truckee's ability to move energy in either direction. • Sierra Pacific's ability to move power depends on what the TDPUD has access to, import limits, complexity of operations and operations constraints. • Sierra Pacific has import limits and additional summer constraints through Reno • Future generation/transmission that could affect Truckee o Gas generation at Tracy/Nevada o Newmont coal generation in Carlin 1 Minutes: February 14, 2007-special o Geothermal resources in Northern Nevada o Thermal relays on 120 kV system o Fort Sage to Herlong (Plumas Sierra Rural Electric Cooperative) o Fort Sage to Stead/Cal Sub • CAISO (California Independent System Operator) Limitations o All-lines in-service, both within Sierra system and CAISO/PG&E system o Ratings may change at any time based upon individual line capability and forced or planned outages o Will adjust the path import and export ratings, factoring in weather, effect of outages and predicted Drum generation o Transmission customers frequently check OASIS (Open Access Same Time Information) to ensure customer have most up tot date path ratings • It is not easy to move the point of generation or resources. It is better to stay close to what Sierra Pacific is doing generation wise. Transfer points could have constraints and difficulty getting to mid points. Board Comments: • Rumor that PG&E is going to buy Sierra Pacific • Request of a detailed written report about transmission • Get into pools where the PUD can have leverage in strength Public Comments • Make the Sierra Pacific transmission contract is available to the public. • Continue this type of information to the public committees • Confirm that Sierra Pacific does not purchase power from PG&E because of cost • What would be a solution for Truckee for power? • Write up a narrative of transmission information • Complex situation to move megawatts and balance the load • Seems like there are other sources available other than coal DISCUSSION AND CONSIDERATION OF A 2008 POWER SUPPLY CONTRACT AND OPTIONS. a.) This item involves presentations from a UAMPS professional concerning the Shaped Capac- ity Energy resource and possible other power supply options to meet the District needs. Doug Hunter, General Manager UAMPS, covered power supply information: • TDPUD can have a diversity of power options with UAMPS and meet their load • UAMPS acts as a clearing house. Members cover 6 states. • The pool of UAMPS members helps to get more power • TDPUD has lots of transmission rights to Gonder Substation • UAMPS participates in: o Wind project in Wyoming, with possible new wind projects in Idaho, Utah and California o Solar alternatives/ nuclear unit in Idaho or Utah which are 15-20 years off o Department of Energy grant for Solar in East Utah on the Colorado boarder (10mg) o Hot springs geothermal • If the wind is not available, then a Firm in Pool agreement fills in load needs • The PUD can access compatible resources- say natural gas to firm up wind power • Power purchase options: o "All in Pool' is a cost based power pool. Members act as one utility with all resources. Members in a long position can transfer to members who are short- efficient with generation. 2 Minutes: February 14, 2007-special o "Power Exchange" is a web based power exchange. Utilities see how loads are and project into 12 hours- could buy and sell for our power on our own- a lot of liquidity o "Unplanned pool" is for members who do not want to do anything. They turn over decision to UAMPS to manage. They take at market cost what is available- only good for very small pieces of load. • UAMPS has the ability to send load to the Gonder Substation at a postage stamp rate- does not matter where get power or where it goes - $3.25 mwh with a 4% loss. • TDPUD should look at conservation • TDPUD needs to look into long term resources to meet demands with capacity backup of natural gas • Shaped Capacity and Resources (SCE) agreement comes on after TDPUD's contract with Constellation. It begins in January 2008 and runs for 15 months. SCE is dispatched to meet PUD load, capacity and energy. It is a firm resource and based on flat delivery. • TDPUD needs to become an active player in the "All in Pool": o Economic way to shape PUD resource for all times of the year. o Fill PUD needs if the SCE is not enough o Contract for 6 months of resource at a time (easy in/easy out) o Renewables of wind and solar plus natural gas o Fee is the same as our pooling fee. • Transmission is very complex- stay with experts and get a general understanding. PUD has the capability to get every Kw of need off the current transmission system. It is not easy to build new transmission lines. • SCE or "All in Pool" should meet all the constraints of S131368. An agreement for the "All in .e Pool" should be complete by June and the District counsel can review. • Steve Hollabaugh and Doug Hunter to put together a model of resource mix- "All in Pool" will suite this goal and framework. Board comments: • Would like definitions and terms • Go over what the SCE is again • "All in Pool" expands the PUD's capabilities- need to consider getting into this to meet bench- marks. Public Comments: • Want the power content label to be more accurate • Why are some UAMPS members not in the "All in Pool" and how long does a member have to sign up for this? • How long has the TDPUD been members of UAMPS? • Good to hear there are inexpensive capacity for small utilities • Want a write up how transmission works and a glossary of terms Mr. Hollabaugh asked staff to consider an "All in Pool" contract with UAMPS. It will need to be completed by October 2007. Director Sutton moved and Director Thomason seconded, a motion to table agenda item #7 "Confer- ence with Labor Negotiator-Agency negotiator: Peter Holzmeister. Unrepresented employees: All management and exempt staff' and bring back to the February 21 meeting to get Board approval to - designate the General Manger as negotiator of the management staff. ROLL CALL: Directors Aguera, Hemig and Taylor, no; All other Directors, aye. MOTION FAILED. 3 Minutes: February 14, 2007-special CLOSED SESSION CONFERENCE WITH LABOR NEGOTIATOR: SECTION 54957.6 OF THE GOVERNMENT CODE. DISTRICT REPRESENTATIVE: PETER HOLZMEISTER. EMPLOYEE REPRESENTATIVE: IBEW LOCAL 1245. No reportable action. Director Thomason recused himself at 10:30 PM before the Board began disussion of Management and Exempt Labor Negotiations. He represents some employees as a CPA. Director Sutton also excused herself, stating she felt it was illegal for the General Manager to be negotiating for Management and Exempt Labor. CONFERENCE WITH LABOR NEGOTIATOR — AGENCY NEGOTIATOR: PETER HOLZMEISTER. UNREPRESENTED EMPLOYEES: ALL MANAGEMENT AND EXEMPT STAFF. No reportable action.
