April 13, 2007
In accordance with District Code Section 2.08.010, the TDPUD minutes are action only
minutes All Board meetings are recorded on audio tapes which are preserved perpetually and
made available for listening to any interested party upon their request.
The special meeting of the Board of Directors of the Truckee Donner Public Utility District was called
to order at 4:00 PM in the TDPUD Board room by Vice President Sutton.
ROLL CALL: Directors Joe Aguera, Ron Hemig, Patricia Sutton and Bill Thomason were present.
Director Tim Taylor was absent.
EMPLOYEES PRESENT: Becky Mazzer, Lauren Schaake, Tami McCollum, Sara Owens,
Bev Johnson, Ed Taylor, Nancy Waters, Alan Harry, Mary Chapman and Barbara Cahill
CONSULTANTS PRESENT: Steve Gross
OTHERS PRESENT: Frank and Juanita Schneider, Neal Mock, Rolf Godon, Chris Worcester, Jody
Sweet, Patrick McCartney (Sierra Sun), Mayumi Elegado and Brain Woody
PUBLIC INPUT
Vice President Sutton read a congratulatory letter for the American Institute of Architects about the
TDPUD's involvement with the sustainable environment and economy, alternative energy and Green
building movement, inviting the TDPUD to attend an award ceremony in Reno on April 13, 2007.

• Congrads to Peter Holzmeister on his retirement
• When hiring a General Manager, consider conservation, power efficiency and sustainability as
part of the criteria
Rolf Godon
• Acknowledge Mr. Holzmeister for knowing when it is time- some people stay beyond the level
of comfort in a job
• What is the purpose of this meeting?
• General Manager salary is history now
• Move forward- what is next, how to go there in a timely manner, look at all with new glasses
• Rude of Mr. Maass to cast stone at board members
• Town council are all professional and have a positive energy
Juanita Schneider
• Too much rudeness and dart throwing—should have courtesy
• Compliment the signing of the Stampede Dam power project
Jody Sweet
• Meeting should have been postponed since President Taylor is not here
• Due to the fact Mr. Holzmeister has decided to retire- how will fall out affect staff
.. Coal people accused Mr. Holzmeister of lying- Bob Johnston, as a public official, represented
his point of view- this should be looked into
• Get the feeling this is a personal issue — a vendetta — why keep attacking- what else is going
on- is there something new that has caused this divisiveness
• Call in a facilitator— hire someone to look into the problems

• Watches the board meetings on TV and is embarrassed
• Treat with respect—follow the new Code of Conduct
Vice President Sutton read a statement from Jim Maass that was faxed:
After spending 28 years of my life to build a strong and prosperous utility district for the community
of Truckee, I see that the two of you have, in a few short months, destroyed the district's future.
You, along with a group of minority VOCAL community members have sewn the seeds for the
ultimate demise of the district. With the atmosphere you have created at the PUD, who is their
right mind would ever apply for Peter's job? Furthermore, I would predict you will soon be looking
for a new assistant general manager, too. Why should he stay on under these terrible conditions
you have created? I intend to share my thoughts, in detail, with the Sierra Sun.
Board comments:
• Vice President Sutton called the meeting to ask Mr. Holzmeister to stay to the end of the year.
Mr. Holzmeister had declined to stay.
• Board can still meet in closed session to discuss General Manager performance as he is still
employed by the district.
• There will be another agenda item as to procedure to replace the General Manager
• Have a right to this meeting and the definition is broad- want opportunity to talk with other
directors about this.
• Consider placing an item at next meeting for opportunity to discuss filling the General Manager
position.
• There are many things the Board needs to do
• When Mr. Holzmeister leaves, key people may leave also
• Public needs to realize what is going on- District may be in turmoil
• Have faith the District will survive — it has been here for 80 years

FORMANCE EVALUATION - TITLE: GENERAL MANAGER.
RETURN TO OPEN SESSION
No reportable action. The Board would like the agenda for April 18 to be amended and the item
added: Discussion and possible action of the process to fill the General manager position.
ADJOURNMENT
There being no further business before the Board, the meeting was adjourned at 5:25 PM.
