October 23, 2007
In accordance with District Code Section 2.08.010, the TDPUD minutes are action only
minutes. All Board meetings are recorded on audio tapes which are preserved perpetually
and made available for listeninq to any interested party upon their request.
The special meeting of the Board of Directors of the Truckee Donner Public Utility District was
called to order at 6:03 PM in the TDPUD Board room by President Taylor.
ROLL CALL: Directors Joe Aguera, Ron Hemig, Patricia Sutton, Tim Taylor and Bill Thomason
were present.
EMPLOYEES PRESENT: Ed Taylor, John Ulrich, Steve Hollabaugh, and Barbara Cahill
CONSULTANTS PRESENT: Steve Gross, Dennis DeCuir and Mike Lawson
OTHERS PRESENT: Christine Wooley and Bob Johnston
PUBLIC INPUT
Cristina Wooley, representing Hidden Lake Properties and Ciro Mancuso, referred to a new email
from herself and Hidden Lake Properties accountant regarding the invoice in question. She does
has a few questions she would like the Board to answer:
• Why did it take 3-1/2 years to invoice this project? Other jobs were closed out in a timely
manner.
• Why did the PUD fail to provide invoices and time cards that were requested in March? And
not provided until October.
• Why did the PUD deny service on an unrelated project owned by a distinct legal entity?
• Why does the PUD continue to deny service when the invoice is inaccurate and when will
they provide an accurate invoice?
• How does the PUD justify its demand for attorney fees?
• Does the PUD intend to compensate her client for damages and attorney fees?
• What about the public utility district action section that relates to residential service? This is
a master meter situation in an apartment complex.
• Will there need to be a need for court intervention? Unless services can be provided.
ACTION ITEM
CONSIDERATION OF A SELECTION PROCESS FOR HIRING THE GENERAL MANAGER AND
SETTING A SCHEDULE FOR INTERVIEWS. a. This item involves the process the Board
wishes to use to determine which candidates should advance and setting meeting dates.
Director Hemig moved, and Director Aguera seconded, to have the Board:
• follow the general structured process that Mike Lawson of Ralph Andersen & Assoc. has
explained to the Board.
• follow the timelines that have been presented: first set of interviews on November 6 & 8
and second set on December 3 or 4.

• include the input from community and staff advisory groups (each having 5 members). Each
Board member appoint a community representative and have the Interim GM John Ulrich
establish an employee group.
• Mike Lawson presented a list of things that interviewers can and cannot do (to be reviewed
by Counsel Gross).
ROLL CALL: Director Sutton, abstain (does not like the format that Mr. Lawson has brought
forward); All other Directors aye, by voice vote. SO MOVED.
CLOSED SESSION
Counsel Gross recused himself from the first closed session as Porter Simon Law Firm has Mr.
Mancuso as a client.

DIRECTORS MAY BRIEFLY RETIRE TO CLOSED SESSION TO CONFER WITH LEGAL
COUNSEL IN CONNECTION WITH A POTENTIAL THREAT OF LITIGATION MADE DURING
THE OPEN PUBLIC MEETING OF THE BOARD ON OCTOBER 17, 2007.
PURSUANT TO GOVERNMENT CODE SECTION 549579 DISCUSSION OF THE CANDIDATES
FOR GENERAL MANAGER, RALPH ANDERSEN, ASSOC.
RETURN TO OPEN SESSION

DIRECTORS MAY BRIEFLY RETIRE TO CLOSED SESSION TO CONFER WITH LEGAL
