Directors present: Horman; Aweeka, Greenhouse. Absent: Chairman Edmunds, McIver. Staff present: Manager Longo, Eve Hallett. t Manager requested in the absence of Chairman Edmunds, an Acting Chairman be appointed. Moved by Director Greenhouse that Director Horman be Acting Chairman, seconded by Director Aweeka and carried, Acting Chairman Horman called the meeting to order at 8:00 P. C. King be paid $350.00 , the sum $2,794.65 set aside in the capital outley bund be applied against the Western Electric bill and balance of bills defered be presented at next meeting, seconded by Director Aweeka and carried. Manager reported Mr. Beavers _ had called to report he would be unable to attend the meeting but would like to know if the Board was going to take final action on the land on Brockway road. The Board felt that with 2 members absent it would be best to postpone the decision until next meeting, Manager presented copy of conditions to be made covenants in the deed from District to Mr. Beavers as proposed by District Attorney Berliner, No action taken, Manager reported on the meeting he had had with Berliner. The following action was proposed: 1. Do A. Berliner will prepare to sue Mr. Morris, 2 . Do A. Berliner will prepare to sue Hilltop - Mr. Herzog, 3 . Power Agreemnt is 0 . K . 4. Deputy District Attorney Casseteri is checking into the agreement between Mr. Layton, Olympic Heights, County and District. 5. D. A. Berliner explained the minutes of Directors acceptanetof proposal as originally submitted by Jensen and Stewart Minutes, November 13, cont, constitues a legal contract, therefore, District need not insist upon a., supplemental contract until the bid rental payment of $10, 000.00 for 3 _ years has been made. The Board reviewed the agreement aubmitted by Sierra Pacific Power Co and de 1 ayed action until next meeting for futther consideration. r , Manager read letter from Division of Highways and they are again accepting bids for the strip of land adjacent to McGl ashen tank properties. Moved by Director Greenhouse the State be advised the District would bid on the land and Manager was instructed to ask for the necessary forms and amount to be bid defered to next meeting. Unfinished business: a. R. Joseph - no report b . R. E . A. - no report c . Insurance - Mr. Brockett had called and cound not attend this meeting but thinks a 3 0'/ - reduct ion in premium can be realized and plans to attend next meeting. d. H. H. F. A. Mr. Camblin had called Chairman Edmunds and reported they will have to change application. e Health dept - The Department has notified Manager that they will have to condemn the South Side well and a letter will be, sent to the District confirming same. w There being no further business moved by Director Greenhouse, seconded and carried it be ad j ouned at 9 : 3 0 P . RECITALS; 1) Sierra is presently delivering electrical energy to Truckee from Sierra's Truckee Substation at approximately 2400 volts and tempor- arily from Sierra's transmission system at two locations at approximately 60, 000 volts. 2) For the convenience of Truckee, said two 60, 000 volt power supply points are being metered by Sierra at a nominal voltage of 480 volts at the output of transformers owned and operated by Truckee's customers, and these meters are being jointly utilized by Sierra for measuring deliveries to Truckee, and by Truckee for resale to its customers. 3) Truckee purchases said electric power from Sierra under Sierra's Tariff Schedule P-6 as filed with the Public Utilities Commission of California for resale to Truckee's electric customers. 4) Truckee desires to modernize its electric distribution system and make provision for a substantial increase in supply capacity to provide for its anticipated growing requirements. 5) Truckee also desires to construct, own and operate an electric distribution substation to transform Sierra's 60, 000 volt supply to 2400 volts for use in its existing distribution system and to:12, 47.0 volts for utilization in a new distribution system to be constructed. 6) Both parties desire to arrange for a single new 60, 000 volt electric supply point for energy sold by Sierra to Truckee and for the eventual elimination of the three present supply points. NOVA, THEREFORE, In consideration of the respective undertakings of the parties hereto, it is agreed as follows: 1) This agreement shall become effective January 1, 1963, PEMOK, and shall thereafter continue in effect for the ensuing five years to Janu- ary 1, 1968, and thereafter from year to year subject to termination by either party upon one year's advance written notice. 2) Sierra agrees that during the term of this agreement it will, under normal operating conditions, maintain a capacity of not less than 7500 kilowatts for utilization by Truckee. 3) For the term hereof Sierra agrees to sell and deliver to Truckee and Truckee agrees to purchase and take from Sierra all of the electric energy Truckee requires for resale to its customers and for use in the conduct of its business, up to 7500 kilowatts. 4) Truckee shall pay Sierra for electric power delivered 10"""Wt hereunder at prices established under Sierra's Tariff Schedule P-6, or -Ii such other substitute schedule as shall be filed with and approved by the Public Utilities Commission of the State of California, and subject to the following discounts if approved by said Commission: a) Effective as of the month following the placing into commercial operation of an electric distribution sub,Otation owned and operated by Truckee and of at least 2500 kilowatts capacity for supply to Truckee's general distribution system, bills rendered thereafter under the applicable Tariff Schedule shall be reduced by 2-1 / 2%. b) At such time as Truckee shall have modified its electric distribution system to take all of its electric requirements from its sub- station and shall have disconnected the present three supply points furnished by Sierra, bills rendered for each month thereafter, under the applicable Tariff Schedule, shall be reduced by an additional 2-1 /2% to a total of 5%. -2- 5) At a site in or near the community of Truckee, the District will construct and thereafter maintain and operate an electric distribution substation suitable for receiving electric service from Sierra's 60, 000 volt transmission system; said substation may at the option of Truckee range in total capacity from 2500 to 7500 kilowatts, and will incorporate therein one 60, 000 volt disconnect switch, automatic voltage regulation, and feeder circuit breakers to automatically disconnect defective distribution lines from the supply system. 6) At such time as Truckee shall have placed orders for its substation equipment Sierra shall construct and thereafter maintain and operate a 60, 000 volt power line from Sierra's Truckee substation, or from a suitable alternate location on Sierra's transmission system, to the District's new substation, provided applicable zoning laws, rules and regulations permit such construction by Sierra and suitable right of way therefor can be obtained at minor cost to Sierra. Said 60, 000 volt line will be constructed with sufficient clearance from ground level as will provide for the lower construction of one 12, 500 volt distribution circuit on the poles thereof. 7) After construction of said line by Sierra, Truckee at its option may purchase same for the price of its actual construction cost, and will thereafter maintain said line for so long as required for service hereunder. S) Sierra will at its own cost at its Truckee substation, or other point in the vicinity suitable for supplying the District, install, maintain and operate 66, 000 volt metering equipment suitable for measur- ing deliveries to Truckee and a 66, 000 volt circuit breaker suitable for disconnecting the 60, 000 volt line when defective. 9) If due to act of God, earthquake, storm, flood, strike, labor disturbance, riot, war, sabotage, or order of court or public authority, condemnation proceeding, or act beyond the reasonable control of either party, performance hereunder shall be excused for the period affected. 191! 10) This agreement shall become effective upon approval by the Public Utilities Commission of the State of Califs rnia, and shall thereafter be subject to such modifications as said Commission may from time to time direct in the exercise of its jurisdiction.
