The public interest and convenience require- the in- stallation by County and maintenance, operation and use by District of a systera of domestic water supply for the providing of water ser- vice within Sierra Meadows Unit No. 4 Assessment District, County of Nevada, State of California. It is proposed that said facilities be installed by County pursuant to special assessment proceedings under appropriate special assessment and assessment bond acts, and ,.., that after such installation the providing of a system of domestic water supply 1 and water service within said territory shall be under the management and control of Di tr i ct. 2. Plans and specifications for said system of domestic water supply 1 have been prepared by Murray & McCormick, Inc. , engi- neer for the developers of Sierra Meadows Unit No. 4 Assessment District, -and who has been appointed Project Engineer for County in said proceedings. Said plans have been submitted to and ap- proved by the District Engineer. It is agreed that all of said work shall be installed in accordance with the plans and specifi- cations approved by the District Engineer as hereinbefore referred to, and that said plans and specifications are hereby approved by District. No changes in said plans and specifications may be made without the prior written consent of District. iisol `. d 3, It is agreed that the construction of the work and improvernents herein provided shall be accomplished through an assessment district and that County shall pay to District from funds raised in the assessment district all fees and charges to be paid pursuant to this Agreemcnt. The estiitlated construction cost of said system of domestic water supp]..y is $89 ,785. 40 , of which the amount payable directly to District is $ none and the estimated amount of the fees and charges payable directly to the District is $ 1,000 . 00 4. District may at all times maintain arl inspector over the work of installation of the system of domestic water supply to see that plans and specifications have been complied with, and the County and its Engineers shall cooperate with the District' s in- spector, or inspectors, in the duties incident to design or con- struction. After completion and acceptance of the work, County will cooperate with District in the enforcement of any guarantee made by the contractor in contractor's agreement to perform the work, or by the owner, and shall cause said contractor or owner to provide the District with an acceptable surety bond guaranteeing against defective materials and/or workmanship for a period of one year from and after completion and acceptance of the work. Such bond shall be in a sum to be fixed by District. 5. Whenever facilities and appurtenances to be conveyed hereunder are not installed in dedicated streets or highways, County shall provide or cause to be provided the necessary rights- . of-way and other property necessary to accommodate said work and improvements, and where said easements or property are required exclusively for water supply facilities, or, where required by District, County shall require the execution and delivery to Dis- locu- trict of appropriate instruiaier-*-Ls of transfer end such other mr:4nts as District may require to convey to District said rights- of-way and other property. 6. Follo-,aing the confirmation of the assessment and or ii-tipro.vemic-:Mts to be in- prior to acceptance of any or the wcirk stalled or acquired, County shall pay District all fees and all_ expenses of District 'incidental to the installation of a system of domestic water supply together with all other charges of the Dis- trict as set forth herein. 7. County shall require that the contractor or oi,,mer performing the work of construction of water supply facilities provide District with labor and material and faithful performance bonds, in the name of the District, in the sum of the estimated cost for such work and shall require said contractor or owner to provide the District with certificates of insurance protecting the District, its officers, agents and employees against any claims of any nature. 8. After the work has been completed and the facilities have been accepted by the District, all facilities and app,urten- ances so installed shall be the property of District and part of its system, and thereafter District may make extensions therefrom and install connections thereto at any point or points thereon* They shall be operated, maintained and managed by District as part of such system under the rules and regulations and subject to the, rates and charges of District from time to time established* 9. District shall not be obligated to extend,, without lop"- charge, its mains and facilities within the boundaries of Sierra -3- Meadolxrs UniOt No. 4 Assessment District, County of Nevada, State of California , and any future extension of mains , facilities and appurtenances beyond those specifically set forth in the plans and specifications shall be under the rules and regulations and subject to the rates and charges from time to time established by District. 10. It is agreed that the signatu._-e of all parties to this Agreement is based upon and predicated upon consummation of special assessment district proceedings providing for a suffi- cient assessment to pay the money herein agreed to be paid Dis- trict and, also, to pay all costs and expenses of said proceed- ings and rights-of-way or other property referred to in Paragraph 5 of this Agreement. It is agreed that the County of Nevada is signing this Agreement solely as agent and trustee for the pro- perty owners within the area described in the Agreement; that it is assuming no direct liability for payment of said money or the expenses of the acquisition and construction of said system and that its only liability and responsibility is that of conduc- ting the special assessment proceedings referred to in the form provided by law. It is also understood by all parties that the County of Nevada cannot pledge itself in advance that said spe- cial assessment proceedings will give the County jurisdiction to confirm the assessment and that all terms and provisions of this Agreement are subject to said special assessment proceedings being consumma-ted.
