MINUTES OF JANUARY 2, 1973 The Vice-President asked if there were any corrections, additions, or ommissions to the minutes of January 2 , 1973, Duane Anderson moved that the minutes be approved. Nelson Stone seconded the motion. BILLS FOR APPROVAL BY THE BOARD D. Anderson asked Mr. Cattan if McDonough' s costs were on the list of bills. He said no, but his are; there' s will come at the end of the month. Tom Paulus added that there is a small one of McDonough' s. A $600 bill from the previous month. D. Anderson asked why there were two month' s power bills from Sierra Pacific. T. Paulus said that they haven' t had the money to pay the bill. N. Stone asked if the $700 to the auditors was final payment. Tom, confirmed this. N. Stone moved that the bills be approved and D. Anderson seconded it ROLL CALL: D. Anderson aye; N. Stone, aye; R. SIERRA PACIFIC POWER COMPANY' S PROPOSAL Mr. Cattan asked Paul Chamberlain to discuss the legality of Sierra Pacific Power Company leasing the electric. Mr. Chamberlain: At the last meeting there were four questions men- tioned to me when the item first came out in the newspaper and a couple have developed since then. They are questions that should probably be resolved early in the proceedings. Since that time, I have had a chance to do some additional research on the matter. I have talked with Mr. ..-. Campbell; I sent him a letter and I talked with attorney Dick Prather in Auburn, who in turn got in touch with Mr. Campbell. I think we have the answers to a degree depending of course upon the position of the Board might be in the event the transaction move forward. Probably the easiest way is to go through those as outlined in the letter of December 20 to Sierra Pacific Power Company; a copy of which was sent to the District to let you know what the status of where it was our assignment to report back this evening. First question we had was the one about the power company being subject to Public Utility Commission control whereas the District was not. I have had no reply from them at this time. That is still an unanswered question. N. Stone says that this is a pretty important question and he hoped Mr. Chamberlain would per sue i t. If Sierra Pacific Power Company did lease the electric portion of the District, the district would come a water company. So why should a water company furnish electricity more than a recreation district, sewer district, or something like that. i It was decided that either the state or the county should take the responsibility of the street lights . Paul hoped he would be hearing C from them soon. i D. Anderson asked Mr. Chamberlain if he had contacted the State Attorney General' s office concerning the legality of leasing the District to a private company. He said he was sure that they would come out with a validating opinion. Mr. Campbell, representative from S. P. P. C. said that in the Truckee arrangement parties would sit down and agree upon some independent legal firm to be hired to render an opinion as to the legality of the entire proceedings. He thought the regulatory commis- sions require that also. D. Anderson asked if that decision would come out of the State Attorney General' s office. Mr. Campbell said that j this sort of thing would be part of the lease. If the power company orders it then the State Attorney doesn' t have to require an opinion. The Utility District can get an opinion but you would have to work through county councel. Mr. Campbell said he would have to get an opinion from their bond attorney to be able to make the improvements under the lease so that they would be assured any bonds issued for �••. additions or improvement to the system would be legal. D. Anderson asked.how long the offer with Sierra Pacific would be. Mr. Campbell said that if the board saw fit to authorize someone to enter into the negioations to draw up a draft agreement of the lease; taking into consideration the term of the offer. Mr. Stone wants to know how long the $90,000 offer would be good for. He said that they have alot of study and research to do and they wanted to know how much time they had. Mr. Campbell said since there has been no formal agreement as yet that the money and time limit could change at any time. D. Anderson said that there has been a change in the rate and if there was a change in the rate then the base offer would have to change accord- inly.. Mr. Campbell said he concures with what Mr. Chamberlain said and that although they had set up a thirty year lease; if the board decided to have a review of the agreement every ten years, it could be set up in the agreement. The District could set up an option to cancel at these reviews. He also said that the proposed rate increase had nothing to do with the lease agreement. His rate increase application was esta- blished in 1971. The application was finalized also in 1971. He assured the Board that there was no connection between the two. He said this lease was not the answer to the rate increases put to the area residents . He said that if the lease went through it by no means would resolve the rate problems. He said that S. P. P. C. would have rate increases and that they were going to not let up in the future. The cost of fuel is going up. Mr. Campbell stated that the proposed draft be drawn up before final agreement be arrived at. D. Anderson moved that this be done; however, the motion died due to lack of a second. It was decided to hold a special meeting near the end of the week when the two absent i board members could be present. Mr. Pifer was present at the meeting as spokemen for a group formed known as the Truckee-Donner Chamber incorpor- ation Feasability Committee. He asked the Board members to take a good, 'j long, look at the agreement. He wanted them to keep the residents of Truckee in mind at all times. C page 19 RATE INCREASE Mr. Cattan stated that after attending the Federal Power Commission hearing in Washington, D. C. , he found that our rates will be increased by 34. 2% and 6% for fuel, which is the F. P. C. staff recommendations. S. P. P. C. asked for a 36.2% raise, however, the staff refused to accept it. Finally, S. P. P. C. accepted the staff recommendation of 34.6% and 6% for fuel equaling 40.2%. With regard to the Mill, we already increased their rates 20% and their further increase will be approxi- mately 10%. In order to operate and give the proper service to customers, the exist- ing rates have to go up another 30%. Tom and .myself were intending to ! propose for 1973 a 10% rate increase to meet the increase pay raise and benefits to employees. If the Board decides against the increase and wish to accept S. P. P. Co' s proposal, it is for the Board members to decide. Mr. Cattan' s views in the matter is that S. P. P. Co' s proposal is reasonable. i Discussion ensued and finally it was approved that an additional rate increase of 25% goes into effect February 1 1973. It was moved by D. Anderson and seconded by N. ORDINANCE 7301 - COMPENSATION TO DIRECTORS This ordinance states that the directors will be paid $50 for each attended meeting and will not be paid for any special meeting. D. Anderson expressed that we should take this matter up again when all the T Board members could be present. R. Anderson said perhaps we should bring it up at the special meeting. Mr. Cattan said that ordanances cannot be made retroactive. This ordinance was tabled until the special meeting. SOUTHSIDE WELL i I j Mr. Cattan said that they were having trouble with the Southside Well. He thinks we should build a new 12" well and needs a decision now so that we can get the bids out now for the spring. He states we are having trouble with the shaft. He recommends that another well be drilled further up, which position will be decided by Dr. Sharp, our geologist consultant. Once the new well is dug and in operation, the old pump will be pulled out and a submersible installed instead so that we will have a standby pump. The new well would not go into the spring, but feed directly to the town. The digging should start within three months. The entire cost of the pump will be $15,000. 4 The Board gave Mr. Cattan authorization for the bids to be sent out. N. Stone voted that we go ahead with it and D. There being no further business to come before the Board, it was moved by D. Anderson and seconded by N. Stone that the meeting be adjourned. All aye; motion carried.
