HomeMy WebLinkAbout1974-03-19 Min - Board MARCH 19, 1974 The regular meeting of the Board of Directors of the Truckee-Donner Public Utility District was called to order by the president at 8 : 10 p.m. in the conference room. President Waters announced that the executive session which begun at 6 : 00 p.m. had lasted longer than expected. As a result of the discussion in executive session, Mr. Waters appointed Directors D. Anderson and Craig to work with Mr. Paulus , Mr. Heidrick, Mr. Joynt, and Mr. McDonough regarding the electric contract with Tahoe Donner. ROLL CALL: J. Craig, present; D. Anderson, present; P. EMPLOYEES PRESENT: Paulus , Kinzie , Krajewski, Grow GUESTS PRESENT: Sierra Sun Reporter, Joe Joynt MINUTES OF MARCH S. 1974 ADDITIONS : "Mr. Paulus was not present at the meeting as he was attending the Sierra Pacific Power Company rate case hearing in Washington, D. C. , along with Martin McDonough and Harold Heidrick. " Page 1, COUNTY TREASURER' S SERVICES, 'Mrs. Sutton expressed concern that there is one officer that is manager, secretary-clerk, and treasurer of the district. ' Page 5, POLE BIDS, ' It was moved by Director Craig and seconded by Director D. Anderson that the bid from Niedermey er-Martin be accepted in the amount of $212 . 94 each for 65-45 foot poles and $187 . 88 each for 5-40 foot poles . ' It was moved by Director R. Anderson and seconded by D. Anderson that the minutes of March 5 , 1974, be accepted with the above-mentioned corrections . All aye ; motion carried. BILLS FOR BOARD' S APPROVAL President Waters asked if the Wilsey & Ham bill on the Tahoe Donner evaluation was the final bill: Mr. Paulus said that this was only to March 11, 1974, and that there will probably be more billings on Mr. Heidrick' s evaluations of the Tahoe Donner line construction. Director R. Anderson asked the total expense to transport the two 1250 KVA transformers from Tahoe Donner to the Truckee Substation. Mr. Paulus said that it was approximately $1, 100. Mr. Krajewski explained that the added expense (over his estimate of March 5 , 1974 , of $1 ,000) was because one of the transformers from the Tahoe Donner Substation had a leak and the truck left that transformer at the PUD yard in exchange for the other 1250 KVA transformer in case the leak- ing transformer was defective. Duane Anderson Questioned the bill to Walker' s Toggery for rain clothes. Mr. Paulus explained that this was for three sets of rain clothes and that they were purchased approximately three months ago. i Mr. Anderson asked why the district purchased rain clothes for the employees . Mr. Paulus said that according to the union agreement, the i district must supply the employees with this type of clothing for ,..... safety purposes . The bill to Murray, Burn, & Kienlen for the EIR was billed to Lakeworld plus 20% . ' he list of bills is to Joe The last bill on Joynt for legal fees t rendered which Mr. Joynt thought might want to be deferred for approval until after his fee proposal is accepted by the board. The bill is based on the proposal. It was moved by Director Craig and seconded by Director D. Anderson that the bills be paid which includes Mr. Joynt ' s bill for legal services . ROLL CALL: J. Page 72 ASSORTED WIRE AND CONDUCTOR BIDS There were two bids received; one from Graybar Electric and Anixter Pruzan. The results of the bid opening are on the attached bid form which is part of the minutes . Graybar' s bid did not include state or county taxes and the prices quoted in the bid are subject to change and will be billed at prices in effect at the time of shipment . They also said that material is subject to prior sale. Delivery for these items varied from she to eight weeks for Reynolds Aluminium Manufacturing Company items (items 3, 4, 5, 7 , & 8) to 60 to 90 days for item 10 . The other items bidded on were in stock. Anixter' s bid did not state if taxes were included in their bid Quote. Items 1, 4 , 5 , 6, 7, 8 , 9, 11 were in stock for immediate shipment. They also put in their bid that prices Quoted were subject to metal escalation. Mr. Bruce Grow, warehouseman, reported that he has been in contact with various electrical suppliers regarding the bid items , and they have replied that many of this year' s production is sold out until 1975. The possibility of purchasing all aluminium in stead of ACSR was discussed. Mr. Paulus thought that this would result in weaker line construction, but that it would be looked into. Director Craig moved that the district purchase the wire where and when they can get it , trying to get the best price that they can--- from either the two companies that bid or any other source. The Quantity ordered must be the same that is in the bid specifications . Mr. Joynt said this type of purchasing would be, in his opinion, legal. Director Sutton questioned the board authorizing the purchase of approximately $30, 000 worth of wire at this time when the board does not know what the financial situation is of the district. ELECTRICAL SUPERINTENDENT Director Craig felt concern that there is not an electrical super- intendent that has a combination of education and experience to operate the district' s electrical system. Looking at the bill from Wilsey & Ham for $1 ,685 which was for less than one month' s evalua- tion, Director Craig said that the district could employ an electrical superintendent for that amount of money on a full-time basis . Director Craig also proposed hiring a combination electrical superintendent- manager to fulfill the district ' s needs . He felt that the electric department is the prime income and responsibility of the district. Director Craig substantiated this statement by saying that the electi- cal operation of the district takes more time and expertise than the water. Director D. Anderson pointed out that the district paid Dan Cook sometime ago approximately $1 ,400 to review the water system at Tahoe Donner. Roy Waters said that the district will undoubtedly engage a consulting electrical engineer and asked Director Craig why this consultant could not supervise the construction, etc. , rather than have the consultant tell the proposed electrical superintendent what has to be done. Director Craig answered that when an emergency, such as a main transformer at a substation fails , the consultant is not in Truckee. --=" Director R. Anderson said that the bill from Wilsey & Ham was a result of concern by Director Craig that the electrical system in ' Tahoe Donner was not constructed adequately. However, Mr. Heidrick' s summary of the line construction in Tahoe Donner was that the system was well designed. Director R. Anderson also said that the district is presently having an outside , independent study made because the board would like to see what the study bears out and what recommend- ations are made for changes . He felt that until these other people tell him how they think the district is doing, no action should be taken to make any changes . He thought the district was doing alright. Director Sutton thought that by having an electrical engineer as manager, it would eliminate many of the consulting fees the district is presently paying. With an electrical engineer as manager, Mrs . March 19 , 1974 - Page Two Page 73 Electrical Superintendent . . . continued Sutton thought that a consultant might be needed from time-to-time for a major study of a subdivision or similar instances . Director Sutton explained that she ran on the platform of having proper management by the board and its employees , and she believed having a more highly qualified person in the position of general manager would be in the interest of the district . Director R. Anderson thought that discussion of this sort improper to be brought in a general meeting and should be discussed only in executive session. Director Sutton replied that the board has had two executive sessions to discuss management of the district and Director Sutton and Craig were unable to get any agreement on the part of the rest of the board as to the needs of the district. Director Sutton wanted the public to know that the other board members are responsible for management as it is now, not Director Sutton. Director Craig moved that the district employ a manager with exper- ience and/or education to primarily operate the electrical system. If possible, with experience in water and finance . Director Craig later added that the board set up the qualifications for the manager; idealy he would be an electrical engineer and/or be a registered professional engineer in California or have the ability to get registration within a year or so. He would have a minimum of 5-10 years experience in operating an electrical facility somewhat similar to the district ' s . Director Waters asked how Mr. Craig felt qualified enough to set up qualifications for this position. Mr. Waters felt that he was not qualified to do this nor was Mr. Craig . Director Craig questioned this statment. Discussion on if a board member is legally able to go through the district' s personnel files was directed to Attorney Joynt, who will look into this and report back to the board. Director Craig' s motion was seconded by Director Sutton and voted as follows : J. Craig, aye ; D. Anderson, no, he felt it was premature and that he would like to see the Sanitary District-T-D PUD merger examined, and if finalized, then advertise for a manager to supervise both the sanitary, water and electrical facilities . He also felt that a study should be done. to further investigate the structure of management and the employees they should have. P. Sutton, aye, because the present management has been managing the district for almost a year and that the possibility of merging with the Sanitary District is no closer now than it was several years ago because this board has not taken the initiative to try to do anything about it. It could be several years off. R. Anderson, no, for the same reasons as Director D. Anderson stated; R. Waters , no. CONSULTING ENGINEER i The board has been given the information received from the various consulting electrical engineering firms that were contacted by Mr. Paulus sometime ago as requested by the Board. When asked by the board for recommendations , Mr. Paulus replied that he would like to see Harold Heidrick of Wilsey & Ham be retained. His office is located in San Mateo, California. Mr. Heidrick is presently familiarizing himself with the district ' s operation by doing the examination of the district as specified in the Public Utilities Code, attended the rate case in Washington, D.C . , and -- examined the Tahoe Donner line construction. Director D. Anderson asked for Mr. Paulus ' second choice other than Mr. Heidrick. Mr. Paulus stated that he felt Bently Engineering out of Reno could be the consultant providing they could acquire an electrical engineer with experience in the utility field. It was moved by Director R. Anderson and seconded by Director Sutton that Harold Heidrick with the firm of Wilsey & Ham be retained as consulting electrical engineer for the distirct. ROLL CALL: J. March 19, 1974 - Page Three Page 74 ORDINANCE 74-02 - ENERGY CONSERVATION Joe Joynt prepared this Ordinance dealing with mandatory provisions for commercial users to curtail energy consumption by 15 percent. If the ordinance is passed, it will have to be published in the local newspaper once and posted in three public places . It was moved by Director D. Anderson and seconded by Director Craig that Ordinance 74-02 be adopted. ROLL CALL: J. Craig, aye ; D. Anderson, aye; P. Sutton, aye; R. Anderson, aye ; R. Waters , aye . So moved. Discussion on how to print the ordinance in the newspaper lead to Director Sutton moving that it be published in the local paper at the earliest possible date and enclose a one-page summary of the ordinance in the next billing cycle. Seconded by Director Craig. ROLL CALL: J. Craig, aye; D. Anderson, no, as he felt it could be printed in the newspaper in abstract form; P. Sutton, aye ; R. Anderson, aye; R. Waters, no, as the expense would be too great. ATTORNEYS FEES Attorney Joynt prepared a proposal of fees to be paid to him as district counsel. A copy of his letter is hereto attached as part of the minutes. It was moved by Director J. Craig and seconded by Director Sutton that the fees to be paid to Joe Joynt be approved in accordance with Mr. Joynt' s letter of March 12 , 1974. ROLL CALL: J. Craig, aye; D. Anderson, aye; P. MEETING TIMES A resolution was prepared stating the meetings would commense at 7: 30 p.m. and not be held any longer than 11 : 00 p.m. In the event the agenda items are not covered by 11 : 00 p .m. , the resolution stated that another meeting would be held the following Tuesday. However, the directors did not like this ; they asked that the resolution simply state the meetings will commense one half hour earlier. Management was directed to prepare another resolution stating the meeting will begin at 7 : 00 p.m. for discussion at the next regular meeting. UNION DISCUSSION Mr. Paulus reported that on Friday, March 15 , he and Roy Waters met with Bruce Grow and John Stralla for a preliminary discussion of the proposals the union has made to the board regarding this year' s employee agreement. Mr. Paulus would like to include one provision into the union contract that is presently not included and that is to require a permanent employee to live within the district ' s geo- graphical boundaries . Attorney Joynt thought that this was a legal and proper request. Title 2 . 2 - Conditions of Employment : This title states that an employee does not get any sick leave until after six months of employment. At this point , the employee starts accumulating. The union would like to add six days of sick leave for the initial six months . Mr. Paulus said that Sierra Pacific, SMUD and PG & E have a provision similar to this . He did not see why this could not be added to the contract. Title 4 - Standby: The union would like to change the standby from five hours a day to six hours a day. After discussing this with Mr. Stralla and Mr. Grow, it was decided to eliminate this request and leave it as is . March 19 , 1974 - Page Four Page 75 Union Discussion . . . continued Title 5 - Overtime : The union would like to add that any hours worked from 12 : 00 a.m. to 8 : 00 a.m. , the pay will be double time. Mr. Paulus said that to do this , it would not cost the district too much as it does not affect many employees . Title 6 - Holidays : The additional holiday of Good Friday was discussed and decided to be eliminated. Title 7 - Transportation: The union would like to change the mileage rate from 12� to 15� per mile when an employee has to use their own vehicle . Mr. Paulus did not see any reason why this could not be granted since an employee very rarely has to use his/her own vehicle. Title 9 - Vacations : The union would like to add that an employee who has completed ten years of service with the district will be entitled to 22 work days of vacation. This will not affect any employees for about three years so Mr. Paulus did not feel why this could not be granted. Sierra Pacific Power Company gives 15 days vacation for 7-17 years service and 20 days after the 17th year. PG & E allows 15 days vacation for 8-17 years service. Service over 18 years is given 20 days vacation pay. SMUD gives 15 days vacation for 1-19 years service and 20 days vacation after 20 years of service. Title 13- Funerals : The union would like to change the contract to state that three days paid time off will be allowed for funeral leave. Mr. Paulus would like to add that a funeral leave can only be taken if it is employee or spouse's immediate family. PG & E specifically states what relative an employee can take a funeral leave for. The union would like the T contract to state the provisions an employee can take a funeral leave for. Title 14 - Expenses : The union would like to add a provision that if an employee desires not to eat a meal, he shall be paid an additional one-halfhDur. Mr. Paulus said that nothing was decided on this . Title 17 - Vacancies : Mr. Paulus proposed to the union representatives that the wording be changed to read, "Encumbant employees who are Qualified shall be given priority to fill existing vacancies before an employee is hired. " This is clearer and satisfied the union. Title 20 - Employee Benefit Program: The union would like to have the district pay the entire cost of the group insurance program. Mr. Paulus stated that this section should be further discussed. Regarding the upgrading of the medical plan, Mr. Paulus discovered that the union is asking that the hospital day rate coverage be increased. Examining the female pay scale with Sierra Pacific, the district ' s scale is considerably lower than Sierra Pacific ' s . For hourly rates , Becky Craig would be increased from $3. 72 to $4. 90, Merrilyn Kinzie from $3. 22 to $4. 26, and Candy Kirchner from $2 . 84 to $4. 09 . Mr. Paulus felt that as long as the lineman are in scale with Sierra Pacific, the office girls should also be kept in line. The union is also backing this pay increase for the female workers . A new job classification will also have to be made for Merrilyn Kinzie as there is presently no classification in the contract for a secretary. The union is discussing an 8 . 5% wage increase even though the IBEW reports the cost of living has increased over 11% . March 19, 1974 - Page Five Pa ge 76 Union Discussion . . . continued The union is also discussing making this year' s contract last 13 months which would make the next contract negotiable as of June 1 . Director R. Anderson asked what the district will get out of the union negotiations . When asked by Director Craig to explain this, Director R. Anderson replied that the school district can ask that a teacher participate in various workshops , etc . , periodically in exchange for the additional benefits . Director Sutton thought that the board should examine the entire contract carefully along with the unions present proposals . Director Sutton also wanted to look into eliminating an electric standby similar to the way •--1 management eliminated the water standby by staggering the work week for the two water employees so that someone is at the warehouse on both Saturday and Sunday. Further discussion on the union proposals was tabled until another meeting. BUDGET The proposed budget was passed out which included account numbers and a breakdown of operating expenses by water and electric depart- ments . Dan Cook was consulted for water improvements that totaled $99, 900 and represented five improvement areas . Listed in order of importance by Dan Cook, they are: 1. 267 Intertie from Southside well and spring to the Truckee River crossing: $362000 2. River front street intertie from 267 to existing line to make a supplemental loop : 4 ,500 3. Storage Tank at Armstrong Subdivision: 30, 000 4. Reconstruction South River 4" crossing to eliminate system bottle neck: 199000 S . Replace Kayhoe to Riverview Avenue 2" line with 6" main line and valving : 102400 --,. $99 ,900 The line replacement on Item 5 above is presently six inches and not two inches . Item 4 was thought to be needed due to the Northside well also serving the North side of the river. Director Sutton thought the priority and decision should be the board' s and not the manager' s . The $4, 000 pole trailer and $5 , 500 light truck for the water depart- ment was deleted. The line truck may be leased for the summer if it is feasible. The garage may be financed, as the local Bank of America thought that 6% interest over a five-year period was the best terms they could offer at present. Director Sutton wanted to know the difference between the proposed budget submitted this - evening and a new proposal which would not include the 4% power increase. Mr. Paulus said this could be done. It was generally thought that the allocation between water and elec- tric expenses should be improved on and resubmitted. MANAGER' S REPORT Ron Reynolds , a district lineman, was injured in a car accident sometime ago while on the job, and is not working due to doctor' s recommendation. The doctor is asking that he does not return to work for ten days . The Mutual Assistance Agreement between PG & E and Sierra Pacific is still being processed. Dan Cook is reviewing the plans for the Northside tank that is to be constructed by Dart Industries. A special meeting is scheduled for March 26 to discuss the proposed West River Street Assessment District for 7 : 30 p.m. Page 77 March 19 , 1974 - Page Six Managerts Report. . . continued A meeting between John Trauner, Nevada County Auditor-Controller, and Mr. Paulus has been scheduled for March 28 at 11 : 00 a.m, to discuss the County services that can be provided. Director Sutton asked if a board member could be present for this meeting. Mr. Paulus did not see any reason why a member could not attend this meeting. The transformer from the Tahoe Donner Substation could possibly have a lead in it . When RTE Corporation was contacted regarding this leak, they advised Mr. Kraj ewski to take a pipe wrench and turn it. Mr. Paulus asked that Mr. Krajewski get a confirmation on this advise from RTE in case it will void the warranty on the trans- former. To install four-wheel drive in the ladder truck, the work would involve altering the body andie-engineering the truck design. It was recommended by PABCO in Oakland that this not be done , at a cost of approximately $10, 000 to $11 ,000 . A recent article that appeared in the Sierra Sun on the March 5 board meeting had misstated information on that meeting. Mr. Paulus prepared a written notice to the newspaper stating the corrections that should be made in the article. The board authorized Mr. Paulus to send this letter. Director Craig asked why his power and water were out the week-end of March lb in Prosser Heights. Mr. Paulus informed him that insulators were broken on the line which caused the power outage. The water pump supplying the Prosser Heights area had mechanical difficulty and had to be examined by Bruce Grow the following day. Mr. Craig was concerned that the on-call phone number on the PUD recording was continuously busy. Director Sutton mentioned having an employee, director, or someone present in the office to answer the telephone calls during an outage so that customers can find out what is being done about the outage. Mr. Paulus told the board to expect a bill for gravel that was put in a driveway of one of our customers , as Mr. Paulus ' car was stuck in soft mud on the customer' s property which upset the, customer. Regarding the Truckee Fire District jointyly sharing their auto mechanic with the district , the board was advised that the fire district, by Reuben Maki, does not desire having the mechanic also do work for the PUD. Mr. Waters informed the board that he had heard the Truckee Sanitary District would be- interested in sharing the vehicle garage with the PUD. A few of the directors requested that the board formally look into sharing the fire district ' s mechanic and the vehicle garage with the Truckee Sanitary District to see if the other boards concur. There being no further business to come before the board, it was moved by Director R. Anderson and seconded by Director D. Anderson that the meeting be adjourned. All aye; motion carried. The Board asked me to put the fee proposal in writing for the consideration or review by the Board prior to the meeting. Would you please send a copy of this to each Board member. I propose: 1) No retainer fee. 2) A $50, 00 fee for attendance at each regular or special Board meeting. This would be a fixed fee , that is, $50.00 for all or part attendance at any meeting. Some meet- ings may be long, others brief, or the Board could choose and decide. If there are any meetings at which my presence is not required or desired by the Board, you could let me know and the $50.00 fee would not apply.
