Arc T.-=�0-1 Ci_- SEPTEMBER 16, 1975 The regular meeting of the Board of Directors was called to order by the Chairman at 7:30 P.M. in the Conference Room of the District. ROLL CALL: Waters, present; Sutton, present; Wilson, present; Anderson, present; Craig, present. EMPLOYEES PRESENT: Hobensack , Reed, Krajewski , Silva, Reynolds, Connell , and Grow. OTHERS PRESENT: Mr. and Mrs. Robert Christensen, Joseph Joynt, Esq. , Sid Kars Dart) , Don Strand (Dart) , Don Davis (Dart) , C.S. Doskow (Dart) , Pat Kirby, Sue Krajewski , Karen Subo, Barbara Harl abaki s , Betty Jul i ot, Karin Remneff,, Gary Brinkley, Jim McMullan, John Stral l a, and Dan Cook. MARTIN McDONOUGH (a) Rate Case: Martin McDonough reviewed for the Board the second rate case he has filed on behalf of the District. He explained that there had been a new rate case filed. Sierra Pacific Power Company has requested that the new rate take effect on September 21 , 1975. McDonough has filed a petition in behalf of the District to intervene in the rate case filed by Sierra Pacific Power Company. He explained that PG&E had also filed a similar petition and that it was his opinion that the Di s tri ct"s petition will be allowed as well as that of PG&E. The FPC will decide whether the new rate should be suspended and will set a schedule of hearings. Director Wilson moved that Martin McDonough be authorized to file "Protest and Petition to Intervene and Request for Suspension, by Truckee- Donner Public Utility District. " Seconded by Director Anderson. ROLL CALL: Waters, aye; Sutton, aye; Wilson, aye ; Anderson, aye; Craig, aye; SO MOVED. Chairman Craig inquired of McDonough the difference between buying power from PG&E wholesale and buying from Sierra Pacific. McDonough indicated that it would require a separate proceeding than the rate case. He said it would be necessary to file a7 peti ti on with the FPC requesting that it issue an order that PG&E service the District's needs in electricity. The Board instructed Paul Hobensack to contact Ken Merriman and obtain a proposal on what a broad feasibility study would cost the District for a comparison of the rates of PG&E and Sierra Pacific and an estimate of the costs involved to the District of taking power from PG&E, aside from the rate the District pays. McDonough also said the District would have an option of a joint venture with Sierra Pacific. (b) Sierra Pacific Purchase Contract: Martin McDonough suggested to Mr. Campbell of Sierra Pacific Power Co. that there be a meeting with the bond attorneys from San Francisco who prepared the contract for the District regarding the Sierra Pacific Purchase Contract to see if there is any prospect of making a valid contract that would permit the utilization of all of the District's funds to services. However, he indicated that no date had been decided upon as yet. (d) Conflict of Interests, A. Tei the rt & Son: McDonough indicated to the Board that his fi rm represents A. Tei chert & Son and that he would be unable to represent Pat Sutton or the District in a lawsuit with Tei chert. Director Sutton requested that the record show "that the possible action is a contemplated libel action by Tei chert against me for information in the advertisement that I placed in the paper on August 20, 1975, in the Sierra Sun having to do with a threatened recall initiated by Mr. Christensen and having to do with the circumstances of the motion to fire Mr. Krajewski ." She (Director Sutton) also requested that the letter from Martin McDonough dated September 5, 1975, to the District become a part of the minutes for the record. Page 1 , September 16, 1975 MARTIN McDONOUGH continued (c) Airport Well : Martin McDonough and Dan Cook discussed Dan Cook's letter regarding the Airport Well . Dart indicated they had not as yet received a copy of that letter. Dart indicated they were preparing a companion agreement to the Airport Well Agreement but that it would have to be formalized and presented to Dart's Board of Directors on October 22, 1975, first. The matter of the Airport Well Agreement was continued until the meeting of October 7, 1975, at which time a date will be set for meeting with Dart re the Ai rport Well Agreement. Director Wilson indicated that in March the District was granted a 6 month extension of time to file a final EIR on Donner Lake Water usage. Doskow indicated he would suggest and support another request for extension. Doskow also indicated he would request that the District request an extension. Don Davis, consultant for Dart, asked that the record show "that there are other reasons which we believe it is in the best interest of the PUD to at least consider at a point later on in processing a modified version of that request and, therefore, the option should be kept open until you can consider that modified version." Dan Cook and Martin McDonough indicated that there was no action the Board need take at this meeting regarding the Airport Well Agreement. DART WATER CONSTRUCTION AND INSPECTION Dan Cook indicated he was aware of no problems with the water inspection at Tahoe Donner. The Chairman read a letter addressed to Paul Hobensack from Don Strand, Project Manager at Tahoe Donner, regarding water inspection. Dan Cook commented briefly on the letter and indicated that he would respond to the letter before the next Board meeting. The matter was continued until October 7, 19 75. STATEMENT BY SUPERINTENDENT Ken Krajewski , TDPUD water and electric superintendent, appeared before the Board with the following statement: "When I came to work for this District my family and I decided to really put our roots into this community. We decided to become involved and become respected members of this fine area. I believe we have done this through our participation in such groups as Boy Scouts, Cub Scouts , Little League, PTA, schools, fire department, churches and many other groups. In my work with this District I was determined to provide to each of our consumers the honest and dedicated service that he deserves and I believe I have done this to the best of my ability. I have enjoyed working for this District and especially the relationship that has developed among the employees. The congenial atmosphere among the employees (can) provide for the dedication to the fast and dependable service to the consumer, again, the type of service the consumer deserves. However, it seems as though I have been caught up in a time-table, a timetable that certain members of this Board could have conceived. The timetable has replaced an attorney, a consultant, an accountant, office personnel , and a manager. My appearance in this timetable was just after the arrival of a new and present manager last October. However, since neither , Mr. Hobensack nor myself were willing to throw in the towel right a way, my family and I have since been subjected to public harassment and false accusa= tions. This is a good District which has employed Mr. Hobensack, a competent and efficient manager, with the ability and performance record to do the job that many of the consultants and save the District's consumers a con- siderable amount of money. The people of this District deserve more than what they are receiving from this Board. I believe that after the November election, when two responsible directors are re-elected and one more responsible director is- elected the- District will again be allowed to function through- the direct-ion of your competent manager. Page 2, September 16, 1975 G.3 STATEMENT BY SUPERINTENDENT continued My family and I at one time decided to work along with this situation until after November. However, the health and welfare of my family come first, and no matter how strong willed one person i s, I don' t believe that anyone can live in an environment where you are subjected to unjust haras- sment. Therefore, effective at 5:00 P.M. Pacific Daylight Savings Time , on the 30th day of September, 1975, my post as Superintendent, I resign from the Truckee-Donner Public Utility District. " Chairman Craig requested that the minutes show a verbatim transcript of the above statement. OLD BUSINESS - MISCELLANEOUS Mr. and Mrs. Robert Kent appeared before the Board. They presently own the Hilltop Lodge property and are in the process of selling it. Joe Joynt had corresponded with the Kents regarding the purchase contract Mr. Harry Herzog had with the District regarding Hilltop Lodge and the Kents had requested to be present at the Board meeting. The Kents explained how they felt they had complied with the terms of the Contract. The matter was continued until October 7th at which time Mr. Robert Herhusky, who presented the proposal that the Hilltop Lodge property be deeded to the Truckee Donner Recreation and Park District in behalf of the Truckee Donner Chamber of Commerce, and the Kents would again be present. QUINTANA WATER ' -CONNECTION Dan Cook reviewed with the Board the situation involving John Quintana and the West River Street Assessment District. Following Board discussion Dan Cook proposed, and the Board agreed, that the Fire District and the County should be contacted regarding this problem. He indicated that he would contact the Fire District and the County regarding the resol-uti on of the Quintana problem with copies to the Board, Quintana and Grumer. Attorney Quintana`s counsel , questioned the progress being made in his. client's s problem. Dan Cook explained that the reason he wants to consult with the County and the Fire District is that if the County exercises the contract with Quintana then everything he (Dan Cook) had said really does not have any bearing because Quintana is going to extend the line and take service off the line under terms of the contract between the County and Quintana. If the Fire District grants the continuance of the variance then Quintana will probably not extend the line. They will wait until the inter-tie is completed. Dan Cook indicated that he would like to get the Fire District's concurrence with the continued variance and their support of the inter-tie. The matter was tabled until the October 7th meeting and following Dan Cook's consultation with the County and the Fire District. TTSA ELECTRIC DISTRIBUTION LINE Ossian Butterfield appeared in behalf of TTSA regarding the Contract Bid Documents for TTSA Electric Distribution Line from R. W. Beck and Associates. . Attorney Joynt recommended to the Board that they adopt the two resolutions he had prepared respecting the TTSA electric distribution line. Manager Hobensack indicated to Mr. Butterfield that additional engineering costs had to go into the contract documents. Mr. Butterfield indicated that TTSA was willing to pay for those costs and it would be so stated to the District in writing. Mr. Butterfield concurred that there was no environmental impact report requirement on this project. It was moved by Director Waters and seconded by Director Anderson that the Board adopt Resolution 7518, "Approving the Project Commonly Known as 'TTSA Electric Distribution Line' , and Finding that the Project is a Ministerial Project for Which no Environmental Impact Report is Required. It was moved by Director Waters and seconded by Director Wilson that the Board adopt Resolution 7519, "Approving Contract Documents for TTSA Electric Distribution Line dated September, 1975, and Authorizing Publica- tion of Notice to Bidders." ROLL CALL: Waters, aye; Sutton, aye; Wilson, aye; Anderson, aye; Craig, aye; SO MOVED. Joe Joynt inquired as to how payments for the construction of the line will be handled. It was decided that since the project would only take 3 weeks to complete that Joe Joynt would draw up a contract between the District and TTSA to cover the method of payment. UNION NEGOTIATIONS John Stralla appeared regarding acceptance of the revised union contract. The Board indicated that si,nce they had not received the revised contract in sufficient time to review the same that the matter of the approval of the contract be continued. John Stral l a introduced a representative from Blue Cross, Jim McMullan, who explained to the Board the group insurance plan comprised of a com- prehensi ve heal th program, i ncl udi ng dental , medi cal , prescri pti on/drug and life insurance which his company could offer the District employees. Director Waters moved that the Board adopt Resolution 7520, "Superseding Resolution No. 7421 ." The motion died from lack of a second. Director Sutton moved that the matter be tabled until the next regular meeting of October 7th. Seconded by Director Wilson. ROLL CALL: Waters, no; Sutton, aye; Wilson, aye; Anderson-, .aye;.Craig, aye; SO MOVED. The matter of the union contract was placed on the agenda for October 7, 1975, for Board action. It was also agreed that the Board would not be re- quired to act regarding an insurance plan for the employees. BILLS FOR BOARD APPROVAL - GENERAL FUND Director Wilson moved that the Board approve bills for Board approval . Seconded by Director Waters. DONNER CREEK WELL REFURBISHING Following Board discussion with Dan Cook, Director Waters moved that the District proceed with Dr. Sharp's recommendation respecting the Donner Creek well . ROLL CALL: Waters, aye; Sutton, aye; Wilson, aye; Anderson, aye; Craig, aye; SO MOVED. --� Director Sutton inquired of the status of the Southsi de Well. Paul Hobensack indicated that the Southside Well was being hooked up and would be tested. Director Sutton asked who had decided the well would be hooked up and before the notice of completion was filed. Paul Hobensack indicated that the Well had been pumped and tested and Dr. Sharp concurred that the Well should be available if it is needed. DISPOSTION OF STALE DATED CHECKS Director Wilson moved that stale dated checks be returned to general fund with the exception of a $75.00 check to Airmen's Alpine Village which was rewritten and sent to the correct address. Director Wilson moved that the meeting be adjourned to September 17, 1975, at 4:00 P.M. Seconded by Director Waters. We are advised by Teichert that it has a libel action in contemplation against Director Sutton because of statements made in a paid advertisement in the local newspaper recently. We have advised Teichert that we can neither bring such an action nor defend it, and we have further advised Teichert to obtain other counsel for that pur- pose if it desires to proceed with litigation. And by this letter we also advise the District and its directors to look to other counsel to represent it in such litiga- tion if it is brought. I will be glad to discuss this with the Board, if desired, at the September 16 meeting, or on any other occasion.
