HomeMy WebLinkAbout1975-09-17 Min - Board SEPTEMBER 179 1975 The adjourned regular meeting of the Board of Directors was called to order by the Chairman, at 4:00 P.M. in the Conference Room of the District. ROLL CALL: Waters, present* Sutton, present; Wilson, present; Anderson, present; Craig, present; EMPLOYEES PRESENT: Hobensack and Reed. OTHERS PRESENT: Don Strand (Dart). TAHOE DONNER SUBSTATION Paul Hobensack recommended that the Tahoe Donner substation be built as soon as possible before the snow and cold weather. He explained the savings to the District in building the substation and the cost of labor and materials in building the substation. Chairman Craig inquired of Attorney Joynt the bid law requirements for the $16,000 for labor and materials involved in the Tahoe Donner substation. He asked if an emergency should be declared. Following Board discussion Director Anderson moved that the manager proceed with completing the Tahoe Donner substation pursuant to Section 16505 of the Utilities Code. Seconded by Director Wilson. ROLL CALL: Sutton, no; Wilson, aye; Anderson, aye; Craig, aye; Waters, absent; SO MOVED. Director Sutton requested that the record show that her "no" vote on this matter was because "I am not going to continue to do what I have criti- cized this District for doing for a number of years , and I don't care if all of the lights in town go off as a result. I just think that there would have to be some time when the District gets in control of what it is doing and the substation, if I understand from what I've heard, that there may be some errors in the construction to this point. And I think that when you`ve got that possibility, what you are doing is investing more money in something that perhaps needs an examination and some redesign and needs to be built where somebody is responsible for its being built." Director Anderson stated that the District was told last Spring that something needed to be done about the substation and that the District delayed doing it because they wanted to have a study, of which he (Anderson) stated he could see no purpose at the time. Now the District has the report on the study back and one of the things R. W. Beck recommended was the completion of that substation. OVERHEAD CHARGED TO TAHOE DONNER Paul Hobensack indicated to the Board that Dennis Merback did not make a decision regarding the matter of the 20% overhead charged to Dart. The Board instructed Paul Hobensack to correspond with Arthur Young & Company and request their opinion on a justifiable overhead rate to charge Dart. The matter was continued until October 7, 1975. GATEWAY DRAINAGE EASEMENT WORK COOPERATION The majority of the Board agreed that the District will -cooperate with the County in the work involved in the drainage ditch project. RESPONSIBILITY FOR MEDICAL BUILDING TRANSFORMERS Joe Joynt recommended to the Board that the manager write a letter to Ken Martin Construction saying that their letter dated September 9, 1975, is accepted by the Board and pursuant to the District's Rules -and Regulations,, and indicating that the service will not be provided until the cash has been paid to- the District. Following Board discussion Director Wilson moved to approve the estimate for the medical building transformer and.authorizing the manager to proceed with the installation. Director Sutton requested that the record show that her "no" vote "was because this arrangement is not in compliance with what I understand to be the rules and regulations of the District." REPORT ON DOUGLAS LUMBER MILL ACCOUNT The Board very briefly discussed the Manager's report to the Board on the Douglas Lumber Mill account. There was no Board action taken. SET DATE FOR 1974 AUDIT REPORT Director Sutton moved that Arthur Young be requested to present an audit report for $120. . However, she withdrew her motion. Director Sutton moved that the District invite Arthur Young to present the 1974 audit report on October 7, 1975, on their own time without cost to the District. Seconded by Director Wilson. ROLL CALL: Waters , absent; Sutton, aye; Wilson, aye; Anderson, no; Craig, aye; SO MOVED. The Board instructed Manager Hobensack to write a letter to Arthur Young and Company inviting them to be present on October 7th to present the audit report on their own time without charge to the District. Director Wilson suggested that the Board begin work on the next year's budget in a month or so. Chairman Craig requested that the matter of forming a budget committee be placed on the agenda for October 7th . F STATEMENT BY SUPERINTENDENT Director Anderson moved that the Board accept the Superintendent's resignation to take effect the 30th of September, 1975, at 5:00 P.M. Seconded by Director Wilson. ROLL CALL: Waters , absent; Sutton, aye; Wilson, aye; Anderson, aye; Craig, aye; SO MOVED. Director Sutton requested that the Board go into Executive Session to discuss a personnel matter following regular business. Attorney Joynt asked if there was going to be any question related to vacation pay and sick leave owing to the Superintendent when he does depart and the method of payment. Director Sutton requested that the Bookkeeper, Mary Chapman, determine the number of sick leave and vacation days the Superintendent has owing him. BILLING FOR CONNECTION CHARGES Paul Hobensack indicated that he had reviewed the water and electric rules and regulations. In the Water Rules Section 4.C-3 states , "ap- plicable connection fee shall be due and payable by the applicant to the District upon making application to the District's facilities." The electric rules preliminary statement states , "after making proper application for electric service it will be necessary before service can be rendered for applicant to establish his credit or make a cash deposit." The President requested that Paul Hobensack and/or Joe Joynt propose a wording change for the electric rates so that it would say the same as the water rules and regulations. STATEMENT BY SUPERINTENDENT continued Mary Chapman came back to the Conference Room and reported to the Board her findings on benefits due the Superintendent. OLD BUSINESS - MISCELLANEOUS Joe Joynt indicated that he had prepared a Resolution Noticing Completion of the Southside Well . Director Anderson moved that the Board adopt Resolution 7521 , "Accepting the 'Southsi de Well ' and Authorizing the Filing of Notice of Completion." Seconded by Director Wilson. ROLL CALL: Waters , absent; Sutton, aye; Wilson, aye; Anderson, aye; Craig, aye; SO MOVED. NEW BUSINESS - MISCELLANEOUS Paul Hobensack indicated that he had received a few phone calls from the Airport and has also received a letter from them requesting assistance in a construction project they are involved in. Paul Hobensack indicated that Tei chert was going to do the work and the Airport District is asking now for the District to toll them what size conduit to use and where to place it. The Board instructed Manager Hobensack to communicate further with the Airport District and obtain additional information on what they are asking from the District. MISCELLANEOUS Joe Joynt indicated to the Board that Resolution 7521 was the ac- ceptance of the Tahoe Donner Electric Lines . He stated that 7521 POW. was also the number given the Resolution on the Southsi de Well . Joe Joynt suggested the Board amend the Southsi de Well resolution to 7522. The Board agreed unanimously. OLD BUSINESS - MISCELLANEOUS Chairman Craig stated that the Board members had received a copy of a letter Joe Joynt had written to the Manager regarding the bid law. The President asked that the matter be placed on the October 21 agenda to determine the figure they would like to propose respecting the bid law proposal . The President requested that Joynt send a letter to the Board regarding the bid law figures other agencies comply with and/or what figure they would like to see introduced as new legislation. R. W. BECK'S STUDY Director Sutton asked if there would be Board discussion of Beck's study in its preliminary draft form. Paul Hobensack indicated that Ken Merriman was not available for the meeting tonight. The Board instructed that Paul Hobensack contact Ken Merriman to determine his availability on October 21 , 1975. NEW BUSINESS - MISCELLANEOUS Chairman Craig indicated that the District had received a billing .._. from Arthur Young & Company for professional services on August 12, 1975, and August 14, 1975, for $1 ,060 and an April 7th Board meeting and a May 5th meeting in Sacramento with Directors Sutton and Craig. There was no further discussion or Board action taken. Director Anderson stated to the Chairman that when he came to the meeting he had indicated that he would have to leave at 5:45 P.M. He expressed his feelings that the executive session would be better handled when all of the Board members were present but that it was up to the discretion of the Board members present. Director Anderson moved for adjournment. The motion died because of lack of second. i DISTRICT COUNSEL REPORT i Joe Joynt indicated that he had phoned two other Utility Districts regarding their reaction to Tom's TV's proposal to the District. Both of the Districts he contacted indicated that they would not cooperate --., with such a proposal . Joynt indicated to the Board that he would have j a better opinion on the proposal 2 weeks from now. The matter was i continued until October 7, 1975. CORRESPONDENCE No Board action was taken regarding the correspondence received I regarding APPA Utility Education Course. MANAGER'S REPORT i Chairman Craig indicated that he would like to have the REA accountant attend a meeting as soon as possible The Manager was instructed by the Board to see if he could be present on October 21st. Paul Hobensack indicated that he would like to have the REA accountant spend one day with Mary Chapman and then spend one day with a representative from Arthur Young & Company. The Board agreed that this suggestion would be valuable. FHA Loans : Paul Hobensack indicated that he would follow up on this matter and contact "Biz" Johnson if there was no information available locally. Armstrong Tank Parti ci ati on with TSD: Paul Hobensack indicated he had sent a letter tote TSD office related to TDPUD participation in an improvement district with the TSD, but had received no response. The Board instructed the Manager to write another letter re the District's participation. The Board also instructed Paul Hobensack to follow up on a booster pump to Prosser Heights also. MANAGER'S REPORT - MISCELLANEOUS The Manager again brought up the matter of insurance benefits to new employees. Director Sutton opi ni oned that it should be set forth in the Union Agreement as to when an employee becomes eligible to receive insurance benefits. The matter was continued until October 7th for possible Board action. Martin McDonough had inquired of the District at the last meeting he attended as to whether the Board was going to send Paul Hobensack to the FPC hearing in Washington, D.C. on September 22, 1975. The Board decided that it was unnecessary. Joe Joynt indicated that at the meeting of September 16th a man by the name of John Scott approached him and asked as to whether or not if elected to the Board of the TDPUD he would have a conflict of interests because he worked at Sierra Pacific Power Co. Joynt indicated he would rather not give an opinion to Scott as the District's attorney. Joynt indicated that Scott could phone Nevada County Counsel Leo Todd or -- Todd's assistance in Nevada City. John Craig requested that the record show that "I was contacted by Mr. Bill Chapman of Casey Engineers in San Francisco. He suggested that we mi ght want -to 1 ook i nto dri 11 i ng a wel 1 next to Donner Lake to take care of our water problem, and he sent me a brochure that describes his company. " Director Sutton requested that an item entitled "Formulating Job Page 4, September 17, 1975 MISCELLANEOUS continued Description of Management Employee" be placed on the October 7th agenda. The meeting was adjourned at 6:10 P.M. to Executive Session. The secretary was excused while the Board and the Manager remained. Following an Executive Session the meeting reconvened to regular session at 6:35 P.M. It was moved by Director Wilson that the District pay Mr. Krajewski the full amount of his next two weeks' pay to the effective day of his resignation and in addition the check should include the vacation pay . owing him and that he vacate his job and the premises tomorrow morning.
