The Special Meeting of the Board of Directors was called to order by
the Chairman at 5:30 P.M.
ROLL CALL: Waters, present; Sutton, absent at roll call but arrived at
approximately 5:40 P.M. ; Craig, present; Christensen, present; Anderson,
present;
EMPLOYEES PRESENT: Hobensack and Reed.
OTHERS PRESENT: See attached list of audience attendance.
DISCUSSION OF EXTENSION OF TIME REQUEST OF STATE LANDS DIVISION ON DONNER
LAKE WATER APPLICATION AND RELATED TAHOE DONNER W TER MATTERS
Sid Karsh, president of Dart Resorts , indicated that Director
Sutton had contacted him by telephone on May 24, 1976, and asked if he
would attend a special meeting of the Board to discuss her proposed conditions
on the requested extension of time to State Lands. He told her he would
attend such a meeting if held.
The Board discussed a statement by Director Sutton dated May 25, 1976,
entitled "STATEMENT BY PAT SUTTON AT SPECIAL MEETING OF THE BOARD OF DIRECTORS
OF THE TRUCKEE DONNER PUBLIC UTILITY DISTRICT ON MAY 259 19769 IN SUPPORT OF
PROPOSAL FOR AN ALTERNATE REQUEST FOR AN EXTENSION OF TIME FROM THE STATE
LANDS COMMISSION ON PROCESSING OF THE DISTRICT'S APPLICATION TO LEASE STATE
LANDS AT DONNER LAKE FOR THE PURPOSE OF REMOVING WATER FOR CONSUMPTIVE USES:"
A copy of that statement is attached for reference. Representatives from
Dart discussed "Proposals for Consideration" set forth on page 3 of the
statement with Director Sutton,, other members of the Board, the Manager and
Dan Cook.
-- The Board also discussed the time line prepared by Dan Cook. A copy
of that time line is also attached for reference.
Dart proposed that Dart counsel Adolph Moskowitz and District counsel
Martin McDonough meet and discuss the terms of the 1973 Supplemental Water
Agreement and decide what each party to the Agreement must do to follow
those terms. Sid Karsh indicated that he would not agree to Director Sutton's
three proposals even to gain a better chance to a longer extension on the
request to State Lands and that they would not start drilling the well at
the Sales Office site until the EIR was completed.
Director Christensen moved that Adolph Moskovitz and Martin McDonough
meet and discuss the terms of the 1973 Supplemental Agreement and the
alternatives that are legally available. Motion died for lack of a
second.
Director Christensen moved that the meeting adjourn. Seconded
by Director Craig. ALL AYE BY VOICE VOTE.
The President adjourned the meeting at 6:45 P.M.

Twice during 1975, under different circumstances , I supported
the District' s requests for extensions of time from ate Lands
on the processing of the the application to lease State land for
the Donner Lake Intake facility:
Last spring my position was based on the need for the
District to explore with Dart alternative sources which
had been established in Dr. Sharp' s ground water study
dated February, 1975.
Last fall my position in support of a second 180 day
extension was based on the serious negotiations then

underway with Dart on acquisition of the Airport Well,
which was then expectod to be consummated during this
second extension -period.
This spring, I found that I could no longer support further
reouests for time extensions for these reasonss
1) my concern over exrressions by several other Directors
th2t they honed to prevent any action on the District' s
Donner Lake applications for an indefinite or perhaps an
infinite length of time in case the District found need
for water from that source in 25 or 30 years ;
2) my concern over a change in Dart' s interest in the serious
pursuit of the Airport Well soon after the second 180 day
extension was granted, although the request for this
extension was predicated on the acquisition of the Airport
Well;
3) my concern over Dart' s announcement of new plans to explore
ground water alternatives independent of the District; and
fit-) my concern over the sufficiency of the 1973 Supplemental
Agreement as a loner term instrument for the long range
water needs at Tahoe Donner.

On May 20 I contacted Director Craig and Dan Cook by telephone
to obtain some reaction to my idea for an alternate proposal
re an extension from State Lands . Arran.gements were made for
the three of us to explore the idea the following day. Yesterday
I contacted Sid Karsh by phone and he indicated his willingness
to explore my proposal at a Special Yeeting of the Board to be
held today, and I then asked the Chairman to call a Special Meeting.
M,y proposal is written in the broadest of terms , and, except for
minor word changes I preferred to make , is the same as the
original I typed last Friday;
PROPOSAL FOR CCNSIDERATION:
The District asks the State Lands Commission for an extension of _
time not less than 6 months mr more than a year in length with
these conditions:
1) supportive action by the District for Dart' s efforts to
bonstruct a production well at the Sales Office site ;
2) agreement by Dart to include the District (Manager, District
Engineer, and Board) in decision-making processes involved
in devising a_ specific plan to provide ultimate water needs
at Tahoe Donner; and
3) agreement by District and Dart to negotiate a new agreement
which reflects the plan in #2 above for long term commitments
and the final disposition of the Donner Lake source , with
the intent of consummating said agreement during the extension
period.
I would hope that these general ideas will provoke discussion
which will refine the broad outlines in more specific terms .
