JULY 205 1976 The regular meeting of the Board of Directors was called to order by the Chairman at 7:30 P.M. ROLL CALL: Waters, present; Sutton, present; Craig, present; Christensen, present; Anderson, present; EMPLOYEES PRESENT: Hobensack, Reed and Grow. OTHERS PRESENT: See attached list of audience attendance. BUDGET STATUS REPORT The Board discussed the budget status report, a copy of which is attached. No action was taken. I-80 DEVELOPMENT - CRAIG MCFARLAND This item was tabled to later in the meeting at which time Dan Cook was expected to be present. ELECTRIC SERVICE TO DONNER PINES Mr. Frank Francis , attorney for the owners of Donner Pines , appeared before the Board and again discussed the matter of underground service to that development. Following discussion with the Board and the Manager, the President recommended that Mr. Francis , Mr. Long and Mr. Hausman, also representing Donner Pines, meet with Mr. Grumer and Mr. Hobensack and report back to the Board with a recommendation regarding the electric service to Donner Pines. It was also suggested that Mr. Craig participate in the meeting at the site. The matter would be placed on the August 3 agenda for further discussion. ORDINANCE - ADOPTION OF CONFLICT OF INTEREST CODE The Board briefly discussed the draft Ordinance establishing a conflict of interest code prepared by Mr. Grumer. Director Sutton moved that this matter be tabled to the August 3 meeting so that the refinements of the specific disclosure items can take place and so that the Board has an opportunity to review the ordinance that has been typed. It was agreed that Mr. (frumer and Mrs. Sutton would meet to discuss certain portions of the ordinance and report back to the Board before the August 3 meeting. RESOLUTION - AUTHORIZED DISBURSEMENTS Following discussion Director Christensen moved that the Resolution entitled, "Authorizing Disbursements for Which the Bookkeeper May Issue Checks for Payment Without Submission for Prior Board Approval ," Resolution 7610, be adopted with the following addition: Under subsection (F) add the wording ". . . pursuant to an action taken under PUC Code. Seconded by Director Waters. ROLL CALL: Waters , aye; Sutton, no; Craig, abstain; Christensen, aye; Anderson, aye; SO ORDERED. Director Sutton asked that the record show that her 'no' vote was because "I do not believe that Section F is prudent, necessary or wise. " RESOLUTION - DISTRICT CONSULTANTS Mr. Grumer, District Counsel recommended to the Board that they reconsider their desire for a Resolution regarding District consultants. Following a brief discussion the majority of the Board agreed that a resolution regarding District consultants is not necessary at this time as the proposed Conflict of Interest Code would deal with any problem in this area. Director Christensen moved that item #7 on the July 20 agenda be dropped. Seconded by Director Waters. ROLL CALL: Waters, aye; Sutton, no; Craig, no; Christensen, aye; Anderson, aye; SO ORDERED. RESOLUTION - RECONDUCTORING & UNDERGROUND OF TAHOE DONNER SUBSTATION Director Christensen moved that the Board adopt the Resolution entitled, "Authorizing the Purchase of Wire," Resolution 7611 . Seconded by Director Waters. Director Sutton moved that this item #8 be tabled to the end of the meeting after the Executive Session. Seconded by Director Craig. MAJORITY VOICE VOTE. SO ORDERED. Page 2, July 20, 1976 DEC MAINTENANCE AGREEMENT At the request of Attorney Steven Vumer, this matter was tabled to the meeting of August 3, 1976. CEMETERY EASEMENT The Manager reported to the Board on information he had gathered regarding the District's easement at the cemetery. Director Christensen moved that the matter be tabled to the next regular meeting at which time the Manager could provide the Board with more information. The Board so agreed. DISCUSSION - LONG -TERM LEASES OF DISTRICT LAND Director Sutton indicated that Attorney George Pifer was unable to attend the meeting. She requested that the matter be tabled to the August 3, 1976, meeting. JULY 22 STATE LANDS MEETING RE DONNER LAKE WATER The Board discussed the July 22 State Lands meeting regarding Donner Lake water and the presentation District consultants would make at the hearing. Director Sutton asked "that the State Lands Commission calendar item, Mr. Cook`,s letter to Mr. Trout dated June 25, 1976, my letter to Mr. Cook dated July 5, 1976, Mr. Cook's letter to Mr. Kars h dated July 9, 1976, and Mr. Karsh's letter to the Board dated July 13, 1976, be attached to the minutes of this meeting. " The majority of the Board again expressed agreement regarding Mr. Cook's flow chart and anticipated course of action at the July 22nd .— hearing in Sacramento. I-80 DEVELOPMENT - CRAIG MCFARLAND It was agreed that the matter would be placed on the agenda for the August 3rd meeting at which time the contract between the District and Mr. McFarland would hopefully be presented to the Board. MISCELLANEOUS OLD BUSINESS Director Craig questioned the District's recent change from Sunrise Clinical to Cranmer Engineering for water analysis. No Board action was taken. Director Sutton inquired as to the amount of land necessary for the Sales Office Well site. No Board action was taken. Director Sutton inquired about the water and electric standby charges. Director Sutton asked that the letter dated June 28th from PG&E regarding the possibility of service be attached to these minutes. Director Sutton asked about a letter received from Mr. Kibbe regarding his water in Tahoe Donner. The Manager reported that Mr. Kibbe's lines have been flushed. Director Sutton requested a written report on the number of frozen pipe complaints filed with the District between January 15, 1976, and the Spring thaw at Tahoe Donner. BIDS BID POLICY AND EMERGENCY BID POLICY Mr. Grumer, District Counsel , presented to the Board "Bid Policy of Truckee Donner Public Utility District," a summary of all relevant code sections. No Board action was necessary. Page 3, July 20, 1976 LONG TERM WATER SOURCE ALTERNATIVES, PLANS I AND J Dan Cook discussed with the Board long term water source alternatives Plans I and J. No action was taken. TAHOE DONNER WELLS A AND B The Board discussed with Dan Cook and the Manager Tahoe Donner Wells A andB which are presently connected to the District water system. The Manager indicated he has requested Mr. Cook to proceed on the permit application and a lease agreement with Dart on these two wells. The Board majority agreed with this procedure. DISTRICT COUNSEL REPORT Director Christensen moved that Resolution 7611 "Accepting a Conveyance of Real Property More Particularly Described Herein," be adopted. Seconded by Director Waters. ROLL CALL: Waters , aye; Sjtton, absent; Craig, aye; Christensen, aye; Anderson, aye; SO ORDERED. Mr. Grumer indicated he would have a written report for the Board at the next meeting regarding collections. Pfter reviewing three policies of the District, Mr. grumer reported the following information to the Board: 1 . Hospital and medical bills are covered but only at a rate of 80% of the 1964 reasonable prices. 2. Disability is covered after the first 180 days. 3. Coverage is terminated on both termination of employment and of existence. Mr. Grumer indicated that he is unable to find any evidence that his office assisted in any recall petition which was circulated. Mr. Grumer suggested to the Board a correspondence log be instituted by the District and suggested a form which could be utilized. Director Craig moved that the correspondence log be instituted by the District. Seconded by Director Sutton. ALL AYE BY VOICE VOTE. SO ORDERED. Mr. Grumer inquired about Dart's claim against the TDPUD. A brief discussion followed. No action was taken. MANAGER'S REPORT The Manager requested that all Board members be authorized to sign checks. Director Sutton asked that her letter to the Manager regarding a change in the pay day be attached to the minutes of this meeting. Director Christensen moved that all of the Board members be authorized to sign checks on a 3 month trial basis. Seconded by Director Waters. ROLL CALL: Waters, aye; Sutton, no* Craig, no; Christensen, aye; Anderson, aye; SO ORDERED. The Manager reported on the meeting held on July 19th with the �-- Bureau of Reclamation regarding Stampede hydropower. Director Christensen moved that the Board allow the Manager to write a letter indicated the District's interest in Boca , Prosser and Stampede. Seconded by Director Waters. ALL AYE BY VOICE VOTE. SO ORDERED. The Board expressed their interest in obtaining a copy of a trans- cript of the May 27th State Lands hearing for the file. Page 4, July 20, 1976 The Manager indicated that he has been contacted ' by the REA request- ing a Resolution of the Board requesting a REA loan application. This matter was placed on the agenda for the meeting of August 3, 1976. Director Craig moved that R.W. Beck prepare a project estimate/ time-table of what needs to be done with the substations and how much money needs to be borrowed. Seconded by Director Christensen. MAJORITY Pankow VOICE VOTE. SO ORDERED. Mr. Craig moved that Mr. Merriman give the Board a written report on his opinion of the Stampede project, including what steps in ' his opinion should be taken at this time. Seconded by Director Sutton. ALL AYE BY VOICE VOTE. SO ORDERED. Following a brief discussion, Director Sutton moved that "the Reconductoring of Feeder F" be placed on the agenda for the August 3, 1976, meeting and that Mr. Grumer also review the information on it and that the Manager along with Mr. Merriman make a recommendation. ALL AYE BY VOICE VOTE. SO ORDERED. The Manager indicated that he had received a letter from Noble Murray regarding District land located at the Gateway "Y". Director Christensen moved that the District authorize Noble Murray to make an appraisal on the property not to exceed $100. Seconded by Director Waters. ALL AYE BY VOICE VOTE. SO ORDERED. Director Christensen moved that the meeting adjourn to Executive Session. Seconded by Director Waters. No vote recorded. The President adjourned the meeting into Exeuctive Session at 1 :30 A.M. Following Executive Session the President called the meeting back into regular session at 2:30 A.M. Director Christensen moved that the Board adopt Resolution 7612, "Authorizing The Purchase of Wire." Seconded by Director Waters. ROLL CALL: Waters, aye; Sutton, no; Craig, absent; Christensen, aye; Anderson, aye; SO ORDERED. Director Christensen moved that the meeting adjourn. Seconded by Director Waters. BID POLICY OF TRUCKEE-DONNER PUBLIC UTILITY DISTRICT REPAIRS AND OTHER WORK ram_ If the cost of proposed work exceeds $3, 000. 00 , the board shall adopt plans and specs, strain-sheets, and working details and shall advertise for bids for such work in accordance with the plans and specs. All bidders shall be given an opportunity to examine the plans and specs and the board shall award the contract to the lowest responsible bidder. The plans and specs shall be attached to and become part of the Contract. The person to whom the contract is awarded shall execute a bond, to be approved by the board, for the faithful performance of the Contract. In cases of "great emergency" the board may cause to be done without notice all repair or replacement work necessary to meet the emergency. On May 25, 1972, staff first received a written inquiry from the applicant's consulting engineer, Cook Associates at Oroville, California, request- ing knowledge of the requirements to -install and maintain the subj Act facility, By Division notice dated July 20, 1972, Cook Associates was advised the project would require a Commission permit. Some month, later, but less than a year, :staff gained knowledge that construction of- 71he .exist- ing intake facility was underway and subsequently • learned in making a physical inspection of the site on May 24, 1973, that the pipeline was com- pletely installed on State 'land. -Dart Industries, Inc. , a Delaware Corporation qualified to do business in California, did cause to be . constructed., as it presently exists, a water intake system composed of a pumping station on the upland and approximate-ly 720 feet of 24- inch steel pipe which extends from the pumping station" into the northeast corner of Donner Lake. From the intake pump, the pipe is buried for a distance of approximately 320 feet into the. lake from which point the remaining pipe lies on . the surface of the lakebed. The shallowest . portion of the unburied pipe is . approximately 4 feet below the water surface when the level of the lake is at the sill of the lowest gates of the dam on Donner Creek. Installation of the system occurred during March and April, 1973, when the lake was at its low level. On June 2, 1973, the office of the Attorney General A 3 filed an action in ejectment for damages and re- S 3 moval of trespasses against Dart Industries, Inc, -1- CALENDAR ITEM NO. Dart 's presence and participation in the discussion was somewhat limited however, when specifically asked by Steve Grumer, Don Strand did indicate that he had participated in the development of the flow diagram. Grumer pointed out that I had represented in the discussion to the Board Meeting and in the letter to Trout that the District and Dart has reached agreement on a definitive plan of action. And being the true lawyer type he feels a justifiable need to havea commitment from you about the flow diagram in relationship to the sequence of events and the timing as indicated on the . diagram. Each of the Board Members expressed their view concerning the diagram and whether or not it represented the District policy. Director Craig expressed a desire that the E . I .R . be finalized and the hearings held to determine whether or not a lease on state lands is possible and whether or not the water rights on Donner Lake should be granted . As I interpret Mr. Craig ' s expression, he would like the hearing held to clear the air and have an unquestioned response and answer to both the lease and the water rights.
