ROLL CALL: Waters , present; Sutton, present; Craig, present; Christensen, present; Anderson, present; EMPLOYEES PRESENT: Cash and Reed. OTHERS PRESENT: See attached list of audience attendance. MINUTES Director Sutton moved that the minutes of July 8th be approved as corrected. Seconded by Director Craig. ROLL CALL: Waters , no; Sutton, aye; Craig, aye; Christensen, no; Anderson, no; MOTION FAILED. Director Christensen moved that the minutes of July 8 be adopted including the date of the letter regarding the July 22 State Lands Meeting and that the minutes be amended to show that after the motion to adjourn and no vote tekan that Director Craig left at approximately 12:30 A.M. and that a motion regarding a new part-time employee for the office be added to the minutes. Seconded by Director Waters. ROLL CALL: Waters, aye; Sutton, no; Craig, aye; Christensen, aye; Anderson, aye; SO ORDERED. Director Sutton requested that her "Corrections , additions and omissions to Draft Minutes of July 8, 1976" be attached to the minutes of July 8, 1976. BILLS FOR BOARD APPROVAL Director Waters requested an explanation of the overtime of employee Larry Drace at the next meeting. Director Christensen moved that the bills be approved. Seconded by Director Craig. ROLL CALL: Waters, aye; Sutton, aye; Craig, aye; Christensen, aye; Anderson, aye; SO ORDERED. REA LOAN APPLICATION It was agreed that District Counsel would prepare a resolution for the next regular meeting regarding authorizing signatures on the REA Loan application. VAN WETTER WATER AGREEMENT Mr. Grumer indicated to the Board that he would be meeting with Mr. Van Wetter regarding Mr. Van Wetter's agreement with the District. Mr. Grumer stated that this meeting with Mr. Van Wetter would be done free of charge to the District. DISCUSSION - LONG TERM LEASES OF DISTRICT LAND Attorney George Pifer appeared before the Board at Mrs. Sutton's request �-- to discuss with the Board long term leases of District land. Mr. Pifer gave his views of leasing District land but indicated that the District has competent counsel to deal with the matter. LIFELINE RATES FOR THE ELDERLY - SHIRLEY ROSAMOND The Chairman read for the record a letter received from Mrs. Rosamond regarding lifeline rates for the elderly, a copy of which is attached to these minutes. Page 1 , August 17, 1976 It was agreed that the Manager would respond to Mrs. Rosamond's letter and indicate that the District will investigate various sources to find more information on this matter before any action is taken. Director Sutton asked that the record show "that this is a different approach on the part of the Board majority and I would wholeheartedly support a change in this direction. " HILLTOP LODGE - DISCUSSION OF DEED RESTRICTIONS Joy Wickwire, representing Mr. Frederick Kohler who is purchasing the Hilltop Lodge, appeared before the Board to discuss deed restrictions related to the Hilltop Lodge porperty. No Board action was taken at this time. WESLEY ANDERSON, ELECTRIC CONNECTION TO LAKEVIEW SUBDIVISION, DONNER LAKE Mr. Wesley Anderson, appeared before the Board and related that two years ago he had obtained temporary power and was now requesting permanent service to his property at Donner Lake but was unable to obtain permanent power because of an aerial trespass to adjoining property. Director Craig moved that the house be hooked up as soon as possible. Seconded by Director Waters. ALL AYE BY VOICE VOTE. SO ORDERED. Director Sutton requested for the record "that Mr. Cash make a recom- mendation to the Board on resolving this problem as soon as possible. " LAND EXCHANGE - GWENDOLYN RALPHS Mrs. Ralphs appeared before the Board regarding a proposed land exchange with the District. A copy of her letter to the District and a parcel map of the land in question are attached to these minutes for reference. It was agreed that Mr. Cook and Mr. Grumer would report back to the Board on the legality of the land exchange and further comments from Mr. Cook. ENVIRONMENTAL APPROVAL OF SALES OFFICE WELL PROJECT Director Christensen moved that the Board adopt Resolution 7614, "Approving the Sales Office Production Well Project." Seconded by Director Waters. ROLL CALL.* Waters, aye; Sutton, no; Craig, no; Christensen, aye; Anderson, aye; SO ORDERED. Director Sutton asked that the record show "that this is consistent with my 'no' vote on the negative declaration." Director Christensen moved that the Notice of Determination be filed with the Nevada County Clerk. Seconded by Director Waters. ROLL CALL: Waters, aye; Sutton, no; Craig, abstain; Christensen, aye; Anderson, aye; SO ORDERED. CONNECTION OF DART'S WELLS A AND B IN THE TAHOE DONNER SUBDIVISION. The Board discussed with Dan Cook Wells A and B and Mr. Cook's proposed lease of Wells A and B from Dart. Mrs. Sutton asked that the record show "that the Board needs to review the Cranmer report as it applies to- Wells A and B. " It was agreed that no action would be taken by the Board until the final form of the AGreement is submitted to the Board. This matter was tabled to the 7th of September. Page 2, August 17, 1976 1 MISCELLANEOUS OLD BUSINESS Dan Cook responded to Mrs. Sutton's questions regarding the supplemental agreement negotiations. Dan Cook recommended that a committee be appointed to negotiate the Supplemental Agreement. Following- discussion Mr. Craig moved that the committee include Dan Cook, Steve Grumer, Martin McDonough and Lyell Cash and that Mr. Cash call the meetings of the committee. Seconded by Director Christensen. ALL AYE BY VOICE VOTE. SO ORDERED. Dan Cook indicated that the work, repair and testing on the Tahoe Donner water project would be completed sometime the first of September. Discussion followed regarding this matter. No action was taken. The Board also discussed the release of the Letter of Credit held by the District and the operational warranty of the system. Mrs Sutton inquired of the following items: 1 . Notice to applicants for Superintendent of Power and Water position indicating that the job had been filled from within the District. 2. Electric Contingency Plan from Bruce Grow. 3. Underground Plans for Tahoe Donner project. 4. Planning Commission Hearing notices No Board action was taken on any of the above. 5. Implementation by Board on Standby Charges - It was agreed that Mr. Grumer would contact Nevada County regarding the urgency of the adoption of the Resolution entitled, "Continuing- Electric and Water Standby Charges on the District Tax Roll for Collection by the County of Nevada," and if necessary a special meeting would be called for Board action on the matter. Director Sutton said for the record ,that she believes that any time this Board is taking action by resolution that it certainly should show .-- on the agenda. DISTRICT COUNSEL REPORT 1 . 7-11 Water Service - This matter was tabled to the meeting of September 7, 1976. 2. Electric Service to Donner Pines - This matter was tabled to the meeting of September 7, 1976. 3. Supplement to Authorized Disbursements resolution - This matter was tabled to the meeting of September 7, 1976. 4. Ordinance Establishing Conflict of Interest Code - Following discussion Director Christensen moved that Ordinance 7602, "Establishing a Conflict of Interest Code" be adopted with Appendix A and B attached. Seconded by Director Waters. ROLL CALL: Waters, aye; Sutton, aye; Craig, aye; Christensen, aye; Anderson, aye; SO ORDERED. 5. Claim of Dart Against T-DPUD for Indemnification - Director Waters moved that the claim by Dart Industries for $100,000,000 be rejected. Seconded by Director Christensen. ALL AYE BY VOICE VOTE. SO ORDERED. 6. Changing of Meeting Date - Steven Grumer recommended that the Board change the meeting date from the first and third Tuesday to the Second and fourth Tuesday. It was agreed that Mr. Cash would contact the Manager of the Truckee Sanitary District and discuss the possibility of the TSD changing their meeting nights to the second and fourth Tuesdays. Mr. Grumer indicated that he would discuss delinquent assessments at the next meeting. Mr. Grumer indicated that the District had been served a copy of Page 3, August 17, 1976 f Petition of Writ of Mandamus re Sutton vs. Pol gl ase et al . on August 9, 1976. Mr. Grumer recommended that his associates handle the matter in court on behalf of the District. Director Christensen moved that Mr. Grumer or his associates or both be authorized to carry through with this suit. Seconded by Director Waters. Union Report - Mr. Grumer reported that the Union Negotiating Committee felt that the Board would approve an offer of a 7% pay raise with a discus- sion of the alternation of some pension plan proposals without cost to theDistri ct. The Union rejected this offer. Lyel 1 Cash Agreement - Director Christensen moved that the District accept the Agreement for consulting services for the interim Manager. Seconded by Director Waters. ALL AYE BY VOICE VOTE. SO ORDERED. A copy of that agreement is attached to the minutes of this meeting for reference. MISCELLANEOUS NEW BUSINESS Mrs. Sutton requested Mr. Cash to make recommendations to the Board regarding political activities engaged in by the employees concerning District elections. Mr. Cash indicated that an Executive Session would be held on September 7th to discuss the proposal from Bruce Grow as General Foreman. Mrs. Sutton indicated her desire to review Mr. Grow's personnel file. Mr. Cash stated that it would be possible to review the file during the Executive Session on September 7, 1976. Mrs. Sutton discussed with Mr. Grumer a personal conflict of interest matter regarding Donner Pines Electric service. No Board action was ...� taken. Mrs. Sutton requested a report to the Board regarding the El Dorado County Water District hydro project. Mr. Cash gave a brief-oral report of the meeting held at the District office on August loth with the E1 Dorado County Water District. No Board action was taken. Mrs. Sutton inquired of the Water ConserYation Study done for the Truckee Sanitary District. Dan Cook indicated copies of the study were available through the Sanitary District office. Due to a technical defect in the recording machine the recording of the remaining portion of this meeting is no longer usable. The Manager discussed with the Board the differences in banking with Tahoe National Bank as compared to the Bank of America. No Board action was taken. The matter appears again on the September 7th agenda. Director Waters moved that the meeting adjourns Seconded by Director Craig. ALL AYE BY VOICE VOTE. SO ORDERED. A CL a CONTRACT FOR CONSULTING SERVICES THIS AGREEMENT made this 17th day of August, 1976 , by and between TRUCKEE-DONNER PUBLIC UTILITY DISTRICT acting by and through its Board of Directors, hereinafter referred to as "District" , and LYELL C. CASH, Municipal Consultant, herein- after referred to as "Consultant" . WITNESSETH: WHEREAS, the District' s General Manager, PAUL HOBENSACK, is presently taking a leave of absence; and WHEREAS, the District is in need of assistance in the administration of its affairs on a interim basis; and WHEREAS, Consultant is experienced in the admini- stration of electric and water utilities and the personnel required therefore. NOW, THEREFORE, in consideration of the mutual promises set forth herein, it is agreed by and between District and Consultant as follows: 51. Work. The work to be performed by Consultant includes all management functions generally performed by the General Manager in conducting the day-to-day affairs of the District, including but not limited to the following: A. Coordinate the activities of the District. B. Analyze and make recommendations regarding budgeting matters, District operations, and administration. C. Handle any and all such matters as may be required by the District. §2 . Payment. In consideration thereof, the District shall pay consultant the sum of TWO THOUSAND SEVEN HUNDRED FIFTY AND N0/100 ($7, 750. 00) DOLLARS per month, and will furnish to Consultant a District car for his use in conducting said affairs of the District. Said sum of $2 , 750. 00 shall be payable upon receipt of a statement on the lst day of each month. There shall be a proration for any fraction of a month in which Consultant works. §3. Duration. The term of this agreement shall be from August 10 , 1976 until such time as PAUL HOBENSACK returns from his leave of absence. In connection herewith, it is expressly understood that either party may cancel this agreement upon ten (10) days written notice. §4. Relationship of Parties. The parties intend to create an independant contractor/employer relationship by this agreement. The District is interested only in the results to be achieved, and the conduct and control of the work will lie solely with the Consultant. The Consultant is not to be considered an Steven E. County Clerk Filing Informs- , t Signed.: t•ion August 17, 1976 Ly e Cesh, 'Acting Manager • Date :' ' . +• • .dir.au.- RESOLUTION -76/V APPROVING THE SALES OFFICE PRODUCTION WELL PROJECT WHEREAS: Dart Resorts has completed a pilot hole to a depth of �^ 932 feet at site known as the Sales Office; and WHEREAS: The Sales Office pilot hole is one of several to be drilled in accordance with the groundwater exploration of the Truckee region in compliance with the October 1973 Supplemental Agreement; and WHEREAS: The production capabilities of the well can not be definitively and quantitatively determined until the completion of the Production well; and WHEREAS: The Board of Directors have by Resolution 76-08 placed conditions and restrictions on the well and said Board authorized the filing of a "Negative Declaration" July 8, 1976; and WHEREAS: The statutory waiting period has passed and it is now appropriate for the Board of Directors to consider the approval or disapproval based on the findings, agreements of record, public input and personal knowledge. NOW THEREFORE BE IT RESOLVED: The Sales Office Production Well project as described in the Environmental Assessment of June 259 1976 and the Negative "-" Declaration of July 89 1976 is hereby approved subject to the conditions of Resolution 76-08. ABSENT:' None ATTEST: The above is a true copy of Resolution duly moved, seconded and adopted by t vote indicated. am-LyU Cash, Acting Manager a ORDINANCE 76 02 ORDINANCE OF THE BOARD OF DIRECTORS OF TRUCKEE-DONNER PUBLIC UTILITY DISTRICT ESTABLISHING A CONFLICT OF INTEREST CODE WHEREAS, the Political Reform Act of 1974 , Govern- ment Code Section 18000 et seq. , as approved by the votes (herein- after referred to as "The Act") , contains provisions relating to conflict of interests which potentially affect all officers , employees, and consultants of TRUCKEE-DONNER PUBLIC UTILITY DISTRICT (hereinafter referred to as "District") ; and WHEREAS, the potential penalties for violation of the said provisions of the Act are substantial and may include potential criminal and civil liability, as well as equitable relief, which could result in the District being restrained or prevented from acting in cases where the said provisions of the Act may have been violated; and WHEREAS, the said provisions of the Act also contain a requirement that all public agencies, including the District, shall adopt and promulgate a conflict of interest code; NOW, THEREFORE, BE IT ENACTED that the District hereby adopts the Conflict of Interest Code attached hereto and incorporated herein by this reference; and BE IT FURTHER ENACTED that this Code is intended to provide reasonable assurance that all foreseeable conflict of interest situations will be disclosed or prevented, to provide to each affected person a clear and specific statement of his duties under the Code, and to adequately differentiate between designated �--- employees with different powers and responsibilities . This ordinance shall be submitted to the Board of Supervisors of the County of Nevada and shall be deemed adopted only when approved by said Board of Supervisors. This ordinance shall become effective after the lapse of thirty (30) days from the date of approval by the Board of Supervisors. The Clerk of the District shall cause a copy of this ordinance to be published once in the local newspaper and copies shall be posted in at least three (3) public places within the District. Contents of Investment and Real Property Reports: When an investment or interest in real property is required to be disclosed under this Code, the state- ment shall contain: a. The name of the business entity in which each investment is held, and a general description of the business activity in which the business entice is engaged; C. The address or other precise location of the real property; d. A statement whether the fair market value of the investment or interest in real property exceeds $10, 000 and whether it exceeds $100 ,000 . This information need not be provided with respect to an interest in real property which is used principally as the residence of the filer; e. In the case of an investment which constitutes fifty per cent (50 0) or more of the ownership interest in a business entity, disclosure of the investments and interest in real property of the business entity. "Official" shall include, but not be limited to, salaried or unsalaried members of boards or commissions with decision-making authority. ' A board or commission possesses decision-making authority when- ever: (1) It may make a final governmental decision, or (2) It may compel a governmental decision by any agency, or (3.) Its action, recommendation, or consideration is_a legal prere— quisite to a final governmental decision, or (4) It makes substantive recommendations which are, and over an extended period of time have been, regularly approved without significant amendment or modification by a designated employee or the -District [Reg. 18700 (a) (Subparagraph "a" is only appli.E= able to those citizens advisory boards, review commissions, etc. , which meet one of the tests stated in the subsection. Many member agencies do not use such Boards. )j t b: ''Consultant" shall include any natural person who provides, under con- tract, information, advice, recommendation or counsel to the District. But "consul taut shall not include a -person who: (1) Conducts rc- seardh and arrives at conclusions with respect to his rendition of information, advice, re coin mendation or counsel inde- pendent of the control and direction of the District* or of any official, other than normal -contract monitoring; and -B1 - y (2) Possesses no authority with respect to any District decision beyond the rendition of information, advice, recommendation or counsel. (Reg. 13700 (a)] 2. "Designated Employee": Any official of the District or candidate.for elec- tive District office whose position is designated in APPENDIX "A" of this Code. Votes on a matter; b. Appoints a person; c. Obligates or commits the District to any course of a'cti.on; d. Enters into any contractual agreement on behalf of the District e. Determines not to act, within the meaning' of 'sub-paragraphs a,- b, c; d, unless such determination is made because of his financial interest. f When the determination not to act occurs because of his financial inter- est, the official 's determination must be accompanied by disclosure of the financial interest, made part of the District's official record or made in wt-it.itlg to*the official's supervisgr, apl)ointing power or any other person specified in this Code. [Reg. 18700 (b)] 4. "Participating in the Malting of Governmental. Decisions" a. An official "participates in the. making of a governmental decisions' except as provided in subsection'b (1) of this definition, when he, acting within the authority of his office: -U2- (1) Negotiates in any manner with a governmental entity or private person- regarding the decision; f (2) Conducts research.or investigations regarding the decision, the results of .which will be made available to others for the purpose or attempting to influence the decision; (3) Prepares any roport, analysis, or opinion regarding the decision • which is made available to others for the purpose of attempting to.influence the decision; (4) Participates in any governmental discussions or debates regarding the decision; or (5) Advises or makes recommendations to the decision-maker. b. Making or participating in the making of a governmental decision shall. not include: (1) Actions of officials which are solely ministerial, secretarial, manual or clerical; (2) Appearances by an official as a member of th.e general public before an agency in the course of its prescribed governmental function to represent _himself on matters related solely to his personal interests; or (3) _Actions by officials, employees, or employee representatives relating to their compensation or the terms or conditions of their .employment or contract. [Reg. 18700 (c)] 5. . "Financial Interest-": An official has a financial interest in a decision if it is reasonably foreseeable that the decision will _have a material financial effect, - distinguishable from its effect on the public generally, including -all property owners within the District or all those served by the District, or on any •significant segment of the property owners within the District or those served I-)y the 1)istrict .or (A' the public gc nerally, or on the official as a meii-lber of a profession, industry or occupation all members of which will be affected-to the same extent, on: a. Any business entity in which the official has a direct or indirect 'invest- ment worth more than $1, 000; ' b. Any real property in which the official has a direct or indirect interest- worth -more than $1, 000; c. Any source of_income, other than loans by a'commercial lending insti- tution in the regular course of business, aggregating $250. 00 or more ' in value received by or promised to the official within twelve months prior to the tune when the decision is. made; or d. Any business entity in which the official is a director, officer, part- ner, trustee, employee, or holds any position -of management. Code 3625(e) from the Moscone Act. ) e, "Indirect Investment or hiterest": Any investment or interest owned by the spouse or dependent child of the official, held or owned by an' agent on behalf of the official, held or owned by any business entity controlled by the official or by a trust in which the official has a.sub-. stantial interest. A business entity is controlled by the official if the official, his agents, spouse and dependent.children hold more than 50% of the ownership interest'in the entity. An official has a sub- stantial interest in a trust when -tile official, his spouse and dependent children have a present or future interest worth more than $1, 000. (87103) . 6. "Investment'.': Any financial interest in or security issued by a business entity, including but not limited to common stock, preferred stock, rights, -134- warrants, options, debt instruments and any partnership or other ownership interest, if the business entity or any parent, subsidiary or otherwise re- latod business entity has an interest in real property in the jurisdiction,. or does business or plans to do business within the jurisdiction at anytime 'during the two years pr•[or to the time any .statement or other action. is re- quired under this Code. No asset shall be deemed an investment unless its fair market value exceeds $1, 000. "Investment". does not include a time or demand deposit in a financial institution, shares- in a credit union, any insurance policy, or any bond 'or other debt instrument issued by any government or government agency. CASH, Municipal Consultant, hereinafter referred to as "Consultant" . WITNESSETH: WHEREAS, the District' s -General manager, PAUL HOBENSACK, is presently taking a leave of absence; and WHEREAS, the District is in need_ of assistance in the administration of its affairs on a interim basis; and , ' WHEREAS, Consultant is experienced in the admin- istration of electric and water utilities and the .personnel required therefore. NOWT THEREFORE, in consideration of the mutual promises set forth herein, it is agreed by and between District and Consultant as follows: §l . Work. The work to be performed by Consultant includes all management functions generally performed by the General Manager_ in conducting the day--to-day affairs of the District, including but not limited to the following: A. Coordinate the activities of the District. B. Analyze and make recommendations regarding ., budgeting matters , District operations, and administration f C. Handle any and all such maters as may be required by the District. §2 . Payment. In consideration thereof, the District shall pay consultant the sum of TWO THOUSAND SEVEN HUNDRED FIFTY AND NO/100 ($2 , 750 . 00) DOLLARS per month, and will furnish to Consultant a District car for his use in conducting said affairs of the District. Said sum of $2 , 750 . 00 shall be payable upon receipt of a statement on the lst day of each month. There shall be a proration for any fraction of a month in which Consultant works. §3. Duration. The term of this agreement shall be from August 11, 1976 until such time as PAUL HOBENSACK returns I R from his leave of absence. In connection herewith, it is expressli understood that either party may cancel this agreement upon ten (10) days written -notice. §4. Relationship of Parties. The parties intend to create an independant contractor/employer relationship by this agreement. The District is interested only in the results to be achieved, and the conduct and control of the work will lie solely with the Consultant. The Consultant is not to be considers Steven E. Grumer an agent or employee of the District for any purpose.
