The regular meeting of the Board of Directors of the Truckee-Donner
Public Utility District was called to order by Vice-President Anderson
at 7 : 30 p.m. in the conference room.
ROLL CALL : Craig, present; Sutton, present ; Anderson, present ;
Waters , absent.

MINUTES OF OCTOBER 1 1974
Approval of the minutes was tabled until the next regular meeting
because a question was brought u regarding the bond Q g p g g discount to be
received which would have to be checked on the .tape of that meeting.

It was moved by Director Sutton and seconded by Director Craig that
approval of the minutes of October 1 be tabled until the next regular
meeting. All aye ; so moved.
BILLS FOR BOARD' S APPROVAL
The Sierra Pacific bill presented for payment will not make the
District current. There is still one outstanding bill owing after
payment of the one on the list for approval. The amount due the
directors was listed incorrectly on the bills for approval. This
amount should be corrected to $350 rather than $450. It was moved by
Director Craig and seconded by Director Sutton that the bills be paid
and the amount due the directors be -corrected to $350. All aye.
OLD BUSINESS
Public Hearing on Negative Declarations on Armstrong S stem Upgrading
and 267 Intertie
The public hearing was opened on the Armstrong System Upgrading and
Highway 267 Intertie. Vice-Chairman Anderson asked if there were any
comments to be made by either the Board or public regarding the envir-
onmental declarations on these two projects . There being none, the
public hearing was closed.
Resolutions are prepared approving the projects and determining that
they will not have a significant affect on the environment. District
Counsel did find that there is no time limit in the Environmental
Guidelines for approval of the projects , adopting resolutions and the
Notice of Determination.
Director Suttonoa.s dissatisfied with the input on the projects . She
was not sure of the line size for the 267 Intertie and the distance of
the line. She also was not clear as to why Dan Cook felt the installa-
tion of the 267 line is more crucial than the armstrong tank and that
she needed more information.
No action was taken on these projects and the resolutions were tabled
until such time as the projects will be again considered for construc-
tion.
Mr. Anderson read a letter from the employees to the Board of Directors
thanking them for sponsoring the bowling team.

DISTRICT COUNSEL REPORT
Steps Necessary to Sell Surplus Land
A letter was written to the manager regarding the necessary steps to
sell surplus land. A copy- of that letter is hereto attached as part of
the minutes .
Steps Necessary to Sell Surplus Land
The Distrii%tline
Counsel reported that there are two recent legislative
enactmen / steps that should be taken by any public district
prior to offering property for sale . Briefly, they are : 1) offer the
land to any low-income housing public corporation in the area and
annually inventory and describe all lands that the public agency owns
and declare which are surplus ; and 2) written notice of surplus declar-
ations shall be given to all other districts or public agencies in
the area dealing with parks and recreation, open space , and conser-
vation. The State Resources Agency should also be contacted. After
these steps are taken, the usual bidding procedures are taken includ-
ing advertisement of Notice to Bidders , bid documents prepared, etc.
The Code Section allows that a public hearing must be held in con-
nection with the land being aFfered to a low-income housing corpor-
ation. The Surplus Real Property Act and Surplus Unimproved Land I
Act described above became effective in 1972 .
Resolution of Acceptance of Tahoe Donner Power Lines
Mr. Anderson read the letter from Harold Heidrick regarding the power
line construction in Tahoe Donner known as Phase I , or Completion of
Units 1 , 2 , 3, 4, 6 and 7. A copy of that letter is attached as part
of the minutes. Mr. Heidrick recommended in his letter that the power
line constructed be accepted.
A list of deficiencies was prepared by Harold Heidrick after his
inspection of the power lines on October 1 , 1974. Director Craig
brought to the attention of the manager deficiencies he observed in
the line construction and wondered if the construction had been done
by the District or Dart' s contractor, Slater Electric. Some of
the Board members did not feel that the lines should have been
energized until the Board had accepted the construction work. Rex
Anderson read a letter from Ken Krajewski to Dart Resorts stating
that althought the power lines constructed by Slater Electric were
energized, it did not constitute acceptance by the District for
operation and maintenance. The letter further stated that final
acceptance would be made by the Board of Directors following approval
by Harold Heidrick. The reply to Mr. Krajewski ' s letter from Don
Strand of Dart Resorts was read which acknowledged that Dart would
assume maintenance and operation costs during the time following
construction until final acceptance by the District .
Attorney Joynt did not feel that acceptance should be made until
after Dart Resorts has conveyed title of the lines to the District .
This is in accordance with the Supplemental Electric Agreement.
The Resolution of Acceptance of Tahoe Donner Power Lines was tabled
until the next meeting. Mr. Hobensack was asked to look into the
Questions raised by Director Craig regarding the power line con-
struction. The Board asked that if necessary Mr. Krajewski could
be present at the next meeting to answer some of the Questions .
Water Liability
Attorney Joynt advised the Board that this matter could involve a
particular case which could result in litigation and asked if any of
the members objected to discussion being held in executive session.
There were no objections .
Possibility for Tahoe Donner Assessment District
The Manager reported that an assessment district could be formed in
Tahoe Donner to cover expenses incurred for the extension of the water
and/or power lines not provided for in the contracts . He also thought
the assessment district could be used to finance costs of transfor-
mers and substations .
Ed Ness was contacted by Mr. Joynt regarding formation of an assess-
ment district. Mr. Ness informed Mr. Joynt that a special assessment
district may be formed in any area of the PUD and is normally limited
to source costs or transmission costs rather than repair or mainten-
ance costs after the system is set up.
Director Sutton suggested looking into charging a different connec-
tion fee in areas where only one customer will be served by one

transformer and the possibility of charging different rates to those
areas that are primarily second homes , notnecessarily limited to
Tahoe Donner. Director Craig asked that the electric and water
standby charge be. reviewed for enforcement where applicable . Attorney
Joynt said that the first thing that will have to be done with the
standby charge is decide if the district will bill the charge or if
the County will add it to the tax bill . Mr. Joynt thought the problem
with the District collecting the fee is that it will be difficult to
enforce and collect from out-of-town land owners . The County does not
charge a fee to collect the tax and it is added to the property owners
tax bill. The Board must also decide if they are going to levy the
�--� charge against both unimproved land and improved land. Director Craig
I requested that the water standby charge be looked into to see what
the District can legally charge for vacant land with water available
to it. The Directors thought the biggest work would be finding the
names and addresses of the property owners within the District. The
possibility of the County already having this information was discussed.
Mr. Joynt advised that the soonest the district could receive the
monies from the tax would be December 1975 .

Director Craig asked that the board be brought up-to-date on the
lawsuit against the District by Mr. Butler regarding Mr. Butler' s
property in Ponderosa Palisades . Mr. Hobensack said he would look
into the situation.
MANAGER' S REPORT
F
E Report on Two-300 KVA Transformers
The transformers that were authorized by the Board at the last reg-
ular meeting cannot be delivered as originally quoted. The present
delivery time is 20- 21 weeks . Allis-Chalmers offered different
alternatives which did not meet the transformer specifications . The
order has been cancelled.
Mr. Hobensack has contacted a wholesale supply house that he is familiar
with in Boston and the supplier , George Wahn, can provide McGraw
Edison transformers to the District at a cost of $2 , 738 apeice and
delivery in 12 weeks . The price of these transformers is firm.

Director Sutton moved that the Board authorize management to purchase
two-300 KVA McGraw Edison transformers from George Wahn at the cost
of $2 , 738 to be delivered in twelve weeks. Seconded by Director
Craig. Attorney Joynt advised the Chairman that the motion should
include the same emergency conditions that the Board found at the
last meeting to clarify the minutes . Director Sutton incorporated
the same emergency conditions into her motion as declared by the
Board on Sept. 17, 1974. Amended motion seconded by Director Craig.

Policy on Hiring New Employees
The Manager advised that there are two employees that may be on a
leave of absence at the same time and he would like to hire a tempor-
ary office employee. He was not aware of any policy established by
the Board for hiring new employees. Mr. Hobensack advised the board
that he is planning to hire a Clerk Trainee at a lessor hourly rate

than is in the union contract because the Trainee position was
inadvertently omitted from the revised 1974 contract. Next year, the
position will have to be added. Director Sutton asked if the Manager
would hire a person with prior experience at the Clerk Classification

rather than the trainee position. Mr. Hobensack said he would be
agreeable to this if the person had prior experience and did not need
training.
Pat Sutton moved that all vacancies be filled after advertisement,
including in the local media at least one week (two issues) . Seconded
by Director Craig. All aye .

Report on Campground at Tahoe Donner
Mr. Hobensack read a letter received from Nevada County Planning
Commission regarding water and electric supply to the proposed camp-
ground in Tahoe Donner. A copy of this letter is hereto attached as
part of the minutes . The letter made no indication as to where water
would come from only that the PUD would supply it. Mr. Hobensack has
written another letter to the developer asking them what their proposal
is regarding water and electric service to the campground. No written
answer has been received. Copies of the Notice of Hearing were
given to the directors which stated the hearing was being continued
to October 25 . Mr. Don Strand was present in the audience and
advised the board that the hearing will be indefinitely postponed
so that the property owners could be polled. I
Director Sutton felt the necessary arrangements should be made for
utility service prior to the use permit being issued by the County.
Director Sutton asked Mr. Strand if Dart would write into the
campground stipulations that hikers who have previously used the
land be allowed to continue to use the property. Mr. Strand said
this would be possible but that he would have to check with Dart' s
legal staff.
Policy -on Security Deposits
The Tahoe National Bank, who is applying for utility services within
the District, wishes to be excluded from the consumer deposit require-
ment. They feel that since they are a bank, they should not be
required to pay a deposit. The Board members agreed that the bank
should not be excluded from the requirement .
Truckee Mobile Home Park
A draft construction agreement is being formed between the District
and Calvin Bright , Truckee Mobile Home Park developer. It is still
in the preliminary stage. Dan Cook is working with the developer
and the developer' s engineer on the agreement. After the Manager
has come up with a concrete agreement, he will bring it to the
Board with his recommendations.
The Tahoe Donner Campground was discussed. The Board did not feel
the County should issue a Use Permit for the campground until Dart
Resorts meets Truckee-Donner PUD' s requirements for service of
power and water.
Capstan for New Truck
A capstan for the utility truck that was authorized in August of
this year was omitted from the specifications . The cost to install
this to the truck is $1, 386 . The 11-inch hydrolically powered
capstan has a powered winch with the ability to pull 4,140 pounds
and control valves at the operator' s station. It was recommended
by the Manager that the capstan was a necessary piece of equipment
for the utility truck. It was moved by Director Craig and seconded
by Director Sutton that the Manager proceed with the purchase or
inclusion of the capstan on the truck as proposed in the letter from
Pac Power. The cost will not exceed $1, 386 . Seconded by Director
Sutton. All aye ; so moved.
Miscellaneous
The manager advised the board that the water leak on Alley Street
in Downtown Truckee will be fixed soon. The Manager has inspected
the leak and feels that it should be repaired immediately and not
wait until previously planned which was when the Telephone Company
did the underground work for that street. The location of the leak
is behind the Tourish Club Bar in the alley. Director Craig advised
Mr. Hobensack that the hole left from water line work on the corner
of Alder Creek and Lockwood Drive in Prosser Heights has still not
been permanently repaired. He wondered how soon this would be done.
Mr. Hobensack said he would investigate the situation.
The Manager has received the Notice of Public Hearing from Nevada
County on the Hospital expansion project. The hearing is scheduled

for October 25. The Directors agreed that the County should be notified
that once provisions have been made regarding water and electric ser-
vice, the expansion can be served with thoseLtilities .
The Manager has asked that before the Recreation and Park District
proceed any farther with the swimming pool project, he be allowed
to Quote them on the cost of electric heating as opposed ,to gas or
any other form of energy. Mr. HObensack was advised to contact Mr.
Bruce Munro, School District Superintendent , regarding this recommen-
dation also. The' pool will be constructed on school district property
and maintained by the school district upon completion. Mr. Hobensack
.. did not think the increased load would hurt the district ' s peak use.
The consumption could be limited to times when it would not increase
the District' s demand charge. He thought a special rate could be
devised for the pool heating at the school.
Director Sutton requested that the next regular meeting scheduled for
November 5 be changed to another day as it falls on Election Day.
The Board members agreed that the meeting could be held on Monday,
November 4 with little inconvenience. A notice will have to be posted
in advance of the change to notify the public.
Mr. Joynt informed the Board that he corresponded with Mr. Bob Dean
of Sierra Drilling regarding the equipment left at the Southside well
site. The Reno phone number he called was not ans'wered' and the
Bakersfield number was answere(Ibut Mr. Dean was not there. A message
was left to have him return the call , but he did not call Mr. Joynt
back. The letter Mr. Joynt wrote was sent to both the Bakersfield
address and the Reno address by certified mail with return receipt.
The Bakersfield letter was signed for but it was not by Mr. Dean.
The Reno letter was returned unclaimed. The attorney was advised
= to contact the Sheriff' s department and request that the equipment
be removed from the District ' s ro ert .

Director Sutton asked if the Alley Street project of placing the
telephone and electric lines underground was going to be started soon.
Mr. Hobensack said that Mr. Krajewski had advised him that the pro-
ject was going to be started. However, he did not indicate how soon.
Director Sutton asked how soon before the Tennis Court lighting and
lighting of the Donner Memorial would be completed. Mr. Hobensack
said he was familiar with the projects and would consult with Ken
Krajewski and report back to the board. It was originally planned
to have those projects completed by November 1.
Director Craig asked what the status is on the trench that was dug
from the Southside well to the highway apparently to connect the well
to the District' s system. Mr. Hobensack said he would look into the
matter.
The District has received a "stop notice" , similar to a garnishment,
from Twin States Concrete for the collection of $208. 56 . The amount is
due them by Mr. Bob Dean for cement ordered and used to construct the
Southside well. Twin States has tried unsuccessfully to collect the
money from Mr. Dean. The Board wished to know exactly how much was
owing Mr. Dean. The Notice , according to Mr. Joynt , means that if
any amount is due Mr. Dean, it cannot be paid to him until the bill
is paid for or money withheld to pay that bill. Director Sutton
thought that the bill should be paid if there is enough money being
withheld to cover the bill. Mr. Joynt was asked to submit a bill
for the legal work he has done in connection with contacting Mr. Dean.
Pool—
The Board advised the manager to get together with Dan Cook and Dr.
John Sharp regarding the work that is left to be done on the well.
Mr. Hobensack mentioned that he would also like to discuss with Dan
Cook the District switching from iron pipe to cement asbestos . He
has had good results with the cement asbestos .
It was moved by Director Craig and seconded by Director Sutton that
the meeting adjourn to executive session. All aye. The audience and
secretary were excused while the Board, Manager and Attorney remained.
Following the executive session, the meeting reconvened to regular
session. It was moved by Director Sutton and seconded by Director
Craig that the manager prepare a list of auditing firms . All aye ;
so moved.

the District advertise for a full-charge bookkeeper. All aye ;
motion carried.

Re : Sale of land, surplus land, etc.
Dear Paul :
A public utility district may buy and sell land. The
basic authority is contained in Section 16431 of the Public
Utilities Code, whish reads as follows :
"A district may take by grant, purchase, gift, devise ,
or lease, or otherwise acquire, hold and enjoy, and
lease or dispose of , real and personal property of
every kind within or without the district, when in the
judgment of the board it is within the best interests
of the district to do so. "
Before attempting to sell property, and even though this
code section does not require it, I would always .recommend
that the district have an appraisal of the property on file
from a competent appraiser.
Next thing to consider is the "Surplus Real Property
Act" , Sections 50568 , et seq. of the Government Code. Under
this act each local agency or district shall make an inventory
of all lands held, owned or controlled, to determine what land,
including air rights, if any, is in excess of its forseeable
needs. A description of each such parcel so found to be in
excess of needs shall be made a matter of public record and
anybody upon request shall be provided with the list. Gov' t
Code , Sec. 50569.
Under this Surplus Real Property Act, property may be
transferred only after a public hearing. Gov' t Code , Sec. 50572.
Subject to other provisions of law, any local agency or
district may then lease , transfer or grant such property to any
public housing authority. Gov' t Code, Sec. 50570.
Since I know of no public housing authorities in this .
area, I do not believe the district will be concerned witWli

After all lands are described and inventories made, the
board of directors could then pass a resolution declaring which
parcels, if any, are surplus. The code does not say how the
district makes this a matter of public record. The minutes of
the board are a matter of public record but if any land is
declared surplus it seems that the district should otherwise
let it be known.
The next law that must be considered is the "Surplus
Unimproved Land Act" contained in Government Code, Sections
54220 , et seq. In essence these sections require a local agency
or district to notify other districts prior to sale of surplus
land if said land could possibly be used for open space, recre-
ation, etc. Notice must be given in writing, and also to the
State Resources Agency. Such other agencies or department must
} give notice within 60 days if they wish to purchase the land
and if no mutually satisfactory price is arrived at, the land
may be disposed of in the normal manner.
The steps therefore , would be as follows :
1. Make a list or inventory of all land owned.
2. By resolution describe each parcel deemed surplus.
3. Give notice to the proper agencies of the intent to
dispose of the same.
4. Wait at least 60 days.
5. Then call for bids and the nature, type and extent
of the terms for bids , etc. could be in whatever form the
board desires.

under the contract of Slater Electric Company,

On October 3, 1974, a letter was sent to Dart Resorts setting forth
the details and special conditions of the inspection with an attached
seven-page list of deficiencies observed.
it is my understanding that the deficiencies observed during the inspection
of October 1 , 1974 have been- corrected and as corrected are acceptable to
Mr. Kerr Kra j ewsk i .

Therefore, we recommend that you accept the overhead lines in the above
named Tahoe Donner Units.

Dear Paul:
Enclosed is a proposed resolution. Prior to preparing
this resolution I called and talked to Mr. Heidrich and Mr.
Krajewski for guidance on what should be included therein.
I also called Mr. Doskow, vice-president and general counsel
' for Dart.

I believe the form of this resolution will be acceptable
and the other persons concerned therewith.

But I wonder about its timing simply because of .the revised
power line agreement dated May 21, 1974. In that agreement,
which was worked out by the District and Dart largely
through the efforts of Mr. McDonough, Dart has agreed, as
follows :
all title of Dart in such part of the
system shall be conveyed to District. . . . "
I do not know what was intended in the form of an
actual conveyance from Dart to the District. And when I
talked to Mr. Doskow about this he was not sure either. It
seems to me that if a conveyance indeed is required by the
District, such conveyance should come prior to passing this
resolution.
Dart is most anxious that the resolution be passed but
Mr. Doskow did state to me that if it were deferred until
next meeting this would be acceptable.
Therefore I am sending a copy of the proposed resolution
to Mr. McDonough and to Mr. Doskow, asking each of them to
advise the District on the form of conveyance, if any, and
the time when such conveyance by completed with respect to
adopting of this resolution.

Re : Electricity Standby Charge

Assembly Bill 2890 , authored and presented by
,Assemblyman Eugene Chappie of this legislative district,
is now passed, signed and in effect. The new law is added
' d as Section 16485. A copy is
to the Public Utilities Code p
enclosed for you and each director.
The standby charge may be fixed and collected on all
lands within the district boundaries to which electricity
is made available for any purpose , whether electricity is
used or not.
The board of directors may exempt certain classes of
users and may establish schedules varying in charges in
different months or different localities depending upon
electric use factors , costs of transmitting, and degree of
availability or quantity of use.
3 The annual charge may not exceed $20. 00 per acre or
$10. 00 for parcels less than an acre.
Funds derived may be used for any electric related
purpose. Whether this use would require segregating the
fund, I do not know. I expect the answer is an accounting
procedure and could easily be keptseparate on the district
books.
This new legislation is the result of the direct
request of Truckee-Donner P.U.D. I assume, therefore ,
the board of directors will want to put it to use.
Therefore I will do some research and/or leg work
to determine the method of implementing the law. As stated
in Sec. 16485 (a) , one method is to add the charge to

authorisation, applicable to public utility districts.
Truckee--Donner Public Utility District wishes to fix and
collect such a charge.

powered capstan mounted behind the truck cab with a curb-
side extended shaft, the ability to pull 4140 pounds at
approximately 30 RPM on an 11-inch capstan with control
