The regular meeting of the Board of Directors of the Truckee-Donner
Public Utility District was called to order by the President at 7 : 30
p.m. in the conference room of the district .
ROLL CALL: Craig, present ; Sutton, present ; Anderson, present , arrived
minutes late ; Waters , present.
EMPLOYEES PRESENT: Hobensack, Kinzie
OTHERS PRESENT: Attorney Joynt, Fred Whitford and Don Strand (of
Dart Resorts) , Marigrey Fish, Arthur Broughton (Sierra Sun)
MINUTES OF OCTOBER 1 and OCTOBER 15 , 1974
The President asked if there were any additions , corrections , or
omissions to the minutes of October 1 and October 15, 1974. Director
Craig moved and pat Sutton seconded that the minutes of October 1 ,
1974, be accepted. All aye ; so moved. It was moved by Director
Anderson and seconded by Director Sutton that the minutes of October
15 , 1974 , be approved. All aye; so moved.
BILLS FOR BOARD' S APPROVAL
The Board questioned various bills ; among those, the bill to Manager
Hobensack for moving expenses was questioned. Again Director Sutton
requested that the District no longer purchase supplies from Munichem.
The Manager said he would look into this . Mrs . Sutton also asked
that a brief description be written along side the bills to be paid
for easy identification of that bill . It was moved by Director Sutton
and seconded by Director Craig that the bills be paid with the excep-
tion of the Manager' s moving expenses . The Directors agreed that this
matter should be discussed in Executive Session. ROLL CALL: Craig,
aye ; Sutton, aye; Anderson, aye ; Waters , aye.
OLD BUSINESS
Tahoe Donner Power Lines : The Manager had a written summary of the
questions raised by Director Craigat the last regular meeting regard-
ing construction deficiencies at Tahoe Donner. He passed this around
for the Director' s review.

Mr. Don Strand was in the audience representing Dart Resorts with a
grant deed for the primary electrical system constructed within Tahoe
Donner known as Phase I .
Director Craig objected to the lines in Tahoe Donner being energized
prior to their being accepted by the District. He also thought they
should meet the State standards . Director Sutton asked the Manager
if he was satisfied with the construction of the lines. Mr. Hobensack
said that he felt the construction is acceptable, but assured the
Board that he could not guarantee that problems would not come up in
the future. The Board agreed that if a problem does arise, Mr. Heidrick
should be held responsible since he recommended to the Board that
the lines be accepted. Director Craig asked that a policy be written
regarding the energizing of power lines that have not been accepted by
the Board so that there will not be a question of it in the future.

Director Sutton moved that the acceptance of the Tahoe Donner power
lines be tabled until the next meeting so that the Manager can review
the power contract and assure the Board that there is no liability
involved in acceptance . This motion died due to a lack of a second.
It was moved by Director Anderson and seconded by Director Craig
that Resolution 7431, Approving and Accepting Phase I Construction
of Tahoe Donner, be adopted. ROLL CALL : Craig, aye ; Sutton, aye ;
Anderson, aye; Waters , aye. So moved.
NEW BUSINESS
Gasoline & Oil Bids for 1975 : The Manager asked for direction on
requesting bi s or the gasoline and oil needs for 1975 . Mr. Ander-
son asked if the gas tank needs to be larger. Mr. Hobensack thought
it should be increased. The problem with the smaller tank is that
the supplier will not make a special trip from Reno to fill the
District' s small requirement . They often wait until other customers
in the area need gasoline and fill ours at that time. This causes
lapses in gasoline which necessitates purchasing it from local
dealers at a much higher cost. Mr. Hobensack recommended requiring
a 5, 000 gallon tank because the gasoline trucks usually hold 4, 000
gallons and they could be called when there is only 1, 000 gallons
remaining in the tank. The present tank holds 500 gallons . The
Board directed the manager to look into acgtnring a larger tank and
invite bids for two different sized tanks.
Miscellaneous : Director Craig requested that the arrangement with
Harold Heidrick for electrical consultation be reviewed for possible
discontinuance. He felt that the present manager has electrical
experience that may make Mr. Heidrick' s services unnecessary. The
Board asked that Mr. Joynt look into the arrangements with Mr.
Heidrick. It was suggested that a project (possibly design work)
be given Mr. Heidrick to work off the credit that presently is due
the District.
Regarding the lighting of the Donner Memorial and the Tennis Courts ,
Mr. Hobensack reported that the District is waiting for work to be
done by the other parties involved. The delay in completion is not
the District' s .
The West River Street water line project is scheduled to be started
on Monday, November 4, 1974. The delay was because the contractor
had to finish another job at Tahoe prior to starting this job.
Director Sutton requested that Dan Cook be present at the next
regular meeting if possible to discuss the water lines in Tahoe --�
Donner. She wished this could be done prior to being placed in
the position of accepting the lines from Dart Resorts . Dart has
requested to be on the agenda of November 19 to discuss the
acceptance. It was decided to request that Dan Cook and a repre-
sentative from the Department of Real Estate be present at the
next regular meeting to discuss Tahoe Donner water lines . A
tentative date of December 3 was established to discuss the accept-
ance of the Tahoe Donner water lines with Dart Resorts .
The Board asked that a meeting be scheduled with Martin McDonough
to discuss the pending rate case. The Manager was directed to find
out how urgent Mr. McDonough feels the situation is and how soon he
feels the matter should be discussed.
DISTRICT COUNSEL REPORT
Surplus Land Report : Mr. Joynt did not have anything new to report
on this. Mr. Hobensack thought that the staff will have to first
find out how much land is owned by the District and then the board
will have to decide which of this land is surplus . Mr. Hobensack
felt that the land should be appraised in the year that they are
intended to be sold. The last appraisals were done in November 1973.
Electric Standby: Mr. Joynt did not think there was a legal problem
with charging the electric standby. He thought there would be some
difficulty in establishing the amount tD be charged each parcel and
the number of parcels within the boundaries of the PUD. There are
provisions which allow up to $10 to be charged for unimproved lots
and up to $20 for lots of an acre or more. The Board has until
January 1975 to have a resolution prepared and to the Board of
Supervisors in Nevada City so that the first installment can be
added to the 1975-76 tax bill. Discussion on whether the charge
can be billed to lots without power available ensued. Mr. Hoben-
sack thought that the charge should not be billed to lots without
primary power within a certain amount of footage .
It was decided to have the Manager contact Dan Cook for his sug-
gestions of determining more definite is accomplished. Mr. Waters
asked that the cost of the computer printout from Nevada County be

determined. Director Craig asked that water standby charge also be
looked into at the same time with the electric standby.
Jones-Rich vs. T-D PUD: Attorney Joynt reported that the case of
Jones-Rich vs. T-D PUD had been dismissed with prejudice . The term
"with prejudice" means that the case is final and cannot be opened
under the same circumstances or theories .
Miscellaneous : Director Craig asked if the Manager had looked into
the Butler vs. T-D PUD case. Mr. Hobensack said he had gone through
the file of the case and found written notice of the hearing being
scheduled for October 21 . This notice was acknowledged by Mr. Paulus
sometime in July. The Directors asked that the attorney look into
who is defending the District in this case. It was believed that
r the insurance attorney for the District was handling the case.
Mr. Chamberlain was also involved earlier in the proceedings .

Policy on Delinquent Accounts : Mr. Hobensack presented the Board
with a customer account that was several months in arrears and asked

k for direction on handling accounts that are several months past due
and no effort is being made to reduce the debit balance. The Directors
agreed that a customer in this situation should at least pay the
current month' s billing plus a specified amount towards the debit
balance . In the specific case that was used as an example , Mr.
Hobensack was directed to contact this customer and request that
financial arrangements be made for payment of this bill . The Board
F asked that a policy be established by the Manager and presented for
their review.

Meeting in New Orleans : The Manager presented the Board with various
brochures from organizations requesting District participation at
a conference or seminar. Mr. Hobensack felt that benefits can be
derived from attendance at these meetings . It was agreed that maybe
later when finances- permitted, representatives from the District
could be sent to desired meetings . The Board also suggested that
the organizations be written and request a transcript of what was
done at the meeting for review by the board members .
Miscellaneous : The Board was presented with a copy of the proposed
k construction agreement for the Truckee Mobilehome Park. This proposal
is acceptable with Mr. Hobensack. Mr. Hobensack requested that the
Board members review the agreement and discuss it at the next regular
meeting. Following the November 19 meeting, Mr. Bright can be scheduled
to attend the December 3 meeting to finalize the agreement with the

Board.
F Mr. Hobensack reported that he has been contacted by an auditing
firm from Reno by the name of Pannell Kerr Forster and Company. A
representative of the firm has looked through the present accounting
system and has proposed a fee of between $3 , 000 and $5 , 000 to set
k the books up and train existing personnel . This firm is experienced
c with utility bookkeeping. Mr. Hobensack has not as yet contacted
REA to acquire a list of accounting firms . He also has not contacted
other interested firms to request written proposals . Mr. Joynt
suggested that the Board might want an accountant that is experienced
with public utility districtsor minicipal utility districts and
California laws on accounting.
f Mr. Hobensack reported that there are two size 878-15 snow tires in
the warehouse purchased .for the Ford LTD that can no longer be used
_for any PUD vehicles . An employee of the District has asked to
purchase these tires. The Board agreed not to sell these tires at
this time and place them in the inventory.
t The Manager reported that a new temporary office employee has been
hired. Her name is Mary Chapman and she is going to fill in when
the other two office employees take their leaves of absence.
Director Craig asked for a report from the manager on the present
arrangements made with the developers of Pannonia Ranchos regarding
electric service.

Director Craig asked what procedures will be taken to prepare a
budget for 1975 . Mr. Hobensack said that he personally does not like
working under a budget as it will usually not be feasible in the
spring. The Board members felt that a budget should be established
for a financial guideline. They asked that a tentative budget be
prepared by January and adopted by mid-February.
Regarding a revised electrical hook-up fee , Mr. Hobensack reported
that according to the figures he has , the cost per new connection
should be approximately $130 rather than the present $SO. The Board
asked for a figure that can be discussed by the next Board meet-
ing.
Director Craig asked what is being done about the joint pole use
fee. He also wanted to know if there are contracts with the tele-
phone company, the cable TV company and Sierra Pacific for joint
use of poles.
Director Craig again asked that the trench from the Southside well
to the road be looked into to see what is going to be done about
it. Mr. Hobensack said he would look into it .
It was reported that Mr. Robert Dean' s well drilling equipment had
been removed today. Mr. Joynt wrote Nevada County requesting that
the equipment be impounded. The County notified Mr. Dean that
he had ten days to remove the equipment or it would be impounded.
Mr. Dean or a representative of Mr. Dean' s removed the equipment
by the deadline.
Director Sutton asked that the manager at some time explain the
various insurance and retirement payments. She also thought that
every January the retirement plan was to be reviewed by the Board
and requested a copy of the contract.
Director Craig has looked into holding this year' s Christmas
Party at O. B. ' s Board. The banquet room at the restaurant is avail-
able on Friday, December 20. There are provisions in the Federal
System of Accounting for employee ' s benefits and recreation which
would establish a fund for things such as Christmas parties . It
was decided to place this topic on the next agenda for a decision.
It was moved be Director Craig and seconded by Director Anderson
. that the meeting adjourn to Executive Session. The secretary and
audience were excused at 10 : 40 p.m.
Following the Executive Session, the meeting reconvened to regular
session. It was moved by Director Sutton and seconded by Director
Anderson that the Board authorize payment of the moving expenses
incurred by Manager Hobensack. ROLL CALL : Craig, aye ; Sutton,

CONSTRUCTION AGREEMENT
TRUCKEE MOBILE HOME PARK
THIS CONSTRUCTION AGREEMENT is made by and between Truckee-
Donner Public Utility District, a public utility district
organized and existing under and by virtue of the laws of the
State of California, hereinafter called the "District", and
Calvin Bright, an owner and developer of property commonly
called Truckee Mobile Home Park , hereinafter called "Owner-
Developer".
Recitals :
a) The District owns, maintains , operates and serves water
and power within the boundaries of the District at Truckee,
Nevada County, California .
b ) Owner-Developer proposes to construct and operate a
126 unit mobile home park as described in Exhibit "A" , attached
,Eereto and made hereoT, within the Ccundaries of the
District, to be constructed, operated and maintained all in
accordance with the rules , regulations and ordinances now or
hereafter established by the District, and also in accordance
with all other rules, regulations , ordinances and orders of all
other regulatory bodies or agencies including, but not limited
to , the State of California , Division of Housing and the County
of Nevada .
c ) Owner-Developer desires to connect to and use the public
facilities of the District for power and water for the proposed
development, and the District agrees to provide such facilities .
THEREFGRE , the parties agree to the following terms, conditions
and covenants

A
1. The land affected by this agreement is situated in the
community of Truckee , County of Nevada, State of California, and
is more particularly described in -Exhibit A attached hereto and
made a part hereof by this reference . In the event of sale ,
transfer or assignment of the land or the project, or any part
hereof, owner-Developer shall provide the transferee with a
copy of this agreement and shall otherwise make full disclosure
of any and all matters pertaining to this agreement as well as
any other orders or directives coming from the District.

2. The developer will construct all water facilities in

strict accordance with the District Standards for construction
and as specifically modified by the improvement plans dated
and signed by the General Manager.

3 . The developer shall deposit with the District the
estimated cost of materials , supplies, equipment rental, labor
and incidentals required to provide and install the primary
electrical distribution s stem. The District shall, after
it proceed to install the rimary electrical
receipt of said deposit, p P
distribution system. At the time when the final cost accounting
is compiled by the District an appropriate adjustment will be
made. Should funds be remaining from said deposit a refund will
be made to the developer. Should the funds deposited be in-
sufficient, a statement of the balance due will be provided to the
developer whereby he shall make prompt payment. Payment is
required prior to service being provided . *The District shall
provide the street lighting luminaries for incorporation into
the developer 's constructed works .
The developer shall construct at his sole cost and expense the
secondary electrical distribution system in accordance with the
applicable codes , general orders and specific requirements of
- the Truckee-Donner Public Utility Distr,.ict and in strict accord-
ance with the improvement plans dated as
witnessed by the signature of the General ManagerCn—

4. All water supply facilities located within the public
right of way shall become, upon acceptance, the sole property
of the Truckee Utility Donner Public Utilit District for use in operation,
maintenance and extension as the Truckee Donner Public Utility
District may see fit in the best interest of the District.
5. The owner developer shall operate and maintain the water
distribution system within the mobile home park and beyond the
limits of the public right of way at his sole cost and expense
without obligation to the Truckee Donner Public Utility District.

The owner developer shall pay wholesale water rates for all

unaccountable water within the development.
6. The owner developer shall operate- and maintain the
secondary power distribution system at his sole cost and obligation
without liability to the Truckee Donner Public Utility District.
The Truckee Donner Public Utility District shall maintain and
operate the primary power source . The Truckee Donner Public
Utility District shall maintain the street lighting luminaries.
7. Prior to commencement of construction, the owner-developer
shall provide a performance bond or an irrevocable letter of
credit in the amount and, in a form approved by the District
Board of Directors so as to insure construction pursuant to plans
and specifications approved by the District.
8 . The owner developer hereby agrees to provide an insurance
policy with the minimum coverage as set forth herein . This public
liability and property damage insurance shall be maintained by
the developer in full force and effect during the entire period
of construction in amounts not less than the following :
(1) Limit of Liability for Personal Injury or
Accidental Death shall be at least:
One Person ---------------------------- $500, 000.00
Aggregate Liability per Accident ------ $1,000,000.00

(2 ) Limit of Liability for Property . Damage
shall be at least:
One Occurrence ---------------------------- S50v000.00
Aggregate Liability for Loss per Accident - $100, 000.00
The policy shall name the Truckee Donner Public Utility District
as additional insured, and said policy shall provide a 30 day
notice prior to cancellation.
9 . The owner-developer agrees to indemnify and hold harmless
d servants from
the District, its engineer, employees, agents and
any and all claims, suits, costs, expenses, damages, and injuries
to persons or property from any and all things in connection with
the installation, construction, operation an.d maintenance of the
mobile home park . Excepting a cause of action resulting from the
sole negligence of the District, its engineer, employees and agents.
10. It is hereby agreed that the cost of providing public
facilities to the residents of the Truckee Mobile Home Park shall
be in accordance with the rates, charges and published procedures
of the District as adopted or hereafter modified and adopted by
the District. A monthly minimum service charge for water supply '
shall be charged to each pad occupant. The electrical energy
consumption charge shall be as determined by the individual metered
servi.ces and charged to each pad occupant. The owner shall pay
the standard rate as set by the Board of Directors from time to
time for the operation of the street and area lighting.
11. The owner -developer hereby agrees to pay the District the
standard water source and storage fee as designated in Ordinance,
$75 for each pad and the recreation building (S75 x 127 = $9525 ) .
The total amount shall be covered by a letter of credit in a form
approved by the District and deposited with the District at time
construction is started. The fees herein described shall be due
and payable prior to the providing of water service by the District.

12. The owner developer hereby agrees to pay the District the
electrical connection fee of $50 per pad and recreation building
as provided by Ordinance (550 x 127 = $6350) . The total amount
shall be covered by a letter of credit in a form approved by the .
District and deposited with the District at time construction is
started. The fees herein described shall be due and payable by
the owner developer at the time the electrical meter is installed
for the pad or recreation building. The amount of the letter of
credit may be reduced from time to time as the fees are paid,
however, the amount of reduction shall not be less than $500 at
any one time. Reductions must be approved by the Board of Directors.
13 . The owner developer hereby expressly provides the Truckee
Donner Public Utility District, its employees and officers access
to water and power facilities within the Truckee Mobile Home Park
for purposes provided in the State of California Health and Safety
Code and the California Public Utilities Code .
Specific dedicated easements and rights of way as more particularly
described in Exhibit B, incorporated by this reference and made a
part hereof are provided to the District for all facilities to be
operated and maintained by the District.
14 . The owner developer hereby agrees to deposit an inspection
fee with the Truckee Donner Public Utility District in the amount
of 22%* of the estimated construction cost and said fee shall be
due and payable prior to the start of construction.
E 15 . It is hereby agreed that all construction within the
Truckee Mobile Home Park shall be in accordance with the improvement
plans a.nd the District Standards and the District Inspectors shall

not cause changes in the work without appropriate authorization and
change order documentation from the owner developer. It is further
agreed that the owner shall not deviate from the above standards
and improvement plans without appropriate change order documentation
approved by the District affected by any such proposed change .

GRANT
FOR VALUE RECEIVED, and pursuant to the 1974 Tahoe Donner
Electric Power Line Agreement dated May 21, 1974, between
grantor and grantee, DART INDUSTRIES INC. , a Delaware corporation,
grants to TRUCKEE-DONNER PUBLIC UTILITY DISTRICT, a public agency
of the State of California, the primary electric distribution
system constructed by DART pursuant to said agreement, which
system is commonly known as Phase I of the Power Line Contract,
and is the system within Tahoe Donner Units 1, 2 , 4, 6, 7, and
3, with the exception of that portion of Unit 3 lying west of the
intersection of Glacier Way and Ski Slope Way, and including a
right of way and easement to construct, reconstruct, operate, and
maintain such part of the physical facilities comprising the sys-
tem as are not located in public roads or dedicated easements .
