Page 1 , December 16, 1975 �y ACCEPTANCE OF TAHOE DONNER WATER SYSTEM. Dan Cook discussed with the Board point by point his thoughts on Dart's letter addressed to the Board dated December 16, 1975. A copy of this letter is attached to these minutes. Followingthis discussion the President asked Mr. Cook if he would recommend acceptance of the Tahoe Donner Water system with his recommended additions to the Dart letter. Dan Cook indicated he believed that to be a policy decision. He stated that the system is essentially complete and that the District has an alternative in the Dart letter_and. his additions thereto to the provi- sion in the 1970 Agreement with Lakeworld that the system would not be accepted until completion. Dan Cook stated -that he believed the District could not be criticized for accepting the system under those conditions. He also recommended that the District obtain an expression from the Dart representatives that they will support the formation of the improvement District because-in his opinion the District would have to begin replacing the system the day that the system.is accepted. The Dart representatives indicated they were in agreement with the additional changes suggested by Dan Cook and would issue a supplemental letter incorporating those changes. A copy of that letter dated December 17, 1975, is attached to these minutes. The Manager indicated that he felt the engineer, Dan Cook, is the person who has the responsibility to advise the Board on the acceptance or rejection of the system and that he has advised the Board to accept the system under certain conditions. Director Christensen moved that the District accept the Tahoe Donner water system as proposed .with the additions, period of warranty to start at completion of work, punch 1 i-st of December 2nd to be included, operation overview and as-built drawings included, $70,000 payment to the District and that the improvement District is formed, Director Waters moved to table the matter of the Tahoe Donner water system acceptance until the final letter of changes has been written and approved by Mr. Cook. Mr. Waters requested a special meeting be hel d' when the letter from Dart has been received and approved by Mr. Cook. Director Craig moved that the meeting be adjourned to December 17, 1975, at 3:00 P.M. Seconded by Director Christensen. All aye by voice votte. Operational Overview and As-built Drawings - Dart will expeditiously complete and provide the District with a written oper- ational overview and as-built drawings of the system. 4. RESOLUTION "AUTHORIZING THE RELEASE OF THE SURETY ON THE DART INDUSTRIES INC. FAITHFUL PERFORMANCE B ND WI H RESPECT TO ELECTRIC POWER SERVICE CONSTRUCTION AT TAHOE DONNER'-' Director Waters moved that Resolution No. 7525 be adopted. Seconded by Director Craig. ROLL CALL: Waters, aye; Sutton, aye; Craig, aye; Christensen, aye; Anderson aye; SO MOVED. - ' MARTIN MCDONOUGH The Manager indicated that Martin McDonough had contacted the District and stated that he would be unable to attend the meeting as he was not prepared to present a proposal from a rate engineer. Paul Hobensack stated that Martin McDonough had suggested a committee from the District meet :with the Airport District to further discuss the Airport Well Agreement. The matter was tabled to January 6, 1976, at which time McDonough would be present. JOB DESCRIPTION FOR MANAGEMENT EMPLOYEE Fol-lowing a brief discussion this item was tabled until January 20, 1976. PRESENTATION OF DRAFT BUDGET This matter was tabled to January 6, 1976. MISCELLANEOUS OLD BUSINESSv- l The Manager indicated that the substation at Tahoe Donner had been energized and parallelled. The Manager stated to the Board that Cy Armstrong with the Department of Health, County of Nevada, had contacted him and indicated he was interested in buying from the District snow fence located at the Donner Creek water tanks. It was agreed that the Manager would determine which items of the District could be declared surplus, put up for bid and disposed of. The Manager indicated that money is available to the District from REA in the amount of approximately $98,000. The Manager indicated he would contact Mr. Brown with REA and determine what can be done and what must be done to have those funds released to the District. It was agreed that the matter would be continued on January 20, 1976. The Manager requested from the Board authorization to automatically pay the Bank of America truck loan payment each month. Director Sutton moved that the Manager be authorized to have the Page 1 , December 17, 1975 truck loan payment to Bank of America paid automatically when it is due each month based on the Contract already existing. Seconded by Director Waters. All aye by voice vote. The Manager also discussed with the Board the problem of late billings received by the customers. ACCEPTANCE OF TAHOE DONNER WATER SYSTEM Dan Cook represented to the Board that he had read over the letter from Dart dated December 17, 1975, addressed to the Board confirming certain conditions of acceptance of the Tahoe Donner water system. Dan Cook indicated the letter was satisfactory to him. A copy of that letter is 'an attachment to Resolution 7526 attached to these minutes. Director Christensen moved that the District accept Resolution 7526, "Approving and Accepting, With Conditions as Stated Herein, the Tahoe Donner Water Distribution System" with the maintenance and operation date of takeover to be January 15, 1976. Seconded by Director Waters. Director Sutton stated for the record a portion of Adjusting Change Order 303: "In return for the system constructed, the monies paid and the delivery to the District of the system free of all encumbrances, and other valuable consideration, each party declares that this adjusting change order shall settle all claims; adjustments, grievances, back-charges and all causes of legal actio.n, one against another as such may relate to the construction of the Tahoe Donner Subdivision water system. " Director Sutton moved that the matter be tabled until the last week in January so that the District may give its attorney and its Board time to review some of the problems connected with acceptance. Seconded by Director Craig. --- ROLL CALL: Waters , no; Sutton, aye; Craig, aye; Christensen., no; Anderson, no; MOTION FAILED. ROLL CALL vote on Director Christensen's motion to accept Resolution 7526: Waters, aye; Sutton, no; Craig, no; Christensen, aye; Anderson, aye; SO MOVED. Director Craig asked that the minutes show the reasons he voted 'no' were "that the District has been approached for acceptance of this system many times over the last year. It has continually been found 'to not be 100/ complete, not 100% tested and not be acceptable to the District. I see no reason to accept the system before it is 100/ complete and acceptable to the District. Secondly, why should the District assume any system where people have not paid the hookup fee as everyone else in the District has paid. Thirdly, Mr. Joynt's recommendation that the Resolution should be tightened up before we accept it. " Director Anderson asked that the record show M-s reason for voting 'yes' : "It was the Board's opinion that when the engineer approved the Tahoe Donner water distribution system that-we would then honor that and if we are in fact saying that this is no longer the case then maybe we ought to be l ooki n-g for anew engineer. " Regarding adjusting change order 303, Dan Cook indicated he felt the change order would still be appropriate subject to the terms stated in Resolution 7526. The matter of the change order was continued until the meeting of January 6th. t BILLS FOR BOARD APPROVAL The Board discussed the bills submitted by .Arthur Young & Company. The Manager suggested sending a letter to Arthur Young & Company regarding those billings and requesting further information Director Sutton asked that the minutes show "that we are paying $20,000 which is the balance owing on the Sierra Pacific Power Co. bill Page 2, December 17, 1975 A due September 19th which makes us about 3 months behind now on the Sierra Pacific Power bills and the Board may not be aware but we have been getting disconnect notices with the bills." There was also no objection to have the matter of the resolution regarding the interim rate increase placed on the agenda for January 6th. The Board discussed the motion passed by the Board at the December 2nd `13oard meeting stating all correspondence would come through the Manager, the Board members being copied through the District office. The Manager requested instructions from the Board regarding the Arthur Young bill dated September llth in the amount of $926.00. The majority of the Board agreed that the Manager should communicate with Ron Witcosky of Arthur Young & Company regarding their billings to the District dated September 11 , 1975. Items 8 and 9 of Old Business and Item 1 of the District Counsel report were tabled to January 20, 1976. The Board discussed providing a packet to the Sierra Sun, the Sac- ramento Bee and the Tahoe World which would include information the Board receives related to the respective agenda. The Manager indicated he did not believe the District was bound by law to provide the newspapers with copies of everything the Board receives. Box 309 Truckee, California 95734 t Gentlemen : r On March 19 , 1970 , Lakeworld Development Company and Truckee- Donner Public Utility District entered into an agreement which set forth certain authorities , responsibilities , liabilities and benefits for each entity in connection with the development a of, and water service to , a project to be known as "Tahoe Northwoods". That project is now known as "Tahoe Donner" , a �s resort-recreation development of Dart Industries , Inc. On February 23 , 1971 , Dart Industries , Inc. (hereafter "Dart") k assumed the rights and obligations of Lakeworld under the . G above agreement , with the concurrence of Truckee-Donner Public 3 Utility District (hereafter "District") . ' On October 1S , 1973 , Dart and District entered into a "Supplemental Agreement" modifying some of the original terms of the original (1970) agreement. Under the terms of the 1970 and 1973 agreements , Dart was obligated to cause the construction of { an in-tract water distribution system and develop a supply, in increments , as more fully described by paragraphs 10 to 14 inclusive of the i973 agreement. k Paragraphs l (a) , 2 , 3 , 6, 7 and 8 of the 1970 agreement (not in k any way modified by the 1973 agreement) described the means , 4 responsibilities and methods by which Dart was to construct and convey to the District , the distribution systems , and the means , responsibilities and methods by which District was to oversee , inspect and accept the systems . ' 1 On various dates , pursuant to the requirements of law, Dart a entered into certain subdivision improvement agreements with the County of Ncvada, each secured by Faithful Performance and k Labor and Materials Surety Bonds . Certain of those bonds and r agreements relate to the grater distribution system and other gazer facilities which are the subject matter of the above mentioned paragraphs of the 1970 agreement . Said plans and specifications were reviewed and approved by District ' s general manager. Dart has caused various contractors 'and suppliers to create , assemble , install and otherwise construct said water systems and facilities on all or portions of Tahoe Donner. Dart has paid inspection fees to r District and given District unrestricted access for inspection i _ purposes , to all portions of the system before , during and after construction. Now, pursuant to paragraph 8 (a) of the 1970 agreement Dart hereby states that those systems and facilities specifically i, listed in Appendix "A" hereof, are complete as to each phase and/or unit listed, and that adequate supply exists , pursuant to paragraphs 4 , 5 and 9 of the 1973 agreement , to satisfy E the present and immediately forseeable needs of Tahoe Donner. c , Dart hereby conveys to District those systems and facilities listed in said Appendix "A" by fully executed and acknowledged grant deeds enclosed herewith. Copies of said deeds are attached hereto as Appendix "B". s Dart hereby specifically requests that District , pursuant to , paragraph 8 of the 1970 agreement , and paragraph 8 of the (b) 1973 agreement , formally accept conveyance of these systems and facilities and cause said deeds to be recorded in the t office of the County Recorder of Nevada County. , � Dart hereby certifies that these sys tems and facilities are ,t•- complete , suitable for their intended purposes , and (except as hereinafter noted) free of defects . Dart further reiterates its . operations warranty of these systems and facilities . In the event any portion(s) of any of these systems and facilities fails to perform in its designed and intended manner due to defects in materials , workmanship or manufacture prior to December 2 , 1976 , Dart will cause said failing portion of said f system to be repaired and/or replaced as may be deemed necessary by District upon receipt of written notice from District stating the type , location and description of such failure . This warranty does not extend to failure of any portion of the system caused by negligent operation by the District , its employees , contractors , or agents , nor does it extend to damage caused by acts of third parties . Such third party acts include , but are not limited to , snow removal by either public or private operators not in Dart ' s employ, automobile accident , etc. a Board of Directors -3- Trucke e-Donner P.U.D. • November 25 , 1975 ` As .a feature of the above warranty , Dart hereby acknowledges that due to mishap and/or acts of the elements , certain properly installed concrete water service boxes and/or their covers are broken. Dart acknowledges to District , Dart ' s liability to provide to District boxes and covers , properly installed and free of breakage and/or cracks . Dart also alleges and acknowledges that if such boxes were replaced or repaired prior to system acceptance , a large number of boxes 8 would need to be replaced again before the end of the warranty period. Dart further alleges and acknowledges that even if such boxes are replaced at the end of the warranty period, they could become damaged and would require replacement at such future date as District actually connects individual water services to the system. As a reasonable solution to the above : trict its choice of either of the problem, Dart offers the Dis following alternatives : ' t i 1 Dart will commence replacement of any boxes and/or covers id entified as broken on or before June . 1 , f 1976 and complete such replacement prior to November 15 , 1976 , o r ; 2) Dart will _replace any broker_ box that is on any , } presently connected service originally connected t during the warranty period. In addition, Dart will ¢ provide the District with a one time cash payment ' p � equal to the actual .delivered unit price of a Dis-trict specification service box ordered In lots { of 100 or more , F.O.B . the District 's office , ; multiplied by the actual number of boxes found. to be broken on December 2 , 1976 . The District will be under no obligation to Dart to segregate the,i t funds so given, nor to give any accounting to Dart whatsoever as to the use of said funds . In Ma of this year , Dart directed its engineer to inspect all y • subject facilities and systems that were visible portions of the subs ; and/or accessible , in order to assess the amount and character of any remedial work necessary to correct any deficiencies e y that ma have then existed. In close coordination with District ' s engineer , Dart ' s engineer, other consultants and ; various contractors and sub-contractors , Dart has recently ed u "punch list" program of repair , reconstruction embark upon a and. re lacement of portions of the system in order to provide p ict with a s stem that is functionally complete and the Distr y District ' s operation. Every fire hydrant which had proper for Distri p a shallow late rat line was either lowered or thermal insulated in a manner approved by District ' s engineer. The cost to Dart of this one operation was in excess of $1s0,000 . More than , i p r r S board of Directors -4- Truckee-Donner P.U.D. '•, November 25 , 1975 $100 ,000 worth of additional work was performed on the system. Due to the lack of availability of the required Darts before the heavy snows , fire hydrant heads were not adjusted for final height above finished grade . In addition, four pressure relief valves have not been Installed. This does not affect the operation efficiency of the system nor its reliability. Dart will cause these items to be installed and adjusted after the necessary parts are delivered to Truckee , arl d after the snows recede . Dart has recorded the effects of the above work and has instructed its engineer to prepare final "As-Built" plans . These "As-Built" plans will be delivered to the District as they are completed, and in any event , no later than March 31 , I 1976, Enclosed as Appendix "C" is a list of Bonds and Agreements which cover the systems and facilities being conveyed hereby. District is hereby requested to communicate by letter , t enclosing a certified copy of its Board' s Resolution releasing District ' s interest in each bond and each agreement. We reiterate our statement that the system is substantially ccamplete. Due to circumstances which include the short-term unavailability of parts, inclement weather, and the inability to excavate in road right- of-way during the winter months, there are a few items that Dart is continuing to work on. Their status, and our connitments to the District regarding them, are as follows: 1. Warranty - Dart specifically reiterates its operational warranty of the systems and facilities as more fully described in our letter of December 2, 1975. All Park, presently underway, or to be per- formed pursuant to this letter, will be completed during the war- ranty period. 2. Testing - Units 8 to 11 and 3 (b) - This work is presently being performed. Any section of the system which does not pass the tests, as supervised by the District's Engineer, will be diagnosed and repaired, as necessary, and re-tested until it complies with the requirements of the test. . All testing will continue until completed, or as directed by the District's Engineer. Repair work, if necessary, will be performed at the earliest date, in the spring of 1976, that weather will allow. 3. Testing - Units 1 to 7 Inclusive - Testing of these units will be performed during the spring of 1976. During the winter of 1975 - 1976, Dart's Engineer will meet with District's Engineer to evaluate A resort residential community by Dart Resorts, A Division of Dart Industries Inc.
