HomeMy WebLinkAbout1977-02-15 Min - Board FEBRUARY 152 1977 The regular meeting of the Board of Directors was called to order by the Chairman at 7:30 P.M. in the Conference Room of the District Office. ROLL CALL: Waters, present; Sutton, absent at roll call but arrived at approx- imately :45 P.M. ; Craig, absent at roll call but arrived a few minutes later; Christensen, present;. Anderson, present. EMPLOYEES PRESENT: Seymour and Reed. OTHERS PRESENT: See attached list of audience attendance. MINUTES Director Christensen moved that the minutes of December 27, 1976, January 18 and January 25, 1977, be approved as presented. Seconded by Director Waters. ALL AYE BY VOICE VOTE. SO ORDERED. BILLS FOR BOARD APPROVAL AND STATEMENT OF GENERAL FUND Director Christensen moved that the bills be approved. Seconded by Direc- tor Waters. ALL AYE BY VOICE VOTE. SO ORDERED. MODIFICATION OF 1973 SUPPLEMENTAL AGREEMENT WITH DART Dan Cook, District Engineer, briefly discussed with the Board his views of the November 2, 1976 offer by Sid Karsh, President of Dart Resorts, to amend the 1973 Supplemental Agreement to allow alternatives in supplemental water sources. It was agreed that this matter would be placed on the Agenda for March 1 , 1977, to give the Board and Dart an opportunity to more thoroughly review Mr. Cook's views as presented. - CAPITAL IMPROVEMENTS AND METHODS OF FINANCING Dan Cook reported to the Board on the various ways to finance certain Dis- trict projects, specifically the financing of the replacement of the Deerfield water line, the rework of McGlashen Springs and Tonini Springs and the installa- tion of the pump motor and control system at the Southside Well #2. He recom- mended that the District declare some of the District owned property surplus, obtain immediate appriasals of those lands and use the proceeds from those sales for matching funds to accomplish work on the Deerfield water line. He indicated that approximately $119,000 would be necessary as the District's share of match- ing funds if state or federal monies are obtained for the projects. It was agreed that Mr. Cook would bring current those appraisals previously obtained by the District for District owned property and determine what the prop- erty assets are and how much of those assets would have to be liquidated to de- rive the matching funds. Director Christensen moved that the Manager start putting out the speci- fications for the Deerfield line project. Seconded by Director Waters. ALL AYE BY VOICE VOTE. SO ORDERED. This matter was tabled to the meeting of March 1 , 1977, for further dis- cussion. ORDINANCE - FUEL CHARGE RATE AND ORDINANCE - CONNECTION AND FACILITIES FEES .--- D i rector Christensen moved that items 3 and 4 be tabled to the March 1 meeting. Seconded by Director Waters. No vote was recorded.. 1976 UNION CONTRACT This matter was tabled to the meeting of March 1 at which time District Counsel Steven Grumer would be in attendance. MISCELLANEOUS NEW BUSINESS The Board discussed a letter addressed to Milt Seymour dated February 10, 1977, from Mr. Harry Garian regarding a will serve letter for the Ponderosa 2/15/77 Pg . 1 Palisades Condominiums. A copy of that letter is attached to these minutes. It was agreed that Mr. Cook would review this matter and report back to the Board. A special meeting was scheduled for March 7th at 7:30 P.M. for the pur- pose of discussing the Water System Analysis Report prepared by Cook Associates. The Board also discussed a letter from Honore Zenk dated February 4, 1977, regarding assurances of water to Units 1 through 7 in Tahoe Donner. It was agreed that this matter would be reviewed by Milt Seymour, Dan Cook, Martin McDonough and Steven Grumer before any action was taken. John Stralla, IBEW Union Representative, appeared before the Board regarding a grievance against the District filed by one of the District's employees which names Mrs. Sutton. It was agreed that this matter would be tabled to later in the meeting at which time Mrs. Sutton was expected to be in attendance, or until the March 15 meeting. DISTRICT COUNSEL REPORT Resolution of Acceptance Regarding Grants, Deeds and Easements with Respect to-Tahoe Donner Water System: In the absence of District Counsel Steven Grumer this matter was tabled. Resolution - Approving the Filing of a Negative Declaration of the Sander's Well Site: Mr. Cook discussed with the Board the Environmental Impact Assessment for the Sander's Site Production Well . Mr. Pat Shane appeared before the Board and expressed his concern over the effect that the drilling of the Sander's Site Well would have on the Sha Neva Well which is located on property which he is presently leasing from Mr. Sanders. Dr. John Sharp, hydrologist for Dart, also participated in the discus- sion regarding the affect which this well might have on all surrounding wells and the. Environmental Impact Assessment of this project. A copy of Mr. Cook's revised Environmental Impact Assessment for the Sander's Site Well is attached to these minutes. Director Christensen moved that a Negative Declaration be filed for the Sander's Site Production Well . Mr. Anderson turned the Chair over to Vice- President Craig in order to second the motion. ROLL CALL: Waters, abstain; Sutton, no; Christensen, aye; Anderson, aye; Craig, no; MOTION FAILED. Interim Manager Milton Seymour was instructed to contact Mr. Cook, Mr. Grumer and Dart representatives so that at the next meeting some action could be taken. Director Sutton requested that the Interim Manager review the Environ- mental Guidelines regarding a public hearing on this matter. Reveiw of By-Law Proposal : This matter was tabled to the meeting of March 1 . MISCELLANEOUS OLD BUSINESS John Stralla,, I BEW Representative, discussed with the Board the grievance filed with the Union regarding Director Pat Sutton on behalf of Jane Reed a district employee. Mrs. Sutton read for the record a letter dated February ---� 14, 1977, regarding this matter. A copy of this letter is attached to these minutes. Mr. Stralla read for the record a letter dated January 17, 1977, address- ed to Mrs. Pat Sutton regarding this matter. A copy of that letter is also attached to these minutes. It was agreed that Mr. Stralla would contact District Counsel Steven Grumer to further discuss the resolution of this matter. 2/15/79 pg. 2 Mrs. Sutton asked that the record show "that it is perfectly clear to everyone sitting at this table that this grievance is not against me. It is against the District, and therefore, it is a District problem not my problem - only my problem insofar as I am related to it." Also attached to the minutes is a copy of the grievance filed and Mr. Daven Morey's letter dated January 11 , 1977, addressed to Mr. Stralla. MANAGER'S REPORT Progress Report - 1977 Draft Budget: The Manager reported to the Board on the progress of the preparation of the 1977 draft budget. He indicated that the draft budget would be available for the next Board meeting. Mr. Seymour indicated that the District is in receipt of a Mailgram from Governor Brown regarding water conservation measures taken by the District to date and those planned in the future. Mr. Cook stated that he is presently studying the possible effects of the drought on the District's water supply. It was agreed that Mr. Cook and Mr. Seymour would coordinate their efforts to provide the information requested by the Governor. The Chairman read for the record a copy of a letter received from Whit- field A. Russell , Utility Consultant, regarding an April 1966 memorandum from the Secretary of Interior to the Bureau of Reclamation about federal power service to Rural Electric Cooperatives in California and Nevada. A copy of that letter with the 1966 Memorandum is attached to these minutes. Also discussed was a letter from Martin McDonough dated January 31 , 1.977, regarding Fuel Adjustment Clause, FPC Docket ER76-87, Sierra Pacific Power Co. , A copy of that letter is attached to these minutes. Also briefly discussed was a letter dated February 12, 1977, from Robert 0. Vaughan addressed to Judge Kanel 1 , Federal Power Commission regarding the proposed Fuel Adjustment Clause. A copy of that letter is attached to these minutes. ,.-.. The Manager briefly noted a Seminar for Board members to be held in Palm Springs on February 25th. No action was taken on this matter. Director Sutton requested that her memo of February 3 regarding the min- utes of January 18 be attached to the minutes of this meeting. Director Sut- ton requested that the letter from Don Strand dated February 1 regarding the Sales Office Well and her letter of February 14 to Dan Cook regarding a Special Meeting to review the Water System Analysis Report be attached to the minutes of this meeting. Report on Frozen Service Problem Within District: A copy of Mr. Seymour's report on this matter is attached to these minutes. The Chairman adjourned the meeting into Executive Session at 10:55 P.M. Following Executive Session the Regular Meeting was reconvened. Director Waters moved that the Board accept Mr. Grow's resignation as Temporary General Foreman back to Meterman Technician at the time that a re- placement can be found and that a letter of commendation be placed in his per- sonnel file. Seconded by Director Christensen. ALL AYE BY VOICE VOTE. SO ORDERED. Mr. Cook and Mr. Seymour were instructed to review the existing job description for Superintendent of Power and Water. The Truckee Donner Public Utility District entered into 1 contractual arrangementswith Lakeworld Development Company (subsequently taken over by Dart Industry . To assume the maintenance and operation responsibility of the complete water system to serve the Tahoe Donner Subdivision. Dart is to provide, , 1 under the terms of the agreement, a complete and adequate source of supply defined as 4, 000 GPM under the terms of the 1970 Agreement. The Truckee Donner Public Utility District is bound, by the Agreement, to assist in the acquisitions of right-of-way, permits and related water rights. The 1970 Agreement was amended in 1973 when it became apparent that the use of Donner Lake as the source of supply, would not be approved. The Supplemental Agreement defines, among other things, t1he 'need -Tor a hydrological analysis of the Martis Valley basin as a potential source of ground water to satisfy the 1970 contractual requirements . The 1973 agreement also provides a means by which additional sources of supply will be provided., in the form of additional wells connected to the systemlon a schedule of demands as provided by the Truckee Donner Public Utility District. The North Side Well has been constructed and tied into the Truckee Donner Public Utility District distribution system for a supply of water to the Tahoe Donner development in accordance with the above noted agreements . The yield of the North Side Well and Pump is less than the anticipated August 1976 demand' and therefore in accordance with the agreement, the Truckee Donner Public Utility District placed a demand on Dart to provide additional sources prior to August .1978. , The District has developed a Flow Diagram of the groundwater loop*- exploration of the Truckee Region in accordance with the 1973 supplemental agreement . The Flow Diagram is attached to this narrative as Exhibit 1. In January 1977, the Sales office Well was completed and the initial testing begun. The testing revealed a minor roducer. The transmission line will lie parallel to the existing 8" line that links the Olympic Heights Subdivision to the town system, The transmission main will run southerly from the pump to the Interstate 80 northerly freeway limit as shown on Photographs H, -C and D indicating the general direction of the pipeline and the cultural feature that exists. The transmission main will turn westerly at the northerly line of Interstate 80 in the general vicinity as shown . on Photographs E, F -and G, Exhibit 3 . Suitable spacing, horizontal and .vertical clearances will be provides} from the Truckee Sanitary District' s sewage facilities at the approximate change in direction adjacent to Interstate 80. The transmission main will traverse parallel to the buried telephone cable for a distance of approximately 2, 000 feet and the two facilities will diverge at the crossing of Trout Creek . It is anticipated that the transmission main wi.11�lie to the west of -the North Side Well and Tank as indicated on Photographs H .and J, Exhibit 3. The transmission main will continue westerly to the Donner Trails tank in the existing Truckee Donner Public Utility District easement across the Forest Service property (Photographs K 8. L) and thence in Old Highway 40 and join with the existing 14" diameter facility recently constructed to receive the flow from the Sales Office Well, had it been a reasonable producer. CONTROLS The project will include the modifications to the existing telemetry system so as to provide lead pump operational modes that will include North Side Well, the Sander' s Site Well and space for four additional lead pump modes. It is anticipated that the telemetry system will be compatible with the U .E . S. system installed however, -.: a different manufacturer will be requested to propose on the contem- plated installation. r SIGNIFICANT FEATURES The Sander ' s Site Well will be withdrawing water from the Martis Valley aquifer as defined in the Hydro-Search report entitled "Availability of Ground -Water,,-- Truckee Donner Public Utility District" . The report lists the annual recharge of the Martis Valley. aquifer as 18, 179 acre feet annually. The Sander' s Site pump and well will be withdrawing water from the same strata and aquifer as the Airport Well and the North Side Well. Both of these wells have excellent water quality and there is no reason to suspect that the water quality from the Sander' s Site will be anything other than similar excellent potable water quality. The potential yield of the Sander's Site Well is listed by Hydro-=Search to range from a 90% probability of -1, 000 GPM to a 50% probability of 2,000 GPM. During maximum operating conditions at the highest probable yield the Sander's Site in conjunction with the North Side-Well can not create an overdraft within the Martis Valley aquifer as defined.. , The construction of the Sander 's- Site Well will create some neighborhood problems that will be transitory in their extent, however, somewhat aggravating for those individuals living in the mobile homes adjacent to the site . There are homes within 150 feet of the selected site as indicated on Photograph M, Exhibit 3, attached hereto.. It is anticipated that construction noise attenuation will be required as a mitigating measure to the adverse environmental effects of the construction activity. Access road construction will occur leading from the Sha Neva access to the proposed site. The results of the access road are apt to create traffic control problems within the Coachmen Mobile Home Park . T'he vicinity of the park to the well may create security problems that must be accommodated in the proposed design of the pump house structure. Wheeler's position in refer- ence to the fuel clause proposals submitted by Sierra Pacific in its letter of February 2 , 1977: 1. Mt. Wheeler objects to the proposed revised fuel adjustment clause using twelve-month- operating per- iod and average costs experienced during the last month of the operating period because, in our opinion, it does not, in fact, reflect actual fuel costs for such operating period and thus does not conform with Commission order 517 . 2. The alternate proposed fuel adjustment clause utiliz- ing a one--month operating period and reflecting actual cost, in our opinion, is in conformity with Commission Order No. 517 and we do not object to it for applica- tion to the other wholesale customers . 3. After analyzing the alternate fuel adjustment clause in` 2 above, it is our opinion that the application of the alternate. one-month lag fuel adjustment clause to Mt. The grievance involves your memo to Darin Morey, Acting Manager dated January 49 1977 and the public reading of same at a meeting. This incident caused Ms. Reed to suffer great embarrassment and undue humiliaticn. On October 4, 1976, I met with you and District-Attorney Steven Grumer to dis- cuss the very same problem. At that time, I informed ,-�'%u that any such inci"- dents of this nature arising from your actions regarding Ms. Reed or for that matter any other employee should be handled in accordance with the provisions of Resolution 7204. You indicated full agreement with using the procedure I requested and assured me that you would make use of it in the future. I regret that it appears you have not lived up to your agreement. Your posi- tion warrants that you conduct yourself in a responsible manner toward not only your constituants out to the employees of the District. I have, discussed your actions with my office and our legal staff and it is our opinion that you have violated the Ralph �I, Brown Act, Section 54957 and Resolu- tion 7204. Further, I believe that Ms. Reed is entitled to a public apology. If you do not comply with our request for such apology, I see no alternative but to request the Board to censor you from om further acts that may result in un- due embarrassment to Ms. Reed or other employees of the District. Box BT Incline -Village, Nevada Dear Steve t This letter is regarding; a grievance filed against the Truckee Donner_ Public Utility District by the I .B*E*W. Local 1245 in behalf of Jane Reed, a clerical employee of the District. As you know, this Grievance is dated January ' 5, 1977, and the basis cited is my Memorandum of January 4, 1977, to the Acting; Manager and the public record of that Memo. The Grievance has a request for correction which alleges haras�-ment and a Violation of the Brown Act, and claims to have a letter from the Acting Manager ihdicating satisfaction with the "performance of grievant" as an attachment. e first knowledge I had that a Grievance had been filed against The • s naming capacity as an elected Director of the District na�r,�ng me in my p y .the District was late afternoon on Friday, January 21. I found a letter in my "pickup file" at the office dated January 17 , 1977 from John Stralla, IBEW Business Representative , in a plain envelope with out return address postmarked in Truckee on January 19 and addressed to me in care of. the TDPUD. During that time the District was without -a management employee and the only alternative source for a copy of the Grievance that I knew of was the Shop Steward. I was unsuccessful in trying to contact him the .following Noonday, January 24, but the next day I obtained a copy of the Grievance , without attachments, from _him. There is no justification for this Grievance filed by a clerical employee on the basis of my Memorandum of January 4 , and Mr Stralla' s letter of January 17 contains misinformation and misinter- pretations and misrepresentations . As the District Counsel , I wish to call your attention to the following facts regarding this Grievance. against the District i 1. MY MEMO OF JA NUARY 4, 19779 IS NOT BASIS FOR A GRIEVANCE* This Memo is concerned with administrative direction, administrative Les onsibilit _administrative authority, and administrative function.. The substance of. that Demo is clearly within the realm of proper concerns of a board of directors and the administration of a public agency. I am surprised that a union has the authority or would intend to interfere in either Board or management functions or the relationship between Board and management. W. page 2 It' s difficult to understand how anyone who has actually read the Memo could interpret it as a complaint against a specific clerical employee . The Memo was directed to the Acting Manager as an appeal for recognition that some of -the Board' s recurring problems with -the minutes could be resolved through administrative attention to clerical procedures , if there was any desire for some resolution of the problem, ' 2. THERE HAS BEEN NO VIOLATION OF THE BROWN ACT. The allegation in the Grievance and- Mr. Stralla' s letter that I have in some manner violated the Brown Act is in error. The subject matter of the Memo was in no way one that might- be impro- perly considered in public session. The problem of the minutes is -the Board' s problem; a way to somewhat alleviate_ that problem was brought to the attention of the Board and -the management employee ; there was no impropriety in any of what I read or said publicly. Moreover, Section 54957 of the Brown Act does not REQUIRE any dis- cussion. or deliberations of any nature (including complaints about specific employees) to take place in. executive session. Rather, this Section .ALLOWS closed sessions to be held to consider certain specified matters related to personnel, including complaints. Since that Section of the Brown Act 'is permissive instead of manda- tory, it could not have been VIOLATED even if the Memo had been the kind of complaint alleged in the Grievance . There was clearly no violation of the Brown Act in the public reading or My discussion of the contents of that Memo. It is strange that the IBEW legal staff has apparently advised Mr. Stralla to the contrary, presuming that they read both the Memo and Section 54957 of the Brown Art before so advising Mr. Stralla. 3. TDPUD 'RESOLUTION #?2o4 IS NOT APPLICABI.E TO THIS GRIEVANCE�2o4, Although the Grievance does not allege a violation of TDPUD Res. Mr. Stralla.' s letter of January 17 makes this accusation. This particular resolution_ has to do with internal matters including the relationship between the Board of Directors and the General Manager. I 'm. surprised that the Union is interjecting itself into this relation- ship or any other internal functions of the District' s board and management. It is again strange that the IBEW legal staff has apparently advised Mr„ Stralla that I am guilty of some violation of this Board resolu- tion. That raises. a. question in my mind as to whether Mr. Stralla and his legal staff have had the opportunity to examine either the Memo or the cited .resolution. page I believe that if they reviewed them, they would find the Memo - consi-tent with the provisions of Resolution 7204 from the stand- point of seeking -to establish responsibility and authority at the administrative level. The public presentation and the substance of the Memo in no way violate Resolution 72041 it was ' directed to management and it called for an alleviation cif Board problems through management action. 4. MR. STRALLA'S LETTER CLAIMSAND IMPLIES MORE THAN IS JUSTIFIED. The January 17 letter from Mr Stralla seems to imply that some kind of formal meeting re problems with the grievant took place on the specific date of October 4, 1076, with me and the District Counsel, and that Board Res. 7204 was specifically discussed, and that I made some specific agreement with him, which he now accuses me of not having honored. The only discussion between Mr. Stralla and me regarding the grievant took place last summer, probably in July, when he asked me to remain after a Board meeting. No discussion took place on October 4, or at anytime other than the probable date in July, between Mr. Stralla and me regarding Ms. Reed or any. other employee. You were present during the discussion last summer AT MY REQUEST because I believed that you were already somewhat aware as District Counsel. of- some of the conflict with this employee. I believed the "meeting" last surmier to be impromptu and informal, since Mr. Stralla did not advise me to the contrary, and, I thought ! muttzall.y congenial and productive. The strained relationship between this' particular clerical employee and myself was discussed in general terms . and we all agreed that there was need to de-escalate the tensions that existed. The only request that Mr. Stralla made was that I be cognizant that Ms . Reed appeared to be caught in the middle of a situation created r by the intense animosity with which Mr. Hobensack and one or more of the Board members apparently regarded me . I conceded that it } was possible that this employee might be a victim of those circum- stances -as muc�h:'as I was. I told Mar. Stralla that I had already recognized from previous t incidents that it was in my best interest to have as little direct contact with this employee as possible. I indicated . to him that I intended to try to continue to avoid contact with her as much as possible . I was attempting to follow this practice before that � mid-summer discussion, and I have made continuing efforts to operate i in this manner. . i i page 4 There was not then, nor has there ever been, any discussion between Mr. Stralla and me about anything referred to as a Board resolution, its provisions , procedures, or implications. Mr. Stralla may not intend to imply much more than what actually transpired during the discussion last summer, but his letter snakes claims about the context, the content, and the result of the discus- s i on which simply aren't valid t The date of the ".meeting" is wrong by about 3 months. The District Counsel was present only at my request.. - Thera was no discussion of Res. 7204 or its provisions. N.r. Stralla did not rev_uest a specific procedure and no agree-- ment was necessary BECAUSE. EARLY IN THE DISCUSSION I ADVISED HIM. THAT I WAS ATTEMPTING TO AVOID CONTACT WITH THIS EY1" PLOYEE AS MUCH AS POSSIBLE BECAUSE IT WAS IN MY BEST INTEREST, AND THAT I INTENDED TO CONTINUE THIS PRACTICE. I have not violated any "agreement" with him. I have not conducted myself in an irresponsible manner toward the employees of the District. I have not caused the grievant to' "suffer great embarrassment and undue humiliation." 5. I HAVE NOT ACTED IRRESPONSIBLY., I ,resent the allegation in. Mr. Stralla' s letter that I have riot conducted myself in a responsible manner toward the employees of the District* The grievant' s job requires some direct contact with and responsibility to the members of the Board of Directors . when I became aware during the late spring-- early summer period that little confrontations were being precipitated at an increasing rate , I knew that it would be necessary for me to avoid contact with this particular employee as much as possible , and. I have gone -to great lengths to do so, I- am well aware that problems of this nature would .not have been tolerated under proper management conditions , and if the political and/or personal goals of one or mare of the Board members had not been served by it. I have tried very hard, against great odds, to regard the problem which is the subject of the Grievance as one existing among the � individual Directors at the Board level, and as one between 'management and -the Board, I have refrained from public criticism of the grievant personally and specifically, or her abilities, or her attitude and demeanor, even -though I am frequently baited to do so by her actione, and -the' comments and actions of several Directors , and by published charges :in a recall attempt against me in which Directors Christensen and Waters were actively involved. I deny that. I respectfully request that you review the administrative functions that are involved in the preparation of B o?rd minutes , and take those steps necessary to revise procedures so that the problems at the Board level can be somewhat resolved. I believe that all of the Directors will agree that it is within the authority of the management of the District to determine when and how work assignments are carried out, and to make minor' changes which can resolve problems or facilitate Board functions. CALIFORNIA 95734 TELEPHONE 587 3896 January 11 , 1977 John Stral l a 2272 Oppio Sparks , Nevada 89431 Dear John: I am in total disagreement with Mrs. Sutton's memo dated January 4, 1977, regarding minute preparation. - First of all , the minutes are approved by the Board and not the Manager. .At every meeting that I have attended the minutes have been approved by the Board majority. The Manager takes direction from the majority of the Board and not from individual Board members. It is my opinion that the Secretary's records of the minutes are accurate and I find no fault with the method with which the minutes are kept.. Mrs. Sutton's harassment of the Secretary regarding the minutes is uncalled for and unnecessary. The contents of the minutes has been an issue with Mrs. Sutton for some time and as long as she is the only dissident opinion on the Board regarding the minutes, I don't believe she has the authority to dictate the contents of the minutes or the way they are recorded. If Mrs. Sutton has a complaint about any employee it should have been brought up in executive session and not in-a public meeting. Yours very truly, Daven Morey Interim Manager DM:j r
