CMUA Membership Renewal Miscellaneous ADJOURNMENT r JULY 5, 1977 The regular meeting of the Board of Directors of the Truckee-Donner Public Utility District was called to order by the Chairman at 7:06 p.m. in the Conference Room of the District Office. ROLL CALL: Huber, absent at roll call but arrived at approximately 8:35 p.m. ; Maass, present; Kuttel , present; Sutton, present. EMPLOYEES PRESENT: Seymour and Reed r-. CONSULTANTS PRESENT: Grumer MINUTES Mr. Maass moved that the Board adopt the minutes of June 7th with the addition of Mrs. Sutton's corrections. Seconded by Mr. Kuttel . ROLL CALL: Huber, absent; Maass, aye; Kuttel , aye; Sutton, aye; SO ORDERED. Mr. Maass moved to table the June 20th minutes. Seconded by Mr. Kuttel . ALL AYE BY VOICE VOTE. BILLS FOR BOARD APPROVAL AND STATEMENT OF GENERAL FUND Mr. Maass moved that the Board pay the bills. Seconded by Mr. Kuttel . ALL AYE BY VOICE VOTE; SO ORDERED. MONTHLY FINANCIAL STATEMENT The Board was not provided with a monthly financial statement for this meeting. The statement will be discussed at the July 18th meeting. ADJOURN TO EXECUTIVE SESSION RE CUSTOMER COMPLAINT AND PERSONNEL MATTERS The Chairman adjourned the meeting into Executive Session at 7:1.5 p.m. to �-- discuss the Kenneth Easley line extension matter and personnel matters. See the memorandum to the Board from Mr. Seymour dated June 30th regarding the Easley line extension dispute. The meeting was reconvened to public session at 7:56 p.m. Mr. Maass moved that the Board direct District Counsel to look into the Kenneth Easley matter regarding the line extension with the understanding that he will report back to the Board at the July 18th meeting. ROLL CALL: Huber, absent; Maass, aye; Kuttel , aye; Sutton, aye; SO ORDERED. SPECIAL REPORT: 1976 AUDIT, MATT GOMEZ OF ARTHUR YOUNG & CO. Matt Gomez with Arthur Young & Company discussed with the Board the 1976 Audit Report. A copy is attached to these minutes. Mrs. Huber arrived during this discussion at 8:35 p.m. During a discussion of the WRSAD Custodial Fund, Mrs. Sutton asked that the record show that the Chair requested that "the accountant and staff members investigate the WRSAD custodial fund in Note 2 of the 1976 Audit in the amount of $9,689 from the standpoint of the accessibility of those funds for use within the District." Mr. Gomez also discussed with the Board the management letter dated June 7, 1977. A copy of that letter is attached to these minutes. The Board discussed '^" the need to designate the authority to write off bad debts. No action was taken related to the 1976 Audit Report. TOM'S TV BONDING REQUIREMENT: REVIEW AND POSSIBLE ACTION The Manager discussed with the Board the District's bonding requirement for Tom's TV and whether or not Tom's TV should be required to furnish the bond. Also discussed was an agreement approved by the Board regarding the use of District records by Tom's TV. The Chair requested that the Board receive a copy of that agreement which was never executed by the President of the Board. This matter was placed on the July 18th agenda for further consideration by the Board. July 5, 1977 Minutes . . . . July 5, 1977 Page Two Tom's TV Bonding Requirement . . . continued Karl Kuttel moved to waive the bond to the current owner of Tom's TV. ROLL CALL: Huber, aye; Maass, aye; Kuttel , aye; Sutton, no; SO MOVED. Mrs. Sutton asked the record to show that her no vote was "that I do not agree that this is a good thing for the District to do and I think Mr. Kirby has had substantial concessions made to him in the operation of his service over the last several years and I think that there is a very strong possibility that the business will change hands." Mrs. Huber stated for the record "that the motion applied only to the current owner." Mr. Maass requested that Mr. Kirby's statement become part of the record: "As far as concessions that the PUD have made to Tom's TV system, there have been two power supply connections made at $25; all of the rest were at the going rate. There has been an increase in pole rent . . . I might point out that the reason the fee was dropped is a fact that the connection charge included one man for thirty minutes and two clamps and this could not in any way be justified at $350 as can no connection in this system be made reasonably at $350 to anybody's lot. I think that is an outrageous price and I think everybody else here realizes that. I would also like to point out that the fact that the PUD raised the pole rate to $4 without anyone's approval . I mean the Board just decided that we need more money for pole rent and we have for some three years paid the $4 rate and the Telephone Company has not and we are on the Telephone poles at the same rate that you are, $2.50 per year. So it is an unfair thing but we haven't. . . we have always gotten along fine with the PUD and we expect decent relations to continue. But as far as the big concession that the PUD has given us, I don't see it." TRUC KEE-DONNER RECREATION & PARK DISTRICT BILLING RE RODEO GROUNDS The Manager reported that Dr. Tapia has agreed to separate the rodeo com- mittee billing from the Park and Recreation District billing. He indicated that lie would be meeting with representatives from the rodeo committee regard- ing that billing. Apparently the rodeo committee was quoted a cost in the amount of a few hundred dollars and received a billing in the amount of approx- imately $2,000. The Park and Recreation District has also agreed to meet with Mr. Seymour regarding their portion of the bill . WATER SYSTEM DEFICIENCIES RECOMMENDATION & PLAN OF ACTION This item was deferred to a later date at the request of the Manager. STATUS REPORT ON FEEDER F CONTRACT Mr. Seymour reported that Slater Electric intends to begin on the Feeder F rebuild on July 11 provided the District can obtain the necessary agreements and clearances from the Truckee Sanitary District to build the loop between Feeder A and Feeder F across their property located beyond East River Street. STATE ENERGY COMMISSION STAFF VISIT The Manager reported on the meeting with employees of the State Energy Commission as to what the District is doing for energy conservation and load management. He reported that information obtained by the Commission will probably be used to assist them in proposing mandatory load management legis- lation. STATUS REPORT ON FHA LOAN/GRANT PREAPPLICATION Mr. Seymour reported that an appointment was scheduled for July 8th at 10:00 a.m. to discuss the FHA loan/grant request with FHA representatives. REA 1976 BORROWER STATISTICAL PROFILE Mr. Seymour discussed with the Board the 1976 REA Borrower Statistical Profile. This item was for information only; no action was taken. July 5, 1977 Page Three MISCELLANEOUS MANAGER'S REPORT Mr. Seymour reported that the Truckee Fire District had discussed with him the fact that the owners of the Alpine Riverside Hotel who are now remodel- ing wish to install a fire sprinkler system which would require a four-inch tap into the District's ten-inch water main. According to District Rules and Regulations, the cost would be over $9,000. The Fire District reports that in most systems a facility fee would not be required. However, Mr. Cook disagrees with this and believes the entire facility fee should be collected. A letter was received from Mary Ann Boi ce dated July 5, 1977, which the Board discussed. i A copy of that letter s attached to these minutes. Mr. Maass moved to table this matter. CONSIDERATION OF HIGHWAY 267 INTERTIE JOINT TRENCH PROJECT - WATERLINE RIVER CROSSING The Board discussed a proposed resolution regarding the Highway 267 Intertie Joint Trench Project. Mrs. Huber moved that the Board adopt Resolution 77-14 which directs the Manager to sign plans, Truckee-Donner Public Utility District, Approving the Phase I Construction Drawings of the Highway 267 District Intertie. Seconded by Mr. Maass. ROLL CALL: Huber, aye; Maass, aye; Kuttel , abstain; Sutton, aye; SO ORDERED. RESOLUTION IMPLEMENTING STANDBY ORDINANCE BY FIXING CHARGES FOR 1977-78 FISCAL YEAR Mr. Maass moved for the adoption of Resolution "Implementing and Fixing la Electric and Water Standby charges pursuant to Ordinance 7501 for the Fiscal POW% Year 1977-78". Seconded by Mrs. Huber. ROLL CALL: Huber, aye; Maass, aye; Kuttel , abstain, Sutton, aye; SO ORDERED. DISCUSSION AND CONSIDERATION OF POSSIBLE UPGRADING OF EMPLOYEE HEALTH INSORANCE PLAN Mr. Maass moved to table Item 4 pursuant to the Union's request to reopen negotiations of the contract. STAFF REPORT RE DIRECTION FOR RETAINING SPECIAL COUNSEL RE TAHOE DONNER MATTERS AND ENGINEERING EVALUATION OF TAHOE DONNER WATER SYSTEM CONSTRUCTION Mr. Grumer requested that this item be tabled until Mr. Cook was present. The Chair directed that this item be placed on the agenda for the July 18th meeting. MISCELLANEOUS UNFINISHED BUSINESS Mr. Kuttel inquired of the funds to be refunded to Mr. Northrup in the West River Street Assessment District. It was reported that the funds had been sent to the County to be credited to the accounts of the WRSAD property owners. The Chair indicated that Mr. Northrup's inquiry should be responded to by the Manager. PO-- REA REQUEST FOR DEVELOPMENT OF MANAGEMENT GUIDELINES Mr. Maass moved to refer the development of management guidelines to the By-Laws Committee. Seconded by Mr. Kuttel . ALL AYE BY VOICE VOTE. CONSIDERATION OF DEVELOPING RULES AND REGULATIONS RE DISTRICT ELECTIONS The Board discussed a letter received by the Nevada County Clerk regarding rules and regulations re District elections. MISCELLANEOUS NEW BUSINESS The Manager reported that the District to date has spent in the Sierra Pacific rate proceeding $39,327, of which $32,570 has been spent with R.W. Beck, $731 with Spiegal & McDiarmid and $6,024 with Martin McDonough. The „4-% Manager recommended that the Board take into consideration all of the work being done by R.W. Beck for the District. REPORT RE PAUL HOBENSACK DISABILITY CLAIM The Board discussed letter dated June 28, 1977, regarding this matter from Mr. Grumer. A copy of that letter is attached to these minutes. Mrs. Sutton asked that the record show "that it is apparent from the information provided by Mr. Grumer that Paul Hobensack did file a claim for long-term disability on January 1 . 1977 . . . . that on January 21 , 1977, Crown Life received a claim for long-term disability and that this means that Mr. Hoben- sack was still acting and holding the title of Manager of the District for a period of at least one month after he had in fact filed for long-term disability without any official indication to the Board from the standpoint of the reg- ular channel that the Board receives information." No action was taken on this matter. OPINION RE DIRECTOR COMPENSATION REQUIREMENTS The Board discussed with Mr. Grumer his letter regarding this item dated June 29, 1977. No action was taken. A copy of Mr. Grumer's letter is attached. REPORT RE CONFIDENTIALITY OF CUSTOMER NAMES AND ADDRESSESS Mr. Grumer discussed with the Board his letter dated June 23, 1977. A copy of this letter is attached to these minutes. No action was taken on this matter. OPINION RE LEGALITY OF GRIEVANCE RE PAY DATE CHANGE Mr. Grumer discussed with the Board his opinion letter dated June 23, 1977, regarding this matter. Mr. Maass moved that the Board reject the grievance regarding the pay date change and instruct the Manager to send a letter to the appropriate individuals. Seconded by Mrs. Huber. ROLL CALL: Huber, aye; Maass, aye; Kuttel , aye; Sutton, aye; SO ORDERED. CMUA MEMBERSHIP RENEWAL The Manager recommended that the District again join the CMUA. Mr. Maass moved that the District continue its membership in CMUA. It was agreed that this item would be placed on the Bills for Board Approval at the next regular meeting. Mr. Maass withdrew his motion. Mr. Maass moved that the meeting adjourn. Seconded by Mrs. Huber. ALL AYE BY VOICE VOTE; SO ORDERED. RESOLUTION NO. 77 15 OF TRUCKEE-DONNER PUBLIC UTILITY DISTRICT IMPLEMENTING AND FIXING ELECTRIC AND WATER STANDBY CHARGES PURSUANT TO ORDINANCE 7501 FOR THE FISCAL YEAR 1977-1978 WHEREAS, the Board of Directors of TRUCKEE-DONNER PUBLIC UTILITY DISTRICT did, on February 18, 1975 , duly adopt Ordinance No. 7501 fixing electric and water standby charges on lands within the District boundaries, and providing a means for collection thereof.; and WHEREAS, said Ordinance has become final and has been implemented by Resolution Nos. 7.512 and 7615; and WHEREAS, said Ordinance prescribes that implementa- tion of the actual charges shall be made by Resolution of the Board of Directors for each fiscal year; NOW, THEREFORE, by virtue of law and the provisions of Ordinance 7501; BE IT RESOLVED, for the fiscal year 1977-1978 as follows: 1. The electric standby- charge shall be the sum of $20. 00 for any parcel consisting of one (1) acre or more, and the sum of $10. 0 0 for any parcel of less than one. (1) acre. ` 2. The water standby charge shall be the sum of $10. 00 for any parcel consisting of one (1) acre or more, and the sum of $5 . 00 for any parcel of less than one (1) acre. 3. The District shall now determine the lands to be affected thereby for the current fiscal year and the charges to be assessed, levied anti collected on the lands and parcels, and upon the completion thereof a subsequent Resolution shall be approved fixing and placing the electrical and water standby charges on the District tax roll for collection by the County of Nevada. BE IT FURTHER RESOLVED that the Clerk of this District be directed to forward certified copies of this resolution to the Board of Supervisors of the County of Nevada and the County Auditor. Currently, materials are withdrawn by any employee by removing them from stock for use as required in con- struction or maintenance projects. Often, a "materials requisition" form is not completed until the project is completed and any unused supplies are returned to stock. This form is the basis for an accounting entry charging an appropriate plant or expense account for the cost - of materials used. The delay in completing this form increases the probability that- an error may be made, thereby mis- stating a plant or expense account . We recommend that a 'materials requisition" form be com- pleted and delivered to a warehouse supervisor prior to any material withdrawal. Any unused materials would be returned after project completion, accompanied by a "materials credit" form. This pro- cedure would increase the District ' s control over materials and supplies and greatly facilitate prompt and accurate accounting for materials used. Errors in the Physical Inventory During our observation of the physical inventory , many problems were encountered establishing the accuracy of the count of the inventory on hand. The problems were related to the unfamil- iarity of the individuals assigned to the task of inventory counting procedures and a lack of planning for the physical count . The following items are in response to the requirements set forth by R.E.A. A. The financial statements were audited in conformity with the Statements on Auditing. Standards issued by the American Institute of Certified Public Accountants and, in addition, additional audit procedures prescribed by R.E.A. in its Bulletin 185-1 were performed for all material accounts. B. Other Accounting Matters 1. Internal Controls - As noted in Section I of this letter, the system of internal controls at the District is ade- quate to achieve reliable financial data, but it is weakened by a lack of segregation of duties , a situation which is inherent in a small staff . 2. Accounting and Records - All accounting procedures and records are adequate. 3. Materials Control - Controls over materials and supplies are adequate, except as mentioned in Section I of this letter, and no significant discrepancies have occurred between the physical count and the perpetual records. 4. Compliance with Loan Documents - The District is in compliance with all loan agreements except the note pay able to the Sierra Pacific Power Company . See Note 4 to the financial statements for details of non-compliance. 5. Reports to R.E.A. - The Truckee-Donner report to R.E.A. for the period ended December 31 , 1976 is in agreement with the books and records of the District . 6. Service Contracts - The District does not utilize service companies in any of its operations. 7. Deposits - All deposits are made in banks insured by an agency of the Federal government . 8. Insurance Certifications - The replacement policy infor- mation reflects the actual policies maintained by the District . 9. Easley. Also enclosed is a Department of Real Estate subdivision report for Sierra Meadows, Unit 4. It appears that Mr. Easley relied upon the subdivision report when he purchased his lot. The subdivision report states that the line extension would cost approximately $1 .80/foot. Since this subdivision report was issued in 1969 this probably reflects the then current Rule 15 regarding line extensions. I have inquired of the DRE as to their interpretation regarding the District's obligation to provide a line extension at this cost. According to Mr. Carlson of the' DRE the District is not bound to charge the price quoted in the subdivision report. However, the subdivider or developer is bound to notify his customers if he knows of any substantial change in the cost of providing electricity or any other service. Therefore, it appears that depending upon s the purchase date of the lot Mr. Easley should have been informed that the line extension cost for electricity might be considerably more than the $1 .80/foot and that he should have been advised to check with the TDPUD prior to purchasing his lot. It was obviously a mistake on the part of the District to quote a price per foot since this did not allow for unusual situations or inflation. It is also easy to understand why Mr. Easley is upset since he obviously relied upon the ,information in the subdivision report. I recommend that the matter be referred to our attorney to determine the District's legal obligations and that once determined that the Board then consider the matter for possible final determination. Apparently you have information, which is not available in our -records, concerning a public report from the Department of ... Real Estate issued on September 5, 1969. Apparently this report contains information related to construction of electric lines in Sierra Meadows including an estimated cost per foot. I have contacted the Department of Real Estate about this report and was advised by Mr. Richard Carlson of that department that he would search their archives for such a report and get back to me. If you are in possession of that report I would ap- prectate receiving a copy from you to eapedi to this matter. I am not aware of how line extensions were estimated in Truckee in 1969. Pursuant to said Ordinance, each -Director is to receive the sum of $50. 00 for attendance at each regular meeting. Said sum shall be received only if the Director attends at. least sixty per cent (60%) of the scheduled meeting time. It is my recommendation that the Board adopt the following policy to clarify the ambiguities of the Ordinance: 1. Executive Sessions held either before or after the scheduled meeting do not compute in the 60e test; 2. Adjourned Meetings do not come within the language of Section 2 (a) of the Ordinance and are thus exempt from the time computation; and 3. The time should be computed to the nearest five minute interval for the purpose of determining compensation under this Ordinance. It is my hope that a fixed adjournment time will be established at some later . date by the Board. This would help clarify this issue and solve the underlying problems in an objective manner.
