SPECIAL MEETING
April 9, 1979
The Special Meeting of the Board of Directors of the Truckee Donner
Public Utility District was called to order by President Maass at 4:38 P.M.
in the District office. The delay in starting time was due to lack of a
quorum.
ROLL CALL: Directors Huber, Sutton and Maass were present. Directors Hatch
and Kuttel were absent.
EMPLOYEES PRESENT: A. Milton Seymour and Susan Craig.
CONSULTANTS PRESENT: There were no consultants present: ,
OTHERS PRESENT: No others were present.
REVIEW OF BIDS ON POWER TRANSFORMER AND CIRCUIT SWITCHER - AWARD OF BIDS
Mr. Seymour noted that only one bid for each item was received - General
Electric Supply Company bid on the power transformers, and S & C Electric
Company bid on the circuit switcher. The bids were reviewed by District Coun-
sel Grumer and Ken Merriman of R. W. Beck and Associates. Copies of their rec-
ommendations have been attached to these minutes.
Mr. Seymour recommended that the Board consider awarding the bids subject
to the following conditions:
1 . There will be no increase in price if there is a delay in delivery
beyond the quoted delivery interval as long as it is not the fault of the TDPUD.
2. The manufacturer will pay for manufacturing defects including return
of goods if necessary.
3. Since the TDPUD is a unit of government of the State of California,
the laws of the state must prevail in this transaction.
Both bidders, Mr. Seymour advised, indicated they would ship to the near-
est common-carrier delivery point which could be either Reno or Truckee. He
did not foresee any problem relating to this matter.
After discussion, Director Huber moved that a resolution be drawn up ac-
cepting the b i d for four l 20kV power transformers to General Electric Supply
Company in the amount of $193,250; also the spare parts in the amount of $1 ,439
- and that the bid for a circuit switcher be awarded to S & C Electric Company
in the amount of $25,944.29 subject to the following reservations or conditions:
1 . There will be no increase in price if there is a delay in delivery
beyond the quoted delivery interval as long as it is not the fault of the TDPUD.
2. The manufacturer will pay for manufacturing defects including return
of goods if necessary.
3. Since the TDPUD is a unit of government of the State of California,
the laws of the state must prevail in this transaction.
"'"` Director Sutton asked that the document show the S & C date of shipment
to be 180 days, and shipment date in October of 1979 for General Electric. She
also requested that the motion show the President has been authorized to sign
the resolution when prepared. Thereafter, Director Sutton seconded the motion.
It being noted that, if the resolution is adopted the President will automat-
ically sign i t, the authorization for the President to sign the resolution was
stricken from the motion. ROLL CALL: Hatch, absent; Huber, aye; Kuttel , ab-
sent; Sutton, aye; Maass, aye. SO MOVED.
Director Sutton moved that Resolution No. 7913 awarding the bids on the
power transformers and circuit switcher, as outlined in the previous motion,
be adopted. The motion was seconded by Director Huber. ROLL CALL: Hatch,
