REGULAR MEETING
March 5, 1984
The regular meeting of the Board of Directors of the Truckee Donner
Public Utility District was called to order by President Maass at 7:02 P.M.
in the TDPUD Board room.
ROLL CALL: Directors Cooley, Corbett, Hamilton and Maass were present;
! Director Duffy arrived at 7:06 P.M.

CONSULTANTS PRESENT: Counsel Simon and Interim Manager Schinman.
EMPLOYEES PRESENT: Sue Felce, Bruce Grow, Ron Reynolds, Jan Maughan and
Susan Craig.
OTHERS PRESENT: Among those present were Sally Campbell, Peggy Hamilton,
Fred Holmes, Steve Edwards, Debra Newman, Karl Kuttel, Lee Thomas, Mo
Gardner, John Minnis, Mr. Rodrigues, Dick VanLandingham, William Gaffney,
Mr. and Mrs. Richard Moutray.
APPROVAL OF MINUTES
President Maass put over the minutes of January 3, 1984 noting there
are questions to be resolved prior to consideration.
Director Cooley moved, and Director Corbett seconded, that the minutes
of January 9 and 16, 1984 be approved. All Directors, aye, by voice vote.
.SO MOVED.
Counsel Simon noted that the correction made to the November 28, 1983
minutes was adequate in his and Counsel Phelp's opinions and, thereafter,
Director Hamilton moved that the Secretary be directed to place the minutes
of November 28, 1983 and February 6, 1984 in final form as corrected.
Director Corbett seconded the motion. All Directors, aye, by voice vote.

STATEMENT OF GENERAL FUND AND BILLS FOR APPROVAL
The statement of general fund was briefly reviewed and questions re-
garding the Amfac, General Electric and RT&E bills were answered. (At
this point in the meeting, Director Duffy arrived.)
Director Duffy moved, and Director Hamilton seconded, that the bills
presented for payment be approved. All Directors, aye, by voice vote. SO
ORDERED.
MANAGER'S REPORT
Tahoe Donner Substation
Interim Manager Schinman advised that the District has changed out
the Tahoe Donner transformers, regulators and two reclosures and everything
is now operating normally.
PLANNING DEPARTMENT NOTICES
Sierra Pacific zoning change - appeal

With respect to the appeal filed by several individuals with the
County against the request of SPPCo for a zoning change in order to install
a passive microwave antenna, the Chairman noted he has written a letter to
the Planning Commission providing background information on the matter.
Copies of such correspondence have been distributed to the Directors. Fur-
ther, he advised he recently visited the propsoed antenna site and thought
the antenna would be well concealed from homeowners by surrounding trees,
and he didn't foresee an erosion problem. Director Corbett, who also visit-
ed the site, agreed.
President Maass stated that, if the Board had no objection, he would
provide this additional information to the Planning Commission. No objec-
tions were recorded.

EMPLOYEE MEDICAL INSURANCE - STATUS REPORT - POSSIBLE DIRECTION
Mr. Schinman briefly summarized the medical insurance situation, noting
that after the Union had agreed to the fully-funded Guardian Plan it was
found that the rate quotations were no longer valid, but would be increased
by 3 0
Upon this discovery, the insurance representative communicated with
another carrier, Traveler's, and found rates lower than Guardian with bene-
fits slightly better - the stop loss is $500 lower and there is a $500 ac-
cident provision.
Mr. Thomas advised that he and the insurance representative would be
meeting with the employees regarding the Traveler's plan, and that after
the meeting he would take a formal vote on how to proceed.
Director Duffy moved, and Director Corbett seconded, that with respect
to changing the employee medical insurance to the fully-funded Traveler's
Plan, that Mr. Schinman, upon approval by the Union, implement the plan.
All Directors, aye, by voice vote. SO MOVED.
REQUEST FOR LAND LEASE - TRUCKEE RIVER CABLE TELEVISION CO
Mark Sutherlin, System Manager of Truckee River Cable TV (now WestStar
Communications) requested that the Board lease the Gateway water storage tank
site for construction of a 40' self-supporting tower and 8' microwave receiv-
ing dish. It is the intention of WestStar, Mr. Sutherlin noted, to upgrade
and improve the quality of cable television service to the residents of Truckee
and to eliminate the long, high maintenance land line presently coming into
Truckee from Boreal Ridge. It is their intention to replace the land line
with microwave service coming from Ward Peak into a central receiving point
within the Truckee area.
As part of the lease provisions, WestStar would assume the responsibility
and liability for removing the District's presently unused water tank. They
f proposed the lease be for a 15-year period at $500 per year with a rental
credit of $1,000 for the first two years as a consideration for the removal
of the tank. I.t would be necessary for the District to convey the existing
five foot right of way and rights of ingress and egress.
After a brief review of the deed, Counsel Simon indicated the right of
way and rights of ingress and egress appear to be assumable. President Maass
asked that he investigate this point to make certain.
The Chairman indicated that this is a matter subject to the development
agreement process, and briefly explained the process to Mr. Sutherlin. Mr.
Sutherlin advised he would provide the District with a letter and the $750
deposit as he is very anxious to obtain all the various permits and approvals
in order to complete the improvements this summer. President Maass asked that
he check out the present zoning on the site, and indicated the matter would be
placed on the next regular meeting agenda.
DISTRICT MISSION STATEMENT, GOALS AND OBJECTIVES - DISCUSSION AND POSSIBLE
DIRECTION
In order to aid in dealing with changes and future challenges, Mr. Schin-
man recommended (in memo dated February 22, 1984) the District develop a mis-
sion statement, goals and objectives. This would also, he noted, provide a
guide for budgeting and planning.

After briefly reviewing Mr. Schinman's memorandum, President Maass
stated he has no problem with the mission statement, and remanded it to the
Electric and Water Committees for review of the goals and objectives. Ulti-
mately, he noted, the mission statement and goals should be placed into reso-
lution form for consideration by the Board. He suggested the matter be placed
on the April 2nd agenda.
