July 18, 1980
The special meeting of the Board of Directors of the Truckee Donner Public
Utility District was called to order by President Kuttel in the conference room
of the Tahoe Truckee Unified School District at 10:40 A.M. The 40 minute delay
:ate in starting the meeting was due to Mr. Lloyd's late arrival at the Truckee Tahoe
Airport.
ROLL CALL: Directors Huber, Maass, Sutton and Kuttel were present,
CONSULTANTS PRESENT: James Lloyd, Personnel Consultant, was present.
EMPLOYEES PRESENT: A. Milton Seymour arrived at 2:21 P.M.
OTHERS PRESENT: There were no others present.
EXECUTIVE SESSION
The Chairman adjourned the meeting to executive session at approximately
10:41 A.M. for the purpose of discussing personnel matters.
RETURN TO PUBLIC SESSION
The meeting was reconvened to public session at 12:14 P.M. The President
indicated the Board would recess for lunch and reconvene at 2:00 P.M.
RECONVENE TO PUBLIC SESSION AFTER RECESS
(Mr. Seymour was notified that he should be available for appearance at
the meeting; he was requested and expected to arrive at 2:00 P.m. However, he
did not arrive until 2:21 P.M.)

The meeting returned to public session at 2:21 P.M. Present were Directors
, Huber, Maass, Sutton and Kuttel, James Lloyd and A. Milton Seymour.
Director Maass advised Mr. Seymour that, under the Brown Act, he has the
option to discuss anything in either public or executive session. Mr. Seymour
indicated that he would like everything "out in the open.. .right out in public."
Director Maass noted that he had expressed Mr. Seymour's alternative (that
the Board accept his resignation on October 15, 1980) to the Board and they had
determined that it was unacceptable. Director Maass stated that, currently, the
Board is in the position of offering Mr. Seymour the opportunity to resign ef-
fective on today's date with any accrued vacation 1 eave, one months salary and
other appropriate benefits.
Mr. Seymour stated, "that's what's being offered to me. . . . .ah.. . . .I decline."
Before adjourning to Executive Session to pursue the discussion, two
Directors indicated willingness to discuss matters in public session.
it Mr. Seymour was asked if he had anything further to say. Mr. Seymour said
at the moment, I have nothing else to say," and indicated he would wait down-
stairs for the Board to reconvene into public session.

RETURN TO PUBLIC SESSION
The meeting was reconvened to public session at 2:40 P.M.
Director Huber moved that the employment of A. Milton Seymour, General
Manager, Clerk and ex-officio Secretary of the TDPUD be terminated as of 5:00
P.M. (PDT) , July 18, 1980, with payment of one months severance and his accrued
vacation pay. Director Maass seconded the motion. ROLL CALL: Huber, aye; Maass
aye; Sutton, aye; Kuttel, abstain. SO MOVED.
