SPECIAL MEETING
December 6. 1982
The special meeting of the Board of Directors of the Truckee Donner Public
Utility District was called to order by President Maass at 6:0 7 P.M. in the Dis-
trict
Board room.
ROLL CALL: Directors Corbett, Kuttel, VanLandingham and Maass were present.
Director Huber arrived at 6:0 8 P.M.

EMPLOYEES PRESENT: James Ward and Mary were Chapman resent.

CONSULTANTS PRESENT: Rick Blumenfeld of Arthur Andersen and Company mP y was present.
OTHERS. PRESENT: The Chairman noted several guests were resent in the audience

QUARTERLY FINANCIAL REVIEW WITH RICK BLUMENFELD OF ARTHUR ANDERSEN
& COMPANY

Rick Blumenfeld discussed with the Board the FmHA indenture, related condi-
tions and restrictions. He presented and explained a "Liquidity Working Capital
Test," of which a copy has been attached for reference and went
over the assets,
obligations and net working capital of the District. Arthur Andersen and Company

recommends a $500,000 (8 0 of the annual operating expenses) cash reserve be main-

tained.
Regarding the Truckee River Bank note for purchase of the computer, Mr.
Blumenfeld advised that the bank is willing,
according to the Office Manager, to
rewrite the note at 10% for six years with no prepayment penalty for earlpay-
off.

j Note was made of the recent monthly deposits for the construction of t
i he
Martis Valley Substation. Rick Blumenfeld suggested continuing to set aside a
certain amount each month for funding future projects.
The Water and Electric income statements, net mar in receivables, rates
and charges and revenue funds in C the Water Department were discussed. Mr. Bl -
u
menfeld advised that Mary Chapman has done an analysis since 1980, and found that
the Water Department owes the Electric Department a total of $5 7,000; this amount
E he noted, should be taken out of the restricted fund and put to the Electric side.
The President directed that consideration of
the transfer be placed on the Decem-
ber 20th meeting agenda; he directed Mrs. Chapman to draft the necess
ary resolu-
tion.
Mr. Blumenfeld noted that, over the last few years, the District has en-
joyed excess cash which was invested at very high rates - there has been severa
l
hundred thousand dollars of interest income. The District has spent this income,
and the amount of money available for investment is no longer present; therefore,
the benefit of high interest rates payable on large investments is no longer pre-
sent.

Briefly discussed were upcoming water improvement projects, revenue funds
in the approximate amount of $200,000 which have been set aside for this ur ose
P P
the viability of additional Farmers Home loans and present indebtedness.
After some further discussion regarding miscellaneous items, the Chairman
advised that the next meeting with Arthur Andersen & Company will be the prelim-
inary audit report, which will probably take place in April.

REORGANI ZAT ION OF THE BOARD - ELECTION OF OFFICERS
Director Huber nominated Jim Maass for President of the Board for the coming
year; there were no other nominations, and the nominations were closed. After
a voice vote was taken, a unanimous "aye" vote was recorded.
Director Huber nominated Dick VanLandingham for Vice President of the Board.
There were no further nominations, and the Board voted unanimous) in favor

Mr. VanLandingham's appointment to the office.
Director Corbett nominated Roberta Huber for Treasurer of the Boa3�.d. there
were no further nominations. Thereafter, nominations were closed, and the Board
voted unanimously in Mrs. Huber's favor.
APPROVAL OF MINUTES
Director Corbett moved, and Director Kuttel seconded, that the minutes of
October 18, 1982, be approved as written. All Directors, aye, by voice vote •
O MOVED.
Director VanLandingham seconded the motion made by Director Kuttel that the
Secretary be directed to prepare the minutes of November 1, 6 and 8, 1982 in
final form. All Directors, aye, by voice vote; SO MOVED.
STATEMENT OF GENERAL FUND AND BILLS FOR BOARD APPROVAL
After listening to District Engineer Cook's explanation of his charge for
Board meeting preparation on the Martiswoods matter, Director g
hector Corbett moved
that the bills listed be approved for payment. The motion was duly y seconded
and unanimously passed by voice vote.
Manager Ward briefly reviewed the Martis Valley Substation status report
and related bills. Thereafter, Director Kuttel moved, and Director VanLanding-
ham
seconded, that the Substation bills in a total amount of
$12,931.58 be ap-
proved for payment. All Directors, aye, by voice vote; SO MOVED.
COMMITTEE REPORTS
Water Committee

Director Kuttel reported that a Water Committee meeting, at which he
Director VanLandingham and Mr. Cook were present, was held on November '23rd
Discussion of topics considered at the committee meeting was put over to the
December 2 0th Board meeting in order to allow the Directors to be copied with
and adequately review the related report,
MANAGER'S REPORT
General Manager Ward reported that, since the onset of
inclement weather,
there has been only one major outage; basically, the lines are holding up well,
he noted.
