Pat Sutton stated that, as there is undergrounding in the existing subdivision, it would seem reasonable to continue the undergrounding. Director Maass requested that a copy of Resolution No. 8071 (Estab- lishing District policy regarding financial relationships among District officials) be produced. It was reviewed by the Board - Paragraph No. 1 of the document was read to the audience - "District Officials, including but not limited to engineering, financial and/or legal consultants shall s not enter into agreements with, or otherwise represent, individual Board members or other third parties where such an arrangement may potentially conflict with the interest of the District." Director Maass thereafter noted that Ken Peters of James Hansen and Associates works with the Dis- trict on several of its projects, among them the Boca/Prosser project; he noted that, in his opinion, there appears to be a conflict of interest. Mr. Peters, upon learning of the District's policy regarding financial relationships of consultants and third parties where there could be a con- flict, immediately informed Mr. Giles of KTRT he would no longer represent him in this matter. President Corbett suggested Mr. Giles work with the Manager on a de- velopment agreement and, when ready, the matter be brought back to the Board. Directors Kuttel, VanLandingham and Corbett indicated they would be willing to attend a special meeting in order to expedite the matter. Pat Sutton, previous Director on the PUD Board, suggested that the District consider a payback arrangement through the records of the Dis- trict for connection of the homes that will eventually be built to the two lots through which the KTRT line will pass. Mr. Giles indicated he would consult with the owner of the radio station in regards to the un- dergrounding between the subject lots. CONSIDERATION OF PROGRESS PAY ESTIMATES AND CONTRACT CHANGE ORDERS - DONNER LAKE SUBSTATION - TRUCKEE SUBSTATION Mr. Seymour advised that the description of work on Contract Change Order No. 2 for the Donner Lake Substation grading and paving project by Hill Construction is accurate and necessary. Also, he recommended approval of Progress Payment Request No. 2 to Hill Construction in the amount of $8,039.30 for the Donner Lake Project. Director VanLandingham moved, and Director Kuttel seconded, that the pay request on Donner Lake Sub to Hill in the amount of $8,039.30 be ap- proved. ROLL CALL: all Directors, aye. SO MOVED. Director VanLandingham moved, and Director Kuttel seconded, that the Board approve Contract Change Order No. 2 on the Donner Lake Substation. Manager Seymour noted that he has inspected the substation, and real prob- lems do exist. He in he didn't know if these problems could have been anticipated prior to start of construction. Mr. Seymour estimated the cost of the changes to be in the $10,000 to $15,000 bracket. Director Kuttel requested that a dollar limit be placed on the change order (since the net increase will be on a time and materials basis) . No direction was given. ROLL CALL: all Directors, aye. Director Kuttel seconded the motion. ROLL CALL: all Directors, aye. SO MOVED. TAHOE DONNER SUBSTATION Some discussion took place concerning the repair and upgrading of the Tahoe Donner Substation. Director Kuttel noted his concern that four trans- formers, at a cost of approximately $120,000, were purchased without follow- ing the bid procedure. Director Maass made reference to the emergency reso- lution passed by the Board (No. 8345) and also noted that the fencing of the Tahoe Donner Substation was included in the specs. Director Kuttel stated that he thinks the fourth transformer was improperly ordered. CONSIDERATION OF RESOLUTION APPROVING ABANDONMENT OF EASEMENT - LOT 485/486, UNIT NO. 5, TAHOE DONNER Mr. Seymour advised that there are no lines on the existing easement, and none proposed to be placed. When the reversion to acreage is complete, a home will be constructed over that portion; staff has advised there will be no problem with service to the home. Director Maass moved, and Director Kuttel seconded, that the Board t adopt the resolution (No. 8368) authorizing an abandonment, as to its in- terests, of the public utility easement between Lots 485 and 486 of Unit No. 5, Tahoe Donner Subdivision. CLOSED SESSION After Counsel made the determination that closed session to discuss possible legal aspects of a specific agenda item is permissible, the meeting was so adjourned at approximately 9:54 P.M. RETURN TO PUBLIC SESSION The meeting was returned to public session at 10:56 P.M. Counsel noted that the item discussed during closed session related to an interpretation of the contract between the District and Mr. Williams of Mid-Sierra (for vehicle maintenance, performance under that contract, and problems that have arisen or may arise under that agreement) . No action was taken or direction given during closed session. REVIEW AND DISCUSSION OF VEHICLE MAINTENANCE CONTRACT WITH MID-SIERRA Director Maass moved that the contract be continued with Mid-Sierra as agreed, and Mr. Seymour will monitor (the performance) . Counsel noted that Mr. Seymour will discuss with Mr. Williams the prob- lems brought up in closed session, and further noted that the contract would be continued. SO MOVED by consensus. OFFICE STAFFING NEEDS - DISCUSSION AND POSSIBLE DIRECTION Referring to the Office Manager's memo on office staffing needs, Mr. p Seymour recommended that rather than eliminate the high school g position, that position be retained; he noted P to that since two clerks are off on sick leave, the District should fill these positions as soon as possible with temporary help (especially, he noted, since Lenna Hossack - who has been fi lling in for Debi Waller - will be going on vacation soon) ; further, Mr. Seymour noted an additional temporary clerk could be used to reduce the Y bookkeeping p g load so more could be done on bringing additional programs up f on the computer. Director Maass moved, and Director VanLandingham seconded, that Mr. Seymour be authorized to Y go ahead with what he feels is necessary respecting office staffing. SO MOVED by consensus. a SUBSTATION DESIGN b Pat Sutton suggested that the Manager and Counsel check the Donner Lake substation project design and make some sort of analysis on the additional expense through the engineering firm who provided the documents through which the contract was based.
