All Board meetings are recorded on a digital format which is Preserved perpetually and made available for listening to anv interested party upon their request. The regular meeting of the Board of Directors of the Truckee Donner Public Utility District was called to order at 6:01 PM in the TDPUD Board room by President Laliotis. ROLL CALL: Directors Joe Aguera, Jeff Bender, Laura Clauson Ferree, Ron Hemig, and Tony Laliotis were present. PLEDGE OF ALLEGIANCE Director Aguera led the Board and public in the Pledge of Allegiance. EMPLOYEES PRESENT: Bob Mescher, Kathy Neus, Michael Holley and Barbara Cahill CONSULTANTS PRESENT: Steve Gross .. OTHERS PRESENT: Juanita Schneider, Bob Ellis, Jamie Brimer and Scott Parker CHANGES TO THE AGENDA General Manager Michael Holley said there are no changes to the agenda. PUBLIC INPUT There was no public input. DIRECTOR UPDATE There were no director updates. ACTION ITEMS CONSIDERATION OF A RESOLUTION TO ADOPT CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) PROCEDURES This item involves adoption of a resolution to set in place CEQA procedures at the District. Director Aguera moved, and Director Bender seconded, that the Board approve the at- tached resolution Adopting CEQA Procedures as an Amendment to the District Code Title 2, Administration with the changes noted by Director Ferree. ROLL CALL: All Directors aye, by voice vote. SO MOVED 1 Minutes: February 15, 2012 CONSIDERATION OF THE FY11 YEAR-END FINANCIAL RESULTS AND REQUEST FOR TRANSFERS AND BUDGET CARRY-OVERS This item involves the comparison of the actual financial results to the FYI Budget, and consideration of transfers and budget carry-overs. Director Aguera moved, and Director Bender seconded, that the Board Authorize the transfers and carry-overs as listed in Attachment 3, routine fund transfers requests FY2011. ROLL CALL: All Directors aye, by voice vote. SO MOVED CLOSED SESSION PUBLIC EMPLOYEE PERFORMANCE EVALUATION - GOVERNMENT CODE SECTION 54957 (E): GENERAL MANAGER PERFORMANCE PLAN REVIEW RETURN TO OPEN SESSION Report from Closed Session There was no reportable action from this evening's closed session. There is reportable action from a Closed Session on August 3, 2011: CLOSED SESSION PURSUANT TO GOVERNMENT CODE SECTION 54956.9, SUBDI- VISION (A), EXISTING LITIGATION: CRUZ/ZEPHYR CONSTRUCTION V. TDPUD By unanimous roll call vote of those Directors then seated and present being Directors Aguera, Hemig and Laliotis. The Board had approved the resolution of a potential lawsuit involving one of the 2009 pipeline replacement projects with the contractor Cruz Excavat- ing. Cruz became Zepher. There were claims and stop notices against funds the District was holding. The District held approximately $155,000. Back in August 2011, the District thought it had a resolution with the bonding company and all the other claimants. That is when the Board approved resolving the matter by accepting releases from all the claimants and releasing the $155,000. It has taken from August until now to actually receive the releases. Now that we have all the releases, the District has released the funds and the matter is closed out. ADJOURNMENT There being no further business before the Board, the meeting was adjourned at 6:55 PM.
