Memorandum To: Board of Directors From: Alan Harry, Director of Telecommunications Services Date: October 28, 2003 Subject: Broadband Business Implementation —consideration of Broadband "Content Provider" Summary In order to provide Broadband services over a FTTU (Fiber to the User) system the District must choose the way in which content (Video(Datalloice) is received. Various means exist, the most reliable are to either (1) construct a headend (receive and transmission facility) and purchase services directly from the content providers, or, (2) purchase content on a wholesale basis from an integrated communications service provider. History In June of this year staff began to negotiate the wholesale purchase of content from Surewest Broadband of Roseville. Surewest is a subsidiary of Roseville Telephone. At that time the Board and District staff agreed that the construction of a District owned facility, including staffing and maintenance, would not be as cost effective as purchasing content on a wholesale basis from an integrated communications service provider. New Information As staff began formal discussions with Surewest Broadband, we were approached by another content aggregator, Eagle Broadband of League City Texas, requesting that they be given the opportunity to provide the District with a proposal similar to that received from Surewest. Over the past several months' staff has met with Surewest and Eagle. These meetings have been quite fruitful in that they have provided staff with the information necessary to • Page 1 evaluate each company's ability to provide content, perform all duties associated with the provision of services and at what cost. I have prepared the attached matrix that provides a visual evaluation of each company under review. I have added also to this evaluation a District owned headend (receive / transmission facility). In evaluating each content option we have focused on seven (7) distinct areas: Content; Support; Operations; Experience; Financial Factors; Motivation & Responsiveness; and Worst Case issues. By utilizing the matrix in the evaluation process it can be seen that Eagle Broadband surpasses both Surewest Broadband and a District owned facility. In fact, one need only look to the Worst Case Scenario to see that Eagle Broadband is the right choice. To provide a thorough background of the company, I have attached an overview of Eagle Broadband, their view of the District's FTTU project, key personnel bios and company financials. Truckee,CA. 96160 Re: Letter of Intent Dear Alan: We are pleased to submit this letter reflecting the proposal of Eagle Broadband, Inc (Eagle) and its subsidiaries to enter into a business relationship with Truckee Donner Public Utility District (TDPUD). The intent of this letter is to outline Eagle's proposal to provide services and the associated capital expenditures that will enable TDPUD to provide voice, video, and data services to TDPUD fiber network. The following t paragraphs summarize the discussions and understandings that were reached in recent weeks and months. The primary services Eagle intends to provide TDPUD include Internet services, video content aggregation and distribution, voice telephony services, and security monitoring. Internet services include basic Internet access,web hosting,VPN services, support for a community intranet and other ASP services. The video aggregation services include access to more than 200 broadcast TV channels (video and audio), Video on Demand, and educational materials. Voice services include most advanced voice capabilities such as caller ID, voice mail, extended calling areas, etc. Home and business security monitoring will include intrusion detection, fire, CO2, and other advanced features possibly through a partnership with a nationally know voice provider/carrier. A Definitive Agreement will be mutually agreed upon between Eagle and TDPUD in conjunction with a Service Level Agreement (SLA) for these particular services. In general, Eagle is committed to establishing a local presence in the Truckee area that will help maximize operational efficiencies and enhance customer relations. In addition, in order to virtually eliminate video quality problems associated with Truckee's winter weather conditions, Eagle will establish a headend facility in Reno, Nevada. This facility will be connected to the TDPUD facilities located at 11570 via TDPUD's long haul fiber cable,which is terminated at 200 S. Virginia Ave, Reno,NV. The headend facility will be primarily used to aggregate video content and connect the network directly to the Internet via a Tier 1 Internet Provider. There is a need for Eagle Confidential A& additional content distribution equipment to be located in the TDPUD facility that will also be provided by Eagle. It is anticipated that TDPUD will have additional equipment located at this facility as well. It is planned that Eagle will have network IT professions, installation technicians, and network technicians located in a local Truckee office. Eagle will also have appropriate personnel to support the Reno headend facility. Eagle is also capable of providing 24I7 after hours network-monitoring services through its Houston based subsidiary UCGI Corporation (UCGI)beginning day one of the network start-up. This will minimize the initial local Network Operating Center costs. In order to implement the deployment of the above services, TDPUD will purchase set- top boxes that will be integrated into the bundled services. A variety of set-top boxes, with capabilities such as Eagle's, are envisioned to support the full set of services. In addition, TDPUD will be financing and funding constructing the fiber network infrastructure to the homes and businesses as well as limited in-home on premise structured wiring. TDPUD and Eagle have reviewed the costs to deliver the above services over the fiber infrastructure and agree in principle to the attached spreadsheet (TDPUD Broadband Unit Projections) that outlines Eagle's charges for such services delivered. In addition, Eagle will have the exclusive right to provide video, data and voice services for a period of twelve(12) months following the completion of the fiber build within the TDPUD's Electric service area. Eagle understands the need for both parties to have a return on investment that meets our respective fiduciary requirements, and will work diligently with TDPUD to assure mutual success. Eagle's estimate of capital expenditures will approach$1.5 to $2.0 million dollars. We are committed to providing these facilities and support personnel for the operation and maintenance of the network. Eagle also desires to support the initial planning, construction deployment, and start-up of the network by having current personnel engage immediately with TDPUD planning personnel. These efforts will include establishing offices and the hiring of local personnel upon signing of a definitive agreement between the parties. We anticipate preparing a separate project management proposal for the construction phase when called to do so. Eagle recognizes that TDPUD is making a substantial monetary investment in their Fiber to the Subscriber Network, and the local residents have put their trust in TDPUD. Eagle recognizes that the success of the TDPUD fiber project will have a profound positive impact on its own long-term goals. Eagle is committed to see TDPUD succeed by signing up to a Service Level Agreement that will include terms whereby Eagle, if in default of the SLA,will leave the headend operational and in place at fair market value to TDPUD. Eagle will accept co-signature of this Letter of Intent by TDPUD as evidence to move forward with advanced planning and initial start-up activities. This letter shall not be construed as a binding agreement between parties, however, it does set forth the understanding in principle and the present intention of the parties to enter into a definitive agreement providing for the above understandings upon the terms and conditions mutually acceptable to the parties and their counsel. We propose to have a Definitive Agreement with respect to the services provided to TDPUD executed between the parties not later than November 7, 2003. During this time, we have learned a great deal about the TDPUD's goals, objectives and needs for the Fiber to the User Project. Following is a recap of our understanding of the TDPUD's key requirements for the project. TDPUD Overview TDPUD is a non-profit utility providing reliable electric and water services to the Truckee area for more than 75 years. The TDPUD is well known for its high degree of integrity and excellent customer service. TDPUD is owned by its customers and is overseen by a locally elected Board of Directors. TDPUD serves water and electrical service in Nevada County to approximately 12,000 residential, business and government subscribers. In the last decade, Truckee has experienced rapid growth due to its beautiful surroundings in the Sierra Nevada Mountains and proximity to The Truckee River, Donner Lake, and Lake Tahoe. Truckee's small town charm adds to the overall appeal of the community and has helped the community continue to attract new visitors and residents. Truckee's continued growth in new homes, businesses and sophisticated visitors and residents, many of which come from the San Francisco bay area and demand high quality broadband and communications services, has prompted the TDPUD to move ahead with plans to design, build and operate the District's own state-of-the-art, fiber-optic broadband communications network. The communication infrastructure must provide government, education, health care, public service, commercial and residential customers with a robust, reliable, comprehensive suite of affordable broadband communications services. These basic services will include: High Speed Internet Access, Voice (Telephony), Video and Security services. Target Users The TDPUD Fiber to the User Network is being built to enable and deliver communications services to three main groups of users: 1) Public, Educational, and Governmental (PEG) entities whose use of the communication services is considered essential. These include government offices, schools, health care facilities, police, fire, public safety and the TDPUD itself. 2) Businesses that require reliable high-speed data communications for their"mission critical" activities and who are currently underserved by the existing infrastructure and the limited services currently available from incumbent providers. 3) Residential homeowners and visitors needing an affordable, high quality bundle of services that include high-speed data, video, voice, and security monitoring. Eagle understands that the delivery and availability of services for these various user groups will need to be prioritized and the network deployment and availability of services will need to be scheduled according to the priorities set by the TDPUD. TDPUD Broadband Network Project Eagle Broadband - Provider Overview TDPUD Broadband Network Requirements The TDPUD's key requirements for the Fiber to the User Network include: • Investing In Future-Proofed Fiber-Based Infrastructure - The Fiber to the User Network needs to not only provide advanced services today but also be based on technology with the capacity and capabilities to meet TDPUD and community needs for many years to come. • Ability To Deliver Complete Range of Services - The TDPUD must leverage the Fiber to the User Network to provide the widest range of services to meet the needs of a diverse user population. Examples of the services the Fiber to the User Network will provide include: ❑ Very high speed Internet and network access so government and public safety agencies can more easily share information, deliver city services and better serve residents & businesses. TDPUD SCADA monitoring and automated meter reading to lower operational costs while maintaining high service Levels. ❑ Improve the security and safety of the community with security monitoring services, enhanced emergency preparedness, etc. • Distance learning & telemedicine applications to improve the quality of education & patient care. ❑ Telecommuting to minimize traffic and pollution and improve quality of life. ❑ High speed Internet access for businesses to increase employee productivity. ❑ Residential voice, video, data and security services bundles to provide greater value, higher quality entertainment and single bill convenience to visitors and residents. • Reliability &Availability - Because essential city services, businesses and residents will be heavily dependent on the new broadband services, the Fiber to the User Network will need to be extremely reliable, delivering consistent, high availability to all subscribers. • Efficiency & Low Cost - The Fiber to the User Network must be designed to keep operational and support costs to an absolute minimum requiring minimal maintenance and upkeep. Key Industry Factors There are a number of key industry factors that make the TDPUD's decision to move ahead with the Fiber to the User Network project particularly timely and prudent: • Continued strong, nationwide and regional growth in demand and subscribers for broadband and communications services. • Residents and businesses are looking for and demanding increased choice, flexibility and affordability in broadband and communications services. • A new revenue sharing model (being spearheaded by Eagle Broadband) that is truly a win- win for the TDPUD and Eagle making the project financially viable and low risk. • More and more municipalities having great success with their Fiber to the User Network deployments enabling the TDPUD to benefit from best practices and avoid potential pitfalls. Eagle Broadband Company Overview Founded in 1996, Eagle Broadband Inc. (AMEX: EAG), a publicly traded company, is an integrated communications service provider focused on Broadband Networks similar to that planned by the Truckee Donner Public Utility District. Eagle Capabilities Overview Eagle Broadband is considered a Multiple Services Operator that owns and operates its own broadband Fiber-To-The-User networks. The company currently has operations in Texas, Nevada and Arizona with plans to expand in all of these markets as well as to California, Utah and several other states. Eagle's original FITU network is located in the Greater Houston Metropolitan area where the company was founded. Over the Houston network, Eagle has been providing Internet access, Voice, Video, and Security Monitoring services, in new residential developments and communities for the past four years. This network is comprised of over 55 miles of fiber backbone and hundreds of"last mile" fiber that passes more than 5000 homes. The network is very similar to the proposed design of the TDPUD fiber network. The Texas-based Eagle Fiber to the User Network connects six separate residential communities surrounding the Greater Houston Metropolitan Area, and is interconnected via the 55 miles of fiber backbone. Eagle has recently announced new contracts to provide a range of Fiber to the User Network design, deployment, operational and support services along with complete BDS packages with video content, Internet access, voice and security monitoring with two new communities: • The award winning, $7 billion Lake Las Vegas resort in Las Vegas, Nevada. • The IaVerne Luxury Condominium Community in Phoenix, Arizona. These partnerships were structured using the new revenue-sharing business model that Eagle is spearheading in the broadband industry whereby Eagle establishes a true partnership with the utility district, municipality or developer to jointly deploy and operate a broadband communications infrastructure within their community. The community wins with a next generation communications infrastructure that will meet the broadband and communications services needs of the community for many years to come. These services will become just like other utility-provided services such as electricity, water, gas, etc. Eagle's IT network-monitoring services and structured cabling services for both residential and commercial customers will allow Eagle to monitor the TDPUD's network 24 hours a day, 7 days a week, as soon as it becomes operational as well as provide wiring/cabling expertise for residential and commercial subscribers. The TDPUD can also benefit from Eagle's state-of-the-art multimedia set-top boxes which can be used to deliver a range of broadband services including higher end services such as HDTV video and Video on Demand as well as Internet access. The TDPUD network architecture will be very similar to Eagle's existing Texas-based broadband network. To help ensure the success of the TDPUD project, Eagle has already completed a first round of interoperability tests with the Wave? Optics networking equipment. The successful tests were performed in conjunction with Wave? Optics' engineering team. The active Eagle network was used to conduct these tests in order to ensure complete network interoperability for the TDPUD Fiber to the User Network. This is an example of how Eagle's experience and existing network capabilities enable the Eagle TDPUD project team to integrate, stage and test a wide range of network functions, technologies, etc. to ensure a successful network deployment for the TDPUD. A full suite of products and services, including home automation, structure wired, etc. w A network integration capability with a full Network Operations Center, staffed 7 X 24 X 365 days a year responsible for monitoring networks and available to handle trouble calls, open tickets, dispatch resources, and close tickets. This Eagle group services customers inside and outside of Eagle's FTTH/FTTUnetworks. " Eagle's origins were in the wireless infrastructure design, manufacturing, and operations business sector. As Eagle migrated into the IP business sector there has always been a wireless IP infrastructure capability and expertise maintained within the business. Implementing and operating wireless IP networks is also part of each of the business unit's capabilities. Eagle has evolved its processes and procedures over the last four years to take full advantage of the IP networks it has developed. Additional high-end services will include HDTV, educational distance learning, remote medical imaging & diagnostics, video security monitoring, Internet gaming, and many others. Eagle's experience in greenfield deployments dates back to 1999 with the design and implementation occurring as early as 1997 & 1998. Within the first community, a local head-end was constructed where 200 plus video channels are aggregated via satellite dishes, local channel narrowband antennas, and IP multicast streams. This headend is connected via GigE fiber to a co-location facility where Internet bandwidth is obtained. Extending out from the headend are three additional greenfield communities connected via Eagle's own 144-count fiber. That portion of the backbone is approximately 42 miles long and is mostly aerial construction. Two additional communities are also connected via third party metro fiber rings, all of which is connected back the central co-location facility via layer 2 routers/switches and GigE fiber. IP video is being delivered to all six of these communities from the newest headend located at Eagle's main facility. There are 10 C-Band satellite dishes that aggregate video channels and convert them into IP multicast streams of MPEG 2 video. These channels are traversing Eagle's citywide network (approximately 55 miles of Eagle's own fiber and over 100 miles of third party Metro fiber) to the six communities and are aggregated into the local channel line-ups for delivery into the homes. However, because we always assign a dedicated project team to each broadband network project (as we have for the TDPUD) and empower them with full decision making authority to utilize whatever Eagle resources are necessary to meet the customer's needs, they can move quickly, make adjustments and solve problems faster. He brings more than 18 years of senior management and operating experience with both startup and established technology companies to Eagle Broadband. Most recently he was brought in by the BOD of Silicon Valley start-up IP Dynamics to build Sales and Marketing organizations and launch the company into the secure communications marketplace. Before joining IP Dynamics, Dave co-founded and was Vice President, Sales and Marketing for Canyon Networks; a VC-funded telecommunications equipment startup focused on subscriber services provisioning and management for major telcos. Prior to Canyon Networks, Dave was Vice President, Marketing and Customer Service for ACT Networks, a publicly traded provider of WAN provisioning equipment, where he directed product management, marketing and customer support activities and served as a key contributor to the company's successful ($275M) acquisition by Clarent Corporation. Dave also co-founded and served as Vice President, Sales & Marketing for Thomson Enterprise Networks where he launched and built a commercially focused ATM networking division. After winning a $450 million multi-media network contract with the British Army, the division was acquired by Thomson-SA in 1999. Prior to that, he held senior marketing roles at Adaptive Corporation (Acquired in 1994) and Retix (IPO 1992). Dave began his professional career by founding a Consumer Products distribution company in Japan that he sold in 1987 for $13M. Dave also served as a pilot with the United States Air Force and saw active combat duty in Central America and Operation Desert Storm. He holds a B.A. in Economics and International Relations from U.C.L.A. John Nagel, Vice President, Engineering & TDPUD Proiect Lead John was a co-founder of Eagle Broadband and is currently serving as Eagle's Vice President of Engineering and the acting General Manager for Eagle Broadband Services (EBS), Eagle's FTTH/FTTU broadband Bundled Digital Services (BDS) group. He is responsible for ensuring the company has the right technical/engineering staff and resources to fully meet the needs of Eagle's customers. John also served as the Director of R&D for Eagle and as a Project Manager/Engineer and oversaw the development of advanced multi-media products and was also the lead design engineer for Eagle's line of high-powered RE amplifiers for the paging & 2-way radio products. Prior to Eagle, he was a Project Manager and Systems Integration engineer for Eagle Aerospace, a NASA contractor for the International Space Station where he was responsible for systems integration of all of the Space Station's support systems (i.e. video, data, voice, thermal, power, and fluid subsystems, etc.). John was also the lead Project Engineer at General Electric where he was responsible for the refrigerator/freezers on the Space Shuttle program. Prior to GE, he was a Plant Engineer for the Monsanto Chemical Co. John holds a B.S. in Mechanical Engineering from the University ofTennessee. Dr. Dean Cubley, Chief Technology Officer Dean is a co-founder and Chief Technology Officer at Eagle Broadband with overall responsibility for the technical vision, product development and overseeing Eagle's engineering and development teams. He brings more than 35 years of extensive experience in the field of telecommunications. Dean served as president, CEO and chairman of the board of Eagle until assuming his current role as CTO. Dean also served as vice-president of Eagle Telecom, Inc. He is also a member of the Oversight Committee for the University of Houston Epitaxy Center, which managed the Wake Shield Flight aboard the Shuttle in 1995. From 1965 to 1984, Dean worked for NASA Manned Spacecraft Center in the Electromagnetic Systems Branch of the Engineering and Development Directorate where he was the Antenna Subsystems Manager for all spacecraft antennas for the Shuttle Program with responsibility for the design and development of the antennas and hardware for all Shuttle flights. Dean has authored or co-authored over fifty publications and has a total of eight patents and patents-pending. Dean holds a B.S. and Masters in Electrical Engineering from the University of Texas and a Ph.D. in electrical engineering from the University ofHouston. Randy Shapiro, Vice President, Marketing Randy has more than 17 years of sales, business development and marketing management experience intelecommunications, networking, enterprise software and services with both startup and established technology companies. At Eagle, he is responsible for worldwide marketing responsibility and making sure that Eagle's sales and support teams have the right products and services and the necessary tools and resources to fully meet the needs of Eagle's customers. Prior to joining Eagle, Randy was responsible for all marketing functions at security software startup IP Dynamics. Before IP Dynamics, he managed overall marketing functions for Canyon Networks, a telecommunications equipment startup focused on subscriber services provisioning and management for major telcos. He holds a B.S. in Business & Marketing from the University of Arizona. Roger Ihde, Vice President of ODerations & Customer Service Roger Ihde brings more than 30 years of technical, management and human resource experience to Eagle. He is currently Eagle's Vice President of Operations with overall responsibility for Eagle's operations including the Network Operations Center and Customer Service organization. Since joining Eagle, he has held the positions of Director of Business Technology, Vice President of Human Resources, and Vice President of Operations. Roger began his career in 1970 after serving in the United States Marine Corp. Jon Hayden, General Manager, Eagle Research & Development John is the General Manager of Eagle's R&D and engineering team with responsibility for new product development. Before assuming his current role, he was the Director of R&D for Eagle Wireless International. Jon came to Eagle from W & H Development, Inc., an electronics manufacturer for the oil and gas industry, where he was the Engineering Manager for seven years. His previous positions in the Houston area included electrical engineering with Lockheed Engineering and Sciences Corp. and Digicon Geophysical. He came to Houston from the Boston area, where he was Chief Engineer for D/A General, Inc., a banking surveillance equipment manufacturer. Jon holds a B.S.E.E. from Northeastern University. Ronnie Evans, Vice President, Eagle Broadband Security Ronnie is Vice President of Eagle Broadband Security with responsible for Eagle's security monitoring capabilities. He has also been Vice President of Marketing & Sales for Atlantic Pacific Communications and for ClearWorks' Home Systems Divisions. Ronnie joined Eagle when his company, Secure-All Security, was acquired by ClearWorks. His experience in the security business dates back to 1994. Ronnie holds a Bachelor's Degree from Texas Tech University. Michael Lamb, Senior Systems Engineer Michael is a Senior Systems Engineer at Eagle and is responsible for engineering and implementing digital video entertainment systems for deployment into Fiber to the User Network environments. The deployments include Eagle Broadband, Inc.'s FTTH/FTTU initiatives as well as other client networks utilizing HFC, FTTH/Fl"1TU, and DSL architectures. He is focused on IP based multicast video and VoD (Video on Demand) systems that enable video entertainment packages. Michael is actively involved in all aspects of equipment evaluation, testing, integration, and deployment. He also works with Eagle's Set Top Box development team as well as assisting with licensing and management of content rights with various broadcasters and content providers. Prior to joining Eagle, Michael worked with Enron Broadband Services managing a team of engineers in the design and implementation of VoD services. Before Enron, he was Senior Analyst at DataSystems Group, where he focused on large ERP & CRM software deployments. Michael was also a Systems Administrator for Motorola where he designed data networks for new semiconductor fabrication facilities. He holds a B.S. in Computer Sciences from The University of Texas. Steven Hester, Director of Communications, Eagle Broadband Services Steven brings more than 15 years in data networking and telecommunications to his role as Director of Communications with responsibility for the design, operations, and administration for all Internet services delivered to Eagle Broadband Services' ("EBS") customers. Steven has designed and deployed three new headend facilities and 14 environmentally controlled enclosures over seven neighborhoods in two cities, and continues to support Eagle's fiber backbones, the environmentally controlled enclosures and the headend facilities. He also was responsible for the design of Eagle's Metropolitan Area Network with a co-location at Level 3 Communications. Steven was also Director of Communications for ClearWorks which was later acquired by Eagle Broadband. While at ClearWorks, he reengineered ClearWorks' wire speed backbone for delivering high speed Internet connectivity to customers. This project included redundant high-speed links to different tier one providers running BGP; readdressing entire internal and external network using public and private addresses; designing and implementing the co-location facility with Level 3. Steven also redesigned the switching architecture and the addressing of headend facility; moved DNS, WWW and dialing services in-house including corporate voice switches. Paul Lopez, Proiect Manage Paul serves as project manager of outside field operations for Eagle Broadband. In addition to his role as project manager, he also manages customer service and residential installation of services. Paul directs the day-to-day outside field operations of Eagle's Broadband Services operations. Including overseeing multiple BDS projects from start to finish with planning and supervision at all phases of site construction and installations. Paul is responsible for the qualification of sub- contractors, selection and coordination of suppliers, acquisition of resource and project schedules, He troubleshoots workflow problems, communicates skillfully and presents status reports to management and customers. He implements the preparation of statements for work/requests of bids, requisition of materials, permitting of sites, reviews and approves all payment requests while managing outside construction firms, internal contractors and vendors. Paul supervises and manages site construction activities involved in the development of communication sites, including power companies, railroad and the highway department. He also was instrumental in the design of the AC Enclosure used by Eagle in outside field operations. Prior to joining Eagle Broadband, Inc., Mr. Lopez worked as a Project Manager for Baker Hughes for 22 years. He was responsible for all add/move on voice/data and fiber terminations at all locations including out of state. Steven Newstat, Video Network Architect Steven serves as Video Network Architect, designing digital headends with satellite down link facilities for IP broadcast TV programs and VOD content from motion picture studios and broadcasters. He negotiated Eagle's studio and VOD content contract with Warner Brothers as well as the broadcast and VOD rights from the broadcasters for residential and commercial deployments. Prior to joining Eagle, Steven was a Senior Video Network Architect furintertainer/ where he was responsible for evaluating, designing, testing and deploying systems involving the encoding of VOD content for MPEG-4 (DSL) deployments utilizing NT servers and designing a satellite deployment system for cable headends (MPEG-2) with VOD servers utilizing a fiber backbone for content distribution. Prior to Intertainer he also was Director of Telecommunications for Digital Multimedia Systems where some of his projects included designing, testing and implementation nfaGlHeadend system and upgrading the cable plant to include cable modems and a fiber backbone for StreamGate Video, coordinating the relocation of a fiber link for Great Western Bank and redesigning their network to accommodate voice, data and document imaging over a fiber backbone for Southern California Savings. Prior to that, Steve worked for MICROAGE as a Telecommunications Manager where he designed, integrated and managed an enterprise solution for a document imaging and workflow system. He also worked for Electronic Imaging Systems as Vice-President, Network Distribution & Services where he designed and installed networking systems for Mayer, Brown and Platt, Kerr Glass, Rice University and FOX Television. Giang Dao, Senior Engineer Giang Dao currently serves as a senior member of the R&D staff at Eagle BroadBand. He is responsible for software development for Eagle's Set-Top-Box and digital head-end and the ongoing development of the software user interface for Eagle's multimedia set-top box product line. Prior to joining Eagle Broadband, Giang was a senior member of technical staff at Compaq Computer Corporation. He has been involved in PC graphics controller architecture and design, including the analysis and performance optimization of graphics/video hardware/software systems.
