Subject: Prosser Village Production Well
1. WHY THIS MATTER IS BEFORE THE BOARD
The Prosser Village Production Well project is complete. A closeout change order and a
resolution accepting the project require Board approval.
2. HISTORY
The purpose of this project was to drill a water production well. The Board awarded the
contract to drill the Prosser Village Production well to Zim Industries at its October 8,
2003 meeting for a total contract price of$260,130.00.
3. NEW INFORMATION
The Prosser Village Production Well Project is now complete. The final acceptance and
change order for this project are attached.
4. RECOMMENDATION
a) Consideration of contract change order number 1 to the Prosser Village
Production Well.
b) Consideration of a resolution accepting the Prosser Village Production Well as
complete and authorizing the filing of the notice of completion.

The amount of the Contract will be decreased by the sum of -$2,353.00 and the Contract Time shall not be
extended. The undersigned Contractor approves the foregoing Change Order as to the changes, if any, in the
contract price specified for each item including any and all supervision costs and other miscellaneous costs relating
to the change in work,and as to the extension of time allowed, if any, for completion of the entire work on account
of said Change Order. The Contractor agrees to furnish all labor and materials and perform all other necessary
work, inclusive of the directly or indirectly related to the approved time extension, required to complete the Change
order items. This document will become a supplement of the contract and all provisions will apply hereto. It is
understood that the Change Order shall be effective when approved by the District.

AUTHORIZING THE ACCEPTANCE OF THE PROSSER VILLAGE PRODUCTION WELL AND
DIRECTING FILING OF THE NOTICE OF COMPLETION
WHEREAS, the Board of Directors of the Truckee Donner Public Utility District made the
determination to undertake the Prosser Village Production Well; and
WHEREAS, Zim Industries, Inc., was selected by the District to perform the work; and
WHEREAS, The District's Consulting Engineer and Engineer of Record, David Carlson,certifies the
completion of the project; and
WHEREAS, the District's Water Utility Manager, Ed Taylor, has recommended that the work be
accepted by the District;
NOW THEREFORE BE IT RESOLVED by the Board of Directors of the District as follows:
1. That the District hereby accepts Prosser Village Production Well Project as complete.
2. That the Clerk of the District be directed to file with the County of Nevada the Notice of
Completion, a copy of which is attached hereto.
3. That 35 days following the filing of the Notice of Completion, the 10% retained from the
contractor payments be released to the contractor if no claims have been made to the District
by material suppliers or laborers.

NOTICE IS HEREBY GIVEN:
1. That the name and address of the public entity for whom the improvement project was done, as owner
thereof, is the Truckee Donner Public Utility District, Post Office Box 309, Truckee, CA 96160.
2. That on July 7th, 2004 the hereinafter described improvements were accepted as complete pursuant to a
resolution of the Truckee Donner Public Utility District, the awarding authority.

Subject: Prosser Village Well Development and Pump Test Contract
1. WHY THIS MATTER IS BEFORE THE BOARD
The board must adopt or approve all contacts.
2. HISTORY
On October 8, 2003 Zim Industries Inc. was awarded a contract for the Prosser Village Well
Development and Test Pumping.
3. NEW INFORMATION
The drilling of the Prosser Village Well is complete. The test pumping of the Prosser Village
Well has not been completed and Zim Industries is requesting to be released from the
Development and Test Pumping Contract. Staff received a letter from Zim Industries
requesting termination of the contract. A termination agreement was prepare by District's
Legal Council and was executed by Zim Industries,
4. RECOMMENDATION
I recommend that the Board authorize the termination of the contract with Zim Industries for
the Development and Test Pumping of the Prosser Village Well.

Dear Mr. Taylor:
Zim Industries, Inc. would accept a mutual agreement with Truckee Donner Public Utility District
to terminate the $34,090.00 Pump Development & Testing Programs contract for the Prosser
Village Production Well provided the District agrees to release Zim Industries, Inc. from all
commitments under contract including, but not limited to, completing the work, 100% Payment
Bond and the 100% Performance Bond. District would further agree to contract with another
contractor to complete the work under this terminated contract agreement without any financial or
other obligations from Zim Industries, Inc. Zim Industries, Inc. would agree to release Truckee
Donner Public Utility District from all commitments under this contract including, but not limited
to, payments for work under this terminated contract

TERMINATION AGREEMENT
THIS TERMINATION AGREEMENT (the "Termination Agreement"), dated as of May
2004, is made by and between the TRUCKEE DONNER PUBLIC UTILITY DISTRICT, a local
public agency of the State of California (the "District"), and ZIM INDUSTRIES, INC., a
California corporation (the "Contractor")(the District and Contractor are referred to herein, each
individually as a "Party", and collectively, as the "Parties").
Recitals
A. The Parties entered into that certain Section 00500-Agreement (Pump Development and
Testing), dated as of October 8, 2003 (the "Agreement").
B. Contractor has requested that the Parties terminate the Agreement and has confirmed its
willingness to terminate the Agreement pursuant to that certain letter from Contractor to
District, dated May 26, 2004.
C. The District finds that it is in the best interest of the District to terminate the Agreement.
D. The Parties wish to terminate the Agreement, in its entirety, as of the date of this
Termination Agreement.
Agreement
NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
the Parties agree as follows:
1. Recitals. The foregoing recitals are hereby acknowledged as true and correct and are
incorporated herein by reference.
2. Termination of the Agreement. Effective as of the date of this Termination Agreement, the
Agreement shall be terminated in its entirety and shall be of no further force or effect.
3. Mutual Release. Each Party hereby releases and forever discharges the other Party of and
from any and all obligations, performance, actions, causes of action, suits, debts, obligations,
claims and demands which such Party has, or may have in the future, under the terms of the
Agreement.
4. Miscellaneous.
a. Counterparts. This Termination Agreement may be executed in one or more
counterparts, each of which when so executed shall be deemed to be an original
and all of which taken together shall constitute one and the same instrument.
b. Governing Law. The validity, performance, construction and effect of this
Termination Agreement shall he governed by and construed in accordance with
the internal law of the State of California, without giving effect to principles of
conflicts of law.
c. Headings. The headings in this Termination Agreement are for convenience of
reference only and shall not constitute a part of the Termination Agreement, nor
shall they affect its meaning, construction or effect.
d. Entire Agreement. This Termination Agreement, and all of the provisions hereof,
shall be binding upon and inure to the benefit of the Parties and their respective
successors and permitted assigns and successors. This Termination Agreement
sets forth the entire agreement and understanding among the Parties as to the
subject matter hereof and merges with and supercedes all prior discussions and
understandings of any and every nature among them.
IN WITNESS WHEREOF, the Parties have executed this Termination Agreement as of the date
first set forth above.

Subject: Bid Awards for the Prosser Village Production Well Pump Development
& Testing Program
1. WHY THIS MATTER IS BEFORE THE BOARD
The Board has to approve the awarding of the contracts for the Prosser Village
Production Well Pump Development & Testing Program.
2. HISTORY
The Board previously authorized staff to advertise for, accept and open bids for the
Prosser Village Production Well Project Pump Development & Testing Program with a
bid opening date of September 11, 2003. On September 11, 2003, Bids were received
and opened for both projects. Staff has totaled and reviewed all bids. Zim Industries
was awarded the bid for drilling the production well and for the Pump Development and
Testing Program. Zim Industries completed the drilling of the well, but has asked to
terminate the agreement for the Pump Development and Testing Program contract.
3. NEW INFORMATION
The next low bidder is Carson Pump, Carson City, NV, Carson Pump has work for the
District many times in the past and is an excellent contractor. Carson Pump has agreed
to the September 2003 bid price with one exception. That exception is the cost of fuel.
Carson Pump has asked for an additional amount for the fuel cost above the fuel cost of
September 2003. This additional cost will be based on the actual fuel used and the cost
of the fuel at the time of use.

$38,270.00, with an additional amount not to exceed of$2,000 for additional fuel cost,
and authorize the transfer of$ 38,270.00 from the Surplus Land Trust Fund to be paid
back by CFD to pay for the PUMP VILLAGE PRODUCTION WELL PUMP
DEVELOPMENT& TESTING PROGRAM.

In submitting this bid, it is understood that the right is reserved by the District to reject any and all Bids,
and it is understood that this Bid may not be withdrawn by the Bidder during a period of 30 days after the
schedule time for the receipts of bids.
Award of bid will be based on the bid cost proposal and previous performance on similar projects using
similar methods. The contractor shall submit with the bid proposal at least four clients(telephone
numbers and contacts)for which the contractor has completed similar projects. The contractor shall
specify changes in supervisors, drillers and/or equipment that has taken place since the work was
performed was performed on similar projects.
