Subject: Amendment to Inland Ecosystems Contract regarding Preparation of the
Brockway Road Transmission Pipeline CEQA
1. Why this matter is before the board:
Board authorization is required to amend an existing contract.
2. History:
In August 2005, Board approved a contract with Inland Ecosystems to prepare an Initial Study
associated with the CEQA review of the Brockway Road Transmission Pipeline.
3. New information:
The CEQA Initial Study has been completed and is ready for circulation, review and public comment.
One component of the Initial Study involved investigation and evaluation of cultural resources that
may be impacted by the project. Inland Ecosystems used Dr. Susan Lindstrom to perform this
cultural resources work. The complex history of the downtown area required Dr. Lindstrom to spend
significantly more time on investigation and documentation than originally anticipated. As a result,
cultural resources portion of the Initial Study preparation exceeded its budget by $6,980.00,
1 have reviewed the cultural resources report and it contains significantly more information than is
typically included in the District's CEQA documents. This information will prove useful in the event of
future projects in the Downtown area.
4. Recommendation:
I recommend that the Board amend the existing contract with Inland Ecosystems to increase the
total contract amount from $7,590.00 to $14,570.00.

Director Aguera moved and Director Taylor seconded, a motion to
accept the proposal submitted by Inland Ecosystems and award a
contract for preparation of the CEQA Initial Study associated with the
Brockway Road Transmission Pipeline in an amount not to exceed
$7,590.00; and authorize transfer of $7,590.00 from the Water Facility
Fee Account to the Water General Fund.

MASTER SERVICES AGREEMENT
TASK - 1, 2 &3 Brockway Road Transmission Pipeline
TASK TITLE: CEQA Preparation Associated with the Brockway Road Transmission Pipeline
This TASK agreement is being entered into by the parties hereto pursuant to the provisions of the
Master Services Agreement between the Truckee Donner Public Utility District("DISTRICT")
and Inland Ecosystems ("CONSULTANT")dated December 1, 2003, and all terms and
definitions contained in the Master Services Agreement shall apply to this TASK.
I. Description of Work
A. CONSULTANT agrees to assist the Truckee Donner Public Utility District with the
preparation and circulation of a California Environmental Quality Act(CEQA)Initial Study for
the Brockway Road Transmission Pipeline
B. Qualification of Personnel: The personnel supplied by CONSULTANT to fulfill its
obligations under this Agreement shall include four environmental scientists experienced in
wetland fieldwork and delineation and one registered archeologist experienced in cultural
resource assessments.
C. CONSULTANT to DISTRICT: It is understood that the services to be provided under
this Agreement are for the benefit of the DISTRICT and its staff, and that the CONSULTANT'S
responsibility will be to the DISTRICT. It is further agreed that in all matters pertaining to the
DISTRICT'S development or redevelopment projects, the CONSULTANT shall act as
consultant to only the DISTRICT and shall not act as consultant to any other individual or entity
affected by development or redevelopment in the DISTRICT in any manner that would conflict
with CONSULTANT'S responsibilities to the DISTRICT during the term of this Agreement.
D. CONSULTANT shall adhere to accepted professional standards as set forth by the
relevant professional associations and shall perform all services required under this Agreement in
a manner consistent with generally accepted professional procedures. CONSULTANT shall
strive for maximum accuracy in the results obtained for its services, and the data provided shall
be as accurate and up-to-date as is reasonably possible.
E. CONSULTANT shall be obligated to devote as much of its attention, skill, and effort as
may be reasonably required to perform the services described herein in a professional and timely
manner.
H. Scope of Work
In consideration for payment of fees under Section III of this TASK, CONSULTANT shall
provide, or cause to be provided,the following services:
TASK 1: Background Research and Reconnaissance Level Survey
Inland Ecosystems environmental scientists Dr. Glenn Merron (Project Manager), Carolyn
Chainey-Davis (Botanist), and Mark Chainey(Wildlife Biologists)will conduct a reconnaissance
level survey of the proposed pipeline route to confirm the presence of special-status plant or
animal species within the project footprint and identify any sensitive habitat types (e.g.
wetlands).
A search of the USFWS database and the California Natural Diversity Data Base (CNDDB) will
be conducted in order to develop a target species list of rare and sensitive species potentially
occurring in the area.
TASK 2: Cultural Resources Assessment
Dr. Susan Lindstrom, a registered archeologist, will conduct a formal cultural resources record
search to include all available sites, surveys, National Register, State and National Landmarks,
other historic references, and Historic Properties Inventory that fall within a 1/2 mile radius of
the project area.
TASK 3: Preparation of a CEQA Document
The District as the lead agency must evaluate the project components to determine if there is a
possibility that there may be a significant effect on the environment. This entails the District
preparing an Initial Study to determine whether any specific areas of concern including
Biological Resources, Cultural Resources, Mineral Resources, Hydrology, Water Quality, Noise,
Transportation/Traffic, Land Use/Planning, Air Quality, and Recreation would be "Potentially
Significantly Impacted" as a result of the project. Inland Ecosystems will prepare the Initial
Study checklist for the District. Resource agency staff will be consulted daring the development
of the Initial Study to facilitate feedback pertaining to any potential project impacts. Based on
the findings of the Initial Study, Inland Ecosystems will suggest an appropriate environmental
determination for the project to the District.
III. Fees and Method of Payment
The DISTRICT agrees to pay to CONSULTANT a sum not to exceed SEVEN THOUSAND
FIVE HUNDRED AND NINETY DOLLARS ($7,590.00),on a"time and materials"basis, as
the sole compensation under this Agreement for the services to be rendered in connection with
this Task. Payment shall be made within 30 day of receipt of an invoice. Invoice shall be
submitted no more frequently than once a month. Compensation above this amount may be
agreed to by the Parties and evidenced in writing by a change order or some other record.
A. CONSULTANT's hourly rate for such additional services as may be requested by
DISTRICT shall be as set forth in Exhibit "I"attached hereto.
B. DISTRICT retains the right to require proof of services performed or costs incurred prior
to any payment under this Agreement.
C. The DISTRICT retains the right to require the submittal by the CONSULTANT of all
background research materials generated by the CONSULTANT in providing the services set
forth herein.
IV. Personnel
A. CONSULTANT agrees that it will employ, at its own expense, all personnel, including
any subcontractors,reasonably necessary in its discretion to perform the services required by this
Agreement, and in no event shall such personnel be the employees of DISTRICT. All of the
services required hereunder shall be performed by the CONSULTANT or subcontractors, subject
to provisions of Sub-paragraph(B)below.
B. In addition to personnel employed directly by CONSULTANT, CONSULTANT may
engage such subcontractors as it may deem necessary to the performance of its services
hereunder with the prior written approval of DISTRICT. Any such subcontractors shall be paid
by the CONSULTANT from the funds payable to CONSULTANT pursuant to this Agreement,
and in no event shall DISTRICT be responsible for the payment of such subcontractors.
V. Abandonment of Protect
If the DISTRICT finds it necessary to abandon or suspend the PROJECT,the CONSULTANT
shall be compensated for all work completed under Article lI according to the schedule for
payments designated under Article III. Work items not completed, but upon which work has
been performed, shall be paid for on the basis of time and expenses incurred in accordance with
the attached consultant fee schedule (Exhibit "1").
VI. Ownership of Documents
CONSULTANT agrees to return to the DISTRICT,upon termination of this Agreement, all
documents, drawings,photographs, and other written or graphic material,however produced,
received from DISTRICT and used by CONSULTANT in the performance of its services
hereunder. All work papers,drawings, reports, internal memoranda, graphics, photographs, and
any written or graphic material, however produced, prepared by CONSULTANT in connection
with its performance of services hereunder shall be, and shall remain after termination of this
Agreement, the property of the DISTRICT and may be used by the DISTRICT for any purpose
whatsoever.
VII. Warranties
CONSULTANT warrants that its services are performed, with the usual thoroughness and
competence of the consulting profession, in accordance with the standard for professional
services at the time those services are rendered.
