Subject: Delegations from the Board to the General Manager
Why this matter is before the Board: This matter is intended to help clarify a
matter that was discussed by the Directors at the last meeting.
History: At the last meeting, the Board discussed whether the General Manager
had ever been formally delegated the task of meeting and conferring with the
management and professional employees of the District over compensation
issues. This question was raised in the context of the propriety of holding a
closed session to discuss compensation for management and professional
employees with the General Manager as the designated representative of the
District.
New information: Attached is a copy of Chapter 2.40 of the District Code. It
sets forth a series of specific delegations from the Board to the General
Manager. Section 2.40.010.3(g) appearing on the second page states "Act as
the Board's agent in meeting and conferring with employees and employee
organizations." The term "meet and confer' is used to designate meetings with
employees to negotiate compensation and other terms of employment.
Recommendation: This is just an informational item. No action is
recommended.
