SUBJECT: TDPUD Facility Modernization Project (TDPUD_FMP), 11570 Donner Pass Road, Truckee, CA
Dear Keith,
Based upon our conversation, the following is a proposal of respective responsibilities concerning the
Construction Documents for the remodel of the existing facility at 11570 Donner Pass Road, Truckee, CA
96161.
If you find it satisfactory pursuant to our discussions, please sign and return this agreement
so we are able to proceed.
I. This agreement is between Jennifer Stoll (Architect) and Truckee Donner Public Utility District
(Owner) for the work necessary to produce Construction Documents for a remodel of the
existing Truckee Donner Public Utility District at 11570 Donner Pass Road, as described below on
the Owner’s property.
The remodel shall consist of, but not be limited to, the following:
• Demolish, and construct a new, exterior main entry roof.
• Construct a new roof addition, at West Elevation, for exterior covered employee
patio.
• Replace all existing windows at entry and second level office building.
• Reframe new windows at Central Hallway, parapet level.
• Demolish the existing stucco siding and replacing with metal or stucco siding.
• Install new thermal and moisture protection.
• Coordinate with Sunmodo Solar Awning for additions at entry and second level office
building.
• Demolish, and construct new, subgrade waterproofing at the southwest office
corner.
• New landscape bench at South Elevations, wrapping around to the main entry.
• Install new landscaping at South Elevation between bench and building.
• Demolish, and construct a new, Monument Sign at southeastern parking lot.
• Exterior as-builts as needed.

II. The Owner agrees to provide and/or pay for the following:
A. All printing costs.
B. All necessary permits, fees, approval fees, and approval processing.
C. All soil testing, survey work, underground utility layout, material testing, and hydrology
studies, and engineered utility design or drawings, hydraulic and soils excavation study.
D. Civil Engineering design and drawings.
E. ADA review and design.
F. Processing and plan check fees at the time of plan submission to the appropriate
agencies.
G. Interior designer, solar panel sizing engineering and installation, landscape design, or
other consultants that will be provided by the Owner, if desired.
III. Any design changes after the initial acceptance of the Preliminary Design Phase Documents by
the Owner shall be negotiated with regard to fee. If the building increases by more than 5% the
fee will increase accordingly.
IV. The Architect agrees to provide and/or pay for the following:
PHASE I: Schematic Design and Preliminary Design (under separate contract)
PHASE II
A. Construction Documents Phase (380 hours, estimated)
The Architect shall proceed with preparing Construction Documents, based on Owner
approved Preliminary Design drawings. Construction Documents shall indicate
requirements for construction of the Project. The Architect shall coordinate with any
consulting services the Owner provides. The Architect shall assist the Owner in
connection with the Owner's responsibility for filing documents required for the
approval of regulatory agencies and governmental authorities having jurisdiction
over the Project.
Construction Documents will include the following:
1. Site Plan
2. Demolition Plans
3. Foundation Plans developed with a Structural Engineer
4. Floor Plans
5. Framing Plans developed with a Structural Engineer
6. Roof Plans
7. Exterior Elevations
8. Sections

9. Miscellaneous Details
10. Electrical Plans and lighting layout, developed with an Engineer
11. Plumbing Plans and layout, developed with an Engineer
12. Energy Calculations, as needed
13. Specification based on the AIA Standards
14. 3D computer model for use in Construction Drawings and coordination.
B. Bidding Phase: The Architect, following the Owner’s approval of the Construction
Documents, shall assist the Owner in preparations of the necessary bidding information
and shall assist the Owner in obtaining bids or negotiated proposals and assist in
awarding and preparing contracts for construction. All Bidding Phase work shall be
completed on a Time and Expense Basis.
C. Construction Phase: Site visits requested by the Owner shall be done on a Time and
Expense Basis. Contract Administration, if requested, shall be completed on Time and
Expense Basis.
D. The Architect shall assist the Owner in applying for and obtaining permits and approvals
normally required by the jurisdiction. However, this assistance shall not extend to
preparation of research studies, special documentation, or special tests, which services
shall be compensated for as Additional Services.
E. Routine information and drawings required to obtain a building permit from the local
regulatory agency will be provided.
F. The Owner or their Agent will apply for all required permits. If the Architect is asked to
provide this Phase of Service, the Owner will be billed on a Time and Expense Basis.
G. An initial payment as shown below shall be made upon execution of this agreement and
is part of the Total Architectural Fee.
V. Payment for architectural services, by the Owner, shall be based on a basic fixed fee stipulated
sum. The fee shall be based upon the project description as follows:
PHASE I_ (under separate contract)
A. Initial Payment $ 5,000.00
B. Schematic Design Development Phase $ 15,000.00
C. Preliminary Design Phase $ 9,000.00
TOTAL $ 24,000.00

VI. Additional Terms of Agreement
If this agreement has not been initiated within six months of the date signed, fee will be re-
negotiated.
The owner or Contractor shall submit all Documents and Applications, and the construction
documents to the applicable agencies. The Owner or Contractor will pick up and pay for
building permit and any other agency documents.
All fees are due and payable within 10 days of billing date. Billing will be for work completed
up to the date of invoice.
Drawings, model and specifications remain the property of Jennifer Stoll Architect. Copies
retained by the Owner shall be utilized only for his use and occupancy of the project, not for
the purpose of construction of any other projects.
The Architect/Engineer shall not be responsible for the means, methods, procedures
techniques, or sequences of construction, nor for the safety on the job site, nor shall the
Architect/Engineer be responsible for the contractor’s failure to carry out the work in
accordance with the construction documents, and applicable codes.
The services to be performed by the Architect/Engineer under this agreement are intended
solely for the benefit of the Owner. Nothing contained herein shall confer any rights upon or
create any duties on the part of the Architect/Engineer toward any person or persons not
party to this agreement including, but not limited to, any contractor, subcontractor, supplier,
or the agents, officers, employees, insurers or sureties of any of them.
All claims, disputes, and controversies arising out of or in relation to the performance,
interpretation, application, or enforcement of this Agreement, including, but not limited to,
breach thereof, shall be referred to mediation under the then current Construction Industry
Mediation Rules of the American Arbitration Association prior to any recourse to arbitration
or a judicial forum. If proceedings occur, they will be held in Truckee, California or Reno,
Nevada.

The Owner acknowledges the Architect plans and specifications as instruments of
professional service. Nevertheless, the plans and specifications prepared under this
Agreement shall be transferred to the Owner upon completion of the work. The Owner
agrees to hold harmless and indemnify the Architect against all damages, claims, and losses,
including defense costs, arising out of any reuse of the plans and specifications without
authorization of the Architect.
The Architect is not responsible for the means, methods, procedures, techniques, or accuracy
of other consultants’ work that are hired by the Owner. The Architect is not responsible to
review consultants work or its accuracy when consultant is hired by Owner.
This agreement may be terminated by either party upon not less than seven days written
notice should the other party fail substantially to perform in accordance with the terms of
this agreement through no fault of the party initiating the termination.
If the project is suspended by the Owner for more than 30 consecutive days, the Architect
shall be compensated for services performed prior to notice of such suspension. When the
project is resumed, the Architect’s compensation shall be equitably adjusted to provide for
expenses incurred in the interruption and resumption of the Architect’s services.
Failure of the Owner to make payments to the Architect in accordance with this agreement
shall be considered substantial nonperformance and cause for termination.
Measured Drawings are from measurements taken from the existing building conditions and
are to the industry standard margin of error or 4 inches. Any area which is not exposed to
view, is concealed, or is inaccessible because of soil, walls, floors, carpets, ceilings, furnishing,
or any other thing is not included in the drawings. The drawings do not include any
destructive testing or dismantling.
For new construction additions and remodels, the total liability of the Architect and
Architect's consultants to the Owners for any and all claims, losses, costs, or damages
whatsoever resulting from, rising out of, or related in any way to the Project or Agreement,
including but not limited to professional error or omissions, negligence, breach of contract,
strict liability, warranty expressed or implied of the Architect, shall not exceed the total
compensation received by the Architect under this agreement.
The Architect and Architect's consultants shall have no responsibility for the discovery,
presence, handling, removal or disposal of or exposure of persons to hazardous materials in
any form at the Project site, including but not limited to asbestos, asbestos products, lead,
polychlorinated biphenyl (PCB), lead, or other toxic substances.

VII. Additional Services
Blue printing and copies of plans: Plans and copies will be an extra cost to the Owner at the
prevailing rate charged by the blue printing service, plus shipping and handling charges if any.
All application fees, processing time, or other permit fees required by local agencies shall be
paid by the Owner at the request of the agency. Financial feasibility or other special studies
not provided.
Planning surveys, site evaluations, environmental studies or comparative studies of
prospective sites not provided.
LEED building studies, certification and processing.
Design services relative to future facilities, systems and equipment which are not intended to
be constructed as part of the project not provided.
Services to investigate existing conditions or facilities or make measured drawings thereof, or
to verify the accuracy of drawings or other information furnished by the Owner not provided.
Preparing documents for bids or out of sequence services requested by the Owner not
provided.
Detailed estimates of construction cost of detailed quantity surveys or inventories of
material, equipment and labor not provided.
Interior design and other services required for or in connection with the selection of furniture
and furnishings not provided.
Building interior study of compliance with Americans with Disabilities Act of 1990.
Making revisions in drawings, specifications or other documents when such revisions are
inconsistent with written approvals or instructions previously given and are due to causes
beyond the control of the Architect are not provided.
Supporting data and other services in connection with change orders not provided if the
change in the basic compensation resulting from the adjusted contract sum is not
commensurate with the services required of the Architect.

Investigations involving detailed appraisal and valuations of existing facilities, and survey or
inventories required in connection with construction performed by the Owner not provided.
Serving as an expert witness in connection with any public hearing, arbitration proceeding or
legal proceeding not provided.
Services of professional consultants for other than normal structural engineering services for
the Project not provided.
Any other services not otherwise included in this Agreement or not customarily furnished in
accordance with generally accepted construction drawings for building permit only, not
provided.
Model, renderings or colored graphic presentations for use at public meeting, hearings, or
reproduction for marketing brochures are not provided.

Fee Schedule & General Conditions
Classifications:
Project Architect $ 150.00/hr.
Cad/3D Drafting $ 130.00/hr.
Clerical/Word Processing $ 75.00/hr.
Sub-consultants: Sub-consultants retained by Jennifer Stoll, Architect on behalf of client are billed at
cost of the charge or fee. Sub-consultants may include land surveyors, structural, mechanical, electrical,
plumbing engineers, etc., who will be engaged depending on the specific requirements of projects.
Sub-consultant charges incurred in the research and development of proposals shall be charged upon
authorization to proceed. All materials and information generated shall be immediately incorporated
into the file.
All Owner authorized time over eight hours per weekday and all weekend and holiday time for
personnel will be billed at one and one-half times the regular rate. Mileage will be billed at the rate of
45 cents per mile. All charges and fees including the cost of prints, copies, travel, telephone toll charges,
and other non-labor related expenses paid by this firm to others on behalf of the client shall be billed at
the cost of the charge or fee. These costs are not included in estimates. We bill on a monthly basis. All
invoices are due and payable within 10 days of receipt. Estimates of charges for specific services or
projects are available upon request. Charges for estimates are commensurate with the project's
complexity.
Fee includes the use of electronic design systems.
