Agreement to Purchase. Member is placing an order for the Software, Services and/or Equipment listed in the attached Schedule 1, which is incorporated in, and made a part of, this Purchase Order. Member agrees to pay NISC all applicable Charges for such Software, Services and/or Equipment, including but not limited to all Monthly Recurring Fees, Implementation Fees, Third Party Fees, Other Service Fees, Equipment Charges, Costs and Travel Time. The applicable Charges currently in effect are set forth in Schedule 1, with certain of the Charges subject to change from time to time pursuant to the NISC Master T&Cs or NISC SSA, whichever is currently in effect between the parties. The attached Schedule 2, which is incorporated in and made a part of this Purchase Order, is the Statement of Work for the Software, Services and/or Equipment described in Schedule 1 and sets forth the Implementation Services NISC will provide and other related matters. 3. Binding Agreement. This is an offer made by Member to NISC and subject to NISC’s approval. This Purchase Order and the Agreement will be valid and binding upon the parties when signed by NISC. 4. E-Execution & Storage: This Purchase Order may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. This Purchase Order may be executed and/or stored in electronic format only; an electronic, scanned, or facsimile signature shall be valid for all purposes; and the destruction in the ordinary course of business of any document containing a “wet” signature shall not invalidate this instrument. Incorporation of NISC Master Terms and Conditions and/or Software and Service Agreement. Member’s purchase and use of the Software, Services and/or Equipment listed in the attached Schedule 1 is subject to the terms and conditions of the NISC Master Software and Services Terms and Conditions (“NISC Master T&Cs”) or the NISC Software and Service Agreement (“NISC SSA”), whichever is currently in effect governing Member’s use of all Software, Services and/or Equipment provided to Member by NISC, together with any applicable Additional Terms and Conditions. There currently is a tiered base fee and an Operations Analytics Per Meter Monthly Recurring Fee. The DEW desktop application does require a computer with the following hardware and software requirements:  2GHz processor, 4GB RAM, 20GB free hard disk space, and current Windows Operating System (x64) with at least 8GB RAM. Microsoft .NET Framework version 4.6.1 (or higher) installed. Specific Requirements Operations Analytics (OA) requires the NISC MDMS with a minimum of hourly interval data, an accurate and detailed distribution-level, connectivity model (down to the end-user) from NISC MapWise™ or NISC-supported file formats, and little to no required manual readings. If available, substation and/or feeder measurements from an MV-90 and/or SCADA system or NISC-supported file formats can be leveraged to enhance the analysis.   Hardware Requirements Project Approach Statement of Work The SOW is a guideline for the work needed to implement this solution. The SOW includes scope, project approach, a description and activities of the purchased products or services, deliverables, and assumptions. Project Management NISC manages projects with a blend of methods: Project Management Institute (PMI), and Agile & Adaptive Project Management. An NISC Project Manager will oversee and handle the implementation and ensure NISC is meeting the timelines and work outlined. This Project Manager will be the focal point of your project and will be your day-to-day contact for this implementation. NISC also expects the Member to have a Project Manager who will manage and coordinate all activities and deliverables that are the responsibility of Member. Operations Analytics (OA) Description & Activities The NISC’s Operations Analytics (OA) solution fundamentally changes how utilities analyze their distribution assets. The solution performs time series analysis on the distribution network for an analysis of distribution transformers, circuit loss and voltage by leveraging AMI data, a detailed distribution model (down to the end-user) and a contemporary engineering analysis application Distribution Engineering Workstation (DEW). The solution provides a site license of the Electric Distribution Design EDD, DEW engineering desktop planning application. The OA is also an operational platform that provides critical outage functionality such as fault location and switching configuration.  Project Scope The implementation project plan is established and agreed upon during the project initiation call or kick-off call. Smartsheet is used to deliver the project milestone dates. A typical OA project from initiation to live date is approximately 4-7 months. Resource Management is essential in executing a project successfully. NISC will work with the utility to identify the required project resources and project involvement. If the utility wants to leverage the included DEW desktop planning tool, NISC provides training at its facilities in Lake St. Louis at a cost of $375 per person (not including travel costs). NISC recommends that the utility attends the DEW workshop within 12 months of live. NISC also provides additional training through web-based tools and NISC’s Pathways. This specific file format will be provided by NISC to your SCADA provider. Any fees associated with this configuration, licensing, setup by your SCADA provider are outside the scope of work of NISC and this SOW. NISC can integrate to the following SCADA providers as long as your SCADA configuration already includes the MultiSpeak protocol. If not, BRECA, would need to work with your SCADA provider for setup and configuration.
