Gross, District Counsel SUBJECT: Approval of the Interim General Manager’s Employment Agreement APPROVED BY______________________________ Steven C. Gross, District Counsel RECOMMENDATION: Approve an employment agreement with Brian C. Wright for the Interim General Manager position in substantially the form presented with this report and authorize the Board President to execute it. BACKGROUND: On November 18, 2020 the Board of Directors terminated the employment of its General Manager and unanimously appointed Brian Wright as Interim General Manager. On December 16, 2020 and December 18, 2020 the Board of Directors established and re- established a General Manager’s Succession/Transition Ad Hoc Committee. The committee consists of Director Bender and President Finn and was established for the purposes of negotiating an Interim General Manager agreement with Brian Wright and identifying the succession/transition plan and process for selection of a new General Manager. On December 23, 2020, the Ad Hoc Committee, Mr. Wright and I met to discuss the terms and conditions of an Employment Agreement with Mr. Wright for the Interim General Manager position. The group identified terms that the Ad Hoc Committee feel comfortable recommending to the Board for approval and which have been incorporated into the attached Employment Agreement. The essential terms of the Agreement consist of the following: 1. Scope of Services: Provide services ordinarily performed by the General Manager. 2. Term: November 18, 2020 through May 31, 2021. 3. Compensation: $250,000.00 annual base salary. {00927991.DOC 1 }Page 2 of 2 4. Expense Reimbursement: Reimbursement of Expenses and Board to administer the Professional Development Plan which was previously administered by the General Manager. 5. Reinstatement to Previous Positions: IGM may resign position of IGM upon 30 days’ notice and return to his previous positions as Assistant General Manager and Water Utility Director with compensation and benefits of those positions. 6. Termination and Resignation: Board may terminate IGM’s employment as the IGM with or without cause upon 30 days’ notice. If terminated without cause, then he returns to previous positions. If terminated for cause, then his employment with the District is terminated. FISCAL IMPACT: Sufficient funds exist in the FY20 and FY21 budget.
