Members of the Board will be participating from separate remote locations. The meeting is accessible for public observation via Tahoe Truckee Media (TTM) online at http://ttctv.org/live-meeting/truckee-donner-public-utility-district/ or cable TV channel 18. Public comment will be accepted via email at shannakuhlemier@tdpud.org and via Zoom in the question/answer feature on any item on the agenda until the Board President closes public comment on each item. 1. Call to order 2. Roll Call 3. Pledge of Allegiance - defer 4. Changes to the agenda 5. Public Comment – This is time set aside for the public to address the Board on any matter not on the agenda. Testimony related to any agendized matter should be addressed at the time that that item is considered. (The public may comment on any subject that is not on the agenda. Each speaker will be limited to three minutes, but speaker time may be reduced at the discretion of the Board President if there are a large number of speakers on any given subject.) DIRECTOR UPDATE 6. This item provides time for Directors to comment on any item within the purview of the District. GENERAL MANAGER UPDATE 7. This item provides time for the General Manager to update the Board. CONSENT 8. Close Out the Emergency Procurement Action for Transformer Bushings at Martis Valley Substation. Close out the emergency action approved at the November 18, 2020 Board Meeting related to the emergency procurement of transformer bushings for Martis Valley Substation in accordance with District Code Section 3.08.100. 9. Consideration to Purchase an Enterprise Content Management System with ECS Imaging. Approve the Interim General Manager to sign a contract with ECS Imaging for first year access, licensing and support for Laserfiche Enterprise Content Management Software, as well as for implementation and integration services in an amount $86,465 with a 10% change order of $8,647 plus taxes, for an amount not to exceed $95,112. ACTION ITEM(S) 11. Consideration to Adopt Resolution 2021-02 Commending Trisha Ruby for Her Many Years of Service. Adopt Resolution 2021-02 recognizing Trisha Ruby for her years of service. 12. Approval of the Interim General Manager’s Employment Agreement. Approve an employment agreement with Brian C. Wright for the Interim General Manager position in substantially the form presented with this report and authorize the Board President to execute it. WORKSHOP 13. Building Modernization Project. Provide input to staff on desired option of the Building Modernizations Project. ROUTINE BUSINESS 14. Approve the Minutes of the Regular Board Meeting of December 2, 2021, and the Special Meetings of December 16, 2021 and December 18, 2021. CLOSED SESSION 15. Closed Session Pursuant to Government Code Section 54956.9(d)(4) Deciding Whether to Initiate Litigation, one case. 16. Closed Session Pursuant to Government Code Section 54957, Public Employee Performance Evaluation – Interim General Manager’s Performance Review.
