Subject: Consideration to Appoint Additional Labor Negotiators

1. WHY THIS MATTER IS BEFORE THE BOARD
Only the Board of Director's can appoint members of the Board to serve on an Ad Hoc
Committee.
2. HISTORY
Ad Hoc Committees are commonly used in goverments to create asub-committe
under the Board of Directors for the purpose of specific tasks. Members of Ad Hoc
committess designated by the Board of Directors are advisory to the Board and are
appointed by the Board.
Ad Hoc committees are treated differently under the Ralph M. Brown Act as it relates
to noticing and posting requirements. The committee must:
• Be comprised solely of less than a quorum of the legislative body (Two
Directors);
® Has a defined purpose and a time frame to accomplish the purpose;
• Is advisory to the Baord and does not have delegated decision making power;
and
3. NEW INFORMATION
With recent negotiations with the un-represented management staff of the TDPUD, an
Ad Hoc committee would be useful to vet through open negotiatable items.
The un-represented staff will appoint two members of their team, along with the
District negiotiator Michael Holley and the Human Resource Manager Kim Harris to
negotiate the terms of the items.
4. FISCAL IMPACT
There is no fiscal impact associated with this item.
5. RECOMMENDATION
Appoint and implement an Ad Hoc Negotiating Committee, and appoint two Board
members to serve on that committee for the duration of the negotiations with the un-
represented employees of the TDPUD.
