May 16, 2018 Subject: Consideration of the Award of a Contract for Property, Liability and Cyber Insurance 1. WHY THIS MATTER IS BEFORE THE BOARD The District's annual property, liability and cyber insurance coverage ends June 1, 2018 and requires Board approval for renewal. 2. HISTORY Due to the complexity of its insurance requirements, the District utilizes insurance brokerage services. In March, 2018, the District Board of Directors awarded the contract for insurance brokerage services for annual property, liability and cyber coverage to InterWest Insurance Services for up to a three-year term. 3. NEW INFORMATION The District worked with Matt Bauer and Tony Pozas with InterWest to complete the necessary letters and applications to obtain competitive bids for the insurance package. InterWest solicited quotes from various insurance companies for the policy period June 1, 2018 -June 1, 2019 and considered carriers based on insurance needs, price and rating of the company. InterWest's attached proposal (Attachment 1), summarizes the elements considered during the insurance renewal process. Over eleven carriers were approached including SDRMA (Work comp carrier), JPIA/ACWA, Liberty Mutual and Hallmark. Notable items of the insurance package are: Coverage limits are arranged differently with Travelers vs One Beacon, but the coverage limits are the same or better. • One Beacon provided $1 M occurrence/$5M aggregate for GL, Errors & Omissions, EPLi with a $10M Excess Umbrella over all these coverage lines. This provided $11M occurrence/$15M aggregate for these lines before other layers are attached. • Travelers provides $1 M occurrence/$2M aggregate for GL, $1 M/$1 M Errors & Omissions, $1M/$3M EPLi with a $15M Excess Umbrella over all these coverage lines. This provided $16M occurence/$17M aggregate for GL, $16M/$16M for E&O, $16M/$18M EPLi for these lines before other layers are attached. • Travelers Aggregate Limit for GL is $27MM. One Beacon was $25MM. Property: Deluxe Property Coverage is significantly more broad than most property forms with many extensions/coverages built in. • Travelers will conduct a Marshall Swift/Boekh (MSB) report every year to verify that all buildings are fully insured to value. This is run year over year to make sure buildings values are adequate. The blanket limit for buildings and business personal policies is $73,966,932 for this policy period. • Travelers has included increased limits for accounts receivable, ordinance/law coverage, outdoor property, personal effects, and valuable papers. • Deluxe Business Income with Extra Expense Coverage is being provided at all locations for a blanket limit of $2,500,000 and a deductible of 72 hours. • The property deductible decreases to $10,000 from $25,000, Auto: • Standard $1 M CSL with UM/UIM at $1 M and $5K Med Pay - a signed UM/UIM form will need to be completed • Both the liability and auto physical damage is rated on the composite rating schedule: no midterm endorsements for added or deleted vehicles as these cnanges wiii ae picmea up at the ena or the policy perioa. Professional Lines and Cyber: • These are separate lines of coverage and not sub limited under the General Liability or combined with each other. • Defense expenses are payable outside the limits of insurance. Employment Practices Liability: • Offering $1 M/1 M limits with a $15,000 deductible. • Claims -Made w/retro-date per provided supplements of 05/02/2002. • Defense expenses are payable inside the limits of insurance. Umbrella recap: • $15M Limits with a $10,000 retained limit. Travelers also provides the following support Risk Management services: • Dedicated public sector claims handling team for the casualty lines who are trained and dedicated to handle all auto, GL, professional, and WC claims for public sector entities. TDPUD will have dedicated claims adjustors and management staff. • For EPLi claims, Travelers offers a free consulting service through Jackson Lewis out of Phoenix: you can call prior to a claim or when a situation arises, and receive free guidance. This is in addition to the Labor Attorney Services InterWest Provides our clients through the Holden Law Group in Auburn. • Travelers also supports our loss control consultants with a dedicated public sector risk controls services team to help with any targeted areas of need. The proposed premium cost is $279,008, which is an approximately 2.39% decrease 4. FISCAL IMPACT Sufficient funds exist in the Board approved FY1Mir- Y19 budgets. 5. Date: Insured: D-1(Effective January 1, 2017 Let our experience guide you. 36 Terrorism for Earthquake OFFER OF TERRORISM COVERAGE In accordance with the Terrorism Risk Insurance Act, we are required to offer the insured coverage for losses resulting from an act of terrorism, not otherwise excluded by this policy and as covered by the Terrorism Risk Insurance Act. All other policy provisions will apply to coverage for such act of terrorism. The insured must choose whether or not to pay the premium described below under DISCLOSURE OF PREMIUM for coverage for acts of terrorism that are certified by the Secretary of the Treasury as covered acts under the Terrorism Risk Insurance Act, or not to pay the premium, and reject this offer of coverage at the time of binding. In any case, if the insured rejects terrorism coverage in any scheduled underlying policy, this policy is written to exclude terrorism. If the premium shown in the DISCLOSURE OF PREMIUM is not collected and the insured does not reject coverage for terrorism this policy will be issued excluding acts of terrorism. DISCLOSURE OF FEDERAL PARTICIPATION IN PAYMENT OF TERRORISM LOSSES The United States Government, Department of the Treasury, will pay a share of terrorism losses insured under the federal program. Under the formula, the United States Government generally reimburses 85% through 2015; 84% beginning on January 1, 2016; 83% beginning on January 1, 2017; 82% beginning on January 1, 2018; 81 % beginning on January 1, 2019 and 80% beginning on January 1, 2020, of covered terrorism losses that exceed the applicable insurer retention. However, if aggregate insured losses attributable to terrorist acts certified under the Terrorism Risk Insurance Act exceed $100 billion in a calendar year, the Treasury shall not make any payment for any portion of the amount of such losses that exceeds $100 billion. CAP INSURER PARTICIPATION IN PAYMENT OF TERRORISM LOSSES If aggregate insured losses attributable to terrorist acts certified under the Terrorism Risk Insurance Act exceed $100 billion in a calendar year and the Insurer has met our Insurer deductible under the Terrorism Risk Insurance Act, the Insurer will not be liable for the payment of any portion of the amount of such losses that exceeds $100 billion, and in such case insured losses up to that amount are subject to pro rata allocation in accordance with procedures established by the Secretary of Treasury.
