HomeMy WebLinkAbout8 Public Hearing for SCIP ParticipationAgendaItem#8TRUCKEEDONNERIPubIicUtilityDiJPUBLICHEARINGTo:BoardofDirectorsFrom:ReginaWiseDate:June05,2019Subject:HoldaPublicHearingRelatedtotheAdoptionofDistrictResolution2019-11and2019-12fortheDistricttoEnterintoaJPAwithCSCDA-- --andjointheSCIPprogram.1.WHYTHISMATTERISBEFORETHEBOARDTheBoardsetapublichearingforJune5,2019toreceiveinputfromthepublicregardingtheadoptionofaresolutiontoenterintoaJointPowersAgreementwithCaliforniaStatewideCommunitiesDevelopmentAuthority(CSCDA)inadditiontoanadoptionofaresolutiontoparticipateinStatewideCommunityInfrastructureProgram(SCIP)financing.2.HISTORYCSCDAisajointpowersauthoritysponsoredbytheLeagueofCaliforniaCitiesandtheCaliforniaStateAssociationofCounties.ThememberagenciesofCSCDAincludeapproximately391cities,56counties,and74specialdistrictsthroughoutCalifornia.SCIPwasinstitutedbyCSCDAin2002toallowownersofpropertyinparticipatingcities,countiesanddistrictstofinancethedevelopmentimpactfeesthatwouldbepayablebypropertyownersuponreceivingdevelopmententitlementsorbuildingpermits.Theprogramhassincebeenexpandedtoincludefinancingofpubliccapitalimprovementsdirectly.Ifapropertyownerchoosestoparticipate,andtheDistrictagrees,theselectedpubliccapitalimprovementsandthedevelopmentimpactfeesowedtotheDistrictwillbefinancedbytheissuanceoftax-exemptbondsbyCSCDA.CSCDAwillimposespecialassessmentontheowner’spropertytorepaytheportionofthebondsissuedtofinancethefeesandcapitalimprovements.3.NEWINFORMATIONSCIPhasmanybenefitsfordevelopers:.Enablesdeveloperstofinancecapitalimprovementsandfeesfreeingupcapitalforotherpurposes;.SCIPfinancingisfixedlienassessmentpaymentswithoutescalatorsovertime; .Alleviatespublicinfrastructurecostsfrombeing“rolled”intothecostofthehomebytakingadvantageofthespecialassessmentfinancingatatax-exemptrate;and.SCIPisavailableforavarietyofresidentialandcommercialprojectsandcanfinanceprojectamountsaslowas$500K.SCIPhasmanybenefitsfortheDistrict:.Aswithconventionalassessmentfinancing,theDistrictisnotliabletorepaythebondsissuedbyCSCDAortheassessmentsimposedontheparticipatingproperties;.CSCDAhandlesallDistrictformation,administration,bondissuance,andbondadministrationfunctions;.Tax-exemptfinancinghelpsparticipatingentitiescushiontheimpactofrisingpubliccapitalimprovementscostsandfeesonpropertyowners;and.Theavailabilityoffinancingcanencouragelessphasinginofinfrastructureovertime.4.FISCALIMPACTTherearenoduesorothermembershiprequirementsonthepartoftheDistrictotherthantoadopttheproposedresolutionsandexecutetheagreement.5.RECOMMENDATION1)ConductaPublicHearingtoreceivecommentsonbecomingaCSCDAmemberandSCIPprogrampartipant;2)Adoptresolution2019-11,approving,authorizing,anddirectingexecutionfoanamendedadnrestatedjointexerciseofpowersagreementrelatingtoCSCDA;and3)Adopttheresolution2019-12,authorizingtheDistricttojointheSCIPprogram,authorizingCSCDAtoacceptapplicaitonsfrompropertyowners,conductspecialassessmentproceedingsandlevyassessmentswihtintheterritoryoftheDistrict;approvingformofacquisitionagreementforusewhenapplicable;andauthorizingrelatedactions./&ReginaWiseMichaelD.HolleyFinance&AccountingManagerGeneralManager Attachment1ResolutionNo.2019-11APPROVING,AUTHORIZING,ANDDIRECTING,EXECUTIONOFANAMENDEDANDRESTATEDJOINTEXERCISEOFPOWERSAGREEMENTRELATINGTOTHECALIFORNIASTATEWIDECOMMUNITIESDEVELOPMENTAUTHORITYWHEREAS,TruckeeDonnerPublicUtilityDistrict(the“District”),hasexpressedaninterestinparticipatingintheeconomicdevelopmentfinancingprograms(the“programs”)inconjunctionwiththepartiestothatcertainAmendedandRestatedJointExerciseofPowersAgreementRelatingtotheCaliforniaStatewideCommunitiesDevelopmentAuthority,datedasofJune1,1988(the“Agreement”);andWHEREAS,thereisnowbeforetheDistricttheformoftheAgreement;andWHEREAS,theDistrictproposestoparticipateintheProgramsanddesiresthatcertainprojectstobelocatedwithintheDistrictbefinancedpursuanttotheProgramsanditisinthepublicinterestandforthepublicbenefitthattheDistrictdoso;andWHEREAS,theAgreementhasbeensubmittedtothe[DistrictAdministrator,District’sGeneralCounsel,andtheBoardofDirectors],allofwhomhavereviewedsaidagreement;NOWTHEREFORE,BEITRESOLVED,bytheBoardofDirectorsofTruckeeDonnerPublicUtilityDistrictasfollows:Section1.TheagreementisherebyapprovedandtheGeneralManagerisherebyauthorizedanddirectedtoexecutesaiddocument,withsuchchanges,insertionsandomissionsasmaybeapprovedbytheDistrict’sBoardofDirectorsandapprovedastoformbytheDistrict’sGeneralCounsel.Section2.TheBoardPresidentandtheDistrictClerkareherebyauthorizedanddirectedtoexecutesuchotheragreements,documentsandcertificates,subjecttoapprovalastoformbytheDistrict’sGeneralCounsel,andtoperlormsuchotheractsanddeeds,asmaybenecessarytoeffectthepurposesofthisResolutionandthetransactionshereinauthorized. WHEREAS,infurtheranceoftheProgram,certainCaliforniacounties(collectively,the“InitialParticipants”)haveenteredintothatcertainJointExerciseofPowersAgreementdatedasofNovember18,1987(the“InitialAgreement”),pursuanttowhichtheCaliforniaCountiesIndustrialDevelopmentAuthorityhasbeenestablishedasaseparateentityundertheJointExerciseofPowersActforthepurposesandwiththepowersspecifiedintheInitialAgreement;andWHEREAS,theLeagueofCaliforniaCities(“LCC”)hasdeterminedtojoinasasponsoroftheProgramandtoactivelyparticipateintheadministrationoftheAuthority;andWHEREAS,theInitialParticipantshavedeterminedtospecificallyauthorizetheAuthoritytoissueBondspursuanttoArticle2oftheJointExerciseofPowersAct(“Article2”)andArticle4oftheJointExerciseofPowersAct(“Article4”),aswellasmaybeauthorizedbytheActorotherapplicablelaw;andWHEREAS,theInitialParticipantsdesiretorenametheCaliforniaCountiesIndustrialDevelopmentAuthoritytobetterreflecttheadditionalsponsorshipoftheProgram;andWHEREAS,eachoftheInitialParticipantshasdeterminedthatitisinthepublicinterestofthecitizenswithinitsboundaries,andtothebenefitofsuchInitialParticipantandtheareaandpersonsservedbysuchInitialParticipant,toamendandrestateinitsentiretytheInitialAgreementinordertoimplementtheprovisionssetforthabove;andWHEREAS,itisthedesireoftheProgramParticipantstouseapublicentityestablishedpursuanttotheJointExerciseofPowersActtoundertakeprojectswithintheirrespectivejurisdictionsthatmaybefinancedwithBondsissuedpursuanttotheAct,Article2,Article4,orotherapplicableprovisionsoflaw;andWHEREAS,theprojectsundertakenwillresultinsignificantpublicbenefits,includingthosepublicbenefitssetforthinSection91502.1oftheAct,anincreasedlevelofeconomicactivity,oranincreasedtaxbase,andwillthereforeserveandbeofbenefittotheinhabitantsofthejurisdictionsoftheProgramParticipants;NOW,THEREFORE,theProgramParticipants,forandinconsiderationofthemutualpromisesandagreementshereincontained,doagreetorestateandamendtheInitialAgreementinitsentiretytoprovideasfollows:2 Section1.Purpose.ThisAgreementismadepursuanttotheprovisionsoftheJointExerciseofPowersAct,relatingtothejointexerciseofpowerscommontopublicagencies,inthiscasebeingtheProgramParticipants.TheProgramParticipantseachpossessthepowersreferredtointherecitalshereof.ThepurposeofthisAgreementistoestablishanagencyfor,andwiththepurposeof,issuingBondstofinanceprojectswithintheterritoriallimitsoftheProgramParticipantspursuanttotheAct,Article2,Article4,orotherappliableprovisionsoflaw;provided,howeverthatnothinginthisAgreementshallbeconstruedasalimitationontherightsoftheProgramParticipantstopursueeconomicdevelopmentoutsideofthisAgreement,includingtherightstoissueBondsthroughindustrialdevelopmentauthoritiesundertheAct,orasotherwisepermittedbylaw.WithinthevariousjurisdictionsoftheProgramParticipantssuchpurposewillbeaccomplishedandsaidpowersexercisedinthemannerhereinaftersetforth.Section2.Term.ThisAgreementshallbecomeeffectiveasofthedatehereofandshallcontinueinfullforceandeffectforaperiodofforty(40)yearsfromthedatehereof,oruntilsuchtimeasitisterminatedinwritingbyalltheProgramParticipants;provided,however,thatthisAgreementshallnotterminateorbeterminateduntilthedateonwhichallBondsorotherindebtednessissuedorcausedtobeissuedbytheAuthorityshallhavebeenretired,orfullprovisionshallhavebeenmadefortheirretirement,includinginterestuntiltheirretirementdate.Section3.Authority.A.CREATIONANDPOWERSOFAUTHORITY.(1)PursuanttotheJointExerciseofPowersAct,thereisherebycreatedapublicentitytobeknownasthe“CaliforniaStatewideCommunitiesDevelopmentAuthority”(the“Authority”),andsaidAuthorityshallbeapublicentityseparateandapartfromtheProgramParticipants.Itsdebts,liabilitiesandobligationsdonotconstitutedebts,liabilitiesorobligationsofanypartytothisAgreement.B.COMMISSION.TheAuthorityshallbeadministeredbyaCommission(the“Commission”)whichshallconsistofsevenmembers,each3 servinginhisorherindividualcapacityasamemberoftheCommission.TheCommissionshallbetheadministeringagencyofthisAgreement,and,assuch,shallbevestedwiththepowerssetforthherein,andshallexecuteandadministerthisAgreementinaccordancewiththepurposesandfunctionsprovidedherein.FourmembersoftheCommissionshallbeappointedbythegoverningbodyofCSACandthreemembersoftheCommissionshallbeappointedbythegoverningbodyofLCC.InitialmembersoftheCommissionshallserveatermendingJune1,1991.Successorstosuchmembersshallbeselectedinthemannerinwhichtherespectiveinitialmemberwasselectedandshallserveatermofthreeyears.Anyappointmenttofillanunexpiredterm,however,shallbeforsuchunexpiredterm.Thetermofofficespecifiedaboveshallbeapplicableunlessthetermofofficeoftherespectivememberisterminatedashereinafterprovided,andprovidedthatthetermofanymembershallnotexpireuntilasuccessortheretohasbeenappointedasprovidedherein.EachofCSACandLCCmayappointanalternatememberoftheCommissionforeachmemberoftheCommissionwhichitappoints.SuchalternatemembermayactasamemberoftheCommissioninplaceofandduringtheabsenceordisabilityofsuchregularlyappointedmember.AllreferencesinthisAgreementtoanymemberoftheCommissionshallbedeemedtorefertoandincludetheapplicablealternatememberwhensoactinginplaceofaregularlyappointedmember.EachmemberoralternatememberoftheCommissionmayberemovedandreplacedatanytimebythegoverningbodybywhichsuchmemberwasappointed.Anyindividual,includinganymemberofthegoverningbodyorstaffofCSACorLCC,shallbeeligibletoserveasamemberoralternatememberoftheCommission.MembersandalternatemembersoftheCommissionshallnotreceiveanycompensationforservingassuchbutshallbeentitledtoreimbursementforanyexpensesactuallyincurredinconnectionwithservingasamemberoralternatemember,iftheCommissionshalldeterminethatsuchexpensesshallbereimbursedandthereareunencumberedfundsavailableforsuchpurpose.C.OFFICERS;DUTIES;OFFICIALBONDS.TheCommissionshallelectaChair,aVice-Chair,andaSecretaryoftheAuthorityfromamongitsmemberstoserveforsuchtermasshallbedeterminedbytheCommission.TheCommissionshallappointoneormoreofitsofficersor4 employeestoserveastreasurer,auditor,andcontrolleroftheAuthority(the“Treasurer”)pursuanttoSection6505.6oftheJointExerciseofPowersActtoserveforsuchtermasshallbedeterminedbytheCommission.Subjecttotheapplicableprovisionsofanyresolution,indentureorotherinstrumentorproceedingauthorizingorsecuringBonds(eachsuchresolution,indenture,instrumentandproceedingbeinghereinreferredtoasan“Indenture”)providingforatrusteeorotherfiscalagent,theTreasurerisdesignatedasthedepositaryoftheAuthoritytohavecustodyofallmoneyoftheAuthority,fromwhateversourcederived.TheTreasureroftheAuthorityshallhavethepowers,dutiesandresponsibilitiesspecifiedinSection6505.5oftheJointExerciseofPowersAct.TheTreasureroftheAuthorityisdesignatedasthepublicofficerorpersonwhohaschargeof,handles,orhasaccesstoanypropertyoftheAuthority,andsuchofficershallfileanofficialbondwiththeSecretaryoftheAuthorityintheamountspecifiedbyresolutionoftheCommissionbutinnoeventlessthan$1000.Ifandtotheextentpermittedbylaw,anysuchofficermaysatisfythisrequirementbyfilinganofficialbondinatleastsaidamountobtainedinconnectionwithanotherpublicoffice.TheCommissionshallhavethepowertoappointsuchotherofficersandemployeesasitmaydeemnecessaryandtoretainindependentcounsel,consultantsandaccountants.TheCommissionshallhavethepower,byresolution,totheextentpermittedbytheJointExerciseofPowersActoranyotherapplicablelaw,todelegateanyofitsfunctionstooneormoreofthemembersoftheCommissionorofficersoragentsoftheAuthorityandtocauseanyofsaidmembers,officersoragentstotakeanyactionsandexecuteanydocumentsorinstrumentsforandinthenameandonbehalfoftheCommissionortheAuthority.D.MEETINGSOFTHECOMMISSION.(1)RegularMeetings.TheCommissionshallprovideforitsregularmeetings;provided,however,itshallholdatleastoneregularmeetingeachyear.Thedate,hourandplaceoftheholdingoftheregularmeetingsshallbefixedbyresolutionoftheCommissionandacopyofsuchresolutionshallbefiledwitheachpartyhereto.5 (2)SpecialMeetings.SpecialmeetingsoftheCommissionmaybecalledinaccordancewiththeprovisionsofSection54956oftheGovernmentCodeoftheStateofCalifornia.(3)RalphM.BrownAct.AllmeetingsoftheCommission,including,withoutlimitation,regular,adjournedregular,special,andadjournedspecialmeetingsshallbecalled,noticed,heldandconductedinaccordancewiththeprovisionsoftheRalphM.BrownAct(commencingwithSection54950oftheGovernmentCodeoftheStateofCalifornia).(4)Minutes.TheSecretaryoftheAuthorityshallcausetobekeptminutesoftheregular,adjournedregular,special,andadjournedspecialmeetingsoftheCommissionandshall,assoonaspossibleaftereachmeeting,causeacopyoftheminutestobeforwardedtoeachmemberoftheCommission.(5)Quorum.AmajorityofthemembersoftheCommissionwhichincludesatleastonememberappointedbythegoverningbodyofeachofCSACandLCCshallconstituteaquorumforthetransactionofbusiness.NoactionmaybetakenbytheCommissionexceptupontheaffirmativevoteofamajorityofthemembersoftheCommissionwhichincludesatleastonememberappointedbythegoverningbodyofeachofCSACandLCC,exceptthatlessthanaquorummayadjournameetingtoanothertimeandplace.E.RULESANDREGULATIONS.TheAuthoritymayadopt,fromtimetotime,byresolutionoftheCommissionsuchrulesandregulationsfortheconductofitsmeetingsandaffairsasmayberequired.Section4.Powers.TheAuthorityshallhaveanyandallpowersrelatingtoeconomicdevelopmentauthorizedbylawtoeachofthepartiesheretoandseparatelytothepublicentityhereincreated,including,withoutlimitation,thepromotionofopportunitiesforthecreationandretentionofemployment,thestimulationofeconomicactivity,andtheincreaseofthetaxbase,withinthejurisdictionsofsuchparties.Suchpowersshallincludethecommonpowersspecifiedinthis6 AgreementandmaybeexercisedinthemannerandaccordingtothemethodprovidedinthisAgreement.AllsuchpowerscommontothepartiesarespecifiedaspowersoftheAuthority.TheAuthorityisherebyauthorizedtodoallactsnecessaryfortheexerciseofsuchpowers,including,butnotlimitedto,anyorallofthefollowing:tomakeandenterintocontracts;toemployagentsandemployees;toacquire,construct,provideformaintenanceandoperationof,ormaintainandoperate,anybuildings,worksorimprovements;toacquire,holdordisposeofpropertywhereverlocated;toincurdebts,liabilitiesorobligations;toreceivegifts,contributionsanddonationsofproperty,funds,servicesandotherformsofassistancefrompersons,firms,corporationsandanygovernmentalentity;tosueandbesuedinitsownname;andgenerallytodoanyandallthingsnecessaryorconvenienttothepromotionofeconomicdevelopment,includingwithoutlimitationthepromotionofopportunitiesforthecreationorretentionofemployment,thestimulationofeconomicactivity,andtheincreaseofthetaxbase,allashereincontemplated.Withoutlimitingthegeneralityoftheforegoing,theAuthoritymayissueorcausetobeissuedbondedandotherindebtedness,andpledgeanypropertyorrevenuesassecuritytotheextentpermittedundertheJointExerciseofPowersAct,includingArticle2andArticle4,theActoranyotherapplicableprovisionoflaw.ThemannerinwhichtheAuthorityshallexerciseitspowersandperformitsdutiesisandshallbesubjecttotherestrictionsuponthemannerinwhichaCaliforniacountycouldexercisesuchpowersandperformsuchdutiesuntilaCaliforniagenerallawcityshallbecomeaProgramParticipant,atwhichtimeitshallbesubjecttotherestrictionsuponthemannerinwhichaCaliforniagenerallawcitycouldexercisesuchpowersandperformsuchduties.ThemannerinwhichtheAuthorityshallexerciseitspowersandperformitsdutiesshallnotbesubjecttoanyrestrictionsapplicabletothemannerinwhichanyotherpublicagencycouldexercisesuchpowersorperformsuchduties,whethersuchagencyisapartytothisAgreementornot.Section5.FiscalYear.ForthepurposesofthisAgreement,theterm“FiscalYear”shallmeanthefiscalyearasestablishedfromtimetotimebytheAuthority,being,atthedateofthisAgreement,theperiodfromJuly1toandincludingthefollowingJune30,exceptforthefirstFiscalYearwhichshallbetheperiodfromthedateofthisAgreementtoJune30,1988.7 Section6.DispositionofAssets.AttheendofthetermhereoforupontheearlierterminationofthisAgreementassetforthinSection2hereof,afterpaymentofallexpensesandliabilitiesoftheAuthority,allpropertyoftheAuthoritybothrealandpersonalshallautomaticallyvestintheProgramParticipantsandshallthereafterremainthesolepropertyoftheProgramParticipants;provided,however,thatanysurplusmoneyonhandshallbereturnedinproportiontothecontributionsmadebytheProgramParticipants.Section7.Bonds.TheAuthorityshallissueBondsforthepurposeofexercisingitspowersandraisingthefundsnecessarytocarryoutitspurposesunderthisAgreement.SaidBondsmay,atthediscretionofAuthority,beissuedinseries.Theservicesofbondcounsel,financingconsultantsandotherconsultantsandadvisorsworkingontheprojectsand/ortheirfinancingshallbeusedbytheAuthority.Thefeesandexpensesofsuchcounsel,consultants,advisors,andtheexpensesofCSAC,LCC,andtheCommissionshallbepaidfromtheproceedsoftheBondsoranyotherunencumberedfundsoftheAuthorityavailableforsuchpurpose.Section9.LocalApproval.AcopyoftheapplicationforfinancingofaprojectshallbefiledbytheAuthoritywiththeProgramParticipantinwhosejurisdictiontheprojectistobelocated.TheAuthorityshallnotissueBondswithrespecttoanyprojectunlessthegoverningbodyoftheProgramParticipantinwhosejurisdictiontheprojectistobelocated,oritsdulyauthorizeddesignee,shallapprove,conditionallyorunconditionally,theproject,includingtheissuanceofBondstherefor.Actiontoapproveordisapproveaprojectshallbetakenwithin45daysofthefilingwiththeProgramParticipant.CertificationofapprovalordisapprovalshallbemadebytheclerkofthegoverningbodyoftheProgramParticipant,orbysuchotherofficerasmaybedesignatedbytheapplicableProgramParticipant,totheAuthority.Section8.BondsOnlyLimitedandSpecialObligationsofAuthority.TheBonds,togetherwiththeinterestandpremium,ifany,thereon,shallnotbedeemedtoconstituteadebtofanyProgramParticipant,CSAC,orLCCorpledgeofthefaithandcreditoftheProgramParticipants,CSAC,LCC,orthe8 Authority.TheBondsshallbeonlyspecialobligationsoftheAuthority,andtheAuthorityshallundernocircumstancesbeobligatedtopaytheBondsortherespectiveprojectcostsexceptfromrevenuesandotherfundspledgedtherefor.NeithertheProgramParticipants,CSAC,LCC,northeAuthorityshallbeobligatedtopaytheprincipalof,premium,ifany,orinterestontheBonds,orothercostsincidentalthereto,exceptfromtherevenuesandfundspledgedtherefor,andneitherthefaithandcreditnorthetaxingpoweroftheProgramParticipantsnorthefaithandcreditofCSAC,LCC,ortheAuthorityshallbepledgedtothepaymentoftheprincipalof,premium,ifany,orinterestontheBondsnorshalltheProgramParticipants,CSAC,LCC,ortheAuthorityinanymannerbeobligatedtomakeanyappropriationforsuchpayment.NocovenantoragreementcontainedinanyBondorIndentureshallbedeemedtobeacovenantoragreementofanymemberoftheCommission,oranyofficer,agentoremployeeoftheAuthorityinhisindividualcapacityandneithertheCommissionoftheAuthoritynoranyofficerthereofexecutingtheBondsshallbeliablepersonallyonanyBondorbesubjecttoanypersonalliabilityoraccountabilitybyreasonoftheissuanceofanyBonds.SectionJO.AccountsandReports.AllfundsoftheAuthorityshallbestrictlyaccountedfor.TheAuthorityshallestablishandmaintainsuchfundsandaccountsasmayberequiredbygoodaccountingpracticeandbyanyprovisionofanyIndenture(totheextentsuchdutiesarenotassignedtoatrusteeofBonds).ThebooksandrecordsoftheAuthorityshallbeopentoinspectionatallreasonabletimesbyeachProgramParticipant.TheTreasureroftheAuthorityshallcauseanindependentaudittobemadeofthebooksofaccountsandfinancialrecordsoftheAgencybyacertifiedpublicaccountantorpublicaccountantincompliancewiththeprovisionsofSection6505oftheJointExerciseofPowersAct.IneachcasetheminimumrequirementsoftheauditshallbethoseprescribedbytheStateControllerforspecialdistrictsunderSection26909oftheGovernmentCodeoftheStateofCaliforniaandshallconformtogenerallyacceptedauditingstandards.Whensuchanauditofaccountsandrecordsismadebyacertifiedpublicaccountantorpublicaccountant,areportthereofshallbefiledaspublicrecordswitheachProgramParticipantandalsowiththecountyauditorofeachcountyinwhichaProgramParticipantislocated.Suchreportshallbefiledwithin12monthsoftheendoftheFiscalYearorYearsunderexamination.9 Anycostsoftheaudit,includingcontractswith,oremploymentof,certifiedpublicaccountantsorpublicaccountantsinmakinganauditpursuanttothisSection,shallbebornebytheAuthorityandshallbeachargeagainstanyunencumberedfundsoftheAuthorityavailableforthatpurposeInanyFiscalYeartheCommissionmay,byresolutionadoptedbyunanimousvote,replacetheannualspecialauditwithanauditcoveringatwo-yearperiod.TheTreasureroftheAuthority,within120daysafterthecloseofeachFiscalYear,shallgiveacompletewrittenreportofallfinancialactivitiesforsuchFiscalYeartoeachoftheProgramParticipantstotheextentsuchactivitiesarenotcoveredbythereportsofthetrusteesfortheBonds.ThetrusteeappointedundereachIndentureshallestablishsuitablefunds,furnishfinancialreportsandprovidesuitableaccountingprocedurestocarryouttheprovisionsofsaidIndenture.SaidtrusteemaybegivensuchdutiesinsaidIndentureasmaybedesirabletocarryoutthisAgreement.Section11.Funds.SubjecttotheapplicableprovisionsofeachIndenture,whichmayprovideforatrusteetoreceive,havecustodyofanddisburseAuthorityfunds,theTreasureroftheAuthorityshallreceive,havethecustodyofanddisburseAuthorityfundspursuanttotheaccountingproceduresdevelopedunderSection10hereof,andshallmakethedisbursementsrequiredbythisAgreementorotherwisenecessarytocarryoutanyoftheprovisionsorpurposesofthisAgreement.Section12.Notices.NoticesandothercommunicationshereundertotheProgramParticipantsshallbesufficientifdeliveredtotheclerkofthegoverningbodyofeachProgramParticipant.Section13.WithdrawalandAdditionofParties.AProgramParticipantmaywithdrawfromthisAgreementuponwrittennoticetotheCommission;provided,however,thatnosuchwithdrawalshallresultinthedissolutionoftheAuthoritysolongasanyBondsremainoutstandingunderanIndenture.AnysuchwithdrawalshallbeeffectiveonlyuponreceiptofthenoticeofwithdrawalbytheCommissionwhichshallacknowledgereceiptofsuchnoticeofwithdrawalinwritingandshallfilesuchnoticeasanamendmenttothisAgreementeffectiveuponsuchfiling.10 QualifyingpublicagenciesmaybeaddedaspartiestothisAgreementandbecomeProgramParticipantsupon:(i)thefilingbysuchpublicagencyofanexecutedcounterpartofthisAgreement,togetherwithacertifiedcopyoftheresolutionofthegoverningbodyofsuchpublicagencyapprovingthisAgreementandtheexecutionanddeliveryhereof;and(ii)adoptionofaresolutionoftheCommissionapprovingtheadditionofsuchpublicagencyasaProgramParticipant.Uponsatisfactionofsuchconditions,theCommissionshallfilesuchexecutedcounterpartofthisAgreementasanamendmenthereto,effectiveuponsuchfiling.Section14.Indemnification.Tothefullextentpermittedbylaw,theCommissionmayauthorizeindemnificationbytheAuthorityofanypersonwhoisorwasamemberoralternatememberoftheCommission,oranofficer,employeeorotheragentoftheAuthority,andwhowasorisapartyoristhreatenedtobemadeapartytoaproceedingbyreasonofthefactthatsuchpersonisorwassuchamemberoralternatememberoftheCommission,oranofficer,employeeorotheragentoftheAuthority,againstexpenses,judgments,fines,settlementsandotheramountsactuallyandreasonablyincurredinconnectionwithsuchproceeding,ifsuchpersonactedingoodfaithandinamannersuchpersonreasonablybelievedtobeinthebestinterestsoftheAuthorityand,inthecaseofacriminalproceeding,hadnoreasonablecausetobelievetheconductofsuchpersonwasunlawfuland,inthecaseofanactionbyorintherightoftheAuthority,actedwithsuchcare,includingreasonableinquiry,asanordinarilyprudentpersoninalikepositionwoulduseundersimilarcircumstances.Section15.ContributionsandAdvances.Contributionsoradvancesofpublicfundsandoftheuseofpersonnel,equipmentorpropertymaybemadetotheAuthoritybythepartiesheretoforanyofthepurposesofthisAgreement.Paymentofpublicfundsmaybemadetodefraythecostofanysuchcontribution.Anysuchadvancemaybemadesubjecttorepayment,andinsuchcaseshallberepaid,inthemanneragreeduponbytheAuthorityandthepartymakingsuchadvanceatthetimeofsuchadvance.Section16.Immunities.Alloftheprivilegesandimmunitiesfromliabilities,exemptionsfromlaws,ordinancesandrules,allpension,relief,disability,workers’compensation,andotherbenefitswhichapplytotheactivityofofficers,agentsoremployeesofProgramParticipantswhenperformingtheir11 respectivefunctionswithintheterritoriallimitsoftheirrespectivepublicagencies,shallapplytothemtothesamedegreeandextentwhileengagedasmembersoftheCommissionorotherwiseasanofficer,agentorotherrepresentativeoftheAuthorityorwhileengagedintheperformanceofanyoftheirfunctionsordutiesextraterritoriallyundertheprovisionsofthisAgreement.Section17.Amendments.ExceptasprovidedinSection13above,thisAgreementshallnotbeamended,modified,oralteredexceptbyawritteninstrumentdulyexecutedbyeachoftheProgramParticipants.Section18.Effectiveness.ThisAgreementshallbecomeeffectiveandbeinfullforceandeffectandalegal,validandbindingobligationofeachoftheProgramParticipantsat9:00am.,Californiatime,onthedatethattheCommissionshallhavereceivedfromeachoftheInitialParticipantsanexecutedcounterpartofthisAgreement,togetherwithacertifiedcopyofaresolutionofthegoverningbodyofeachsuchInitialParticipantapprovingthisAgreementandtheexecutionanddeliveryhereof.Section19.PartialInvalidity.Ifanyoneormoreoftheterms,provisions,promises,covenantsorconditionsofthisAgreementshalltoanyextentbeadjudgedinvalid,unenforceable,voidorvoidableforanyreasonwhatsoeverbyacourtofcompetentjurisdiction,eachandalloftheremainingterms,provisions,promises,covenantsandconditionsofthisAgreementshallnotbeaffectedthereby,andshallbevalidandenforceabletothefullestextentpermittedbylaw.Section20.Successors.ThisAgreementshallbebindinguponandshallinuretothebenefitofthesuccessorsofthepartieshereto.Excepttotheextentexpresslyprovidedherein,nopartymayassignanyrightorobligationhereunderwithouttheconsentoftheotherparties.Section21.Miscellaneous.ThisAgreementmaybeexecutedinseveralcounterparts,eachofwhichshallbeanoriginalandallofwhichshallconstitutebutoneandthesameinstrument.12 Section3.02.Audit.TheLocalAgencyshallhavetheright,duringnormalbusinesshoursanduponthegivingoftendays’writtennoticetotheDeveloper,toreviewallbooksandrecordsoftheDeveloperpertainingtocostsandexpensesincurredbytheDeveloper(forwhichtheDeveloperseeksreimbursement)inconstructingtheAcquisitionImprovements.Section3.03.Cooperation.TheLocalAgencyandtheDeveloperagreetocooperatewithrespecttothecompletionoftheSCIPfinancingfortheAcquisitionImprovements.TheLocalAgencyandtheDeveloperagreetomeetingoodfaithtoresolveanydifferencesonfuturematterswhicharenotspecificallycoveredbythisAgreement.Section3.04.GeneralStandardofReasonableness.AnyprovisionofthisAgreementwhichrequirestheconsent,approvaloracceptanceofeitherpartyheretooranyoftheirrespectiveemployees,officersoragentsshallbedeemedtorequirethatsuchconsent,approvaloracceptancenotbeunreasonablywithheldordelayed,unlesssuchprovisionexpresslyincorporatesadifferentstandard.TheforegoingprovisionshallnotapplytoprovisionsintheAgreementwhichprovidefordecisionstobeinthesolediscretionofthepartymakingthedecision.Section3.05.ThirdPartyBeneficiaries.TheAuthorityanditsofficers,employees,agentsoranyconsultantsorcontractorsareexpresslydeemedthirdpartybeneficiariesofthisAgreementwithrespecttotheprovisionsofSection3.01.Itisexpresslyagreedthat,exceptfortheAuthoritywithrespecttotheprovisionsofSection3.01,therearenothirdpartybeneficiariesofthisAgreement,includingwithoutlimitationanyownersofbonds,anyoftheLocalAgency’sortheDeveloper’scontractorsfortheAcquisitionImprovementsandanyoftheLocalAgency’s,theAuthority’sortheDeveloper’sagentsandemployees.Section3.06.ConflictwithOtherAgreements.NothingcontainedhereinshallbeconstruedasreleasingtheDeveloperortheLocalAgencyfromanyconditionofdevelopmentorrequirementimposedbyanyotheragreementbetweentheLocalAgencyandtheDeveloper,and,intheeventofaconflictingprovision,suchotheragreementshallprevailunlesssuchconflictingprovisionisspecificallywaivedormodifiedinwritingbytheLocalAgencyandtheDeveloper.Section3.07.Notices.Allinvoicesforpayment,reports,othercommunicationandnoticesrelatingtothisAgreementshallbemailedto:IftotheLocalAgency:TruckeeDonnerPublicUtilityDistrict[AddresstoCome]IftotheDeveloper:[Developer][AddresstoCome]Eitherpartymaychangeitsaddressbygivingnoticeinwritingtotheotherparty.B-84129-3812-4315.2 Section3.08.Severability.IfanypartofthisAgreementisheldtobeillegalorunenforceablebyacourtofcompetentjurisdiction,theremainderofthisAgreementshallbegiveneffecttothefullestextentreasonablypossible.Section3.09.GoverningLaw.ThisAgreementandanydisputearisinghereundershallbegovernedbyandinterpretedinaccordancewiththelawsoftheStateofCalifornia.Section3.10.Waiver.FailurebyapartytoinsistuponthestrictperformanceofanyoftheprovisionsofthisAgreementbytheotherparty,orthefailurebyapartytoexerciseitsrightsuponthedefaultoftheotherparty,shallnotconstituteawaiverofsuchparty’srighttoinsistanddemandstrictcompliancebytheotherpartywiththetermsofthisAgreement.Section3.11.SingularandPlural;Gender.Asusedherein,thesingularofanywordincludestheplural,andtermsinthemasculinegendershallincludethefeminine.Section3.12.Counterparts.ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal.Section3.13.SuccessorsandAssigns.ThisAgreementisbindingupontheheirs,assignsandsuccessors-in-interestofthepartieshereto.TheDevelopermaynotassignitsrightsorobligationshereunder,excepttosuccessors-in-interesttothepropertywithintheDistrict,withoutthepriorwrittenconsentoftheLocalAgency.Section3.14.RemediesinGeneral.ItisacknowledgedbythepartiesthattheLocalAgencywouldnothaveenteredintothisAgreementifitweretobeliableindamagesunderorwithrespecttothisAgreementortheapplicationthereof,otherthanforthepaymenttotheDeveloperofany(i)moneysowingtotheDeveloperhereunder,or(ii)moneyspaidbytheDeveloperpursuanttotheprovisionshereofwhicharemisappropriatedorimproperlyobtained,withheldorappliedbytheLocalAgency.Ingeneral,eachofthepartiesheretomaypursueanyremedyatlaworequityavailableforthebreachofanyprovisionofthisAgreement,exceptthattheLocalAgencyshallnotbeliableindamagestotheDeveloper,ortoanyassigneeortransfereeoftheDeveloperotherthanforthepaymentstotheDeveloperspecifiedintheprecedingparagraph.Subjecttotheforegoing,theDevelopercovenantsnottosuefororclaimanydamagesforanyallegedbreachof,ordisputewhicharisesoutof,thisAgreement.[THERESTOFTHISPAGEINTENTIONALLYLEFTBLANKJB-94129-3812-4315.2
