AgendaItem#9-TRUCKEEDONNERPublicUtilityDistrictACTIONTo:BoardofDirectorsFrom:StevenPonceletDate:February05,2020Subject:ConsiderationofaDistrictEmploymentAgreement1.WHYTHISMATTERISBEFORETHEBOARDItisintheBoardspurviewtoconsideremploymentagreements.2.HISTORYTheDistrict’shastwotypesofnon-representedemployees:thefirstisthemanagement/technicalgroup;andthesecondistheExecutiveLeadershipTeam(commonlyreferredtoasDepartmentHeads).TheExecutiveLeadershipTeamisagroupofaccomplishedprofessionalswhooverseetheDistrict’sday-to-daybusinessoperationswhilefocusingonthelong-termplanningandexecutionnecessarytoachievetheDistrict’smission.AllmembersoftheExecutiveLeadershipTeamreportdirectlytotheGeneralManager.3.NEWINFORMATIONTheDistrictreliesonawelltrainedanddedicatedworkforceandleadershiptoachievethemission.Attractingandretainingtoptalentiscriticaltomaintaininghighperformanceandoperationalexcellence.ItisalsoimportantthattheDistrict’sGeneralManagerhavethetoolstomanagestaffresourcesefficiently.Onetoolusedbymanyagenciesisemploymentagreementswithexecutiveleadersordepartmentheadswhichprovideapublic,clearunderstandingofthetermsofemployment.Thisstructureprovidesacleardelineationofroles,responsibility,andorganizationalstructure.EmploymentagreementsalsoallowtheGeneralManagertomakepersonneldecisionthatareinthebestinterestoftheDistrictinamannerthathasbeenagreeduponbyboththeDistrictandtheexecutiveandwhichallowsforsmoothtransitionsandsecessions.DistrictstaffisproposingthattheDistrictconsiderenteringintoemploymentagreementswiththeGeneralManger’sExecutiveLeadershipTeamwhichconsistsoftheGeneralManager’scurrentandfuturedirectreports.TheemploymentagreementwithDistrictexecutivesmakethemat-willemployees.Theproposedemployment agreementtemplateisincludedasAttachment1.4.FISCALIMPACTEmploymentagreementsdefinethecostsofterminatingemploymentoneithertheexecutive’sorGeneralManager’sinitiative.Theyalsominimizetheunknownrisksandcoststhatcanoccur.5.RECOMMENDATIONAuthorizetheGeneralManagertoimplementExecutiveLeadershipTeamemploymentagreements,insubstantiallythesameformaspresentedinthisreport,forthedirectreportstotheGeneralManager.7i,L’—fr&/tI//StevenPonceletMichaelD.Holley)PublicInformation&StrategicAffairsDirectoiGeneralManager 4VAuachmentlEMPLOYMENTAGREEMENTBetweentheTRUCKEEDONNERPUBUCUTilITYDISTRICTMdIEMPWYEE]ThisEmploymentAgreement(‘Agreement”)isenteredintoandeffectivethisdayofMarch2020,byandbetweentheTRUCKEEDONNERPUBLICUTilITYDISTRICT(“DistricC,aCalifornialocalpublicagencywithitsprincipalplaceofbusinessinTruckeeCalifornia,andLNameofEmployee](“Employee”),anindividualwhoresidesinIcky,townorunincorporatedareaofIcounty]County.DistrictandEmployeemaybereferredtohereinindividuallyas‘Party”andcollectivelyas‘Parties.”UnderthisAgreement,theDisthctoffers.andEmployeeaccepts,at-willemploymentassetforthherein.1.Duffes:Employeeshallbeemployedinthepositionof[nameofposition]andperformthedutiesdescribedinthejobdescriptionforthatposition,whichisattachedheretoasExhibit“A”.Employeeshallperformsuchotherlegallypermissibleandproperdutiesandfunctionsappropriatetoandconsistentwiththeprofessionalmanagerialand/orconfidentialroleandresponsibilitiesofEmployeeastheDistrictshallfromtimetotimeassign.A.Employeeisan*wiilemployeeandworksexclusivelyatthepleasureandsolediscretionoftheGeneralManager.ThisAgreementandat-willemploymentrelationshipmaybeterminatedatanytime,withorwithoutcauseornoticebyEmployeeorGeneralManageroftheDistrict.NothinginthisAgreementnorinanyDistrictpolicy,nile,procedureorordinanceshallmodifytheEmployee’sstatusasanat-willemployee,orlimittheDistrict’sabilitytotreattheEmployeeasana-willemployee,eventhoughEmployee’sjobduties,title.compensation.andbenefits,aswellastheDistrict’spolicies,maychangefromtimetotime.B.EmployeeshallactintheDistrict’sbestinterestsatalltimesandperfonndutiesinacompetentandprofessionalmannetEmployeeshallendeavoratalltimescomplywiththeDistrictpolicies,rules,proceduresandvalues,aseachmayberevisedfromtime-to-dine,andshallnotengageinanyconductoractivities,on-oroff-duty,thatreflectdiscreditorbringdisreputeontheDistrictorimpairitsefficientandeffectiveoperation.C.EmployeeisexemptfromtheovertimeprovisionsoftheFairLaborandStandardsAct,asamended,butisexpectedtoengageinthosehoursofworkthatarenecessarytofulfilltheobligationsoftheEmployee.D.EmployeeshallperformthedutiesrequiredhereunderatDistrict’sbusinessofficeslocatedat11570DonnerPassRoad,Tmdcee,California,andatsuchotherplaceorplacesastheDistrictorEmployeeshallingoodfaithrequireorastheinterests,needs,business,andopportunitiesoftheDistrictshallrequireormakeadvisable.Inordertofacilitatethedischargeofhis/herduties,EmployeeagreestolivewithinonehourdrivingdistancetoDistrict’sbusinessoffices,asmeasuredduringwhatwouldbeconsideredtobenormaloravengedrivingconditions.1 E.ifrequiredbyapplicablelawtoprovideabondtotheDistrict,EmployeeshallbebondableandworkwiththeDistricttoprovideabondtotheDistrictatDistrict’sexpense.2.DevotiontoDistrictBusiness:TheEmployeepositionisafull-timeatwillposition.Therefore,theEmployeeshallnotengageinanyoutsidebusiness,educational,professional,charitable,orotheractivities,whetherforcompensationorotherwise,thatwouldconflictormateriallyinterferewithperformanceofEmployeeduties.withoutwrittenpriorapprovalbytheDistrict’sGeneralManager.3.HoursofWork:Employee’spositionisfull-timeat-willwithaworkschedulegenerallyconsistentwiththenormalbusinesshoursadoptedbytheDistrictandthosenecessarytofulfilltheobligationsoftheEmployee,includingbeingavailabletoattendallnecessarymeetingsduringeveningsandweekendsandrespondtoemergencies.hirecognitionoftheamountofworktimerequiredoutsideofregularbusinesshours,itisagreedtheEmployeedoesnothaveafixedscheduleandtheEmployeewillhavethediscretiontoworkasneededtoaccomplishthedutiesandresponsibilitiesassignedtoEmployee...4.Term:...•:[Option#1—forExistingEmployeesl..EmployeehasbeenemployedbytheDistrictsinceapproximately[Date]andasofthedatethatthisAgieementisexecutedbybothParties,Employee’se4ioymentwill.becomeatwiliemploymentandsuchemploymentandthisAgreementshallcontinueuntiltémdnatedbyeitherEmployeeorDistrict[Option#2—forNewEmployees].Employee’sat-willemploymentwiththeDistrictcommencedon[Date],2020,orsoonerasmutuallyagreedbytheParties,andsuchemploymentandthisAgreementshallcontinueuntilterminatedbyEmployeeorDistrict5.CompensationandAdditionalBenefits:A.Compensation1.Employee’sinitialannualBaseSalaryshailbeThousandDollars($,000.OO).SaidamountshallbepayableininstallmentsatthesametimeandinthesamemannerasotherDistrictemployeesarepaid.2.EmployeeshallbeendUedtoreceivecost-of-livingadjustmentsoranysimilaracross-th&boardincreasesthattheDistrictdetermines,initsdiscretion,toapproveforallunrepresentedDistrictemployees.2 3.Employee’sBaseSalarymaybeadjustedonorabouttheanniversaryofthecommencementofEmployee’semploymentandthereafterinconjunctionwithEmployee’sannualperformancereview.4.Employee’sBaseSalaryincreasesapprovedbytheDistrictfromtimetotimepursuanttothisAgreementshallnotrequireanamendmenttothisAgreementtobeeffective.SuchincreasesmaybesetforthinamemorandumapprovedandsignedbytheDistrict’sGeneralManager.5.iftheDistrictreducestheBaseSalaryoranyotherfinancialbenefitoftheEmployeeinapercentagethatisgreaterthantheaveragereductionofallunrepresentedDistrictemployees,withouttheapprovaloftheEmployee,EmployeemayterminatethisAgreementandemploymentwiththeDistrictandshallbeentitledtoseverancepayunderSection9.8.ofthisAgreementB.AdditionalBenefits1.Vehicle:InaccordancewithDistrict’sVehicleUsePolicy,theEmployershallprovideEmployeewithavehicleforworkrelateduse,commutingtoandfromworkandincidentalpersonaluse.Employershallberesponsibleforpayingforliability.propertydamage,andcomprehensive.insurance,andfortheoperation,maintenance,repairofthevehicle.Employeeshallberesponsibleforpayingappropriatetaxesonthecostofcommuting.2.TheEmployeewillreceiveallbenefitssetforthinDistrictpolicies,astheymayberevisedfmmtimetotime,suchaspaidvacation,paidsickleave,paidholidays,healthbenefitsandpensionbenefits,andwillbesubjecttoallDistrictrules,pmcMunsandpolicies,includingpersonnelpolicies,exceptthebenefitssetforthinthisAgreementshallcontroloverthebenefitssetforthin.Disthctpolicies.6.DistrictPropertyEmployeeagreesthatmaterials.regardlessoftheirform,thatEmployeecreates,receives,orproducesinconnectionwiththisAgreementand/orEmployee’semploymentareandwillremaintheexclusivepropertyoftheDistrict.EmployeewilldeliveralloriginalsandallcopiesofsuchmaterialstotheDistrictthatinEmployee’spossessionorcontroluponterminationorexpirationofthisthisAgreementoruponanyrequestfromtheGeneralManagerortheDistrict.7.NonDisclosureofProprietaryofConfidentialInformafion:Employeewillnotatanytime,inanyformormanner,eitherdirectlyorindirectly,exceptinthedischargeofEmployee’sduties,divulge,disclose,orcommunicatetoanyperson,firm,orcorporationinanymannerwhatsoeveranyProprietaryorConfidentialInformationproduced,received,acquiredorlearnedbyEmployeewhileperformingthedutiesasanemployeeoftheDistrict.ForpurposesofthisAgreementProprietaryandConfidentialInformation,includesbutisnotlimitedto,allinformationandanyideaspertaininginanymannertothebusinessoftheDistrict,tradesecrets,inventions,processes,formulae,data,know-how,software,strategies,informationaboutDistrictofficials,employeesandcustomers,attorney-clientprivilegedinformationandanyinformationconcerninganymattersdetrimentallyaffectingorrelatingtothebusinessoftheDistrictwithoutregardtowhetheranyoralloftheforegoingmatterswouldbedeemedconfidential.material,orimportantDuring3 Employee’semploymentbyDistrict.EmployeeshalluseProprietaryandConfidentialInformationoilyforthebenefitoftheDistrictandasis,ormaybe,necessarytoperformEmployee’sjobresponsibilitiesunderthisAgreement.FollowingterminationorexpirationofthisAgreerneiit,EmployeeshallnotuseanyProprietaryorConfidentialInformationandshallnotdiscloseanyProprietaryorConfidentialinformationtoanypersonorentitywithoutthepriorexpresswrittenconsentofDistrict.8.Employee’sCommitmentsBindingonI)istrictOnlyonWrittenConsent:EmployeeshallnothavetherighttomakeanycontractsorothercommitmentsfororonbehalfoftheDistrictwithoutthewrittenconsentofDistrictorasdelegatedtoEmployeebytheGeneralManager.9.TerminationofEmploymentandthisAgreement;GeneralRelease;Severance:A.Ei.ployeeisanat-willemployeeandworksexclusivelyatthepleasureandsolediscretionoftheGeneralManager.ThisAgreementandat-willemploymentrelationshipmaybeterminatedatanytime,withorwithoutcauseornoticebyEmployeeorGeneralManageroftheDistrict.B.IfEmployeeisterniinatedwithoutcauseduringthetermofthisAgreement.Employeeshallbeentitledtoreceiveseverancepayequaltoone(I)monthofEmployee’sBaseSalaryatthetimeofternhinationforeachfullyearofemploymentwiththeDistrict.Paymentofseverancepayissubjecttothefollowing:I.UponEmployee’sexecutionoftheGeneralReleaseAgreement”intheformsetforthininExhibitB”ofthisAgreement,SeverancePayshallbepayableinoneiurnpsitmpursuanttothetermsofsaidGeneralReleaseAgreement.2.EmployeeagreesandunderstandsthatacceptanceoftheDistrictsofferofseverancepayatthetimeEmployee’sat-willemploymentisterminatedbytheDistrictispursuanttotheexecutionoftheGenera1ReleaseAgreement’identifiedinExhibitB”ofthisAgreementandshallconstituteliquidateddamagesandEmployee’ssoleandexclusiveremedyforanyterminationofthisAgreementbytheDistrictasnoticedinsaidGeneralReleaseAgreement.3.IntheeventEmployeevoluntarilyterminatesEniployee’semploymentwithDistrict,noseverancepayshallbepayabletoEmployee.4.TntheeventDistrictterminatesEmployee’sat-willemployment‘forcause”,DistrictshallhavenoobligationtopayseverancepayunderthisAgreement.Atermination“forcause”mayinclude.butshallnotbelimitedto,thefollowing:(a)AmaterialbreachofthetermsofthisAgreement;(b)AmaterialviolationofDistrictpoliciesorprocedures:4 (c)Convictionof.orpleaofguiltyornobcontendretoafelonyormisdemeanorrelatingtoEmployee’sfitnesstoperformassigneddutiesorEmployee’sreputation:(ci)Convictionofanycrimeinvolvingan“abuseofofficeorpositionS”asthattermisdefinedinGovernmentCodeSection53243.4;(e)Anyactoftheft,dishonesty.fraud,misrepresentationormoralturpitude.C.If,duringtheTermoranyextendedTerm,Employeedies,Employee’sestateshallreceiveanyaccruedBaseSalaryandbenefitsandshallnotbeentitledtoanyadditionalcompensation,paymentorseverancepay.D.IntheeventEmployeeispermanentlydisabledorisotherwiseunabletoperformEmployee’sdutiesbecauseofsickness,accident,injury,ormentalincapacityforaperiodofonehundredtwenty(120)consecutivedays.theDistrictmayterminateEmployee’semploymentandthisAgreement.EmployeeshallreceiveanyaccruedBaseSalaryandbenefitsamidshallnotheentitledtoadditionalcompensation.paymimentorseverancepay.E.EmployeemayresignfromEmploye&semploymentatanytimeupongivingfortyfive(45)dayswrittennoticetotheDistrict.IfEmployeeresignsfromemployment.Employeeshallnotbeentitledtoanyadditionalcompensation,paymentorseverancepay.butshallbeentitledonlytoaccruedBaseSalaryandaccruedandunusedpaidvacationbenefits.10.AbuseofOfficeorPosition:Notwithstandinganythingtothecontraryinthissection,pursuanttotherequirementssetforthinGovernmentCodeSection53243.2,ifEmployeeisconvictedofacthneinvolvinganabuseofEmployee’sofficeorposition,allofthefollowingshallapply:(a)ifEmployeeisprovidedwithadministrativeleavepaypendinganinvestigation,EmployeeshallberequiredtofullyreimburseDistrictsuchamountspaid;(b)ifDistrictpaysforthecriminallegaldefenseofEmployee(whichwouldbeinDistrict’ssolediscretion,asitisgenerallynotobligatedtopayforacriminaldefense),EmployeeshallberequiredtofullyreimburseDistrictsuchamountspaid:and(c)ifthisAgreementisterminated,anyseverancepayrelatedtotheterminationthatEmployeemayreceivefromDistrictshallbefullyreimbursedtoDistrictorshallhevoidifnotyetpaidtoEmployee.ForpurposesofthisSection,abuseofofficeorpositionmeanseither:(i)anabuseofpublicauthority.including,butnotlimitedto,waste,fraud.andviolationofthelawundercolorofauthority;or(ii)acrimeagainstpublicjustice.ii.Indemnification:A.InaccordancewithandsubjecttoCalifornia’sGovernmentClaimsAct,theDistrictshalldefendandindemnifytheEmployeeagainstandforalllossessustainedbytheEmployeeindirectconsequences5 ofthedischargeofEmployee’sdutiesontheDistrict’sbehalffortheperiodofEmployee’semployment.Districtshalldefend,holdharmlessandindemnifytheEmployeeagainstanytort,professionalliabilityclaimsordemandorotherlegalaction,whethergroundlessorotherwise,arisingoutofanallegedactoromissionoccurringintheperformanceofEmployee’sdutiesasaDistrictEmployee,providedEmployeereasonablycooperateswithDistrictindefendingsuchsuitTheDistrictwillcompromiseandsettleanysuchclaimorsuitandpaytheamountofanysettlementorjudgmentrenderedthereon,asappropriateanddeterminedbytheDistrictB.IntheeventtheEmployeeissuedfordamagesarisingoutoftheperformanceofEmployee’sduties,theDistrictshallprovidedefensecounselfortheEmployeeinsuchsuitandindemnifyEmployeefromanyjudgmentrenderedagainstEmployee;providedthatsuchindemnityshallnotextendtoanyjudgmentfordamagesarisingoutofanywillfulwrongdoing.SaidindemnificationshallextendbeyondterminationofemploymentandtheotherwiseterminationorexpirationofthisAgreementtopmvideprotectionforanysuchactsundertakenorcommittedinEmployee’scapacityasDistrictEmployee,regardlessofwhetherthenoticeoffilingofalawsuitoccursduringorfollowingemploymentwiththeDistrict,providedEmployeereasonablycooperateswithDistrictindefendingsuchsuit%12.ConflictofInterestA.BecauseofthedutiesandroleoftheEmployeeonbehalfoftheDistrict,theEmployeeshallnot,duringthetermofthisAgreement,individually,asapartner,jointventurer,officerorshareholder,investorparticipateinanybusiñessventureconductingbusinessintheserviceboundariesoftheDistrict,exceptforstockownershipinanycompanywhosecapitalstockispubliclyheldandregularlytraded,withoutthepriorapprovaloftheDistrict’sGeneralManager.ForandduringthetermofthisAgreement,theEmployeefurtheragrees,exceptforapersonalresidenceorresidentialpropertyacquiredorheldforfutureuseasEmployee’sfrrsonalresidence,nottoinvestinanyotherrealestateorrealpropertyimprovementswithintheserviceboundariesoftheDistrict,withoutpriorconsentoftheDistrict’sGeneralManager.B.TheEmployeeshallalsobesubjecttotheconflictofinterestprovisionsoftheCaliforniaGovernmentCodeandanyconflictofinterestcodeapplicabletoEmployee’semployment.TheEmployeeisresponsibleforsubmittingtotheDistrictClerktheappropriateConflictofInterestStatementsatthetimeofappointment,annuallythereafter,andatthetimeofseparationfromtheposition.13.AssistanceinLitigationEmployeeagreesthattoprovideinformationandproperassistancetotheDistrictasitmayreasonablyrequirewithanylitigation,arbitrationormediationinwhichitmaybecomeinvolved,eitherduringorafterterminationorexpirationofthisAgreement.Employeefurtheragreesnottodiscuss,revealorconveyanyinformationordocumentspertainingtotheDistricttoanypersonorentity,orattorneyfororrepresentativeofanypersonorentity,withactualorpotentialclaimsadversetotheDistrictexceptpursuanttodulyissuedlegal6 processorasotherwiseauthorizedbytheDistrictEmpioyeeagreestonotifytheDistrictimmediatelyuponreceiptofanylegalprocessorcontactpertainingtotheDistrict14.EntireAgreement:ThisAgreementrepresentstheentireandfullyintegratedagreementbetweenthePartiesandsupersedesanyandallotheragreements,eitheroralorinwriting,betweenthePartieswithrespecttotheemploymentofEmployeebyDistrict,andcontainsallofthecovenantsandagreementsbetweenthePartieswithrespecttothatemployment.EachPartytothisAgreementacknowledgesthatnorepresentations,inducements,promisesoragreements,oralorotherwise,havebeenmadebyeitherParty,orbyanyoneactingonbehalfofeitherParty,whicharenotembodiedherein,andthatnootheremploymentagreement,statement,orpromisenotcontainedinthisAgreementshallbevalidorbindinguponeitherParty.15.ModIfications:MymodIficationstothisAgreementshallbeeffectiveonlyifinwritingandsignedbybothParties.16.EffectofWaiver:ThefailureofeitherPartytoinsistuponstrictcompliancewithanyoftheterms,covenants,orconditionsofthisAgreementbytheotherPartyshallnotbedeemedawaiverofthatterm,covenant,orcondition,norshallanywaiverorrelinquishmentofanyrightorpoweratanyonetimeortimesbedeemedawaiverorrelinquishmentofthatrightorpowerforalloranyothertimes.•17.PartialInvalidity:ifanyprovisionofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,voidorunenforceable,theremainingwovisionsshallbedeemedseverableandcontinueinfullforcewithoutbeingimpairedorinvalidatedinanyway.18.GoverningLaw,VenueandAttorney’sFees:This.AgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateofCalifornia.AnyactiontointerpretorenforcethetermsofthisAgreementshallbeheldexclusivelyinastatecourtinNevadaCounty,California.EmployeeexpresslywaivesanyrighttoremovesuchactionfromNevadaCounty.ifeitherPartybringsanyactionorproceedingagainsttheother,includingbutnotlimitedto,anactiontoenforceortodeclarethetermination,cancellationorrevisionoftheAgreementtheprevailingPartyinsuchactionorproceedingsshallbeentitledtoreceivefromtheotherPartyallreasonableattorney’sfeesandcosts,incurredinconnectiontherewith.19.Notices:7
