TRUCKEEDONNERPublicUtilityDistrictAGENDAITEM#5MEETINGDATE:November18,2020TO:BoardofDirectorsFROM:StevenPoncelet,PublicInformationandStrategicAffairsDirectorSUBJECT:ProfessionalServicesAgreementwithEastRiverPRAPPROVEDBY_________________________StevenPoncelet,PublicInformationandStrategicAffairsDirectorRECOMMENDATION:a)AuthorizetheGeneralManagertoexecuteacontractamendmentandallnecessarydocumentswithEastRiverPR(Attachment1),increasingtheamountby$3,000foranewnottoexceedcontracttotalof$17,900forFY20;andb)AuthorizetheGeneralManagertoexecuteaProfessionalServicesAgreement,andallnecessarydocuments,withEastRiverPR(Attachment2)inanottoexceedamountof$20,000forprofessionalservicesrelatedtoFY21publicrelations.BACKGROUND:TheDistrictstrivestoprovideeffectivecommunicationandservicestoourcustomersandcommunity.Thisincludesbothtraditionaloutreach,socialmedia,andpublicrelationsalongwithemergingdigitalengagementopportunities.TheDistricthashistoricallyandeffectivelyengagedourcustomersandcommunityinthetraditionaloutreachspaces,throughtheworkwithlocalPublicRelations(PR)experts.TheDistrict’sPRfirm,EastRiverPR,hasrecentlysupported;pressreleases,printadvertising,socialmedia,events,andgeneralcommunityoutreach.TheDistrict’sPRfirmisalsoon-callshouldtheDistrictexperienceacrisisandrequiresupportincrisiscommunications.EastRiverPR,locatedinTruckee,hasbeentheDistrict’sPRconsultantforalmostadecadeandhaspertormedwell.Theyhavefocusedontraditionaladvertisingandoutreachsupportand,startinginearly2020duetoadesiretoexpandtheDistrict’severydaysocialmediapresence,EastRiverPRstartedsupportingtheDistrict’ssocialmediaefforts.Asaresult,theDistricthasrecentlyexceededtheFY20contractamountof$14,900byapproximately$1,000.Staffprojectsatotalof$3,000additionalfundswillbeneededtocompletetheDistrict’sPReffortsthroughtheyear-end.ThedelayinrequestingadditionalfundsfromtheBoardwasanoversightbystaff.Page1of2 Attachment2AGREEMENTFORPROFESSIONALSERVICESTRUCKEEDONNERPUBLICUTILITYDISTRICT11570DonnerPassRoadTruckee,California96161Telephone(530)587-3896Facsimile(530)587-1189Date:January1,2021ProjectName:2021Communications&OutreachConsultantCONSULTANT:EastRiverPRThetermsofthisAgreementarecontainedinthebodyoftheAgreementandinAttachmentsAthroughB.EachattachmentisincorporatedhereinbyreferenceandbecomesanintegralpartofthisAgreementbetweenthepartieswhentheAgreementissigned.INThEEVENTTHATTHEREISANYINCONSISTENCYBETWEENTERMSANDPROVISIONSINTHEBODYOFTHISAGREEMENTANDTERMSANDCONDITIONSINTHEATTACHMENTS,THETERMSANDPROVISIONSINTHEBODYOFTHISAGREEMENTCONTROLOVERANYINCONSISTENTTERMORPROVISIONINTHEATTACHMENTS.Foryourprotection,makesurethatyoureadandunderstandallprovisionsbeforesigning.Instructions:Signandreturnoriginal.UponacceptancebytheTRUCKEEDONNERPUBLICUTILITYDISTRICT,acopywillbesignedbytheDistrict’sauthorizedrepresentativeandreturnedtoyou.Insertthename/sofyourauthorizedrepresentative(s)intheplaceprovided.1.0TERMOFTHEAGREEMENT1.1ThisAgreementshallbeeffectiveonthedatethatitisexecutedbytheDistrict.1.2TheConsultantshallcommencetheperformanceoftheProfessionalServicesimmediatelyafterthefeeandscheduleareagreeduponandawrittenNoticetoProceedisissued.TimeisoftheessenceofthisAgreement.FailuretomeettheschedulecontainedinthisAgreementshallconstituteadefaultbytheConsultant.2.0CONSULTANT’SOBLIGATIONSANDSCOPEOFWORKATTACHMENTA2.1ConsultantshallprovidetheprofessionalserviceswhicharedescribedinATTACHMENTA,hereinafterreferredtoas“ProfessionalServices.”2.2ConsultantshallperformallthetasksrequiredtoaccomplishtheProfessionalServicesinconformitywiththeapplicablerequirementsofFederal,StateandlocallawsineffectatthetimethatthescopeofworkissubstantiallycompletedbytheConsultant.TheConsultantshallcomplywithapplicablestandardsofprofessionalcareintheperformanceoftheProfessionalServices.WhereanycircumstanceexistsforwhichtheConsultantmustmakeajudgmentthatcouldresultinamateriallydifferentchangeincondition,theConsultantshalladvisetheContractOfficerinadvanceandrequestspecificdirection.2.3TheConsultantshall,withoutadditionalcompensation,correctorreviseanyProfessionalServicesthatdonotmeetthestandardofprofessionalresponsibility.2.4TheDistrict’sreview,approvaloracceptanceof,orpaymentfor,theservicesrequiredunderthisAgreementshallnotbeconstruedtooperateasareleaseorwaiverofanyrightsoftheDistrictunderthisAgreementorofanycauseofactionarisingoutofConsultant’sperformanceofthisAgreement,andConsultantisresponsibletotheDistrictforalldamagestotheDistrictcausedbytheConsultant’sperformanceofanyoftheservicesunderthisAgreement. Attachment22.5Consultantshallmaintainallofitsrecordsrelatedtotheprojectforaminimumoffive(5)yearsfromthedateoffinalpayment.ConsultantshallpermitrepresentativesoftheDistricttoreviewallprojectrelatedrecords.2.6Consultantshallnotberesponsibleformeans,methods,techniques,sequencesorproceduresofconstructionselectedbyconstructioncontractorfortheprojectorthehealthorsafetyprecautionsandprogramsincidenttotheworkofsuchcontractor,andshallnotberesponsibleforconstructioncontractor’sfailuretocarryoutworkinaccordancewiththecontractdocuments.Constructioncontractorissolelyandcompletelyresponsibleforjobsiteconditionsincludingthesafetyofallpersonsandproperty.3.0PAYMENTANDSCHEDULEOFSERVICES(ATTACHMENTSBandC)3.1TheamountofpaymenttoConsultantforprovidingtheProfessionalServicesissetforthinATTACHMENTB.NopaymentshallbeallowedforunlessspecificallydescribedinATTACHMENTB.3.2Consultantshallnotbeentitledtoanyadditionalfeesforworkincidentaltothedesign,foranydesignclarifications,orforchangesresultingfromerrorsoromissionsbytheConsultantoranySub-Consultant.3.3AProjectScheduleshowingallmilestoneshasbeendevelopedbytheConsultantandisattachedasATTACNMENTC.4.0DISTRICT’SOBLIGATIONS4.1DistrictshallfurnishtherequiredinformationandservicesandshallrenderapprovalsanddecisionsexpeditiouslytoallowtheorderlyprogressoftheConsultant’sservicesasshownonATTACHMENTC.4.2TheDistrict’sGeneralManageroradesignatedDistrictRepresentativeshallserveastheDistrict’s“ContractOfficer”forthisAgreementandhastheauthoritytoexecutethisAgreement,directtheConsultant,approveactions,requestchanges,andapproveadditionalservices.AnyobligationoftheDistrictshallbetheresponsibilityoftheContractOfficer.Exceptingtheprovisionspertainingtodisputeresolution,nootherpartyshallhaveanyauthorityunderthisAgreementunlessspecificallydelegatedinwriting.5.0SUBCONTRACTiNG(ATTACHMENTB)5.1ThenameandlocationoftheplaceofbusinessofeachSub-ConsultantthatConsultantwillusetoperformworkorrenderservicetotheConsultantinperformingthisAgreementiscontainedinATTACHMENTD.NochangetoanySub-ConsultantshallbemadewithoutthewrittenapprovaloftheContractOfficer.5.2IfConsultantsubcontractsforanyoftheworktobeperformedunderthisAgreement,ConsultantshallbeasfullyresponsibletotheDistrictfortheactsandomissionsofConsultant’sSub-ConsultantsandforthepersonseitherdirectlyorindirectlyemployedbytheSub-Consultants,asConsultantisfortheactsandomissionsofConsultantandpersonsdirectlyemployedbyConsultant.NothingcontainedintheAgreementshallcreateanycontractualrelationshipbetweenanySub-ConsultantofConsultantandtheDistrict.ConsultantshallbindeverySub-ConsultanttothetermsoftheAgreementapplicabletoConsultant’sworkunlessspecificallynotedtothecontraryinthesubcontractinquestionandapprovedinwritingbytheContractOfficer.5.3TheDistrictmayunilaterallyreducethescopeofworktobeperformedbytheConsultant.Upondoingso,DistrictandConsultantagreetomeetandconferingoodfaithtonegotiateadeductivechangeorder.6.0CHANGESTOTHESCOPEOFWORKTheConsultantshallnotperformworkinexcessoftheProfessionalServiceswithoutthepriorwriftenapprovaloftheContractOfficer.AllrequestsforextraworkshallbebywrittenChangeOrdersubmittedtotheContractOfficerandsignedpriortothecommencementofsuchwork.Feesforadditionalworkwillbenegotiatedonafixedfeebasis.2 Attachment27.0VERBALAGREEMENTORCONVERSATIONNoverbalagreementorconversationwithanyofficer,agentoremployeeoftheDistrict,eitherbefore,duringoraftertheexecutionofthisAgreement,shallaffectormodifyanyofthetermsorobligationshereincontainednorshallsuchverbalagreementorconversationentitleConsultanttoanyadditionalpaymentwhatsoeverunlessapprovedbytheContractOfficer.8.0TERMINATIONOFAGREEMENT8.1IntheeventofConsultant’sfailuretoprosecute,deliver,orperformtheProfessionalServices,orwheretheConsultantfailstoperformtheworkinaccordancewiththeprojectschedule(ATTACHMENTC),theDistrictmayterminatethisAgreementforcausebynotifyingConsultantbycertifiedmailofsaidtermination.Thereupon,Consultantshallceaseworkandwithinfive(5)workingdays,assemblealldocumentsownedbytheDistrictandinConsultant’spossession,anddeliversaiddocumentstotheDistrict,andensurethatallworkinprogressisplacedinasafeandprotectedcondition.TheContractOfficershallmakeadeterminationofthepercentageofworkthatConsultanthasperformedthatisusableandofworthtotheDistrict.Baseduponthatfinding,theContractOfficershalldetermineanyfinalpaymentduetoConsultant.8.2ThisAgreementmaybeterminatedbytheDistrict,withoutcause,uponthegivingoffifleen(15)dayswrittennoticebycertifiedmailtotheConsultant.Priortothefifteenth(15th)dayfollowingthegivingofthenotice,theConsultantshallceasework,assemblealldocumentsownedbytheDistrictandinConsultant’spossessionanddeliversaiddocumentstotheDistrict,andensurethatallworkinprogressisplacedinasafeandprotectedcondition.TheContractOfficershallmakeadeterminationofthepercentageofworkthatConsultanthasperformedthatisusableandofworthtotheDistrict.Baseduponthatfinding,theContractOfficershalldetermineanyfinalpaymentduetoConsultant.9.0PROFESSIONALRELATIONSHIP.ConsultantshallserveastheDistrict’sprofessionalrepresentativewithrespecttotheProfessionalServices.10.0PARTIESTOACTINGOODFAITH.DistrictandConsultantagreetocooperatewitheachotherinordertofulfilltheirresponsibilitiesandobligationsunderthisAgreement.BothDistrictandConsultantshallendeavortomaintaingoodworkingrelationshipsamongmembersoftheprojectteam.11.0LIMITATIONONDIRECTiVESTOCONSULTANT.CONSULTANTshallnotacceptdirectionorordersfromanypersonotherthantheContractOfficerortheperson(s)whosename(s)is(are)insertedonPage9as“otherauthorizedrepresentative(s).”12.0PERFORMANCEOFWORKBYTHIRDPARTIES.DistrictacknowledgesthatConsultantisnotresponsiblefortheperformanceofworkbythirdpartiesincluding,butnotlimitedto,theconstructioncontractoranditssub-contractors.13.0CHANGESINSCOPEOFWORK--EXTRASERVICES.DistrictagreesthatifDisfrictrequestsservicesnotspecifiedinthescopeofservicesdescribedinthisAgreement,Districtwillpayforallsuchadditionalservicesasextraservices,inaccordancewithConsultant’sbillingratesutilizedforthisAgreement.AnychangeinthescopeoftheProfessionalServicestobedone,methodofperformance,natureofmaterialsorpricethereof,ortoanyothermattermateriallyaffectingtheperformanceornatureoftheProfessionalServiceswillnotbepaidfororacceptedunlesssuchchange,additionordeletionisapprovedinadvance,inwritingbyasupplementalagreementexecutedbytheDistrict’s“authorizedrepresentative(s)”.Consultant’s“authorizedrepresentative(s)”has(have)theauthoritytoexecutesuchwrittenchangeforConsultant.14.0PERMITS.PermitsrequiredbygovernmentalauthoritieswillbeobtainedatOwner’sexpense,andConsultantwillcomplywithapplicablelocal,state,andfederalregulationsandstatutesincludingCaIJOSHArequirements.3 Attachment215.0TERMSOFPAYMENT.Payment,unlessotherwisespecifiedinAttachmentC,istobethirty(30)daysafteracceptancebytheDistrict.ForProfessionalServicesperformedbytheConsultant,theDistrictshallpaytheConsultantinaccordancewithmonthlystatementssubmittedbytheConsultantbaseduponthepercentageofworkcompletedduringtheprecedingmonth.PaymentforextraservicesshallbebasedonmonthlystatementssubmittedbytheConsultantfortheextraservicesperformedbytheConsultantduringtheproceedingmonth.TheConsultantshallbepaidinterestonpaymentsduefromtheDistrictwhicharenotreceivedwithinthirty(30)daysofthedateofbilling.Theinterestrateshallbeonepercent(1%)permonthontheunpaidbalanceorthemaximumlegalratethattheDistrictcanpay,whicheverisless.16.0INDEMNIFICATION.Consultantshalldefend,indemnifyandholdtheDistrict,itsdirectors,officers,employees,andauthorizedvolunteersharmlessfromlosses,liabilities,expenses,includingreasonableattorney’5fees,damagesandcostsarisingoutofpersonalinjury,death,orpropertydamage,butonlytotheextentsuchlosses,liabilities,expenses,damagesandcostsariseoutof,pertaintoorrelatetotheactivenegligence,recklessnessorwillfulmisconductofConsultantunderthisAgreement.Consultantshallalsodefenditselfagainstanyandallliabilities,claims,losses,damages,andcostsarisingoutoforallegedtoariseoutofConsultant’sperformanceornon-performanceoftheworkhereunder,andConsultantshallnottendersuchclaimstoDistrictnortoitsdirectors,officers,employees,orauthorizedvolunteers,fordefenseorindemnity.further,asrespectsConsultant’soperations(asopposedtoConsultant’sProfessionalServices),ConsultantshallalsoprovidetheDistrictadefense,andindemnifyandholdtheDistrictharmlessfromlosses,liabilities,expenses,includingreasonableattorney’sfees,damagesandcoststhroughandasanadditionalinsuredtoConsultant’scommercialgeneralliabilitypolicy.17.0WORKERS’COMPENSATIONINSURANCE.Byhis/hersignaturehereunder,Consultantcertifiesthathe/sheisawareoftheprovisionsofSection3700oftheCaliforniaLaborCodewhichrequireseveryemployertobeinsuredagainstliabilityforworkers’compensationortoundertakeself-insuranceinaccordancewiththeprovisionsofthatcode,andthatConsultantwillcomplywithsuchprovisionsbeforecommencingtheperformanceoftheProfessionalServicesunderthisAgreement.ConsultantandSub-Consultantswillkeepworkers’compensationinsurancefortheiremployeesineffectduringallworkcoveredbythisAgreement.18.0PROFESSIONALLIABILITYINSURANCE.ConsultantwillfilewiththeDistrict,beforebeginningProfessionalServices,acertificateofinsurancesatisfactorytotheDistrictevidencingprofessionalliabilitycoverageofnotlessthan$1,000,000perclaimandannualaggregate,requiringthirty(30)daysnoticeofcancellation(10daysfornon-paymentofpremium)totheDistrict.Anyinsurance,self-insuranceorothercoveragemaintainedbytheDistrict,itsdirectors,officers,employees,orauthorizedvolunteersshallnotcontributetoit.CoverageistobeplacedwithacarrierwithanA.M.BestratingofnolessthanA-:VII,orequivalent,orasotherwiseapprovedbytheDistrict.Theretroactivedate(ifany)istobenolaterthantheeffectivedateofthisAgreement.IntheeventthattheConsultantemploysotherConsultants(Sub-Consultants)aspartoftheworkcoveredbythisAgreement,itshallbetheConsultant’sresponsibilitytorequireandconfirmthateachSub-Consultantmeetstheminimuminsurancerequirementsspecifiedabove.19.0GENERALLIABILITYINSURANCE.ConsultantwillfilewiththeDistrict,beforebeginningProfessionalServices,certificatesofinsurancesatisfactorytotheDistrictevidencinggeneralliabilitycoverageofnotlessthan$1,000,000peroccurrence($2,000,000generalandproducts-completedoperationsaggregate(ifused))forbodilyinjury,personalinjuryandpropertydamage;autoliabilityofatleast$1,000,000forbodilyinjuryandpropertydamageeachaccidentlimit;workers’compensation(statutorylimits)andemployer’sliability($1,000,000)(ifapplicable);requiringthirty(30)daysfornon-paymentofpremium)noticeofcancellationtotheDistrict.Anyinsurance,self-insuranceorothercoveragemaintainedbytheDistrict,itsdirectors,officers,employees,orauthorizedvolunteersshallnotcontributetoit.ThegeneralliabilitycoverageshallgivetheDistrict,itsdirectors,officers,employees,andauthorizedvolunteersinsuredstatususingISOendorsementCG2O1O,CG2033,orequivalent.CoverageistobeplacedwithacarrierwithanAM.BestratingofnolessthanA-:VII,orequivalent,orasotherwiseapprovedbytheDistrict.IntheeventthattheConsultantemploysotherConsultants(Sub-Consultants)aspartoftheworkcoveredbythisAgreement,itshallbetheConsultant’sresponsibilitytorequireandconfirmthateachSub-Consultantmeetstheminimuminsurancerequirementsspecifiedabove.ForanyclaimsrelatedtotheProfessionalServices,theContractor’sinsurancecoveragewillbeprimaryinsurancewithrespecttothe4 Attachment2District’sinsurance.TheinsurancemaintainedbytheDistrictshallbeexcessoftheContractor’sinsuranceandwillnotcontributewithit.20.0CONTINUATIONOFINSURANCECOVERAGE.IfanyoftherequiredcoveragesexpireduringthetermofthisAgreement,theConsultantshalldelivertherenewalcertificate(s)includingthegeneralliabilityadditionalinsuredendorsementtotheDistrictatleastten(10)dayspriortotheexpirationdate.21.0CONFLICTOFINTEREST.Consultantagreesthatitwillnotundertakeworkforanyotherprincipalorclientwhichcouldposeaconflictofinterestorprovidefortheutilizationoftheexperience,knowledgeandworkproductproducedasaresultofthisAgreementforthebenefitofapartywhoseinterestsmaybeadversetothoseoftheDistrict.Consultantagreesthatitwillnotundertakeworkinwhichaconflictofinterestmayariseforaperiodoften(10)yearsafterthedateofexecutionofthisAgreementwithoutfirstexploringthenatureoftheworkandthepotentialforconflictofinterestwiththeinterestoftheDistrictorpotentialdisadvantageousresultsoftheundertakingortheutilizationoftheDistrict’sworkproducts.IftheDistrictreasonablydeterminesthattherecouldbeaconflictofinterestorwillbeaconflictofinterest,ConsultantagreesnottoundertakesuchworkortooffertoperformsuchworkuntiltheissuehasbeenresolvedifConsultantshalldisagree.22.0WORKPRODUCT.Consultantagreesthatifanyworkproductinvolvesthedevelopmentofmethodologies,computerprograms,orstatisticalordatagatheringmethodology,thatworkproductmethodology,computerprogram,codingsystem,orsimilarmethodforgathering,compilingorappraisingdatashallbeaportionoftheworkproductofConsultantwhichisownedbyandshallbeprovidedtoDistrictuponitsrequest.ConsultantagreesthatDistrict,uponpaymentinfullforservicesrenderedandexpensesincurred,shallbeentitledtoallphotographs,notes,maps,calculations,observations,computerprograms,runsorcompilations,statistics,preliminarydesign,finaldesign,workdrawings,shopdrawingsorcalculations,oranyandallother“workproduct”ofConsultant,anduponearlyterminationorterminationinduecourseorthereafter,mayrequestthatsuchmaterialsmaybecopiedandthecopiesretainedbyConsultantandtheoriginalsprovidedtoDistrict.Anyuse,re-useormodificationofConsultant’sinstrumentsofservicewithoutConsultant’sparticipationshallbeatDistrict’ssolerisk,andDistrictagreestoindemnify,defendandholdConsultantharmlessfromanyclaims,liabilities,damagesorexpenses,includingreasonableattorney’sfees,totheextentarisingoutofsuchuse,re-useormodification.DistrictshallalsoreceiveanyandalldocumentationoncomputerdiskettecompatiblewithDistrictwordprocessingorothercomputerprograms,includinginputdataaswellasoutputdata.ThereasonablecostsofcopyingshallbeaProjectCostpayablebyDistrict.Filesinelectronicmediaformatortext,data,graphicorothertypesthatarefurnishedbyConsultanttotheDistrictareonlyforconvenienceoftheDistrict.Anyconclusionorinformationobtainedorderivedfromsuchelectronicfileswillbeattheuser’ssolerisk.Whentransferringdocumentsinelectronicmediaformat,Consultantmakesnorepresentationsastolong-termcompatibility,usability,orreadabilityofdocumentsresultingfromtheuseofsoftwareapplicationpackages,operatingsystemsorcomputerhardwaredifferingfromthoseinusebyconsultantatthebeginningofthisassignment.23.0DISCLOSUREOFUSEOFWORKPRODUCTORCONSULTANT.DistrictandConsultantagreethatinprovidingtheProfessionalServices,Consultantwillgaininformation,experienceandmethodologieswhichmaybeusableinotherworkofConsultant,solongasthatotherworkdoesnotcauseaconflictofinterestorworktothedisadvantageofDistrict.TheDistrictwillhavenoclaimsforthemonetaryvalueoftheexperience,methodology,oruseoftheworkmethodsforotherworkundertakenbyConsultant.However,Consultantagreesthatitwillnotpublishanyarticles,provideanyinterview,makepubliccomments,orsupplycopiesofanyworkproductofConsultantdoneforDistrictexceptinaccordancewithvalidlegalprocessserveduponitorpursuanttothewrittendirectionofConsultant.InthosecircumstancesinwhichDistrictnotifiesConsultantinwritingthatamattershallbetreatedassubjecttothisprovisionuntilfurtherorderoftheDistrict,Consultantwillnotprovideanyofthisworkproducttoanythirdparty.DistrictisagovernmentalentityandmaybesubjecttothePublicRecordsAct,FreedomoflnformafionAct,orothertermsandprovisionsofthelaw,dependinguponthecircumstances.ConsultantagreesthatthedeterminationofthatapplicabilityshallbesolelywithintheauthorityofDistrict,andConsultantshallnotmakeworkproductorothermaterialsavailabletothirdpartiesorothergovernmentalagenciesunlessdirectedtodosobyDistrict.Thepurposeofthisprovisionistoestablishamethodtoprovidepersonsoragenciespublicinformationthattheyareentitledtoreceivewhilekeepinguniformrecordsabouttheavailabilityofsuch5 Attachment2materials,thedatesthatsuchinformationisprovidedtopersonsentitledtoreceiveit,andtoensurethatcompleteresponseismadetovalidlegalrequestsforinformation,whetherpursuanttoadministrative,legalorPublicRecordsActrequests.NothinginthisAgreementshallrendertherecords,documentsormaterialsofConsultantasapublicrecordavailableforinspectionorreview,excepttotheextentrequiredbylaw.24.0DISPUTERESOLUTION.ThepartiesagreethatifanydisputeshouldariseunderthetermsandprovisionsofthisAgreement,thepartiesagreefirsttotry,ingoodfaith,tosettlethedisputebymediation,beforeresortingtocourtaction.Thecostsofmediationshallbeborneequallybytheparties.Neitherpartyshallfileacourtactionwithoutfirstmeetinginmediationandmakingagoodfaithattempttoreachamediatedresolution.ThemediationshallbeconductedinTruckee,California,unlessthepartiesagreetoconductitinadifferentlocation.If,foranydisputeorclaimtowhichthisparagraphapplies,anypartycommencescourtactionwithoutfirstattemptingtoresolvethematterthroughmediationorrefusestomediateafterawrittenrequesthasbeenmade,thenthatpartyshallnotbeentitledtorecoverattorneyfees,eveniftheywouldotherwisebeavailabletothatpartyinanysuchaction.25.0FORCEMAJEURE.IfeitherpartyheretoshallbedelayedorpreventedfromtheperformanceofanyactrequiredhereunderbyreasonofactsofGod,labortroubles,inabilitytoprocurematerials,restrictivegovernmentallawsorregulationsoftheUnitedStatesoranystateorpoliticalsubdivisionthereoforothercausewithoutfaultandbeyondthecontrolofthepartyobligated,specificallyexceptinganyassertedfinancialdifficultyincludingfluctuationsoflocalandnationaleconomics,andfluctuationsinthepriceofpreciousmetals,performanceofsuchactshallbeexcusedfortheperiodequivalenttotheperiodofsuchdelay,specificallyprovidedthatthetotalperiod(s)ofdelaypermittedunderthisparagraphwillnotexceedfive(5)years.26.0SEVERABILITY.Ifanyterm,conditionorcovenantofthisAgreementisheldbyacourtofcompetentjurisdictiontobeinvalid,voidorunenforceable,theremainingprovisionsofthisagreementshallbevalidandbindingonDistrictandConsultant.27.0CHOICEOFLAW.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateofCalifornia.28.0NOASSIGNMENT.ConsultantshallnotassignthisAgreementwithoutthepriorwrittenconsentoftheContractOfficer.28.0ATTORNEY’SFEE.TheprevailingpartyinanyactiontoenforceorinterpretthisAgreementshallbeentitledtorecoveritsattorneys’feesandcosts,includingexpertfees.29.0VENUE.AnyactiontoenforceorinterpretthisAgreementshallbecommencedandmaintainedonlyintheSuperiorCourtinandfortheCountyofNevada,StateofCalifornia,ifinstatecourt,orintheFederalDistrictCourtfortheEasternDistrictofCalifornia,ifinfederalcourt.”30.0WHOLEANDENTIREAGREEMENT.ThisAgreementcontainstheentireagreementbetweenDistrictandConsultantrelatingtotheprojectandtheprovisionofservicesfortheproject.Anyprioragreements,promises,negotiationsorrepresentationsnotexpresslysetforthinthisagreementareofnoforceoreffect.SubsequentmodificationstothisAgreementshallbeinwritingandsignedbybothDistrictandConsultant.31.0NOWAIVERORDISCLAIMER.District’sorConsultant’swaiverofanyterm,conditionorcovenantshallnotconstitutethewaiverofanyotherterm,conditionorcovenant.District’sorConsultant’swaiverofanybreachofthisAgreementshallnotconstitutethewaiverofanyotherbreachoftheAgreement.32.0BINDINGUPONHEIRS,SUCCESSORSANDASSIGNS.ThisAgreementshallbebindingupontheheirs,executors,administrators,successorsandassignsofDistrictandConsultant.33.0STATUSOFCONSULTANT.ConsultantshallperformtheservicesprovidedforhereininamannerofConsultant’sownchoice,asanindependentcontractorandinpursuitofConsultant’sindependentcalling,andnotasanemployeeoftheDistrict.ConsultantshallbeundercontroloftheDistrictonlyastotheresultto6
