Home My WebLink AboutRES 2019-09 - BoardrResolutionNo.2019-09-TRUCKEEDONNERIZubIItyDistrrctRequestingCollectionofElectricandWaterStandbyChargesonPlacerCountyTaxRollWHEREAS,theTruckeeDonnerPublicUtilityDistrictrequeststheCountyofPlacercollectontheCountytaxrollscertainchargeswhichhavebeenimposedbytheDistrictpursuanttoResolutionNo.2019-06and2019-07attached,andWHEREAS,theCountyhasrequiredasaconditionofthecollectionofsaidchargesthattheDistrictwarrantthelegalityofsaidchargesanddefendandindemnifytheCountyfromanychallengetothelegalitythereof.NOW,THEREFORE,BEITRESOLVEDbytheBoardofDirectorsoftheTruckeeDonnerPublicUtilityDistrictasfollows:1.TheAuditor-ControllerofPlacerCountyisrequestedtoattachforcollectionontheCountytaxrollsthosetaxes,assessments,feesand/orcharges,attachedhereto;2.TheDistrictwarrantsandrepresentsthatthetaxes,assessments,feesand/orchargesimposedbytheDistrictandbeingrequestedtobecollectedbyPlacerCountycomplywithallrequirementsofstatelaw,includingbutnotlimitedtoArticlesXIIICandXIIIDoftheCaliforniaConstitution(Proposition218);3.TheDistrictreleasesanddischargesCounty,anditsofficers,agentsandemployeesfromanyandallclaims,demands,liabilities,costsandexpenses,damages,causesofaction,andjudgments,inanymannerarisingoutofthecollectionbyCountyonthepropertytaxtollofanytaxes,assessments,feesand/orchargesonbehalfofDistrict;4.InconsiderationfortheCounty’scollectionofthechargethroughtheCounty’spropertytaxroll,theDistrictagreestoandshalldefend,indemnifyandholdharmlesstheCounty,itsofficers,agentsandemployees(the“IndemnifiedParties”)fromanyandallclaims,demands,liabilities,costsandexpenses,damages,causesofaction,andjudgments,inanymannerarisingoutofthecollectionbyCountyofanyofDistrict’ssaidtaxes,assessments,feesand/orchargesrequestedtobecollectedbyCountyforDistrict,orinanymanner1 arisingoutofDistrict’sestablishmentandimpositionofsaidtaxes,assessments,feesand/orcharges.Districtagreesthat,intheeventajudgmentisenteredinacourtoflawagainstanyoftheIndemnifiedPartiesasaresultofthecollectionofoneofDistrict’staxes,assessments,feesand/orcharges,theCountymayoffsettheamountofthejudgmentfromanyothermoniescollectedbyCountyonbehalfofDistrict,includingpropertytaxes;5.TheDistrictagreesthatitsofficers,agentsandemployeeswillcooperatewiththeCountyinansweringquestionsreferredtoDistrictbyCountyfromanypersonconcerningtheDistrict’staxes,assessments,feesand/orcharges,andthatDistrictwillnotrefersuchpersonstoCountyofficersandemployeesforresponse;and6.TheDistrictagreestopaytheCountyforthereasonableandordinarychargestorecoupitscostsofplacementandcollectiononthetaxrollsattheagreeduponrateof1%ofthetaxes,assessments,feesand/orcharges,asprovidedbyGovernmentCodesection29304and51800.PASSEDANDADOPTEDbytheBoardofDirectorsoftheTruckeeDonnerPublicUtilityDistrictatameetingheldwithinsaidDistrictonMay1,2019bythefollowingrollcallvote:AYES:Directors:FinnandLaliotis,andPresidentEllis.NOES:none.ABSENT:DirectorAgueraandVicePresidentBender.TRUCKEEDONNERPUBLICUTILITYDISTRICTByBobEllis,PresidentCMC,DistrictClerk2
