BoardAttachment3VThUVVCKEEDONNERdzcut4I:!r2jzt]ResolutionNo.2019-12RESOLUTIONOFTHEBOARDOFDIRECTORSOFTHETRUCKEEDONNERPUBLICUTILITYDISTRICTAUTHORIZINGTHEDISTRICTTOJOINTHESTATEWIDECOMMUNITYINFRASTRUCTUREPROGRAM;AUTHORIZINGTHECALIFORNIASTATEWIDECOMMUNITIESDEVELOPMENTAUTHORITYTOACCEPTAPPLICATIONSFROMPROPERTYOWNERS,CONDUCTSPECIALASSESSMENTPROCEEDINGSANDLEVYASSESSMENTSWITHINTHETERRITORYOFTHETRUCKEEDONNERPUBLICUTILITYDISTRICT;APPROVINGFORMOFACQUISITIONAGREEMENTFORUSEWHENAPPLICABLE;ANDAUTHORIZINGRELATEDACTIONSWHEREAS,theCaliforniaStatewideCommunitiesDevelopmentAuthority(the“Authority”)isajointexerciseofpowersauthoritythemembersofwhichincludenumerouscities,countiesandlocalagenciesintheStateofCalifornia,includingTruckeeDonnerPublicUtilityDistrict(the“District”);andWHEREAS,theAuthorityhasestablishedtheStatewideCommunityInfrastructureProgram(“SCIP”)toallowthefinancingofcertaindevelopmentimpactfees(the“Fees”)leviedinaccordancewiththeMitigationFeeAct(CaliforniaGovernmentCodeSections66000andfollowing)andotherauthorityprovidingforthelevyoffeesonnewdevelopmenttopayforpubliccapitalimprovements(collectively,the“FeeAct”)throughthelevyofspecialassessmentspursuanttotheMunicipalImprovementActof1913(StreetsandHighwaysCodeSections10000andfollowing)(the“1913Act”)andtheissuanceofimprovementbonds(the“LocalObligations”)undertheImprovementBondActof1915(StreetsandHighwaysCodeSections8500andfollowing)(the“1915Act”)uponthesecurityoftheunpaidspecialassessments;andWHEREAS,SCIPwillalsoallowthefinancingofcertainpubliccapitalimprovementstobeconstructedbyoronbehalfofpropertyownersforacquisitionbytheDistrictoranotherpublicagency(the“Improvements”);andWHEREAS,theDistrictdesirestoallowtheownersofpropertybeingdevelopedwithinitsjurisdiction(“ParticipatingDevelopers”)toparticipateinSCIPandtoallowtheAuthoritytoconductassessmentproceedingsunderthe1913ActandtoissueLocalObligationsunderthe1915ActtofinanceFeesleviedonsuchpropertiesandImprovements,providedthatsuchParticipatingDevelopersvoluntarilyagreetoparticipateandconsenttothelevyofsuchassessments;andWHEREAS,ineachyearinwhicheligiblepropertyownerswithinthejurisdictionoftheDistrictelecttobeParticipatingDevelopers,theAuthoritywillconductassessmentproceedingsunderthe1913ActandissueLocalObligationsunderthe1915ActtofinanceFeespayablebysuchpropertyownersandImprovementsand,attheconclusionofsuchproceedings,willlevyspecialassessmentsonsuchproperty Attachment3withintheterritoryoftheDistrict;WHEREAS,therehasbeenpresentedtothismeetingaproposedformofResolutionofIntentiontobeadoptedbytheAuthorityinconnectionwithsuchassessmentproceedings(the“ROl”),acopyofwhichisattachedheretoasExhibitA,andtheterritorywithinwhichassessmentsmaybeleviedforSCIP(providedthateachParticipatingDeveloperconsentstosuchassessment)shallbecoterminouswiththeDistrict’sofficialboundariesofrecordatthetimeofadoptionofeachsuchROl(the“ProposedBoundaries”),andreferenceisherebymadetosuchboundariesfortheplatormaprequiredtobeincludedinthisResolutionpursuanttoSection10104oftheStreetsandHighwaysCode;andWHEREAS,therehasalsobeenpresentedtothismeetingaproposedformofAcquisitionAgreement(the“AcquisitionAgreement”),acopyofwhichisattachedheretoasExhibitB,tobeapprovedastoformforusewithrespecttoanyImprovementstobeconstructedandinstalledbyaParticipatingDeveloperandforwhichtheParticipatingDeveloperrequestsacquisitionfinancingaspartofitsSCIPapplication;andWHEREAS,theDistrictwillnotberesponsiblefortheconductofanyassessmentproceedings;thelevyorcollectionofassessmentsoranyrequiredremedialactioninthecaseofdelinquenciesinsuchassessmentpayments;ortheissuance,saleoradministrationoftheLocalObligationsoranyotherbondsissuedinconnectionwithSCIP;andWHEREAS,pursuanttoGovernmentCodeSection6586.5,noticewaspublishedatleastfivedayspriortotheadoptionofthisresolutionatapublichearing,whichwasdulyconductedbythisBoardconcerningthesignificantpublicbenefitsofSCIPandthefinancingoftheImprovementsandthepubliccapitalimprovementstobepaidforwiththeproceedsoftheFees;NOW,THEREFORE,BEITRESOLVEDbytheBoardofDirectorsofTruckeeDonnerPublicUtilityDistrictasfollows:Section1.TheDistrictherebyconsentstotheconductofspecialassessmentproceedingsbytheAuthorityinconnectionwithSCIPpursuanttothe1913ActandtheissuanceofLocalObligationsunderthe1915ActonanypropertywithintheProposedBoundaries;provided,that(1)SuchproceedingsareconductedpursuanttooneormoreResolutionsofIntentioninsubstantiallytheformoftheROl;and(2)TheParticipatingDevelopers,whoshallbethelegalownersofsuchproperty,executeawrittenconsenttothelevyofassessmentinconnectionwithSCIPbytheAuthorityandexecuteanassessmentballotinfavorofsuchassessmentincompliancewiththerequirementsofSection4ofArticleXIIIDoftheStateConstitution.Section2.TheDistrictherebyfindsanddeclaresthattheissuanceofbondsbytheAuthorityinconnectionwithSCIPwillprovidesignificantpublicbenefits,including Attachment3withoutlimitation,savingsineffectiveinterestrate,bondpreparation,bondunderwritingandbondissuancecostsandthemoreefficientdeliveryoflocalagencyservicestoresidentialandcommercialdevelopmentwithintheDistrict.Section3.TheAuthorityhaspreparedandwillupdatefromtimetotimethe“SCIPManualofProcedures”(the“Manual”),andtheDistrictwillhandleFeerevenuesandfundsforImprovementsforpropertiesparticipatinginSCIPinaccordancewiththeproceduressetforthintheManual.Section4.TheformofAcquisitionAgreementpresentedtothismeetingisherebyapproved,andthe[BoardPresident]isauthorizedtoexecuteandthe[DistrictClerk]isauthorizedtoattesttheexecutionofacompletedAcquisitionAgreementinsubstantiallysaidformandpertainingtotheImprovementsbeingfinancedonbehalfoftheapplicableParticipatingDeveloper.Section5.TheappropriateofficialsandstaffoftheDistrictareherebyauthorizedanddirectedtomakeSCIPapplicationsavailabletoallpropertyownerswhoaresubjecttoFeesfornewdevelopmentwithintheDistrictand/orwhoareconditionedtoinstallImprovementsandtoinformsuchownersoftheiroptiontoparticipateinSCIP;provided,thattheAuthorityshallberesponsibleforprovidingsuchapplicationsandrelatedmaterialsatitsownexpense.ThestatpersonslistedontheattachedExhibitC,togetherwithanyotherstaffpersonschosenbythe[BoardPresident]fromtimetotime,areherebydesignatedasthecontactpersonsfortheAuthorityinconnectionwiththeSCIPprogram.Section6.TheappropriateofficialsandstaffoftheDistrictareherebyauthorizedanddirectedtoexecuteanddeliversuchclosingcertificates,requisitions,agreementsandrelateddocuments,includingbutnotlimitedtosuchdocumentsasmayberequiredbyBondCounselinconnectionwiththeparticipationinSCIPofanydistricts,authoritiesorotherthird-partyentitiesentitledtoownImprovementsand/ortolevyandcollectfeesonnewdevelopmenttopayforpubliccapitalimprovementswithinthejurisdictionoftheDistrict,asarereasonablyrequiredbytheAuthorityinaccordancewiththeManualtoimplementSCIPforParticipatingDevelopersandtoevidencecompliancewiththerequirementsoffederalandstatelawinconnectionwiththeissuancebytheAuthorityoftheLocalObligationsandanyotherbondsforSCIP.Tothatend,andpursuanttoTreasuryRegulationsSection1.150-2,thestaffpersonslistedonExhibitC,orotherstaffpersonactinginthesamecapacityfortheDistrictwithrespecttoSCIP,areherebyauthorizedanddesignatedtodeclaretheofficialintentoftheDistrictwithrespecttothepubliccapitalimprovementstobepaidorreimbursedthroughparticipationinSCIP.Section7.ThisResolutionshalltakeeffectimmediatelyuponitsadoption.The[DistrictClerk]isherebyauthorizedanddirectedtotransmitacertifiedcopyofthisresolutiontotheSecretaryoftheAuthority.
