TRUCKEEDONNERPublicUtilityDistrictResolutionNo.2016-06AmendandRestatetheGovernmentalMoneyPurchasePlan&TrustWHEREAS,theDstrcthasemployeesrenderingvaluableservices;andWHEREAS,theDistricthasestablishedaqualifiedretirementplanforsuchemployeesthatservestheinterestoftheDistrictbyenablingittoprovidereasonableretirementsecuritytoitsemployees,byprovidingincreasedflexibilityinitspersonnelmanagementsystem,andbyassistingintheattractionandretentionofcompetentpersonnel;andWHEREAS,theDistricthasdeterminedthatthecontinuanceofthequalifiedretirementplanwillservetheseobjectives;andNOW,THEREFORE,BEITRESOLVEDbytheBoardofDirectorsoftheTruckeeDonnerPublicUtilityDistrictasfollows:.TheDistrictherebyamendsandrestatesthequalifiedretirementplan(the“Plan”)intheformoftheICMARetirementCorporationGovernmentalMoneyPurchasePlan&TrustandanyassociatedamendmentsprovidedbytheDistrict(executedcopiesattachedhereto)BEITFURTHERRESOLVEDthattheassetsofthePlanshallbeheldintrust,withtheDistrictservingastrustee(“Trustee”),fortheexclusivebenefitofPlanparticipantsandtheirbeneficiaries,andtheassetsshallnotbedivertedtoanyotherpurpose.TheTrustee’sbeneficialownershipofPlanassetsheldunderthePlanintheICMARetirementTrustshallbeheldforthefurtherexclusivebenefitofthePlanparticipantsandtheirbeneficiaries;BEITFURTHERRESOLVEDthattheHumanResourcesManageroftheDistrictshallbethecoordinatorforthePlan;shallreceivereports,notices,etc.,fromtheICMARetirementCorporationortheICMARetirementTrust;shallcast,onbehalfoftheDistrict,anyrequiredvotesundertheICMARetirementTrust;maydelegateanyadministrativedutiesrelatedtothePlantoappropriatedepartments.BEITFURTHERRESOLVEDthattheDistrictherebyagreestoserveasTrusteeunderthePlan.BEITFURTHERRESOLVEDthattheDistrictherebyauthorizestheHumanResourcesManagertoexecuteallnecessaryagreementswiththeICMARetirementCorporationincidentaltotheadministrationofthePlan.1 PASSEDANDADOPTEDbytheBoardofDirectorsoftheTruckeeDonnerPublicUtiHtyDistrictatameetingheldwithinsaidDistrictonApril6,2016bythefollowingrollcallvote:AYES:Directors:Ellis,Warmerdam,Laliotis,andPresidentAgueraNOES:NoneABSENT:DirectorBenderTRUCKEEDONNERPUBLICUTILITYDISTRICTByJop{iAuera,PresiqtATTEST:MichaelD.Holley,DistrictClerk2
