Home My WebLink AboutRES 2016-13 - Board;IRUCKEEDONNERPublicUtilityDistrictResolutionNo.2016-13RequestingCollectionofElectricandWaterStandbyChargesonPlacerCountyTaxRollWHEREAS,theTruckeeDonnerPublicUtilityDistrictrequeststheCountyofPlacercollectontheCountytaxrollscertainchargeswhichhavebeenimposedbytheDistrictpursuanttoResolutionNo.2016-10and2016-11attachedhereto,andWHEREAS,theCountyhasrequiredasaconditionofthecollectionofsaidchargesthattheDistrictwarrantthelegalityofsaidchargesanddefendandindemnifytheCountyfromanychallengetothelegalitythereof.NOW,THEREFORE,BEITRESOLVEDbytheBoardofDirectorsoftheTruckeeDonnerPublicUtilityDistrictasfollows:1.TheAuditor-ControllerofPlacerCountyisrequestedtoattachforcollectionontheCountytaxrollsthosetaxes,assessments,feesand/orcharges,attachedhereto.2.TheDistrictwarrantsandrepresentsthatthetaxes,assessments,feesand/orchargesimposedbytheDistrictandbeingrequestedtobecollectedbyPlacerCountycomplywithallrequirementsofstatelaw,includingbutnotlimitedtoArticlesXIIICandXIIIDoftheCaliforniaConstitution(Proposition218).3.TheDistrictreleasesanddischargesCounty,anditsofficers,agentsandemployeesfromanyandallclaims,demands,liabilities,costsandexpenses,damages,causesofaction,andjudgments,inanymannerarisingoutofthecollectionbyCountyonthepropertytaxtollofanytaxes,assessments,feesand/orchargesonbehalfofDistrict.4.InconsiderationfortheCounty’scollectionofthechargethroughtheCounty’spropertytaxroll,theDistrictagreestoandshalldefend,indemnifyandholdharmlesstheCounty,itsofficers,agentsandemployees(the“IndemnifiedParties”)fromanyandallclaims,demands,liabilities,costsandexpenses,damages,causesofaction,andjudgments,inanymannerarisingoutofthecollectionbyCountyofanyofDistrict’ssaidtaxes,assessments,feesand/orchargesrequestedtobecollectedbyCountyforDistrict,orinanymanner1 arisingoutofDistrict’sestablishmentandimpositionofsaidtaxes,assessments,feesand/orcharges.Districtagreesthat,intheeventajudgmentisenteredinacourtoflawagainstanyoftheIndemnifiedPartiesasaresultofthecollectionofoneofDistrict’staxes,assessments,feesand/orcharges,theCountymayoffsettheamountofthejudgmentfromanyothermoniescollectedbyCountyonbehalfofDistrict,includingpropertytaxes.5.TheDistrictagreesthatitsofficers,agentsandemployeeswillcooperatewiththeCountyinansweringquestionsreferredtoDistrictbyCountyfromanypersonconcerningtheDistrict’staxes,assessments,feesand/orcharges,andthatDistrictwillnotrefersuchpersonstoCountyofficersandemployeesforresponse.6.TheDistrictagreestopaytheCountyforthereasonableandordinarychargestorecoupitscostsofplacementandcollectiononthetaxrollsattheagreeduponrateofI%ofthetaxes,assessments,feesand/orcharges,asprovidedbyGovernmentCodesection29304and51800.PASSEDANDADOPTEDbytheBoardofDirectorsoftheTruckeeDonnerPublicUtilityDistrictatameetingheldwithinsaidDistrictonMay4,2016bythefollowingrollcallvote:AYES:Directors:Warmerdam,Laliotis,Ellis,andVicePresidentBender.NOES:NoneABSENT:PresidentAgueraTRUCKEEDONNERPUBLICUTILITYDISTRICTJeffder,VicePresidentATTEST>MichaelD.Holley,DistrictClerk2
