SUBJECT: Consideration of hiring consulting services for the purchase of a new phone system
1. WHY THIS MATTER IS BEFORE THE BOARD:
Staff has requested that we upgrade our phone system. The process includes hiring a consultant to
perform a needs analysis, assist in the development of bid documents, analyze the bids, assist staff
in preparing a recommendation to the Board and finally oversight of the installation and
implementation of the new phone system. Some of these steps will involve the Board. Hiring the
phone system consultant is one of those steps.
2. HISTORY
At the October 4,2006 board meeting, the Board authorized us to seek proposals for phone system
consulting services. On October 5, 2006 Barbara mailed request for proposal letters to the two
vendors that we knew of who provide these services. Within a few days, I was able to obtain the
name of one other firm out of Foster City who also performs these consulting services. They were
also sent an RFP request.
3. NEW INFORMATION:
On October 16th we received a proposal from World Communications Group. On October 18th we
received proposals from Insight Technology Solutions, Inc and Robert M. Trespel. The deadline for
submitting proposals was October 18th. All three proposals were received before the 3:00 pm
deadline.
I believe that all three companies would be able to perform the phone system consulting services that
we require. All three of the consultants have done this work before. A summary of their pricing is
listed below:
1) Insight Technology Solutions, Inc.

Estimate of hours: 60 hours to complete, up to an additional 20 hours for a not to exceed 80 hours
Hourly rate: $105.00 per hour plus out-of-pocket if travel expenses are incurred outside of the
Reno/Truckee area.
Total estimate: 60 hours x $105.00 = $6,300 with a not to exceed amount of $8,400.
2) Robert Trespel

Estimate of hours: 47 minimum hours plus actual hours for attending board meetings and
evaluating responses if the time required exceeds 3 hours; an additional 11+ hours at$125/hour
for work not specifically listed in the RFP.
Hourly rate: $125.00 per hour; there was no mention as to out-of-pocket expenses.
Total estimate: 47 hours x $125.00 = $5,875 plus approximately 4 hours for attending board
meetings = $6,375 with a not to exceed price of $17,500.

RECOMMENDATION:
I recommend that the Board hire the phone system consulting services of Insight Technology Solutions,
Inc. out of Reno, Nevada to perform consulting services for the purpose of acquiring a new phone system
for a not to exceed price of $8,400.

the area. Insight Technology Solutions, Inc. has been in business since July 2002 1 have been in
telecom in the local area for over 27 years.
Your project fits perfect with the scope of work and projects Insight works on a routine basis. Insight
provides Consulting with billing time elements for Equipment upgrades such as you desire along with
Consulting for Infrastructure cabling design equipment room layout design. We offer other services
that may be relevant to discuss at a latter time.
When we work projects setting expectations is critical you have spelled out the process in your RFP
clearly. I agree with the items as you have requested with a few comments for your consideration.
We are prepared to move on a schedule for implementation that meets with your required timeframe.

REQUEST FOR PROPOSAL — PHONE SYSTEM CONSULTING SERVICES
The Truckee Donner Public Utility District is issuing a Request for Proposals for phone system
consulting services. The District wishes the successful proposer to provide the following scope
of services:
1. Meet with staff to gather input and prepare a needs analysis report; report should
summarize input from staff and it should include a discussion of the various technology
options available including but not limited to digital,VOIP or a hybrid system listing the
pros and cons of each technology. The report should make a recommendation(s) on
the technology to pursue in the invitation to bids technical specifications portion.
We have found the most productive method is to create a committee of 4 to 5 people
that will be involved with this process from start to finish.
2. With input from staff, develop bid documents. The documents provided by proposer
should include the technical specifications and the form of proposal. The District staff
will provide the other legally required portions of the invitation to bids.
3. Attend a board meeting where the board will consider issuing an invitation for bids; be
prepared to discuss bid documents with the board. District staff will follow the legal
requirements for advertising, mailing bid documents, receiving bids and opening bids.
4. Assist staff in evaluating bids received. Prepare an analysis of the bids received
indicating a comparison of system features and whether the bidders met the required
specification.
5. Arrange for demos of the top two to three recommended phone systems.
6. Assist staff with final recommendations to the Board; attend board meeting to discuss
recommendation; Board will consider awarding the bid.
7. Assist staff in placing the order for the purchase and installation of the new phone
system.
8. Oversee the installation and implementation of the new phone system.
Proposers should include a list of organizations including phone numbers in the
Tahoe/Truckee/Reno area for whom they have done similar work.
The following list of three companies are clients just in the Truckee area I have included a
more comprehensive list as well for your review.

Proposers should submit an estimated timeline showing a start date for the project, completion
of the major steps of the project through installation and implementation of the new phone
system.
Timeline will vary from 5 to 8 months from start to full implementation. This timeline moves up
or back depending on the flexibility of individuals involved in the evaluation of the vendors and
demonstrations. The process at each step is crucial to keeping the project on task if Board
action is required to move from one step to the next this can impact the schedule dramatically.
Timeline example: Start date anytime after November 15, 2006

Proposers should submit their hourly rate and the number of hours they expect the above
process (steps 1 through 8) to take. Additionally, a not to exceed price is highly desirable.
Proposers should submit a required payment schedule.
Please see draft of our agreement attached for Consulting Services this agreement can be
modified to accommodate.
The Board of Directors will award the bid to the successful bidder of the new phone system.
Bids will be awarded based on how well the bidded systems meet the District's needs as
determined by the original needs analysis. While important, price will be a secondary
consideration. The Board meets the first and third Wednesdays of each month. All documents
that are to be presented to the Board for consideration must be in the District's possession the
Wednesday prior to the Board meeting.
In evaluating systems and vendors and working with other organizations such Truckee Donner
Public Utility District we recommend that the pricing proposals berated after the committee has
rated the systems without the influence of the price. Insight will provide an evaluation form
custom designed to meet the specifications of the RFP for the purpose of the committee to
review and rate the systems prior to the committee seeing the pricing proposals. Once the
ratings have been completed by the committee then the evaluation forms for rating the vendors
pricing proposals will be provided and rated by the committee. Once both components are
evaluated then both scores can be added together for a combine score.

AGREEMENT for Communications Analysis
and Consulting Services
This agreement is made between Insight Technology Solutions,Inc.,hereinafter referred to as
"Consultant"and Truckee Donner Public Utility District,hereinafter referred to as"Client". In
consideration of the following mutual agreement,Consultant agrees to deliver to Client and Client
agrees to accept from Consultant,Voice and Data Communications Equipment and Services Analysis
in accordance with the following terms and conditions.Consultant's vendor and service
recommendations will be based upon a combination of several factors including the Client's
communications requirements. In addition,the manufactures equipment,service provider's network
design,integrity,service,features,cost effectiveness and market reputation.
Consultant will analyze the Network and Communications design:
• Analyze Voice and Data services with current vendors
• Equipment Manufacturers,business history,financial resources and market reputation
• Distributors,business history,financial resources and market reputation
• Research with Clients'contacts the functionality desired from new system
• Identify Client goals,objectives and requirements.
Project scope:
• Meet with Client, Distributors and Service providers to design a functional and cost effective
solution.
• Working with Client to develop a technology plan to upgrade and standardize communications.
• Develop and release Request for Proposal for telecommunications system to qualified
equipment providers.
• Provide a written recommendation and evaluation for new telecommunication system and
services.
• Negotiate with Client and in Client's behalf the purchase of a new telecommunications system
and services.
• Represent Client through design, implementation and installation of new system and services.
• Final selection of equipment and distributor is ultimately up to the Client,Consultant is not
allowed to enter into any contracts or make commitments in Client's behalf.
Commencing on acceptance of Consultants recommendations by Client,the Consultant will
perform the following:
• Interface with the selected distributor and Client to coordinate the implementation of
Consultant's recommendation.
• Coordinate with Client involvement and oversee the installation of equipment and services.
• Coordinate the disconnection of service(s)not utilized.
Consultant will audit invoices under the newly implemented system and services to verify that the
rates negotiated have actually been received.
Payment for services:
Consultant's hourly rate is$105.00 per hour.Consultant estimates 60 hours to complete.If additional
hours over the estimate are required to complete the project,Consultant will notify Client in advance
for Client approval of up to an additional 20 hours total,project not to exceed 80 hours. If travel
expenses are incurred for any travel outside of the Reno/Truckee area they will be billed to Client as
expenses are incurred at the expense cost to Consultant.
Payment terms:A retainer equal to 20 hours of consulting time is due at time of execution of this
agreement,totaling$2,100.00.At such time that 20 hours have been used,client will be invoiced in
20 hour increments to the completion of the project. Invoices are due Net 15.

The following represents my understanding of the TDPUD telecommunications
equipment replacement project.
Items one through eight are well within the scope of the project and will be addressed in
the form presented during the project.
1. Meet with staff to examine the technical options of the various platforms which
are currently available for telephone service, including but not limited to the
following; digital PBX, VOID, traditional PBX with optional VOIP access if it
can be cost justified. Maintenance issues will be addressed in this section.
2. Bid documents will be in two sections, the first is the legal issues which the
TDPUD will have responsibility the second will be the technical specifications
which the consultant and the staff will develop for the RFP. Unless there is a
compelling reason, I suggest the issue to the vendors be in the form of an RFP
rather than a Request for Bid.
3. I will attend each board meeting for which the board will be addressing the
telephone issues. Additionally I am prepared to meet with the board to discuss
this response to your RFP.
4. I will prepare a matrix analysis sheet for reviewing the responses to the RFP. I
will offer suggestions for critical path analysis for suitability, serviceability and
value. I expect the staff to be intimately involved with the RFP preparation and
the analysis of responses.
5. 1 will arrange for demos for the top three platforms
6. Using PowerPoint I will prepare the presentation of the technical aspects of the
selection process.
7. I will participate in the final contract negotiations including a multi-year
maintenance agreement.
8. 1 will prepare the acceptance and testing protocol and will along with staff signoff
on the acceptance of the platform.
Additional to your enumerated items, I have added several items, which would be
beneficial.
1. I will train one or more of your staff as a telephone analyst capable of performing
most routine system changes thus saving subsequent service related expenses.
2. I will prepare the RFP to include an Automatic Call Distributor which will benefit
your customers by providing better service and having the ability to do better
planning for customer service and accounting staffing.
3. I will include in the RFP the future needs of the remote located warehouse.
4. Disaster Recovery and business resumption plans will be included in the
documentation I will provide to your for ongoing operations.
5. I will review your local telephone service with the view of providing lower cost of
service and an analysis of the proper trunking for the current and proposed
systems.
6. The RFP I prepare will address the current and projected needs of both the voice
and data applications that you have or are likely to need in the foreseeable future.

From the go ahead from TDPUD I will have my first meeting with staff within 1
week. Based on their areas of concern and the assignment of the two analyst
trainees to be assigned to the project I expect to have a first draft of the RFP
(technical portion) within 2 weeks of our first meeting.
The RFP will be delivered via e-mail. Responses will be received as hard copy to
your physical location. Issue and receipt of RFPs should take 21 days.
Analysis of responses should be completed within 10 days.
Demonstrations of the top respondents allowing for scheduling and potential
locations take 10 days.
Meetings to Recommendation by consultant will be made following the
demonstration.
Negotiations for contract specifics including maintenance agreements will take 10
days.
Installation with successful vendor should take 45 to 60 days.
All user training will be accomplished during this 45 to 60 day period.
My experience indicates that the above is a general outline of the timetable. It is
possible we could have the project completed in less time but we will not exceed the
6-month install date.

The importance of advanced telecommunications for TRUCKEE DONNER PUBLIC UTILITY
DISTRICT cannot be overstated. Systems' planning for this project, therefore, requires an educated
insight into the needs of management, other information intensive employees as well as customers ---
well into the future. Yet, today's cost concerns must be addressed, as well.
Proper planning also requires thorough, up-to-date knowledge of available technology and services.

GENERALAPPROACH
Upon award of the contract, Mr. Peter G. Bologna will be appointed Consulting Project Manager.
Peter has managed at least 400 telecommunications projects of this type during the past 28 years.
Assisting him and providing complete continuity throughout the course of the project will be Mr. David
G. Hayner. Dave has extensive experience in all phases of telecommunications planning design and
project management. Additional staff is available to assist on the project as needed
We plan to work very closely with, and shall be seeking guidance from Ms. Mary Chapman and other
appropriate management and technical staff of TRUCKEE DONNER PUBLIC UTILITY DISTRICT.
This approach will leave in-depth knowledge of all project activities within the organization and will
ensure effective management of the system after we have completed this assignment.
We propose that TRUCKEE DONNER PUBLIC UTILITY DISTRICT and World Communications
Group carry out the project in 8 Tasks or"Activities" as identified in the following Project Work Plan.

2. PROJECT WORK PLAN
Task 1. World Comm Group will meet with staff to gather input and prepare a needs analysis
report; report will summarize input from staff and it should include a discussion of
the various technology options available including but not limited to digital, VOIP or a
hybrid system listing the pros and cons of each technology. The report should make
a recommendation(s) on the technology to pursue in the invitation to bids technical
specifications portion.
Task 2. With input from staff, World Comm Group will develop bid documents. The documents
provided by WorldComm Group will include the technical specifications and the form
of proposal. The District staff will provide the other legally required portions of the
invitation to bids.
Task 3. World Comm Group will attend a board meeting where the board will consider issuing
an invitation for bids; we shall be prepared to discuss bid documents with the board.
District staff will follow the legal requirements for advertising, mailing bid documents,
receiving bids and opening bids.
Task 4. World Comm Group will assist staff in evaluating bids received. We will prepare an
analysis of the bids received indicating a comparison of system features and
whether the bidders met the required specification.
Task 5. World Comm Group will arrange for demos of the top two to three recommended
phone systems.
Task 6. World Comm Group will assist staff with final recommendations to the Board; attend
board meeting to discuss recommendation; Board will consider awarding the bid.
Task 7. World Comm Group will further assist staff in placing the order for the purchase and
installation of the new phone system.

conducted for a very fast growing software development firm.
♦ Designed several Voice/Data networks, which resulted in up to 55% costs savings to clients. This
included a competitive RFP bidding process as well as extensive vendor contract negotiations.
♦ Engineering and design of a Northern Telecom, SL-1 remote node for a large medical facility, which
involved an eight (8) span private T-1 microwave digital link, as well as all voice and data hardware
requirements for two(2)off-site locations.
♦ Planning and installation of a network Rolm CBX's connecting two (2) Northern California hospitals
via private T-1 microwave. This design includes Centralized Attendant Service and a networked
Telephone Accounting system.

Peter developed a new department (Telecommunications Service) to plan and manage all of the
County's voice telecommunications facilities. Duties included: designing budget criteria, audio/visual
user training programs, and developing policies and procedures plan. Also, he converted 48 PBX's
into six (6) major telephone systems connected via a very unique local Universal Tie-Line Network.
Peter reduced the annual telecom budget from 4 million to 2.8 million dollars. He managed a staff of
22, and was a member of the 911 Task Force Committee.

5. SCHEDULING AND COSTS
1. Number of Hours:
Our estimate in terms of hours to accomplish the activities as defined in the Project Work Plan Tasks
1 through 8 is: 106 Hours— includes all travel time
2. Hourly Rate
WorldComm Group's Hourly Rate normal rate for all Consulting and Project Management activities is
$195.00 per hour. As a special concession to Truckee Donner Public Utility District, we are reducing
our hourly rate to S165.00. All documentation preparation, copy expenses, and normal administration
and long distance telephone expenses are included in this hourly rate. Any out-of-pocket expenses
will be billed at our actual costs.
3. Contract Price:
WorldComm Group's estimated not-to-exceed project fee for completion of the Project Work
Plan is 106 hours at$165.00 per hour, or$ 17,490.00.

PROPOSED CONSULTING AGREEMENT
The following is a proposed agreement between Truckee Donner Public Utility District, (hereinafter
called The Client and The World Communications Group (hereinafter called WorldComm Group.)
A. Purpose - The purpose of this agreement is for The Client and to retain the services of
WorldComm Group to perform the tasks described in the proposal PROJECT WORK PLAN, attached
hereto as Exhibit A, which, by this reference, shall become a part of this agreement.
B. Independent Contractor - WorldComm Group is an independent contractor retained to perform
the work described herein. All personnel employed by WorldComm Group, including subcontractors
and personnel of said subcontractors approved by TRUCKEE DONNER PUBLIC UTILITY DISTRICT,
are not and shall not be deemed employees of The Client. WorldComm Group and other approved
subcontractors shall comply with all State and Federal laws pertaining to employment and
compensation of their employees or agents, including the provision of Workers' Compensation. The
Client shall not, under any circumstances, be liable to WorldComm Group or any person or persons
acting for him for any death, injury, or property, or property destruction or damage received or claimed
relating to or stemming from the activities undertaken pursuant to this agreement.
C. Indemnity - WorldComm Group shall indemnify and hold harmless The Client against and from
any and all claims of damages or injury arising from WorldComm Group's performance or breach or
default of any obligation of WorldComm Group hereunder, and against and from all costs, attorneys'
fees, expenses and liabilities incurred in or about any claim or any action or proceeding brought
against The Client and by result of any such claim.
D. Assignment - The Client is entering into this agreement in consideration of the rendition of the
services required herein by WorldComm Group. WorldComm Group shall not assign any of the
duties, responsibilities, or obligations of this agreement to any other firm, company, entity, or
individual, except with the express written consent of The Client.
E. Compensation - The entire scope of services as described in the project work plan will be
performed by WorldComm Group for a fee, estimated not to exceed $17,490.00.
F. Termination - The work may be terminated in whole or in part by either party, upon written notice
to the other, in the event of substantial failure by the other party to fulfill its obligations through no fault
of the terminating party. In the event of such termination, WorldComm Group shall be entitled only to
payment for all hours worked before its receipt of such notice.
G. Documentation - Specifications, reports, manuals, programs, or other documents provided by
WorldComm Group for this work shall become the property of The Client. The Client shall have
complete access to any documents relating to the work on this project.

H. Payment Schedule - Upon approval of this contract, The Client shall pay a retainer fee to
WorldComm Group equal to 0% of estimated total project fees. WorldComm Group shall invoice The
Client and monthly for the actual costs incurred during the previous month. The Client shall pay
WorldComm Group every 30 days upon receipt of proper invoice.
I. Amendment- This agreement may be amended, modified, or changed by the parties provided that
said amendment, modification, or change is in writing and approved by both parties.
J. Entire Agreement - This agreement contains the entire agreement between the parties hereto.
No promise, representation, warranty, or covenants not included in the agreement have been or are
relied on by any party hereto.

WORLD COMMUNICATIONS GROUP has no existing affiliation with any manufacturer, distributor or
vendor of telecommunications equipment and/or related services. Nor does World Communications
Group participate in any finder's fees, consulting fees, commissions or awards associated with the
purchase or lease of such equipment or services. All compensation to World Communications Group
for consulting services is paid directly by our Clients.

The signatory to this proposal, being duly sworn, deposed and says that he or she is the authorized
representative of the party making the foregoing bid; that the bid is not made in interest of, or on
behalf of, any disclosed person, partnership, company, association, organization, or corporation; the
bid is genuine and not collusive of sham; that the bidder has not directly or indirectly induced,
conspired, connived, or agreed with any bidder or anyone else to put in a sham bid, or that anyone
shall refrain from bidding; that the bidder has not in any manner, directly or indirectly, sought
agreement, communication, of conference with anyone to fix the bid price, or that of any other bidder,
or secure any contract; that all statements contained in the bid are true, and further, that the bidder
has not, directly, of indirectly, submitted his or her bid price or any breakdown thereof, or contents
thereof, or divulged information or data relative thereto, or paid, and will not pay, any fee to any
corporation, partnership, company association, organization, bid depository, or to any member or
agent thereof to effectuate a collusive or sham bid.
