RESOLUTION OF THE BOARD OF THE TRUCKEE DONNER PUBLIC
UTILITY DISTRICT APPROVING THE
NORTHERN CALIFORNIA POWER AGENCY
LEGISLATIVE AND REGULATORY AFFAIRS PROGRAM AGREEMENT
WHEREAS, the Truckee Donner Public Utility District is a member of the Northern
California Power Agency ("NCPA"); and
WHEREAS, the NCPA joint powers agreement provides that, in general a member of
NCPA is responsible for the costs of any NCPA program in which the member has agreed to
participate; and
WHEREAS, NCPA maintains a Legislative and Regulatory Affairs Program on behalf of
all its Members; and
WHEREAS, NCPA through its Legislative and Regulatory Affairs Program engages in
representation and advocacy on behalf of NCPA Members at the regional, state and federal
level to protect the investments that NCPA and its Members have made in their public power
assets; and
WHEREAS, the NCPA Legislative and Regulatory Affairs Program also provides support
and expertise to NCPA Members involved in particular NCPA Projects and Programs; and
WHEREAS, the NCPA Legislative and Regulatory Affairs Program also assists NCPA
Members with implementation, reporting and compliance with various state and federal
programs and requirements; and
WHEREAS, following extensive review and consultation, NCPA and its Members have
developed a Legislative and Regulatory Affairs Program Agreement to be entered into by all
NCPA members; and
WHEREAS, the Legislative and Regulatory Affairs Program Agreement formalizes the
contractual relationship between NCPA and NCPA Members with regards to the role, scope,
governance, and the equitable allocation of costs associated with the Legislative and
Regulatory Affairs Program; and
WHEREAS, the Legislative and Regulatory Affairs Program Agreement affords NCPA
Members with greater discretion regarding NCPA Member participation in Member Services
Programs and Judicial Action Initiatives; and
WHEREAS, the Legislative and Regulatory Affairs Program Agreement provides NCPA
Members with stability against unanticipated cost -shifts within the Legislative and Regulatory
Affairs Program; and

WHEREAS, the NCPA Commission approved the Legislative and Regulatory Affairs
Program Agreement on March 22, 2012; and
NOW, THEREFORE BE IT RESOLVED that the NCPA Legislative and Regulatory
Affairs Program Agreement is hereby approved and the President of the Board is authorized to
execute the agreement on behalf of Truckee Donner Public Utility District.
PASSED AND ADOPTED by the Board of Directors of the Truckee Donner Public Utility District
in a meeting duly called and held within said District on the sixth day of June, 2012.
