Holzmeister, General Manager Subject: Acquisition of Donner Lake Utility Company At the June 30 meeting of the Water Committee, which was attended by Marge Adkerson and Charlie White, we discussed the status of our discussion of acquiring Donner Lake Utility Company. Our concern is to make sure that the property owners and residents of Donner Lake know the full impact of our acquiring the system and that they support it. To that end we have developed a process we would like the Board to adopt; a copy is attached. Also attached is a draft letter to be sent to all property owners and residents of the Donner Lake area. PLH/smc Enclosures D R A F T LIST OF TASKS FOR ACQUISITION OF DONNER LAKE UTILITY CO. 1. TDPUD Board approves plan of tasks and authorizes letter to Donner Lake owners/residents. 2 . Send letter to Donner Lake customers informing them of what is happening; enclose a survey questionnaire. 3 . TDPUD Board approves advancing consulting fees to initiate the procedures; adopts the process. 4 . Retain an engineer to perform preliminary plan of improvements and allocate costs to benefitting properties. 4 . 1 Identify benefitting parcels: a) APN b) Owner of record c) Frontage, area and zoning d) Developed/undeveloped is 4 . 2 Plan the improvements: a) Drawing b) Schedule c) Identify benefitting parcels d) Cost and allocate 5. PLH/smc 2 Dear This letter is to inform you that Truckee Donner Public Utility District _ gring acquiring the Donner Lake Utility Company from its current owner, Mr. John Williams. Should this acquisition occur, the TDPUD would be your water supplier. Before we proceed we want to let you knew the effect that the acquisition is likely to have on you and to solicit your comments. The Truckee Donner PUD was for ed in 1926 and currently serves electric power an water p approximately 7, 50p homes and businesses in the Tru ee ea. The PUD is owned by its customers and is governed by a fiv person Board of Directors who are elected by the voters who li w' hin the district. We are a non-profit governmental agenc our B rd of Directors meets in open session on the first and ird Monda _evening of each month. If the Truckee Donner PUD acquires the Donner Lake Utility Company it would be our intention to modernize the physical plant to bring it into conformance with the current standards of the PUD. T is ;; would result in adequate water pressure and fire protect bn ,�'' eliminate frozen pipes and other problems such as taste, odor a d p water outages. These improvements would not occur immediately; we would develop a phased improvement plan in order to keep the financial impact reasonable. The cost of acquiring the sys m and improving it would be paid by , the property owners of Donn Lake. This would be done through an assessment on each parcel in the Donner Lake service area. It is too early in the process to have a good estimate of what each parcel 's assessment would be. We hope to develop an estimate during the next several weeks. ! , The entire process is somewhat involved since several different decisions need to be made in a certain sequence in order to avoid chaos. The process will include public hearings so that the affected parties have an opportunity to learn what is happening and are given the chance to comment. RESOLUTION NO. 89ZZ OF THE TRUCKEE DONNER PUBLIC UTILITY DISTRICT IMPLEMENTING AND FIXING ELECTRIC AND ABATER STANDBY CHARGES PURSUANT TO ORDINANCE NO. 7501 FOR THE FISCAL YEAR 1989-90 WHEREAS, on February 18, 1975, the Board of Directors of the Truckee Donner Public Utility District duly adopted Ordinance No. 7501 fixing electric and water standby charges on lands within the District boundaries and providing a means for collection thereof; and WHEREAS, on August 16, 1982 , the Board of Directors adopted Resolution No. 8240 amending Ordinance 7501 to include Placer as well as Nevada County; and WHEREAS, Ordinance No. 7501 prescribes that implementation of the actual charges shall be made by resolution of the Board for each fiscal year. NOW, THEREFORE, BE TT RESOLVED by the Board of Directors of the Truckee Donner Public Utility District as follows: 1. The electric standby charge for the fiscal year 1989- 90 shall be the sum of $20 for any parcel consisting of one acre or more, and the sum of $10 for any parcel of less than one acre. 2 . The water standby charge for the fiscal year 1989-90 shall be the sum of $10 for any parcel consisting of one acre or more, and the sum of $5 for any parcel of less than one acre. 3 . The District shall determine the lands to be affected thereby for the current fiscal year and the charges to be assessed, levied and collected on the lands and parcels, and upon the completion thereof a subsequent resolution shall be approved fixing and placing the electrical and water standby charges on the District tax roll for collection by Placer and Nevada Counties. 4 . The Clerk of the District is hereby directed to forward certified copies of this resolution to the Board of Supervisors and the County Auditor of the County of Placer, and the Board of Supervisors and the County Auditor of the County of Nevada. In consideration of the mutual covenants and conditions hereinafter set forth, owner and contractor hereby agree as follows: 1) STATEMENT OF WORK The project is fully described in the plans and specifications attached hereto. 2) CONTRACT PRICE The District shall pay contractor the amount of $ for performance of this project. 3) PAYMENT Payment will be made by the 10th of the month following completion of work and receipt of invoice by the District. 4) GUARANTEE Contractor shall guarantee all work done under the contract for a period of one year from the date of completion of the project. Should the workmanship or materials prove defective in the opinion of the District, the work shall be removed and replaced at the Contractor's expense. 5) COMPENSATION INSURANCE The Contractor shall procure and shall maintain during the life of the contract, Workmen's Compensation Insurance for all of his employees to be engaged in work. In case of any such work sublet, the Contractor shall require the subcontractor similarly to provide. Workmen's Compensation Insurance for all of the latter's employees to be engaged in such work unless such employees are covered by the protection afforded by the Contractor's Workmen's Compensation Insurance. l 6) PUBLIC LIABILITY AND PROPERTY DAMAGE INSURANCE Contractor shall furnish satisfactory proof, by certificate presented to the District within ten days of the date of the contract, that he has public liability and property damage insurance. The insurance shall protect bath the Contractor and the District, its officers a/d/or agents against loss from all liabilities imposed by law, and shall be maintained in full farce and effect during the performance of the contract and in the following amounts: a) Limit of liability for personal injury or accidental death - one person, $500, 000; aggregate liability per accident, $1, 000, 000. b) Limit of liability for property damage - one occurrence, $50, 000; aggregate liability for loss per accident, $100, 000. 7) NOTICE TO PROCEED Contractor shall complete the project within three months from the date the notice to proceed is received. 8) ADJUSTMENT OF DISPUTE All questions or controversies which may arise between the Contractor and the District under or in reference to this contract shall be subject to the decision of some competent person to be agreed upon by the District and the Contractor who shall act as referee, and his decisions shall be final and conclusive upon both parties. Should the District and the Contractor be unable to agree upon a referee, a board of three arbitrators shall be chosen, one by the District, one by the Contractor, and the third by the two so chosen, and the decision of any two of said arbitrators shall be final and binding upon the parties. If either party to the contract neglects or fails for a period of ten days after notice from the other party to designate an arbitrator hereunder, the arbitrator designated by the other party shall have full power to decide the dispute in the same manner as though a board of three arbitrators had been selected. The referee or arbitrators shall decide which party shall pay the cost of referral or arbitration. 9) SERVICE OF NOTICES All notices required to be given hereunder shall be mailed or delivered to the addresses shown under the District's and Contractor's signatures at the end of this contract. 10) EXTRA WORK Any alteration or deviation from this contract involving extra costs will be executed only upon written notice and will become an extra charge over and above the bid amount.
