OF THE
TRUCKEE DONNER PUBLIC UTILITY DISTRICT
DEFINING THE RESPONSIBILITIES OF THE TRUSTEES OF THE
DEFINED BENEFIT PENSION PLAN WITH RESPECT TO
APPROVING AND EXECUTING VARIOUS DOCUNENTS
WHEREAS, the Truckee Donner Public Utility District has established
a defined benefit pension plan for its employees; and
WHEREAS, the Board of Directors serve as the Trustees of the
pension plan; and
WHEREAS, certain documents need, from time to time, to be approved
and executed by the plan Trustees; and
WHEREAS, the Trustees wish to establish policy regarding the
procedure to be followed in performing such approval and execution
of documents;
NOW, THEREFORE, BE 1T RESOLVED by the Board of Directors of the
Truckee Donner Public Utility District, acting as Trustees of the
pension plan, as follows:
1. The following documents shall be submitted to the full
Board of Trustees for formal approval prior to being
executed: plan amendments, trustee appointments,
investment contracts.
2 . Only the following documents shall be prepared by the
plan administrator and submitted to the Board of Trustees
as an informational item, without the need for full Board
action: annual tax returns, notice of termination of
employment.
3 . Once the items listed in paragraph 1 above have been
approved by Board action, the document shall be executed
by the Board President, or in the absence of the
President, by the Vice President. Those documents listed
in paragraph 2 shall be executed by the Board President,
or in the absence of the President by the Vice President.
PASSED AND ADOPTED by the Board of Directors of the Truckee Donner
Public Utility District at a meeting duly called and held within
the District on the 18th day of September 1989 by the following
roll call vote:
AYES: Aguera, Corbett, Sutton, White and Maass.

RESOLUTION NO. 8927
OF THE
TRUCKEE DONNER PUBLIC UTILITY DISTRICT
ACCEPTING EASEMENTS FROM
MOUNTAIN PROPERTIES, INCORPORATED
WHEREAS, a 10 'easement over Assessor's Parcel. Number 18-790-19 and
blanket easements covering the easterly halves of Assessor' s Parcel.
Numbers 18-790-19 and 18-790-20 have been provided by Mountain
Properties, Incorporated for public utility purposes; and
WHEREAS, District Counsel has reviewed the easement grant deeds and
determined that they are acceptable and ready for recording;
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the
Truckee Donner Public Utility District as follows:
1. To accept the 10 ' easement over Assessor' s Parcel
Number 18-790-19 for purposes described in the easement
grant deed signed by Beth Ray, Vice President of Mountain
Properties, Incorporated, a copy of which is attached
hereto and made a part hereof.
® 2 . To accept the blanket easement over Assessor' s Parcel
Numbers 18-790-19 and 18-790-20 for purposes described
in the easement grant deed signed by Beth Ray, Vice
President of Mountain Properties, Incorporated, a copy
of which is attached hereto and made a part hereof.
3 . That the Clerk of the Board be directed to record the
easements with the County of Nevada.
PASSED AND ADOPTED at a regular meeting of the Board of Directors
of the Truckee Donner Public Utility District duly called and held
within said District on the 18th day of September 1989 by the
following roll call vote:

FOR PUBLIC UTILITY EASEMENT
FOR VALUABLE CONSIDERATION, receipt of which is hereby
acknowledged, MOUNTAIN PROPERTIES, INCORPORATED, A NEVADA
CORPORATION, "GRANTORS", do hereby grant to the TRUCKEE DONNER
PUBLIC UTILITY DISTRICT, "GRANTEE" blanket easements, within the
County of Nevada, State of California, said easements covering the
easterly halves of Assessor's Parcel Numbers 18-790-19 and 18-790-
20, said easements being legally described as follows:

The East half of North half of the Southwest quarter of the
Northeast quarter of Section 4, Township 17 North, Range 16 East,
M.D.M. , excepting therefrom all that portion described in the deed
recorded December 16, 1982 , Instrument No. 82-29867 from Donald W.
Jacobs to Miriam H. Jacobs.

The East half of all that portion of the Northeast quarter of
Section 4, Township 17 North, Range 16 East, M.D.M. being more
particularly described as follows:
Beginning at the Southwest corner of said Parcel. No. 18-790-19 from
which the North quarter corner of said Section 4 bears North 000
29 ' 26" West 1726.83 feet; thence from said point of beginning
North 000 29 ' 2601 West 336. 81 feet; thence North 880 22 ' 29" East
1335. 26 feet; thence South 000 24 ' 52" West 339.20 feet; thence
South 880 28 ' 16" West 1329.86 feet to point of beginning.
The easement granted herein is a right to construct, operate, and
maintain electrical and water facilities.

The easement granted herein includes a right to do all things
necessary for the construction, operation, and maintenance of the
electrical and water facilities and easement, including but not
limited to a right of ingress and egress, a right to temporarily
store equipment and materials, to excavate, to drive vehicles over,
to place markers on, to survey, to inspect and repair, and to
remove rocks, boulders, trees, and plant life in the course of
excavation or re--excavation.
The easement granted herein shall be of a temporary nature, and
will be abandoned upon approval and acceptance by the Truckee
Donner Public Utility District of a permanent easement for the
purpose of operation and maintenance of electric and water
facilities. The permanent easement shall be 30 feet in width, the
centerline of which shall be the extended facilities.

FOR PUBLIC UTILITY EASEMENT
FOR VALUABLE CONSIDERATION, receipt of which is hereby
acknowledged, MOUNTAIN PROPERTIES, INCORPORATED, A NEVADA
CORPORATION, "GRANTORS", do hereby grant to the TRUCKEE DONNER
PUBLIC UTILITY DISTRICT, "GRANTEE" an easement, ten feet (101 ) in
width, within the County of Nevada, State of California, being a
portion of Assessor's Parcel Number 18--790-19, said easement being
legally described as follows:
All that real property situated in the County of Nevada, State of
California, also being a portion of the Northeast one quarter of
Section 4, Township 17 North, Range 16 East, MDM. Also being a
portion of Parcel 2, as shown on that Certain Record of Survey
filed in Book 8 of surveys at Page 254, recorded in the Office of
the Recorder of the County of Nevada, State of California, and
being more particularly described as follows:
An easement for utilities purposes over a strip of land 10 feet in
width, the Northerly and Easterly line of which is parallel and
concentric with and 12 . 50 feet Southerly and Westerly of the below
described centerline.
Beginning at the Northwest corner of Parcel 2 as shown on that
certain Record of Survey, filed in Book 8 of Surveys at Page 254

FOR THE CORNELL/BRADLEY RESIDENTIAL DEVELOPMENT
AND DIRECTING THE FILING OF THE SAME
WHEREAS, the Cornell/Bradley residential development project on
Assessor' s Parcel Numbers 18-790-21, 18-790-22 and 18-790-23 has
been completed in conformance with the development agreement with
the District; and
WHEREAS, the District's Civil Engineer, Andy Hyde, has inspected
the project and has recommended that the project be accepted by the
Distract;
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the
Truckee Donner Public Utility District as follows:
1. That the Truckee Donner Public Utility District
hereby accept the offer of dedication from Zekiel Cornell
and Juliet Bradley for the water system and appurtenances
located within their residential project.
2 . That the Clerk of the District be directed to file
with the County of Nevada the Cornell/Bradley offer of
dedication, a copy of which is attached hereto.

OFFER OF DEDICATION
We hereby extend an offer to convey, transfer and dedicate all
rights, title, and interest in and to that certain water system
and appurtenances more particularly described in Exhibit "A"
attached to the Agreement by and between TRUCKEE DONNER PUBLIC
UTILITY DISTRICT, hereinafter referred to as DISTRICT, and Zekiel
Cornell and Juliet Bradley, hereinafter referred to as DEVELOPERS,
dated on or about March 1, 1986, a copy of which is on file in the
District offices located in Truckee, California; to TRUCKEE DONNER
PUBLIC UTILITY DISTRICT, assuring and warranting to said DISTRICT
that the water system is free and clear of all liens, encumbrances
and other expense.
We have constructed or caused the construction and installation
of the water system and improvements described in Exhibit "A"
attached to said Agreement and do hereby assure and warrant to
TRUCKEE DONNER PUBLIC UTILITY DISTRICT that the water system
improvement facilities together with the contractors,
subcontractors, employees or agents of the Developer have been
fully and completely paid and there exist no liens, encumbrances,
stop notices or claims on the water system improvement facilities
or by any of the subcontractors, employees, or agents against the
water system improvement facilities constructed pursuant to the
terms of the above agreement or against TRUCKEE DONNER PUBLIC
UTILITY DISTRICT.
We declare under penalty of perjury that the foregoing is true
and correct.
