General Status of the District There have been no significant power outages during the last two weeks. A water leak, however, in front of the Truckee Sanitary District Office building sudden- ly became critical and required immediate repairs. The leak had been reported to me last November and inspection at that time indicated that it would be dif- ficult to determine where the leak in the pipe was since a stream was running into a drainage manhole in front of TSD. The General Foreman and our Water Servicemen indicated they felt the leak may be coming quite a distance before finally emptying into the drainage manhole. It was therefore decided to wait and observe the leak to see if we could determine its origin. In January, dur- ing the process of rerouting some water lines for the Telephone Company, we discovered that turning off a certain four inch line would stop the leak. That helped some. At least we knew that when we went to repair the leak we could shut off the water line. When the leak was finally repaired on March 29th, it was dis- covered that the leak was in a very old four inch water main that was totally per- forated from electrolysis. It was also evident that a repair had been made at this same point some years ago. When the pipe was opened up and the leak was located, .our Water Servicemen estimated that the leak was flowing at about 30 GMP. This leak is the apparent subject of an unsigned letter to the editor of the Sierra Sun, and to Radio Station KTRT. In my opinion, the letter is largely �.� irrational, unthinking and inaccurate. A copy of the letter is attached to this report. 2. KTRT Public Service Announcements At a previous Board Meeting, I presented the Board with a proposal from KTRT for 26 weeks of public service announcements. The Board, at that time, asked me to again contact KTRT and see if the scope of this proposal could be reduced. Ac- cording to Mira Shea, owner of KTRT, the 26 week period is not a firm commit- tmlent. The District can make these public service announcements and energy con- servation tips at any 'rate they choose, and the rate will be $7.50 per 30 sec- ond spot. I would recommend that a 13 week trial of this type of public service announcement be made to determine its effectiveness and public acceptance. In that letter I raised a question about a reference in the agreement, which I thought was incorrect, in the last sentence of paragraph 2. By letter of March 12, 1980, James E. Thompson, attorney for Dart, has submitted a corrected frm io of agree- ment which deleted the reference I found quest I have no further comments on the agreement, except that, of course, Mr. Kuttel is now president, and not Mr. Maass. I understand you reviewed a prior draft of this agreement several months ago and raised a question concerning the drafting of paragraph 2 on page 2. In the prior draft, the last sentence of paragraph 2 read as follows: "This waiver [of the condition precedent set forth in subparagraph A. 3 of the September 6, 1979 Agreement] shall not constitute a waiver �-- of said condition precedent as to any or all of Dart' s obligations under paragraphs C. 1 through 5 and C. 7 through 18 of said Agreement. " As you correctly pointed out, Dart has no obliga- tions under paragraph C.1 through 5 of the September 6, 1979 Agreement. I have therefore revised the language of paragraph 2 of the enclosed draft so that the last sentence reads as follows: "This waiver shall not constitute a waiver of said condition precedent as to any or all of Dart' s remaining obligations under Para- graphs C.7 through 18 of said Agreement. " I have made no other changes in the draft and I trust that it is now satisfactory to you. Please let me know by Monday, March 17 , 1980 if you have any cther questions or concerns about the draft. AND SECURITY PACIFIC NATIONAL BANK RESPECTING LETTER OF CREDIT This Agreement is made and entered into this day of , 1979 among TRUCKEE DONNER PUBLIC UTILITY DISTRICT, a local public agency of the State of California, (hereinafter referred to as TDPUD") and DART INDUSTRIES INC. a Delaware Corporation, authorized to do business in California, (hereinafter referred to as "Dart") , and SECURITY PACIFIC NATIONAL BANK (hereinafter referred to as "Security Pacific" ) . W I T N E S E T H WHEREAS, Security Pacific issued irrevocable Letter of Credit No. 6540 on October 23, 1973 in the amount of 1.6 million dollars; and WHEREAS on September 6, 1979 Dart and TDPUD duly entered into a certain Agreement entitled "Agreement Between Truckee Donner Public Utility District and Dart Industries Inc. respect- ing certain developments relating to the Tahoe Donner water sys- tem" (hereinafter referred to as the "September 6, 1979 Agreement") ; and WHEREAS paragraph C6 of the September 6, 1979 Agreement as between Dart and TDPUD provides for the obligation of the 1.6 million dollar letter of credit to be changed from Donner Creek facilities to the Airport well and pipeline facilities and for TDPUD to approve the change after completion of the Airport Well purchase by Dart; and WHEREAS the purchase of the Airport 'Well by Dart has been completed; and WHEREAS the parties desire to provide for change of the obligation of said letter of credit by Dart and for the approval of said change by TDPUD and Security Pacific; NOW THEREFORE IT IS mutually agreed as follows: �- 1. Security Pacific agrees to issue a Letter of Credit in the form specified in Exhibit 1, attached hereto, for delivery to TDPUD upon receipt by Security Pacific of Letter of Credit No. 6540 for cancellation. 2. As to the obligations under paragraphs Bl through B.13 and C. 6 of the September 6 , 1979 Agreement, Dart hereby waives the condition precedent set forth in subparagraph A.3 of said September 6, 1979 Agreement. It has been proposed by the District that rather than provide a replacement 2 acre parcel at some other less desireable location, the substitution provisions of Section 6(f) of the Act be met by extending an existing lease covering the portion of the park in question (which has only 12 years to run) , an appropriate number of years. We asked the. Interior Department Field Solicitor to provide us with an opinion on whether such a proposal could be considered as meeting the conversion requirements , of Section 6(f) . It is his opinion (copy enclosed) that by extending the existing lease from Sierra Pacific Power Company on 15 of the 17 acres originally covered by the lease, a minimum of 25 years (to correspond with the years remaining on a similar lease on adjoining park lands) , the statutory requirements of "substitution land of reasonably equivalent usefulness and location" would seem to be satisfied. The other important requirement that the substitute land be of "equal fair market value" to the land being converted would appear to be satisfied by a lease extension for a minimum of 25 years. However, as recommended in the Field Solicitor's opinion (last paragraph, page 2) , we need a determination by a qualified appraiser that exten- sion of the lease on already developed land for at least 25 years would be the fair market value equivalent to (or greater than) the loss of the 2 acres of undeveloped parkland. In summary, we agree with the project sponsor and the State that conversion of approximately two acres of undeveloped land within Truckee River Regional Park for use as a power substation will not adversely affect continued public use and recreation development at the park site; and furthermore that extension of the existing Sierra Pacific Power Company lease on the remaining 15 acres for a minimum i of 25 years would constitute adequate substitution lands as required by Section 6(f) . This approval, of course., assumes that the State is able to make the determination that the "stub :tit.ltti.on" constitutes a replacement of et{uivalent fair market value. Secretary, Board of Directors Truckee Donner Public Utility Distri Truckee, California pY 1 J • c " RESOLUTION OF TRUCKEE DONNER PUBLIC UTILITY DISTRICT ACCEPTANCE FOR RECORDING OF EASEMENTS FOR WATER SYSTEM FACILITIES WITHIN SEWER ASSESSMENT DISTRICT NO.5 WHEREAS : Water system facilities are being constructed within the area known as Sewer Assessment District No. 5; and WHEREAS : The construction of this project requires various easements from private land owners ; and WHEREAS: It is necessary to obtain these easements prior to the contractors being given the formal Notice to Proceed. NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE TRUCKEE DONNER PUBLIC UTILITY DISTRICT, as follows: To accept the easements within the area of Sewer Assessment District No. 53, upon Lot 1 of Block A of the Biltz Tract and upon Lot 88 of the Armstrong Subdivision, as recommended by the District Engineer, and to instruct the Secretary of the Board of Directors to accept on behalf of the District these easements and to record them in the Official Records of Nevada County. This temporary easement together with 10 all its rights will revert to the Grantor, its successors and 11 assigns one year and one day after the recordation of the 12 Notice of Completion of the above sewer line and appurtenant 13 facilities. This reversion of easement right will in no manner 14 affect the perpetual easements granted by this indenture or 15 those of prior record. 16 PARCEL 1 A strip of land, 15.00 feet in width lying immediately adjacent 17 and Southerly of the hereinabove described- permanent: easement.
