Dear Jim:
The subject matter of your letter of August 6
relating to "potential" conflicts of interest of District
officials is not easy to deal with.
The Conflict of Interest Code attached to your
letter is of course the one required by the Fair Political
Practices Act. I do not know if it solves any of your
problems, but I suspect that it does not solve them all .
The Code requires the periodic disclosure by
public officials of interests in real property, investments
in business entities , income , or source of income which
might foreseeably be affected materially by the operations
of the District, by the directors, manager , attorneys, and
others specified. It also disqualifies such an official
from participating in the making of a governmental decision
by the District if he has a financial interest therein , as
defined.
The Fair Political Practices Act expressly
authorizes local agencies to impose additional requirements
on any of its officials if those requirements do not prevent
the person from complying with state law. Thus if the
directors want to know more than the state law requires,
they may require it; if they want to disqualify from
decision making on additional grounds, they may; if they
want to make certain types of interests a bar to continued

employment, they may do so also.
Of course any such action is subject to compliance
�- with constitutional principles, and to any other applicable
law. The California Supreme Court has held, for instance ,
that the legislature may not require attorneys and brokers
to disclose the names of all their clients, if no others
are required to do so, on the ground that such a requirement
violates the equal protection principle.
For another example, I do not think that parti-
cipation by District officials in the affairs of Thrifty
Rent-a-Car even if one official was employed there at the
instance of another District official , would be covered by
the Code unless the District proposed to do business with
Thrifty. If the District wanted to prevent two district
officials from engaging in other activities together , it
might adopt a resolution making such conduct a basis for
discharge. In that case the officials involved would be
entitled to litigate the validity of the requirement under
the due process clause, to determine whether in a Court' s
view the requirement of nonassociation bore a reasonable
relationship to employment by the District.
Perhaps the purposes of the directors could be as
well served by requirements of additional disclosure about
such relationships; it would appear to me that disclosure
has a better chance of being upheld than treating a new
cause for discharge. One of the agencies I represent has
recently adopted a resolution requiring its consent before
any consultant employed by the agency can represent any
member of the agency, where a conflict might result. I do
not anticipate litigation over the requirement, since the
only penalty is the implied threat that the agency will not
hire the consultant in the future. I enclose a copy of that
resolution , which may be for a more complicated situation
than yours, for further information.

RESOLUTION NO. 80-08
NORTHERN CALIFORNIA POWER AGENCY
WHEREAS, NCPA is presently comprised of 12 public entities, which own
electric distribution systems, and which may on occasion desire to utilize
for their own individual purposes legal counsel or engineering consultants
retained by NCPA;
WHEREAS, NCPA consultants and counsel have broad-based interests with
numerous clients throughout the nation having diverse interests that may
potentially conflict with the interests of NCPA or individual NCPA members;
WHEREAS, it is desirable to establish conflict of interest guidelines
for NCPA consultants and counsel that will serve to identify and resolve
potential conflict of interest issues in a fair and expeditious manner;
NOW, THEREFORE , BE IT RESOLVED BY THE COMMISSION OF THE NORTHERN CALIFORNIA
POWER AGENCY, as follows:
Section 1 . Conflict of Interest Guidelines. NCPA consultants, including
but not limited to engineering, financial and/or legal consultants, shall not
f- enter into agreements with, or otherwise represent, individual NCPA members
or other third parties where such an arrangement may potentially conflict
with the interests of NCPA or an individual NCPA member unless the prior
consent of NCPA and the affected NCPA member is obtained. If the arrange-
ment only potentially conflicts with an interest of an individual NCPA member,
the NCPA consultant need only obtain the consent of the affected NCPA member.
Section 2. NCPA members shall not enter into contractual arrangements
with, or otherwise utilize, NCPA consultants for their individual purposes
without first obtaining the consent of NCPA.
Section 3. For purposes of this resolution, "consent of NCPA" shall be
obtained as follows:

GENERAL MANAGER
DEFINITION
Subject to policy formulation and direction by the Board of Directors,
to plan, direct, coordinate, and review the activitiSes of the District's oper-
ations and work forces; and to do related work as assigned.
EXAMPLES OF DUTIES
Direct and participate in the development and implementation of goals,
objectives, management policies, and priorities. Direct and participate in the
preparation and administration of the District budget. Enforce and administer
the provisions of the laws and ordinances of the District. Plan, coordinate, and
direct the work of District personnel_
The General Manager may be appointed as Clerk and Ex-Officio Secretary
of the Board.
Advise the Board on matters of administrative practices, recommend
legislation and policies required in the public interest and report on District
operations, policies, and problems.
Review all District operations to establish work standards and improve

methods_
Conduct continuous research into administrative practices to produce
greater efficiency and economy in District government_
Prepare a long term capital improvement program with plans for financing
for Board consideration.
Direct all District personnel.
When directed, handle the implementation, maintenance and enforcement of
District personnel policies as prescribed by the Board and act as the Board's
agent in meeting and conferring with employees and employee organizations.
Respond to citizens' complaints and requests for information; keep the
Board apprised_
Represent the Board in the community and at professional meetings as
required and as directed by the Board.

Agenda Item - Utility Deposit
Dear Board f3embers;
I understand an item, which is causing great concern to and also other
community members , is scheduled on your agenda tonight. I am referring
to the deposit policy which the P.U.D. office requires for utility service.
I believe there should be some other alternatives to this deposit require-
ment besides any previous credit for utilities in the same or different
Utility District.
I am presently in a position which causes me great financial concern. As
a renter I must put out money for first and last months rent as well as a
cleaning deposit which is generally required for most rentals. In addition,
the P.U.D. policy requires a deposit based upon previous renters ' balance of
two winter bills, plus a percentage of price increases , to hold for one year.
For the house I am renting, I owe $215.00 as utility deposit.
I have been continually employed in Truckee for over two years. Although I
have never had utility service under my, name, there must be some other alterna-
tives to this tremendous deposit I an, to be responsible for.
Please take under consideration the position I and many other permanent resi-
dents and full-time employees in this community must contend with towards
the present deposit ,policy. Thank you.

inability to secure the release of the proposed sub-
station site, and the increased desirability to Sierra
of a switching station on the north side of I-80,
made a joint substation undesirable.
"Sierra Pacific intends to build a 120 KV switching sta-
tion north of I-80 where its existing lines are concen-
trated, then build a 120 KV line from that switching
station, along the existing #650 line route via the new
Martis Valley site, to provide 120 KV service to the
Tahoe Basin.
"Sierra Pacific and TDPUD have agreed that Sierra Pacific
would design and manage the construction of the District' s
proposed 120/13.2 KV substation on property acquired by
the Truckee-Donner Public Utility District. Inasmuch as
necessary permits for the construction of that substation
will not be issued in time to make construction possible
in 1980, the substation construction has been delayed un-
til early in 1981. In consideration for Sierra Pacific's
agreement to design the station, provide material acquisi-
tion services, and manage the construction of the District's
substation, the Truckee-Donner Public Utility District's
Board of Directors hereby authorizes Sierra Pacific to es-
tablish and maintain a Martis Valley Job Order account.
This account is to be used by Sierra to accumulate the ex-
penses and credits incurred by Sierra in the construction
�^ of the Martis Valley Sub. Sierra Pacific is further author-
ized to bill TDPUD for negative balances in that account.
"The Truckee-Donner Public Utility District understands
that at any time it is entitled to review the current
accounting of the Job Order and is entitled to review
the entire expenditure record upon completion of the
project."
Some wording such as proposed above, and signed by an authorized member of the
Board, would be acceptable for our purposes.
