MANAGER'S REPORT
1 . General Status of the District - During the past three weeks
there have been several minor power outages and water outages
caused primarily by accidents or the necessity to shut off mains
to repair major leaks. The persistent problem that plauged the
District some weeks back in the Ponderosa Palisades area appears
to have been corrected by the replacement of the pressure switch
at the Ponderosa Booster Station.
New service activity, both in the Water and Electric Departments,
continues at a high pace. Because of the volume of orders, it
now requires five to ten days to get a new electric service and
as much as thirty days to get a new water service. Part of the
delay is caused by the need to develop efficiency in putting in
new services; therefore, our crews only work in one area of the
District at a time to avoid running back and forth across the
District and wasting time in travel rather than in working.
2 . Report on Sierra Power Company rate case - On July 8th, I went
to Washington D. C. to attend a pre-settlement conference with the
Federal Energy Regulatory Staff and various interveners in the
Sierra Pacific Power Company wholesale rate case to determine if
a settlement could not be reached prior to a full Regulatory Com-
mission hearing. I was accompanied on behalf of the PUD by our
attorney, Martin McDonough, and Ken Seeds, Rate Specialist, R. W.
Beck and Associates.
On Monday, July 9th, Mr. McDonough, Mr. Seeds, myself, Mr. Ben
Bartlett, Public Works Director for the City of Fallon, and two
members of the City Cousel of Fallon met for the entire day in
my hotel room to review all of the calculations of Sierra Pac-
ific Power Company, and to review the findings of Mr. Seeds and
Mr. Bartlett relating to the accuracy and adequacy of those cal-
culations. We also reviewed the findings of the Federal Energy
Regulatory Commission staff. We concluded that we would attend
the conference the following day and take the position that we
supported the Federal Energy Regulatory Commission staff ' s find-
ings. In addition, we had some rather important corrections to
be made in the calculation of the fuel cost. On the following
day, we did attend the conference. Also in attendance were the
Sierra Pacific Power Company representatives, Mr.Jack McElwee,
Rate Manager, and Mr. Patrick Kinney, Esq. ; three representatives
of C. P. National Corporation, a who esjale customer of Sierra Pac-
ific ' ., were also present. Mount W�J!`Electric was not in at-

from 10% to 140 , and if Sierra Pacific accepts all the recom-
mendations of the Commission staff, PUD, and City of Fallon, that
our rate increase will be in the vicinity of 8% to 100 . Regard-
less of which wholesale rate structure is finally adopted, the
..., new format is going to be much easier/to understand and will al-
low the District to much more cost effectively introduce such
measures as load management, time-of-use rates, cogeneration, and
many other energy saving techniques that will help reduce the im-
pact of the rate increase , significantly.
If the recommendations of the staff, PUD, and City of Fallon are
accepted by Sierra Pacific, the average effect on our montly util-
ity bill from Sierra Pacific will mean a $3,000 per month reduction
under the proposed rates.

AGREEMENT BETWEEN TRUCKEE DONNER PUBLIC
UTILITY DISTRICT AND DART INDUSTRIES, INC.
RESPECTING CERTAIN DEVELOPMENTS RELATED TO
THE TAHOE DONNER WATER SYSTEM
THIS AGREEMENT is made and entered into this day of 1979,
by and between TRUCKEE DONNER PUBLIC UTILITY DISTRICT, a local public agency of
the State of California,- hereinafter referred to as "TDPUD" and DART INDUSTRIES,
INC. , a Delaware corporation authorized to do business in California, hereinafter
referred to as "Dart."
W I T N E S S E T H:
WHEREAS, Dart is purchasing the Airport Well ; and
WHEREAS , TDPUD and Dart desire to provide water from the Airport Well to the
Tahoe Donner Project to satisfy the requirements of the 1970 and 1973 Agreements;
and
WHEREAS, there remain certain issues relating to the water supply for Tahoe
Donner that are unresolved; and
WHEREAS, the parties desire to resolve as many of these issues as possible.
NOW, THEREFORE, in consideration of the mutual promises herein contained,
Dart and TDPUD agree as follow:
A. GENERAL
1 . Except as otherwise expressly provided herein, this agreement does not
modify, alter or supercede the previous agreements made in 1970 and 1973 or at other
times.
2. This agreement does not purport to be a final and absolute conclusion of
all matters between Dart and TDPUD relating to water system development for the
Tahoe Donner project. It is the intent of this agreement to finally and conclusive-
ly resolve those items contained herein. At the present time there are no other
known unresolved items. Nothing contained herein shall affect the parties' posture
in the Richmond case.

3. All of Dart 's obligations under this Agreement are subject to a condition
precedent that Dart is able to complete the purchase of the Airport Well and obtain
a dismissal with prejudice in the Hatch case.
B. MATTERS RELATING TO THE AIRPORT WELL
1 . Dart agrees to provide to TDPUD the Airport Well , necessary connecting
lines , two pump stations, and other appurtenances to provide the balance of the
4,000 gallons per minute of water (average demand on the maximum day) to the Tahoe
Donner Project.
2. TDPUD agrees to review the plans, specifications and contract documents
and make recommendations for compliance with existing TDPUD standards within ten
(10) days after presentation to the Board of Directors.
J 3. When any developer directly connects to the pipeline within ten (10)
years from acceptance of the pipeline, a facilities fee will be levied by TDPUD
and reimbursed to Dart. The appropriate facilities fee shall be determined by
the District Engineer and shall not be less than the TDPUD's then current fee
schedule.
4. Dart agrees to include tees at appropriate intervals in the pipeline to
..- provide for future fire hydrants. Hydrants are not to be provided by Dart.
5. Dart agrees that the design criteria for the Airport Well with pumps and
appurtenances shall be 2,500 gallons per minute.
6. Dart also agrees to provide a 400,000 to 600,000 gallon water tank,
pump station and associated equipment necessary to pump 2,500 gallons per minute
to the Northside Tank.
7. Dart agrees to provide, in the Airport Well pumphouse, piping to accomo-
date additional future pumps to ultimately supply additional water from the Air-
port Well to the community of Truckee. Dart agrees to supply pumps and facilities
to provide the Truckee Tahoe Airport District with up to 2,000 gallons per minute
for four hours of fire flow water.
8. Dart and TDPUD agree that the present pump in the Northside Well will

remain the same, but the piping will be changed by Dart to provide for an addi-
tional booster station at the Northside Well .
9. Pursuant to the terms of Dart' s purchase agreement for the Airport Well ,
TDPUD agrees not to impose any source and storage fees on the property presently
owned by the Truckee Tahoe Airport District or any connection fees for the Truckee
., Tahoe Airport District 's existing domestic uses; however, the Truckee Tahoe Air-
port District will be responsible for normal , monthly water usage fees, now or
hereafter imposed by TDPUD for fire, standby, water and domestic consumption.
10. Dart agrees to transfer to TDPUD in as- is condition any interest Dart
may acquire in the present Airport Well pump, motor and appurtenances removed from
the Airport Well , if not usable elsewhere in the project.
11 . Dart agrees to grant to TDPUD, and TDPUD agrees to accept, the Sanders
Well along with pipeline easements between the Sanders Well and the Northside pump
station
12. Dart agrees that the design criteria for the equipment at the new North-
side Booster Pump Station shall be to pump 4,000 gallons per minute to the Donner
Trails Tank.
13. TDPUD agrees that the above actions will satisfy all water volume re-
quirements for the Tahoe Donner Project at full development as well as any demand
by TDPUD for three sources of water.

C. OTHER MATTERS
1 . TDPUD agrees to reimburse Dart the sum of $23,769. 18 for sums advanced
by Dart to up-size the West River Street pipeline.
2. TDPUD agrees to record with the Nevada County Recorder the deeds re-
ceived from Dart during the month of December, 1975.
3. TDPUD agrees to release the $280,000.00 performance bond originally
issued to guarantee the installation of the Donner Lake facilities upon disability
of the pipeline and removal of the treatment plant.
4. TDPUD agrees to grant to the Tahoe Donner Property Owners Association

the beacon power line easement extending from the southerly boundary of Tahoe
Donner Unit No. 8 to a point where the easement leaves Tahoe Donner near the
northeast corner of Unit No. 8. This grant to the Property Owners Association
shall be effective upon completion of new power lines being constructed in Unit
No. 8 by Dart.
5. TDPUD agrees to grant access easements across the front of Parcel .T,
Unit 8 (Sitzmark Tank) , and across Parcel A, Unit 9 (Falcon Point Tank) , to the
adjacent lot owners using those access easements.
6. Dart agrees to change the obligation of the 1 .6 million dollar letter of
credit from Donner Creek facilities to the Airport Well and Pipeline facilities.
TDPUD agrees to approve the change after completion of the Airport Well purchase
by Dart.
7. Dart agrees to reimburse TDPUD Restricted Funds for Tahoe Donner Water
System Improvements in the amount that was previously withheld for the Northwoods
Boulevard pipeline of $56,875.00.
8. Dart agrees to contribute to TDPUD Restricted Funds for Tahoe Donner
Water System Improvements the amount of $32,000.00 that was excluded by the terms
of the 1970 Agreement.
9. Dart agrees to reimburse TDPUD General Fund the sum of $14,000.00 for work
performed in trouble-shooting and eliminating design problems in the Tahoe Donner
telemetry system.
10. Dart agrees to reimburse the TDPUD General Fund the sum of $6,000.00 for
the purchase of a data logger for the telemetry system.
11 . Dart agrees to reimburse TDPUD General Fund for all costs relating to the
purchase and installation of four altitude valves, one each at Herringbone and
Roundhill , Falcon Point and Sitzmark Tanks, provided, however, the amount of reim-
bursable cost of these altitude valves shall not exceed $25,000.00.
12. Dart agrees to pay TDPUD General Fund the sum of $35,000.00 for cathodic
protection, investigation and mitigation on the Tahoe Donner Water Distribution

System in full settlement of any claims of the TDPUD arising out of design or
construction by Dart of the Tahoe Donner Water System.
13. Dart agrees to commission Dr. John Sharp to compile and print an update
to the 1975 Truckee Groundwater Report and to provide twenty (20) copies to the
TDPUD.
14. Dart agrees tc grant to TDPUD a small parcel adjacent to the Donner
Trails Tanks (Parcel #18-681-013) .
15. Dart agrees to release Dart's security interest on the Southside Complex
property held as security for the under-river crossing.
16. Dart agrees to grant TDPUD a utility easement across the westerly boundary
of a two and one-half acre parcel behind the Church on Highway 267 (Parcel #19-44-27) .
17. Dart will , within one month after completion of the Airport Well purchase:
(a) Remove the pumps from the Donner Lake pumphouse; and
(b) Fill with concrete the pit that contained the pumps and fill with con-
crete approximately sixty (60) feet of the intake pipe to the existing valve near
the concrete launching ramp; and
(c) Offer the pumphouse building to the Tahoe Donner Property Owners Associa-
tion. if the offer is not accepted, Dart will remove the building.
18. Dart shall , on or before July 1 , 1982, remove the treatment plant from
its present parcel .
IN WITNESS WHEREOF, the parties hereto have executed this agreement on the
day and year first above written.

ENGINEER'S REPORT
Several items listed under the Engineer' s Report falls within
Unfinished Business , New Business and the Engineer's Report
as such. They will be listed in order of presentation on the
agenda for your consideration.
UNFINISHED BUSINESS
3. S .A.D. 5 Water Improvements :
The improvement plans for Sewer Assessment District No. 5
relating to the water system improvements have been reviewed
by the staff of Truckee Donner Public Utility District and
found to be in compliance with the District's standards and
will provide greatly improved service to the Armstrong subservice
area of the District. It would be in order for the Directors to
sign the cover sheet for the improvement plans , if that meets
with the pleasure of the Board.
4. Dart Agreement:
I whole-heartedly recommend the ordinance approving the Dart
Agreement relating to the unfinished items of the water system.
Enclosed as page 4 of this Engineer's Report is the letter
reaffirming the benefits and estimated cost of the cathodic
protection within the Tahoe Donner subservice area. The Agreement
as presented, in my opinion, will resolve each of the areas of
concern with the Tahoe Donner water system and related items to
the absolute benefit of the Truckee community.
NEW BUSINESS
1. There is a single family parcel within Sewer Assessment
District No. 5 under the ownership of the Truckee Donner Public
Utility District. The parcel in question is one that has been
declared surplus , however there was some comment at an earlier
date dealing with the possible construction of a solar demonstra-
tion home on the parcel. The passage of Proposition 13 creates

certain complicating matters relating to assessments on public
properties that can no longer be secured by a tax levy. Therefore,
the options before the Board appear to be three.
1. Provide a cash contribution to the assessment
proceedings in the identical amount as the
proposed single family sewer assessment. The
sewer' assessment will be approximately $_3,500.00 .
2. Declare that the public interest, in the Board's
opinion will not best be served by the cash
contribution listed above. If. this option is
pursued, the assessment proceedings will carry
a zero assessment for the subject lot and
presumably sewer service will not be made
available to the property.
3. Attempt to make your peace with the Board of
Supervisors representing the people of Sewer
Assessment District No. 5 and pay nothing at this
time and pay the assessment plus accrued interest
as in lieu assessment at the- time that service is
desired for the subject parcel.
ENGINEER'S REPORT
A. Cranmer Engineering has submitted improvement plans , specifi-
cations and contract documents for Phase 3 of the major
transmission water main connecting the Airport Well, the Town
Tank and the Donner Trails Booster. I have reviewed the Phase
3 improvement plans , contract documents and bidding specifications
and recommend their approval. Dart' s current schedule anticipates
that bids will be opened on July 24, 1979 and the bids awarded
within 20 days thereafter. The contract documents specify that
the completion of the work contained within Phase 3 shall be
accomplished prior to September 15, 1979 .
The limits of Phase 3 extend from the terminus of the Phase 2
piping (however not connecting to the Phase 2 piping) to the
northerly limit of the Interstate 80 right of way at the Trout
Creek overcrossing. The alignment and other features of the
improvement plans is consistent with the Environmental Impact
Assessment and Negative Declaration that was adopted by the Board
addressing the Sanders Site Production Well and Related
Transmission Main.

B . T. E. Bertagnolli Parking Lot Reconstruction Contract:
We have a continuing correspondence being carried on with Mr.
Bertagnolli regarding the final quantities for the parking lot
reconstruction. The latest exchange includes materials from
Bertagnolli that, as I read them, categorically prove our case
that the base rock and asphaltic concrete charged to your job
by Bertagnolli was placed on the Tahoe City bike trails . It
is inconceivable to me that a person would pursue a matter
which has all of the ramifications of an illegal act punishable
by the courts of the State of California.

Dear Directors :
During the investigations that were a part of the preparation for
the report that we wrote entitled "Water System Analysis Report,
October 1976" it became obvious that the life span of the water
distribution system could be extended in its useful service
period by a considerable degree through the installation of
various cathodic protection devices . Cathodic protection
W- throughout the district was listed as project element number 34
in the above noted report . During the preparation of the grant
application for the Economic Development Administration, Local
Public Works funding, a line item cost estimate was prepared that
indicated that, in our judgment, $10,000 could productively be
spent on the Town/Gateway subservice areas and that $30,000 could
and should be spent extending the useful life of the water dis-
tribution system in the Tahoe Donner subservice area.
Paragraph 12, page 4 of the proposed agreement provides a cash
sum of $35 ,000 to be deposited with the District covering the
investigation and installation of the various cathodic. protection
devices . Paragraph 12 therefore, provides a 17% increase in the
dollar value as compared to the value considered by the Board in
the preparation of your Economic Development Administration grant
proposal. It is my personal opinion that the $35 ,000 figure is

adequate to accomplish the intended purposes . Also, in my
opinion, there is no single expenditure of funds that will
contribute so greatly to the extended useful life of the water
distribution system as installed in the Tahoe Donner area.
The subject cathodic protection will, most likely, extend the
useful life of the overall Tahoe Donner subservice area water
distribution system beyond the normal life expectancy of the
system as designed had the proper backfill been installed at
all locations throughout the project.
