AUTHORIZING THE EXECUTION OF AN AGENCY SERVICE AGREEMENT WITH PUBLIC EMPLOYER PERSONNEL CONSULTANTS WHEREAS, the District has been using the services of Jim Lloyd, of Public Employer Personnel Consultants; and WHEREAS, the contemplated services include union negotiations, the creation of a personnel policy and pro- cedures manual, assistance with a Civil Service ordinance, and representing and advising the District with respect to general personnel matters; and WHEREAS, Mr. Lloyd has proposed an Agency Service Agreement which provides for a fixed monthly fee for the contemplated management services. NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Truckee-Donner Public Utility District as follows: That the President is hereby authorized and directed to execute on behalf of the District the Agency Service Agreement with Public Employer Personnel Consultants. A copy of said agreement is attached hereto and, by this reference, made a part hereof. MAASS, President "ILTONSE Clerk Thereof AGENCY SERVICE AGREEMENT THIS AGREEMENT has been entered into this _ 1st day of August , 19 79 , between Truckee-Donner Public Utility District and _J. Lloyd, Public Employer Personnel Constants hereinaf ter called respectively Principal and Agent. WITNESSETH: That for and in consideration of the payment of fees speci- fied below, Agent does hereby agree to provide personnel services for the Principal , and Principal agrees to engage such services, described NIA as follows: 1. INFORMATION SERVICES a. Performance Of Information Services: (1) Agent will be available for periodic consultation in Agent offices and for an unlimited number of telephone inquiries pertaining to methods of Personnel Administration and labor or union relations management. (2) Agent will provide periodic informational publications per taining to existing conditions and new developments within the field of personnel and labor relations. (3) Agent will make available periodic seminars and workshops pertaining to employer personnel policies and operating procedures. b. Information Services Fee: It is agreed that the fee for this level of service shall be $ per payable in advance beginning 19 N/A 2. ADVISORY SERVICES (Includes Information Services) : a. Performance Of Advisory Services: (1) Agent will conduct a review of Principal 's overall per- sonnel program and prepare a written report outlining potential developmental areas for Principal 's consideration. (2) Upon request, Agent will provide advice and guidance with respect to day to day employee relations matters including, but not limited to, those pertaining to: - Organization of employee work functions; - Compensation; Employment (including affirmative action) ; Communications; Employee Development; and Employee (including Union) relations r (3) Agent's staff will be available for an unlimited number of telephone inquiries and consultations, in Agent's offices and will make available for use its library, conference facilities, and various copyrighted materials pertaining to the Lloyd System of Personnel Administration. Staff time, at no additional cost, will also be available by prior arrangement for up to hours per month at Principal 's offices or at other locations designated by the Principal . b. Advisory Services Fee: It is agreed that the fee for this level of service shalT_b__e__T per payable in �. advance beginning 19 N/A 3. SUPPORT SERVICE a. Performance Of Support Services: Agent will carry out personnel consultative responsibilities of the type, and at such locations, as directed by the Princi al . Such responsibilities may include, but are not limited to, providing counsel ; attendance and parti- cipation in meetings, conferences, and .negotiations; conducting special projects, audits, and research; development of programs and recommendations; and, the preparation and presentation of reports. b. Support Services Fee: It is agreed that the fee for this level of service shall be $ (see fee schedule) per hour payable on the first day of the month following the rendering of such service. 4. MANAGEMENT SERVICES a. Performance Of Management Services: Agent will assume managerial responsibilities of the type, and at such locations, as directed by the Client. Such responsibilities may include, but are not limited to, any of the prior listed services; performance as Principal 's collective bargaining spokesman during negotiations; carrying out personnel plans and programs; and, the representa- tion of the Principal during grievance mediation and/or arbi- tration and before regulatory governmental agencies. b. Management Services Fees: It is agreed that the fee for this level. of service shall be as follows: Option 1: $ (see fee schedule) per hour payable on the first day of the month following the rendering of such services. Option 2: $950.00 per month payable in advance beginning August 1 19 79 Option 3: (Specify) : It is further agreed that: 6( 5. Agent will be reimbursed for any out-of-pocket expenses (including automotive transportation @ 20� per mile) incurred on behalf of Principal and for any incidental expenditures for materials and secretarial assistance. 6. The rendering of the above described services may entail the use of certain copyrighted personnel systems, methods, and forms. It is understood that the rights to all such materials remain vested in the Agent and that their continued use is subject to the ex- press consent of the Agent. 7. Services provided by Agent will conform to the highest standards of professional personnel administration. None of such services shall be construed as involving the practice of law. 8. This agreement will be in effect from Sept ember 1 19 79 through August 31, , 19 80 and will continue in effect from month to month thereafter unless canceled; at the option of either party, upon ninety (90) days notice .prior to either (a) July 31, 1980 or, (b) the last day of any subsequent month. 9. POLGLASE " Navada Cauatg Clerk v Dap.,;.cf.A General Mana er RESOLUTION 79 33 TRUCKEE DONNER PUBLIC UTILITY DISTRICT ADOPTING THE NOTICE OF DETERMINATION .� AND DIRECTING THE FILING OF SAME FOR THE AIRPORT WATER TRANSMISSION MAIN & RELATED FACILITIES WHEREAS, an Initial Study and Environmental Impact Assessment was conducted and made available to the Board and . the Public on May 30, 1979, and; WHEREAS; Public Agency Input was requested by letter and Public Input was received at several Public Board Meetings, and; WHEREAS , the review and comment period ended August 8, 1979 for the Project known as the AIRPORT WATER TRANSMISSION MAIN & RELATED FACILITIES also known as (SCH)79080213, and; WHEREAS , the primary public responsible State Agency, California Department of Transportation, states "District 3 has reviewed the E.I.R. for the proposed Airport Water Transmission Main to be constructed to serve the Tahoe Donner Subdivision. The document appears to adequately address the require- ments for construction within the state right of way. Please refer to the attached sheets for additional information.", and; WHEREAS , the California Department of Transportation has in fact issued the Construction Encroachment Permit, and WHEREAS, as Environmental Documents addressing the Wastewater Treatment Capacity of the area are currently being circulated for review and comments that specifically speak to growth facilitating Public Facilities. Said document include: "Draft Environmental Impact Report, General Plan Amendment for Martis Valley, Nevada County, California." "Project Report for Increased Wastewater Treatment Capacity, Tahoe Truckee ,-- Sanitation Agency._ ' "Environmental Impact Report on the Tahoe Truckee Sanitation Agency Water Reclamation Plant." "Assessment of Biological Response to Waste Addition to the Truckee River, Bear Creek, Squaw Creek and Martis Creek." "Truckee River Water Suality Control Plan Update, 1979, California Real Water Quality Control Board, L gionahontan Region.", and.; WHEREAS , the proposed Basin Plan Amendments and relevant environmental documents have been circulated to a mailing list of approximately 225 names .' Duly noticed workshops were held on April 25, June 20, July 11, August 2, and August 9, 1979 . A hearing will be held September 19 and 20, 1979 . A press release, prepared by the State Board' s Office of Public Affairs, was widely circulated to a mailing list of over 1,100 names, including news media. NOW THEREFORE BE IT RESOLVED that in light of all the input, circumstances and considerations, the Notice of Determination for the AIRPORT WATER TRANSMISSION MAIN is hereby adopted. Further, the President is authorized to sign the Notice of Determination and is hereby directed to file said Notice with the Nevada County Clerk.
