Atcheson, Senior Vice President, Sierra Pacific Power Co. -n We ha:-e been asked about the feasibility of a management contract for the operation of the electric system of the Truckee Public Utility District. . . . asked y> he press and not the District Board of Directors. Therefore, anything I say should not be considered a formal offer or an attempt to involve ourselves in the operation of the district since the district has managed itself very well for years and has always had a good working relation ==?ice .:Ath Sierra Pacific Power. Sierra. Pacific has not entered into management agreements in the .past and probably v,,ould have to look very, very carefully at doing so any.time in the future. Ya e have not investigated the District's revenues and expenditures, which would be t-e first step in exploring any kind of working relationship. We are somewhat arr_iliar with the good quality of the electric system itself, having worked closely a v,dth the District on many occasions. Our past experience in operating municipal-type electric systems comes from two acquisitions in Nevada. Both involved long term (30-year) leases of l_cilities owned by government agencies, specifically the Truckee-Carson Irrigation District and the Mineral County Power System. We pad- an annual lease fee to each and, for example, the Truckee-Carson Irritation District uses the revenues from lease payments to help maintain and _.mprove its irrigation eater system. This is a feasible alternative for TPUD in that lease paynz_ents could be used to improve and operate the District's c ar=.e stic water system. In Mineral County the money goes to the county and �t is probable that some of it is used to operate the Hawthorne water utility there. Page 338 i The lease arrangement, in both cases, puts the electric facilities on '= rolls of the counties so there is additional revenue from property taxes =_l special districts, the counties and the state of Nevada. I presume that the same thing would happen in TPUD territory. The two leases we are talking about also guarantee that the owning agency _a credit, in terms of increased revenues, if there is growth in the area served. I- :Dtrer words, there is a scale of cash benefits above the base lease payment. The leases also call for Sierra Pacific to take over facilities as they are _u_ make improvements and extensions as necessary. Then, at the end of the lease, these are returned to the owner at the depreciated cost. In both cases, we have employed, and incorporated fully into our system, a--'-' electric employees of the system involved with all the fringe benefits of Sierra 1::-cif=c employees, including pensions, effective immediately. This also was done when we purchased the Nevada properties of the Southern California Edison Co. which included Tonopah and Hawthorne. In acquiring through lease, we give a value to each piece of equipment o-.:=ed, operated and used by the system to be acquired and that forms a basis valuing the lease. It has also been our practice to acquire all spare parts, e---;p-rent and other items no longer needed by an electric district. In both past leases we have arranged to keep rates at the local level for _- c=id service for a period of time where Sierra Pacific rates are higher, give _=e ._sstomer the benefit of the lower rates where ours are lower and apply seer_-ard Sierra Pacific rates to all new additions. i t '� ,i What I say today- should not be construed to be an offer, only an explana- --ion of :rhat the company has done in the past where there have been somewhat r t=r circumstances. We are not interested in taking over, in any way, the =?ID eleCtriC system unless it is the wish of the community and its board of directors_ 1 t RESOLUTION NO. 7218 TRUCKEE-DONNER PUBLIC UTILITY DISTRICT AMENDING RESOLUTION NO. 7215 SUPERSEDING RESOLUTION NO. 7117 BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE TRUCKEE-DONNER PUBLIC UTILITY DISTRICT AS FOLLOWS: Resolution No. 7215 of the District_, May 1, 1972 is hereby amended by changing: TITLE 12 SICK LEAVE "Nothing in the foregoing Title shall be interpreted to entitle the employee to sick leave while on vacations , temporarily laid off by .the District, upon severance of employment or while receiving indust- trial compensation." The above changed to read: Nothing in the foregoing Title shall be interpreted to entitle the employee to sick leave while on vacation or temporarily laid off the the District or while receiving compensation." The following point to be added: 12.5 Employees who leave their employment with the District either by retirement or termination shall receive compensation for all sick leave, except, however, that an employee who voluntarily terminates his employment with the District must give the District two (2) weeks notice of such voluntary termination in order to receive compensation for accumulated sick leave.
